PART IV – REPRESENTATIONS AND INSTRUCTIONS

SECTION L – INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS

EGLIN-L01 Instruction to Offerors and Instructions for Preparation of Proposals (MAY 2015)

1.0. Overview

The Eglin-Operation and Maintenance Services (E-OMS) contract will provide the engineering and technical services necessary to operate and maintain the Eglin Range, the Major Ground Test Facilities (MGTF) and the National Radar Cross-Section Facility (NRTF). The scope of the Eglin Range, MGTF, and NRTF are substantially the same as the preceding contracts.

1.1. General Instructions

a. To assure timely and equitable evaluation of proposals, Offerors shall comply with all instructions within Section L and all solicitation submission requirements, including submission requirements within the terms and conditions and representations and certifications. Proposals shall consist of four (4) separate volumes: Volume I – Mission Capability/Mission Capability Risk, Volume II – Past Performance, Volume III –Cost/Price, and Volume IV – Contract Documentation.

Failure to meet a requirement may result in a proposal being ineligible for award.

b. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the Offeror intends to meet the requirements. Offerors shall assume that the Government has no prior knowledge of the Offeror’s facilities and experience and will base its evaluation on the information presented in the Offeror's proposal.

c. The Offeror shall not submit elaborate brochures or documentation, binding, detailed art work, and other embellishments.

d. Section A of the solicitation specifies the proposal acceptance period. The Offeror shall make a clear statement in Section A and in the Contract Documentation volume that the proposal is valid for a minimum of 210 days from receipt.

e. Proposals are due no later than XX XXX 2015, 1500 CT. The Government requests early submission of Volume II – Past Performance on XX XXX 2015, 1500 CT, although the Offeror is not required to submit Volume II prior to the proposal due date. The Offeror shall either hand deliver or mail its proposal to the following address:

Late submittal will result in Offeror disqualification IAW FAR 15.208.

f. In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the Offeror requests otherwise, the Government will destroy extra copies of unsuccessful proposals.

g. Proposals shall not include any classified information.

h. Notice to Offeror(s): Funds are not presently available for this effort. No award will be made under this solicitation until funds are available. The Government reserves the right to cancel this solicitation, either before or after the closing date. In the event the Government cancels this solicitation, the Government has no obligation to reimburse an Offeror for any costs.

1.2. General Information:

1.2.1. Point of Contact

The Contracting Officer (CO), John Nalezny, email: john.nalezny@us.af.mil, phone (850) 883-0101 and the Contract Specialist, Leslie Bax, email: leslie.bax@us.af.mil, phone (850) 882-0175 are the sole points of contact for this acquisition. Address any questions or concerns you may have to the CO or the Contract Specialist.

1.2.2. Debriefings

The CO will promptly notify the Offerors of any decision to exclude them from the competitive range;

whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. Offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The CO will notify unsuccessful Offerors in the competitive range of the source selection decision in accordance with FAR

15.506. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

1.2.3. Discrepancies

If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the Contracting Officer in writing with supporting rationale as well as remedies the Offeror is asking the Contracting Officer to consider as related to the omission or error.

1.2.4. Discussions

The Government reserves the right to award without discussions; therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a price and technical standpoint. If the CO determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the CO may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals. If during the evaluation period it is determined to be in the best interest of the Government to hold discussions, Offeror responses to Evaluation Notices (ENs), and Final Proposal Revisions (FPRs) will be considered in making the source selection decision.

1.2.5. Electronic Reference Documents

1.2.6. Communications

The CO will control all exchanges of source selection information between the Government and Offerors. Exchanges with industry may be written and transmitted via encrypted e-mail, facsimile and/or U.S. Postal delivery; or oral with telephonic or face-to-face meetings.

1.2.7. Adequate Price Competition

The CO has determined there is a high probability of adequate price competition in this acquisition.

Upon examination of the initial offers, the CO will review this determination and if, in the CO's opinion, adequate price competition exists, certification under FAR 15.406-2 will not be required.

However, if at any time during this competition the CO determines that adequate price competition does not exist, Offerors may be required to submit information to the extent necessary for the CO to determine the reasonableness of the Cost/Price.

1.3. Organization/Number of Copies/Page Limits

The Offeror shall prepare the proposal in accordance with the Proposal Organization Table (Table L1 below). The titles and contents of the volumes shall be consistent with the Volume Titles and Page Limits specified in Table L1. The contents of each proposal volume are described in the Instructions to Offerors (ITO) paragraph as noted in the table below:

* A maximum of five fold out pages, with a maximum size per page of 11 inches by 17 inches, are authorized and included in the page count. The page count excludes resumes and completed Major Subcontractor/Joint Venture Partner Consent Forms.

** Offerors are encouraged to limit Cost/Price Proposal pages unless the Offeror determines this limitation would preclude compliance with the cost proposal instructions of the Request for Proposal (RFP). NOTE: Offerors are cautioned that submission of more data than required by the cost proposal instructions, Public Law, and/or FAR may hinder the evaluation of the cost proposal.

1.3.1. Page Limitations

Page limitations are maximums. Those pages in excess of the limit will be removed starting from the back of the proposal volume and will be destroyed by the CO to ensure that they are not evaluated. A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, the sheet counts as two pages. All pages count towards the maximum page limitation except the cover pages, tables of contents, tabs, dividers, blank pages, glossaries, list of table and drawings, acronym list, cross reference matrix, small business subcontracting plan, organizational conflict of interest mitigation plan, resumes and completed Major Subcontractor/Joint Venture Partner Consent Forms. All ENs will specify the page limitation for the Offeror’s EN response.

1.3.2. Page Size and Format

Page size shall be 8.5 x 11 inches, not including foldouts. Narrative responses shall be typed with 1.5 line spacing. Font type shall be Arial and the type size for the text shall be no smaller than 11 point with proportional spacing permitted. Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Margins on all four sides of each sheet shall be at least one inch. Pages shall be numbered sequentially by volume. These page format restrictions shall also apply to EN responses.

Offerors shall not alter the format or page size of Government provided forms that call for Offeror responses on the forms themselves (e.g. the Section L attachments). Offeror’s responses submitted on Government-provided forms are not otherwise subject to these restrictions.

Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated and legible. Foldout pages shall fold entirely within the volume, contain data on one side, and count as a single page. Foldout pages may only be used for large tables, charts, graphs, diagrams and schematics;

not for pages of text. For tables, charts, graphs and figures, the text shall be no smaller than five point.

1.3.3. Cross-Referencing

Offerors shall write each volume on a stand-alone basis, meaning the Government must be able to evaluate each volume without having to cross reference to other volumes of the proposal. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal. Cross referencing within a proposal volume is permitted where its use would conserve space without impairing clarity. The Offeror shall provide a solicitation cross reference matrix indicating, by ITO or PWS paragraph number, the corresponding proposal paragraph in that section that addresses the referenced item.

1.3.4. Indexing

Each volume shall contain a more detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections.

1.3.5. Glossary of Abbreviations and Acronyms

Each volume shall contain a glossary of all abbreviations and acronyms used within the volume.

Glossaries do not count against any page limitations.

Each proposal volume shall reside in a separate three-ring loose leaf binder that enables the volume to lie flat when open. The Offeror shall not use staples. Each volume shall contain a cover sheet that clearly identifies the volume number, title, copy number, solicitation identification and the Offeror’s name. The Offeror shall apply all appropriate markings including those prescribed in FAR 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information. The Offeror shall designate one copy of each numbered volume as the official version. The Offeror shall mark the binder of each official version, and the coversheet within the binder, with the word “Official.” The Offeror shall also sign the model contract within the official version of Volume IV. The signed model contract becomes the official contract copy if the Offeror receives the contract award.

1.3.7. Electronic Copies

The Offeror shall submit three electronic copies of the proposal. The electronic copies shall reside on separate CDs (one CD per proposal copy; three CDs total). Each Volume and any Volume attachments within a CD shall be their own file. Offerors shall indicate on each CD file the volume number and title contained in the file. The contents and page size of electronic Volumes must be identical to those of the paper copies. If files are compressed, the necessary decompression program must be included. The electronic copies of the proposal shall be submitted in a format readable by Microsoft (MS) Office Word 97-2003 or 2010, MS Office Excel 97-2003 or 2010, MS Office Project 97-2003 or 2010, and MS Office Power Point 97-2003 or 2010, as applicable. If any discrepancies exist between the paper copies and the electronic copies of the proposal, the paper copies will control. Do not embed files into the proposal documents. Embedded files will not be evaluated.

NOTE: Do not submit on flash drive media; all content must be READ ONLY.

2.0. Volume I – Mission Capability/Mission Capability Risk Volume

2.1. General

The Offeror shall make sure the Mission Capability/Mission Capability Risk Volume is specific and complete. Legibility, clarity and coherence are very important. Using the instructions provided below, provide as specifically as possible the actual methodology you would use for accomplishing/satisfying the subfactors identified below. All the requirements specified in the solicitation are mandatory. By your proposal submission, you are representing that your firm will perform all the requirements specified in the solicitation. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation. It is the Offeror’s responsibility to ensure the completeness of its proposal. The Government does not assume that an Offeror possesses any capability that the Offeror fails to identify in its proposal.

2.2. Format

The Mission Capability/Mission Capability Risk Volume shall, at a minimum, contain the information specified below IAW the following general outline:

b. List(s) of tables and drawings

c. Glossary

d. Cross Reference Matrix

e. Short Introduction and Summary

f. Subfactor 1: Technical Approach/Technical Approach Risk

2.3. Short Introduction and Summary

This proposal section shall contain an overview of the Offeror’s general approach to performing the Performance Work Statement (PWS) requirements.

2.4. Subfactor 1: Technical Approach/Technical Approach Risk

This proposal section shall provide the Offeror’s technical approach to performing the full range of E-OMS mission requirements.

Offerors shall specifically provide the following:

a. The Offeror’s approach to operating and maintaining the 96TW’s technical and industrial infrastructure to ensure that the Offeror performs the requirements in the

PWS.

b. The Offeror’s analysis of the risks uniquely associated with performing the PWS and the Offeror’s plan to mitigate these risks. The Offeror shall segregate its risk analyses and mitigation plans by PWS Major Mission Area (General Support Services, Range Support Services, Range Instrumentation Systems, Explosive Test Facilities and Major Ground Test Facilities (MGTF)).

c. The Offeror’s configuration management and systems engineering approach, including an analysis of the processes, technologies, and resources required to support the life cycle of equipment and systems ranging from Commercial Off The Shelf (COTS) to specialized to unique to a test range or facility, including an assessment of the risks uniquely associated with this approach and the Offeror’s plan to mitigate these risks.

d. The Offeror’s technical approach to accomplish all PWS requirements. The Offeror shall reference the Government Staffing Estimate (GSE) (Section L Attachment 1) and explain the benefits, risks, and risk mitigation plan (if any) associated with the Offeror’s proposed variations from the GSE. The Offeror’s technical approach shall not increase, reduce or otherwise alter the positions in Section B of the GSE. The positions in Section B of the GSE are the positions identified in clause B01 Contract Type: Cost- Plus-Fixed-Fee (MAY 2015) and in Section J, Attachment 1.

e. The Offeror’s specific technical approach to accomplish PWS Section 4.5 – Major Ground Test Facilities to include the Offeror’s specific strategy, processes, and plans for filling each of the contract’s most highly specialized positions no later than the final day of the transition period and whenever a vacancy occurs during the life of the contract.

f. If the Offeror’s approach to fill one or more of the most highly specialized positions in

(e) above is with non-incumbent personnel, then the Offeror shall provide: (1) a resume detailing each individual’s qualifications for the position(s); (2) each individual’s prior and current security clearance information; (3) Any other personal information that will assure the Government that the proposed individual(s) would be eligible to obtain the security clearances necessary to qualify for the position(s).

g. The Offeror’s existing internal programs and policies that promote a culture of continuous improvement and the results of the programs and policies. Continuous improvement includes, but is not limited to, operational efficiencies, enhanced relevancy, a reduced reliance on Direct Budget Authority (DBA) funding, and innovation.

h. The Offeror’s specific ideas and plans for providing a significant and lasting benefit to the E-OMS Program through continuous improvement, including an assessment of any risks uniquely associated with these specific ideas and plans and the Offeror’s plan to mitigate these risks

i. The Offeror’s responses to Part 1 and Part 2 of the Continuous Improvement Scenario (Section L Attachment 2).

j. A detailed description of the management information system/data service center (hereafter referred to as data service center) that the Offeror will use to track costs, maintenance, and property, and facilitate time keeping and logistics. The description shall identify whether the data service center system has the technical security rigor, compatibility, and flexibility to be accredited or certified to operate within the DoD Global Information Grid NIPRNet accreditation boundary as of day one of the Transition period. The Offeror shall describe how the data service center complies with Information Assurance/Cybersecurity regulations and/or publications to effectively protect the Security and Privacy Controls for Federal Information Systems, to also include End Point Security, Communications Security (COMSEC) Operations, and Protection of Personal Identity Verification (PIV) of Federal Employees and Contractors. If the Offeror’s proposed data service center is designed to operate external to the DoD Global Information Grid NIPRNet accreditation boundary then the description shall include a full and detailed technical explanation of their Information Assurance/ Cybersecurity Program. The Offeror should clearly describe how all transmission integrity, security controls, and operation environments meet the security

Page L-10 rigor of NIST 800-53 Security and Privacy Controls for Federal Information Systems and Organizations and NIST FIPS 201-2 Personal Identity Verification (PIV) of Federal Employees and Contractors. The Offeror’s system operations shall be compatible with existing Government desktop systems and implementation shall not create unintended expenditures for the supported Government activities. The Offeror’s system operation must have a cross domain solution to transfer information that is meets local and higher headquarters cybersecurity requirements. The Offeror must include a description of the operation’s physical environment and physical security, to include mechanisms involved in securing hardware, firmware, and software assets and resources that store and process sensitive unclassified data for effectively managing and securely controlling a remote centralized database data service center. The Offeror shall include an assessment of the risks uniquely associated with this operation and the plan to mitigate these risks.

2.5. Subfactor 2: Management Approach/Management Approach Risk

a. The Offeror’s proposed organizational structure, including resumes for the proposed General Manager of the contract and for any positions responsible for managing one or more PWS Major Mission Area (General Support Services, Range Support Services, Range Instrumentation Systems, Explosive Test Facilities and Major Ground Test Facilities (MGTF)).

b. The Offeror’s approach to managing the diverse workforce necessary to meet all PWS requirements, including an assessment of the risks uniquely associated with this approach and the Offeror’s plan to mitigate these risks.

c. A staffing plan addressing how the Offeror will recruit, hire, train and retain personnel to accomplish all PWS requirements. The plan shall include the strategy, processes, or plans when vacancies occur during contract execution, to either rapidly identify and hire qualified personnel to fill the vacancies or to cross-utilize qualified personnel to eliminate the vacant positions. The plan shall include the Offeror’s strategy, processes, or plans to backfill unexpected, short-notice vacancies that may impact the success of a test mission. The plan shall include the Offeror’s understanding of the risks uniquely associated with the staffing strategy, processes, or plans and the Offeror’s plan to mitigate these risks.

2.6. Subfactor 3: Transition/Transition Risk

Offerors shall fully describe their ability to seamlessly transition resources and personnel onto this contract and to ensure full continuity of mission support during and immediately after the transition period.

a. The Offeror’s general approach for providing, during transition, qualified staff to fill 100% of the Offeror’s proposed Cost Plus Award Fee (CPAF) positions. Include an assessment of the risks associated with this approach and the Offeror’s plan to mitigate these risks.

b. The Offeror’s specific strategy, processes, and approach for filling 100% of the positions identified in clause B01 Contract Type: Cost-Plus-Fixed-Fee (MAY 2015) during transition. Include the Offeror’s process for pursuing and hiring personnel currently working for incumbent contractors or subcontractors in the identified MGTF, or in the alternative, for subcontracting with the firms currently employing personnel in the identified MGTF. Also include the specific strategy, processes and approach for filling the highly specialized positions if one or more of the incumbent personnel choose not to exercise their right of first refusal of employment (as established in clause H09 of this contract) and the firm(s) currently employing the individual(s) is/are unwilling to become the Offeror’s subcontractor.

3.0. Volume II – Past Performance Information Volume

3.1. Format

3.2. Early Proposal Information

Each Offeror is requested to submit the Past Performance Information Volume on XX XXX 2015.

Failure to submit early proposal information will not result in Offeror disqualification.

3.3. Summary

The Government desires recent and relevant past performance information (PPI) for the Offeror, for its major subcontractors, and if the Offeror is a joint venture, then for each joint venture partner IAW Section L, Para 3.3.1. For a description of the characteristics and aspects that the Government will consider in determining recency and relevancy, see Section M, paragraphs 5.1.1. and 5.1.2.

3.3.1. Past Performance Information (PPI)

PPI is information regarding the performance of a contract, either as a prime contractor, a major subcontractor, or a joint venture partner. Offerors shall submit PPI on recent and relevant contracts for itself as the prime contractor and for all major subcontractors. A major subcontractor is defined as a subcontractor performing 25% or more of the contract scope based on either total labor hours or total cost. If an Offeror is a joint venture, then the Offeror shall also submit PPI on recent and relevant contracts for each joint venture partner.

Offerors may submit PPI on up to three recent and relevant contracts for itself as the prime contractor.

Offerors may also submit PPI on up to three recent and relevant contracts for each major subcontractor.

If the Offeror is a joint venture, the Offeror may submit PPI on up to three recent and relevant contracts for each joint venture partner in addition to submitting up to three recent and relevant contracts for each major subcontractor. Offerors are cautioned that the Government will use information provided by each Offeror in this volume and information obtained from other sources in the evaluation of past performance.

3.3.2. Past Performance Submission

Offerors shall submit PPI via the PPI Tool, the Relevancy Matrix, the Consent Letters, and the List of Questionnaire Recipients. Offerors shall download the PPI Tool from the E-OMS RFP posting to Federal Business Opportunities (FBO) at https.www.fbo.gov. The Offeror shall return the PPI tool response on a CD-ROM. Instructions on how to download the tool are contained in Section L Attachment 3. Offerors shall provide hard copies of the pages generated from this tool as part of their past performance volume. Offerors shall save the PPI database file as Offeror Name – Volume Name (PPI) -EOMS.mdb (e.g., ABC Company – Past Performance Volume (PPI) – EOMS.mdb) to submit as part of the electronic copy of the past performance volume. Once complete, PPI sheets and past

Page L-13 performance questionnaires (PPQs) will be treated as source selection information in accordance with FAR Part 3.104.

PPI concerning major subcontractors and joint venture partners cannot be disclosed without the major subcontractor’s/joint venture partner’s consent. Therefore, the Offeror shall submit a consent letter executed by each major subcontractor/joint venture partner authorizing release of past performance information to the Offeror, so the Offeror can respond to such information. The Major Subcontractor/Joint Venture Partner Consent Letter for the Release of Past Performance Information to the Prime Contractor is contained at Section L Attachment 5. If the major subcontractor/joint venture partner is unwilling to sign the Major Subcontractor/Joint Venture Partner Consent Letter, the Government will be unable to provide the prime contractor any past performance information or ratings regarding that major subcontractor/joint venture partner.

For prime contractors, Offerors shall send PPQs on each identified contract to the points of contact for that contract. If the contract was a Government effort, send to the Program Manager and Contracting Officer. Prime contractors will integrate major subcontractors’ and/or joint venture partners’ past performance information into their proposal submission. This questionnaire is contained at Section L Attachment 6. Provide a list of questionnaire recipients to include POCs and phone numbers.

3.3.3. Relevancy and Recency Determination

Offerors shall include in the PPI Tool under the Program Details Tab all information necessary for the Government to determine the recency and relevancy of the Offerors’ PPI.

3.3.4. Relevancy Matrix

The Offeror shall provide a completed relevancy matrix (see Section L Attachment 4). For each contract submitted for evaluation, the relevancy matrix shall not exceed five pages.

3.3.5. Performance Assessment

The Offeror’s past performance information shall clearly identify management actions employed in overcoming any performance problems and the effects of those actions in terms of improvements achieved or problems rectified.

3.4. Organizational Structure Change History

Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. To facilitate the Government’s relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts you identify.

Since the Government intends to consider past performance information provided by other sources as well as that provided by the Offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.

3.5. No Recent and Relevant Past Performance Information

If the Offeror, any joint venture partner, or any major subcontractor does not have any PPI on recent

Page L-14 and relevant contracts, then the Offeror shall state this fact in the Past Performance Information Volume. However, the Government reserves the right to determine whether any relevant past performance information exists for the Offeror, any major subcontractor, or any joint venture partner.

4.0. Volume III – Cost/Price Proposal Volume

4.1. General Instructions

The Offeror's Cost/Price proposal should fully and clearly demonstrate reasonableness, realism, balanced pricing as well as document the Total Evaluated Price (TEP). The Offeror's Cost/Price proposal shall document the contract and option periods.

4.2. Format

The Cost/Price proposal shall, at a minimum, contain the information specified below IAW the following general outline:

a. Section 1 - Index/table of contents; summary descriptions of estimating, purchasing, and accounting systems; any deviations to estimating, accounting practices, or Cost Accounting Standards (CAS) Disclosure Statement

b. Section 2 – Estimating methodology, cost/price information, and supporting data

c. Section 3 - Other information such as Government Furnished Property/Government

Furnished Equipment (GFP/GFE) or base support details. Offerors shall list each exception to the ground rules and assumptions provided in the solicitation and each qualification of the Cost/Price volume, if any, and provide complete rationale for any exceptions

4.3 Section 1

4.3.1. Index/Table of Contents

The Offeror shall provide an Index/table of contents.

4.3.2. Estimating System

The Offeror shall provide a summary description of their standard estimating system or methods. The summary description shall cover separately each major cost element (e.g., Labor, Indirect Costs, Other Direct Costs, Overhead, G&A, etc.). Also, identify any deviations from your standard estimating procedures in preparing this proposal volume. Indicate whether you have Government approval of your system and if so, provide evidence of such approval.

4.3.3. Purchasing System

The Offeror shall provide a summary description of purchasing system or methods (e.g., how material requirements are determined, how sources are selected, when firm quotes are obtained, what provisions are made to ensure quantity and other discounts). Also, identify any deviations from standard procedures in preparing this proposal volume. Indicate whether or not you have Government approval of your purchasing system and if so, provide evidence of such approval.

4.3.4. Accounting System

A Government approved accounting system is required. Indicate whether you have Government approval of your accounting system and if so, provide evidence of such approval. Also, identify any

Page L-15 deviations from standard procedures in preparing this proposal volume. This information will be part of the basis of the Contractor Responsibility Determination.

4.3.5. Disclosure Statements

The Offeror shall provide a copy of the most recent approved CAS Disclosure Statement, if applicable.

Additionally, the Offeror shall provide a copy of the cognizant Federal agency official’s written determination regarding adequacy of the provided (and proposed in accordance with) Disclosure Statement in accordance with FAR 30.202-6.

4.4. Section 2

4.4.1. Estimating Methodology

Explain the methodology used to estimate each cost element. As a minimum, provide the following information for each cost element. If a portion of the required information is not applicable for a particular cost element, so state.

4.4.1.1. Past Experience

Where your cost estimates are based upon past experience, identify the past experience, explain how the past experience relates to the current effort, including similarities and differences, and how cost data available from the past experiences was adapted to the current effort.

4.4.1.2. Labor Hour Skill Mix

Explain how the proposed labor hour skill mix has been derived.

4.4.2. Cost/Price Information

The Cost/Price evaluation will be conducted on the basis of the information contained in the Cost/Price Proposal Volume. Information beyond that required by this instruction shall not be submitted, unless you consider it essential to document or support your Cost/Price position. All information relating to the proposed Cost/Price including all required supporting documentation must be included in the section of the proposal designated as the Cost/Price volume. Failure to comply with this instruction may result in proposal rejection.

4.4.2.1. Ground Rules and Assumptions

The Offeror shall provide Ground Rules and Assumptions used in preparing the Cost/Price Proposal.

4.4.2.2. Price Reasonableness and Cost Realism

These instructions are to assist you in submitting data other than cost or pricing data that is required to evaluate the reasonableness and realism of your proposed Cost/Price. Compliance with these instructions is mandatory and failure to comply may result in rejection of your proposal. Unbalanced pricing that poses an unacceptable risk to the Government may be a reason to reject an Offeror’s proposal. Note that unrealistically low or high proposed costs or prices, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the Offeror does not understand the requirement or has made an unrealistic proposal. The Offeror’s proposal should be sufficiently detailed to demonstrate their reasonableness and realism. To facilitate the evaluation of proposal information as outlined in Section M of this solicitation, information may be obtained from other sources including, but not limited to, Defense Contract Management Agency (DCMA), Defense Contract Audit Agency (DCAA), U.S. Department of Labor, Global Insight Indices and any other

Page L-16 resource available to the Government. The burden of proof for credibility of proposed costs/prices rests with the Offeror. The Government will evaluate the Offeror's Cost/Price proposal for realism using one or more of the techniques defined in FAR 15.404-1. Cost realism analysis will consist of independently reviewing and evaluating specific elements of each Offeror's proposed cost estimate to determine whether the estimated proposed cost elements are realistic for the work to be performed;

reflect a clear understanding of the requirements; and are consistent with the unique methods of performance and materials described in the Offeror's technical proposal in accordance with FAR 15.404-1(d)(1). A Most Probable Cost (MPC) may be assessed. The MPC reflects the Government's best estimate of the cost of any contract that is most likely to result from the Offeror's proposal. The MPC is determined by adjusting the Offeror's proposed cost (including fee adjustment) to reflect any additions or reductions in cost elements to realistic levels based on the result of the realism analysis.

4.4.2.3. Materially Unbalanced Pricing

Materially unbalanced pricing poses an unacceptable risk to the Government and may be a reason to reject an Offeror’s proposal. Materially unbalanced pricing exists when, despite an acceptable TEP, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. Offeror should explain significant fluctuations between offered rates in the same labor categories over various years.

4.4.2.4. Data Other Than Certified Cost or Pricing Data and Certified Cost or Pricing Data In accordance with FAR 15.403-1(b) and 15.403-3, additional data other than certified cost or pricing data may be required to support Cost/Price reasonableness and realism. Should adequate price competition not exist after receipt of proposals, the provisions of FAR Part 15.403-4 shall apply, and the Offeror will be asked to provide certified cost or pricing data.

4.4.2.5. Cost Summaries

Provide a Cost Summary by major cost elements using Section L Attachment 8 as a guide (this can be tailored to reflect cost estimating relationships and different cost elements). All costs proposed must be discretely identified by CLIN, Contract Year and PWS Major Mission Area. The dollar values for the MGTF (excluding Fixed Fee), Contractor Acquired Property (CAP), Travel, Overtime, and Directive Manning CLINs will be provided by the Government. The Offeror shall not deviate from the Government provided values, therefore no Cost Summaries are required for these CLINs. These are Cost Reimbursement CLINs only (no fee).

Direct Labor: Labor categories should not be combined into composite categories. All labor proposed must be discretely identified by category, rate, and year utilized. Under no circumstances will composite labor rates or categories be accepted.

Indirect Costs: All indirect costs shall be proposed by category, by year with their bases and rates of calculation shown.

Subcontractor/Inter-divisional transfers: Estimates shall be submitted using the same formats and degree of rational as those submitted by the Offeror.

Base Fee: No base fee is allowed.

Award Fee Pool (Eglin Range, NRTF, USATR O&M): The award fee pool minimum is 2% of direct labor, labor overhead, and general and administrative (G&A) expenses. Offeror's shall propose at least the minimum award fee pool of 2% or higher. Do not propose under the 2% minimum. Failure to comply with this instruction may result in proposal rejection.

Fixed Fee (MGTF): The Offeror shall propose a fixed fee as a percentage of the CPFF labor CLIN.

The statutory fee limitation on the CPFF CLINs is 10%.

4.4.2.6. Basis of Estimates

The Offeror shall prepare a Basis of Estimate (BOE) for all Cost Plus Award Fee (CPAF) CLINs. The BOEs are to provide sufficient information for the Government to evaluate the proposal. Proper presentation, adequate supporting documentation, estimating ground rules and assumptions, methodologies, constraints, and sufficient relevant information shall be provided to enable the Government to understand all assumptions behind the Offeror’s proposal. At a minimum, the major categories listed below must be fully explained in the BOEs:

Labor — The Offeror shall identify whether the labor rates proposed are Forward Pricing Rate Agreement (FPRA), Administrative Contracting Officer (ACO)/DCAA recommended rates or Offeror proposed rates. If the proposed skill category will be provided solely by subcontracted effort, the subcontractor rate information may be provided directly to the Government or by sealed package through the prime contractor. Labor costs shall track to the applicable Cost Summary Format.

Interdivisional Efforts (IDE): The Offeror must identify the division and description of the effort and provide details using the Cost Summary Format (attach relevant pricing agreements, FPRA, etc).

Identify the elements of cost that IDEs fall under in the cost proposal format (e.g., material, other direct costs, etc.).

4.4.3. Supporting Data

The Offeror shall provide the following supporting data in the Cost/Price Proposal.

4.4.3.1. Compensation and Benefits Plan

Offerors shall provide details on employee compensation and benefits to ensure that a qualified and capable workforce will be available to perform work on the contract. Supporting information will include data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations, used in establishing the total compensation structure. Offerors are advised that proposing substantial reductions to current employee compensation packages shall reflect a lack of understanding of what is required to recruit and retain skilled personnel required to perform the effort [Ref. FAR Provision 52.222-46 Evaluation of Compensation for Professional Employees].

4.4.3.2. Financial Capability Review

Offerors shall submit the address, phone number, and point of contact of their cognizant DCMA and DCAA offices. This information is necessary in order for the Government to potentially request a Financial Capability Review. Offerors with current (within one year) Financial Capability Reviews shall provide a copy with their proposal. Offerors shall have the financial resources necessary to perform the contract and be able to provide evidence of such, if requested.

4.4.3.3. Total Evaluated Price (TEP)

The Offeror shall complete Section L Attachment 9. The Government will use Section L Attachment 9 to calculate the Offeror’s TEP.

4.4.3.4. Submission of Electronic Pricing Models

Offerors shall submit electronic pricing models in support of all of their proposed costs/prices. All pricing models submitted must duplicate the logic and mathematical formulas reflected within the paper copies of the proposal. The electronic copies of the proposal shall be submitted in a format readable by Microsoft (MS) Office Word 97-2003 or 2010, MS Office Excel 97-2003 or 2010, MS Office Project 97-2003 or 2010, and MS Office Power Point 97-2003 or 2010, as applicable. The Offeror shall not password protect the pricing model.

Any updates, amendments, or modifications to the cost proposal originally submitted will be in the same media format and will include, or be accomplished by, a clear, concise explanation of such changes significant to the proposal. Changes to the original proposal shall only be provided when the Offeror is directed to do so by the CO.

4.4.3.5. Labor Hours

The Government Staffing Estimate is provided for information only and is intended to serve as a baseline of full-time equivalents (FTE) required to operate and maintain each capability described in the associated PWS paragraphs. The FTE numbers are the Government subject matter experts’ estimate of the requirement to operate and maintain each capability as if they were under a condition of 100% utilization. The estimates do not consider cross-utilization, reach-back, part-time manning, etc.

4.5. Section 3

4.5.1. Government Furnished Property (GFP)

The Government plans to provide the items listed in the RFP, Section J Attachment 9. If the Offeror requires the use of GFP (including vehicles and facilities) other than the property specified, the Offeror shall provide a listing including quantity, federal stock number, nomenclature, date needed and duration of availability, estimated fair rental value (IAW FAR clause 52.245-1), reason for need, and cross reference to Cost/Price volume paragraphs which pertain to GFP and/or base support. The Offeror shall also provide the written authorization from the cognizant Contracting Officer, as applicable. A statement from the Contracting Officer must also be included in the proposal indicating that such Government owned property will be available for the timely completion of performance under the ensuing contract on a non-interference basis, whether or not the proposal is based on “No Charge for Use.” The Offeror must also indicate whether or not the Offeror could perform the work in the event that the use of such GFP is not authorized or the contract authorizing the GFP is phased out.

If the Offeror proposes use of GFP under a Government contract, the usage will be limited IAW the terms and conditions of the contract, inclusive of any negotiated phased-out program. The Offeror is responsible for updating Section J Attachment 9, to reflect GFP requirements. Any additional GFP required by the Offeror should be labeled Contractor Specific GFP and should be indicated in bold font. Any GFP not required by the Offeror should be deleted and annotated. The Offeror shall supply this information in the format shown below in Table L2 GFP. All of the cost added to the table L2 below must be added to Section L Attachment 9, Total Evaluated Price.

5.1. Solicitation Requirements, Terms and Conditions

The purpose of this volume is to provide information to the Government for preparing the contract document and supporting file. The Offeror's proposal shall include a signed copy of the Model Contract, as well as a digital copy of the Model Contract (to include clause fill-ins), Sections A through K. This includes:

5.1.1. Section A - Solicitation/Contract Form

Offerors shall complete blocks 13, 14, 15, 16, 17 and 18 of the RFP Section A, Standard Form 33.
