About this file
This document is Exhibit C of a Health and Human Services (HHS) contract establishing Additional Provisions for contractors working with the Texas Health and Human Services Commission (HHSC). The exhibit outlines six primary contractual requirements effective November 7, 2019. Contractors are granted a limited, non-exclusive, royalty-free, non-assignable, and non-transferable license to use HHSC trademarks on published materials related to contract performance, provided they comply with all contract provisions, adhere to HHSC's Brand Guide quality standards, refrain from challenging HHSC's trademark rights, and properly mark trademarks with appropriate symbols and language. Contractors must acknowledge that all trademarks remain the exclusive property of HHSC, with all associated goodwill inuring solely to HHSC.
The Additional Provisions establish mandatory notification requirements for contractors in four critical areas. Contractors must notify their assigned HHSC contract manager at least ten calendar days before implementing any discount on final contract costs, with HHSC subsequently issuing a revised Purchase Order. Contractors must immediately report any criminal activity equal to or greater than a Class A misdemeanor or disciplinary actions involving the contractor, owners, controlling interests, agents, employees, subcontractors, or volunteers, and must prohibit any individuals engaged in such activities from providing direct client services unless otherwise authorized in writing. Contractors must notify HHSC within five days of becoming aware of any insolvency, incapacity, or unpaid obligations owed to the Internal Revenue Service or the State of Texas and its agencies. Additionally, contractors must notify HHSC within five days of any license action impacting their ability to provide services, including the reason for action, responsible agency contact information, action date, and license or case reference number.
