About this file

This is a HUB Subcontracting Plan (HSP) instructional guide document issued by the Texas Workforce Commission for respondents bidding on state contracts with subcontracting opportunities. The document provides comprehensive instructions for completing the required HSP form in accordance with Texas Government Code 2161.252 and Texas Administrative Code 34 TAC 20.285. The guide outlines four distinct scenarios for respondents: those awarding all subcontracting work to Texas certified Historically Underutilized Businesses (HUBs), those combining HUB and non-HUB vendors while meeting the HUB goal, those not meeting the HUB goal, and those self-performing the entire contract with their own resources. All respondents, including certified HUBs, must submit a completed HSP with their bid response to be considered responsive. The document applies to the Security Guard Services contract opportunity in Texas.

The HSP requires respondents to identify their subcontracting intentions by listing all portions of work to be subcontracted with corresponding percentages allocated to HUB and non-HUB vendors. Respondents must demonstrate good faith effort in utilizing Texas certified HUBs by meeting or exceeding the statewide HUB goal or the agency-specific HUB goal, whichever is higher. Those using Method A must identify specific HUBs they will subcontract with, while those using Method B must provide written notification to at least three Texas certified HUBs and two or more trade organizations or development centers at least seven working days prior to submitting their bid. If awarded, respondents must notify all selected subcontractors within ten working days and submit monthly Progress Assessment Reports (PAR) to TWCHUBInfo@twc.texas.gov by the fifth of each month as a condition of payment. Any modifications to the HSP require prior written approval from the contracting agency, and failure to comply may result in enforcement remedies up to and including debarment from state contracting.

CHOOSE A GOOD FAITH METHOD

HUB Subcontracting Plan (HSP)

In accordance with Texas Gov’t Code §2161.252, the contracting agency has determined that subcontracting opportunities are probable under this contract. Therefore, all respondents, including State of Texas certified Historically Underutilized Businesses (HUBs) must complete and submit this State of Texas HUB Subcontracting Plan (HSP) with their response to the bid requisition (solicitation).

NOTE: When a state agency requires a subcontracting plan, a bid, proposal, offer, or other applicable expression of interest for the contract must contain a plan to be considered responsive.

The HUB Program promotes equal business opportunities for economically disadvantaged persons to contract with the State of Texas.

- - Agency Special Instructions/Additional Requirements - -

In accordance with 34 TAC §20.285(a)(4)(d), a respondent (prime contractor) may demonstrate good faith effort to utilize Texas certified HUBs for its subcontracting opportunities if the total value of the respondent’s subcontracts with Texas certified HUBs meets or exceeds the statewide HUB goal or the agency specific HUB goal, whichever is higher. When a respondent uses this method to demonstrate good faith effort, the respondent must identify the HUBs with which it will subcontract. If using existing contracts with Texas certified HUBs to satisfy this requirement, only the aggregate percentage of the contracts expected to be subcontracted to HUBs shall qualify for meeting the HUB goal.

All subcontractors must comply with Texas Government Code § 572.069; which states the “revolving door” would prohibit a former employee of a state agency from providing certain services.”

The HUB Goal for this solicitation is % percent for all other services contracts.

The following are NIGP Class/Item Code numbers for some possible subcontracting trades:

And there may be others depending on bidder's internal resources.

Respondents using Method B must provide notice to three (3) or more Texas certified HUB's for each craft. Additionally, two (2) or more trade organizations or development centers in Texas who assist in identifying potential HUB's must also be notified. These notification must be done at least seven (7) working days prior to submitting your bid response to the contracting agency to allow time for the potential subcontractor to respond. The email logs should be submitted with the HSP paperwork as documentation. The awarded vendor will be required to submit monthly Progress Assessment Reports (PAR's).

(Continuation Sheet)

SECTION 3: SELF PERFORMING JUSTIFICATION (If you responded “No” to SECTION 2, Item a, you must complete this SECTION and continue to SECTION 4.) If you responded “No” to SECTION 2, Item a, in the space provided below explain how your company will perform the entire contract with its own employees, supplies, materials and/or equipment. CHECK ONE BOX A proposer who indicates that their company will not be subcontracting any portion of the contract and will be fulfilling all aspects of the entire contract with their own resources, including their own equipment, supplies, materials/and/or employees, is defined as self-performing. Keep in mind that a pre-existing subcontracting relationship is still considered subcontracting, in such case one may not claim self-performance. A pre-existing subcontracting business relationship is an affiliation your company has with third party vendors(s) who are currently supplying your company with good/services and will continue to supply those resources to assist in the performance of contracts.

The definition of a subcontractor is very broad and applies to any third-party vendor used to fulfill a portion of the contract. Agency definition of a subcontractor is “A person who contracts with a successful proposer, to work, to supply commodities or contributor toward completing work for Texas Workforce Commission.” If the successful proposer who is awarded the contract is paying anyone/or another entity who is not an employee to provide goods and/or services, they are subcontracting under definition. These include 1099 individuals, unlike your employees who receive W-2’s.

There is no provision within the RFP documents to provide an explanation as to how your company will self-perform all of the work contemplated; use this space to provide that explanation.

Note that it is highly unlikely that any company has the ability to self-perform all the work described in the documents

SECTION 4: AFFIRMATION

As evidenced by my signature below, I affirm that I am an authorized representative of the respondent listed in SECTION 1, and that the information and supporting documentation submitted with the HSP is true and correct. Respondent understands and agrees that, if awarded any portion of the requisition:

• The respondent will provide notice as soon as practical to all the subcontractors (HUBs and Non-HUBs) of their selection as a subcontractor for the awarded contract. The notice must specify at a minimum the contracting agency’s name and its point of contact for the contract, the contract award number, the subcontracting opportunity they (the subcontractor) will perform, the approximate dollar value of the subcontracting opportunity and the expected percentage of the total contract that the subcontracting opportunity represents. A copy of the notice required by this section must also be provided to the contracting agency’s point of contact for the contract no later than ten (10) working days after the contract is awarded.

The respondent must submit compliance reports (Prime Contractor Progress Assessment Report – PAR) to the contracting agency, verifying its compliance with the HSP, including the use of and expenditures made to its subcontractors (HUBs and Non-HUBs). (The PAR is available at https://comptroller.texas.gov/purchasing/docs/hub-forms/ProgressAssessmentReportForm.xls). PAR is required as a condition of payment, must be emailed to TWCHUBInfo@twc.texas.gov and is due by the 5th of the month

• The respondent must seek approval from the contracting agency prior to making any modifications to its HSP, including the hiring of additional or different subcontractors and the termination of a subcontractor the respondent identified in its HSP. If the HSP is modified without the contracting agency’s prior approval, respondent may be subject to any and all enforcement remedies available under the contract or otherwise available by law, up to and including debarment from all state contracting.

• The respondent must, upon request, allow the contracting agency to perform on-site reviews of the company’s headquarters and/or work-site where services are being performed and must provide documentation regarding staffing and other resources.
