Section L - Instructions, Conditions, and Notices to Offerors

L.1 GENERAL INFORMATION

L.1.1 General

L.1.1.1 This section of the Instructions to Offerors (ITO) provides general guidance for preparing proposals, as well as specific instructions on the format and content of the proposals.

The Government intends to award an Air Education and Training Command (AETC)-wide Base Operations Support (BOS) Multiple Award Contract (MAC) Indefinite Delivery, Indefinite Quantity (IDIQ) contract under this solicitation consisting of two Pools: Pool 1 - SB Set-aside and Pool 2 – 8(a) Set-aside. Pool 1 will be open to all SB categories and Pool 2 will be further set aside for requirements previously competed and awarded to 8(a) contractors. All Offerors shall complete the Choice of Competition Form at Section L, Attachment 7 by checking the box in the form with the preferred competition pool election, clearly indicating the competition pool in which they intend to compete for award. Only one contract will be awarded per offeror for the AETC BOS MAC IDIQ program.

The Offeror’s proposal must include all data and information requested for the corresponding competition pool and must be submitted in accordance with (IAW) these instructions. Any Offeror who submits an incomplete package may be considered ineligible for award. The proposal shall be compliant with the requirements as stated in the Performance Work Statement (PWS) and the entire Solicitation, including attachments. Upon award of the AETC BOS MAC IDIQ, awardees will be required to attend a MAC Post Award Conference. Awardees will then be provided a fair opportunity to compete for individual task orders, based on the Pool they were awarded a contract, and each task order will include price or cost as one of the factors in the selection decision. TO’s will be placed for BOS services at centralized and decentralized AETC Air Force Base (AFB) locations. The MAC ordering period will include a five-year Base Period and a five-year Option Period.

This acquisition is a small business (SB) Set-aside for North American industry Classification System (NAICS) code 561210 – Facilities Support Services, with a dollar size standard of $47 Million.

L.1.1.2 The Government will evaluate the information presented in the Offeror's submission.

The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. It is the Offeror’s responsibility to provide a submission that enables the Government to effectively evaluate the Offeror’s submission. The Offeror has the burden to provide a submission that demonstrates the Offeror has an accurate understanding of the requirements; the Offeror has viable solutions for the requirements; and the

Offeror is able to meet the requirements. The Offeror is reminded the Government reserves the right to award this effort based on the initial proposal, as received, without discussions.

L.1.1.3 The proposal should not simply rephrase or restate the Government's requirements, but rather provide convincing rationale to address how the Offeror intends to meet these requirements. Where appropriate, specific examples of an Offeror’s processes may be used to demonstrate how the Offeror will meet the Government’s requirement. Offerors shall assume the Government has no prior knowledge of the Offeror’s experience or capability and will base the Government’s evaluation on the information presented in the Offeror’s proposal. Statements that the Offeror will provide a particular feature or objective without explaining how the Offeror proposes to meet that feature or objective are generally inadequate and may adversely impact the Government’s evaluation of the Offeror. While not all inclusive, the following types of statements are also considered inadequate:

L.1.1.3.1 Unsupported statements that the Offeror allegedly understands the requirements.

L.1.1.3.2 Unsupported statements that the Offeror allegedly can or will comply with requirements.

L.1.1.3.3 Unsupported statements that simply paraphrase the requirements.

L.1.1.3.4 Undefined or unexplained statements such as “best commercial practices will be used.”

L.1.1.3.5 Undefined or unexplained statements such as “standard procedures will be used.”

L.1.1.3.6 Undefined or unexplained statements such as “well-known techniques will be employed.”

L.1.1.4 Offerors are strongly encouraged to carefully review all Government provided information and documents, to include, but not limited to submittal instructions (including attachments), the PWS, Section M – Evaluation Factors for Award and all Section L – Instructions, Conditions, and Notices to Offerors.

L.1.1.5 Elaborate brochures, documentation, binding, detailed artwork, pictures or other embellishments are unnecessary and not desired.

L.1.1.6 Minimum Proposal Acceptance Period. Offeror’s proposals must be valid for 365 Days from the proposal submittal due date specified in the Solicitation. The term “acceptance period,” as used in this Solicitation, means the time period available to the Government to award a contract from the date specified in this Solicitation for receipt of proposals.

L.1.1.7 IAW Federal Acquisition Regulation (FAR) Subpart 4.8, Government Contract Files, the Government will retain one copy of all proposals. All additional copies of proposals will be destroyed by the Government after contract award.

L.1.1.8 Proposals that address only a subset of the Solicitation may be deemed incomplete and ineligible for award.

L.1.1.9 Oral presentations will not be accepted.

L.1.1.10 If an Offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the Contracting Officer (CO) (identified in Table L.2) in writing with supporting rationale, to include the remedies the Offeror is requesting the CO consider as related to the omission or error.

L.1.1.11 A virtual Draft Pre-RFP Industry Day will be conducted in lieu of a site visit in which AETC’s A5, 338 ESS and functional base experts will provide an informational overview of the contract and program requirements followed by a last chance Q&A session for all interested contractors. L.3.2.1.1 Special Considerations for Joint Venture Prime Offerors: Per 13 C.F.R. § 125.8(e) when evaluating the capabilities, past performance, experience, business systems and certifications of an entity submitting an offer for a contract set aside or reserved for small business as a joint venture established pursuant to this section, a procuring activity must consider work done and qualifications held individually by each partner to the joint venture as well as any work done by the joint venture itself previously. A procuring activity may not require the protégé firm to individually meet the same evaluation or responsibility criteria as that required of other offerors generally. The partners to the joint venture in the aggregate must demonstrate the past performance, experience, business systems and certifications necessary to perform the contract.

L.3.2.1.2 The Past Performance Volume shall be organized according to the following outline:

a) Table of Contents

b) Summary Page

c) Past Performance Information Worksheets, Sec L, Attachment 1 and//or 2, (Does not count towards the 30 Page Limitation)

d) Specific Content

a. Problems/Issues

b. Organizational Structure Change History

e) Glossary

L.3.2.1.3 Volume II - Past Performance shall contain a detailed table of contents to delineate the subparagraphs within that volume.

L.3.2.1.4 Past Performance Information (PPI) Worksheets (Section L, Attachment 1 and/or 2).

The information contained in the PPI worksheets provide the Offeror’s proposed Past Performance contracts, the Offeror’s relevancy determination, and the Offeror’s comments on performance issues, if any. The Offeror shall provide a maximum of six (6) PPI worksheets. The contracts on the PPI worksheets must be contracts specific to the prime offeror, their affiliate(s), joint ventures, mentors, protégé, partners, subcontractor(s), etc. that are performing meaningful work to achieve successful performance. Contracts may include federal, state, and local Government and commercial customers. Each PPI worksheet must cover recent and relevant performance consistent with the definitions in Section L, paragraphs L.3.2.2.1 and L.3.2.2.2. The PPI worksheets shall be submitted within Volume II – Past Performance by the due date specified in paragraph L.2.3.2. The length of each PPI worksheet submission is limited to no more than seven (7) pages. PPI worksheets do not count against the page limitation (30 pages) for Volume II - Past Performance.

L.3.2.1.5 Past Performance Questionnaire (PPQ) (Section L, Attachment 3 and/or 4). The PPQ will only be allowable in the event a CPARS is not available for a PPI submission. If applicable, the information contained in the PPQ will be used as part of the evaluation of the Offeror’s past performance. Each Offeror may provide PPQs for each of the six (6), recent and relevant contracts provided on the PPI worksheets provided IAW Section L, paragraph L.3.2.1.5. The Offeror(s) shall complete Section 1 and forward the PPQs to the POC responsible for monitoring contract performance. The responsibility to send out and ensure Government receipt of the PPQs rests solely with the Offeror. The Offeror shall exert its best effort to ensure that a current POC, per relevant contract, submits a completed PPQ directly to the Government not later than the required due date. The contract POCs shall return the questionnaires via email DIRECTLY to the points of contact listed in Table L.2, Distribution/Contact Information, no later than the due date for Volume II – Past Performance specified in paragraph L.2.3.2. Any questionnaires not returned directly to the Government POCs, or received after the due date, will not be reviewed or evaluated.

L.3.2.1.6 The evaluation will be based on the Offeror’s/subcontractor’s/teaming partner’s/joint venture firms, or affiliate’s past performance and NOT on specific individuals. DO NOT submit past performance on specific individuals such as Key Personnel.

L.3.2.1.7 Ordering-Type Contract Submissions: Performance is demonstrated at the Task Order (TO) level for ordering type contractual vehicles (for example, an Indefinite-Deliver Indefinite Quantity type contract per FAR Subpart 16.5). Therefore, the Offeror shall submit the individual TO for evaluation, not the basic ordering contract vehicle itself. The Government will use the information submitted for each TO to evaluate the effort(s’)’s recency, relevancy, and quality of performance. Additionally, the Offeror shall provide the total dollar value obligated and total period of performance for each TO and annotate if the CPARS is done at the Master Contract or TO level. An appendix may be attached to the PPI to list the TO numbers, ordering vehicle number, total dollar value and period of performance as required. This appendix will not count against the PPI page count.

L.3.2.2.1. Recency Definition. To be recent, at least 12 months of the effort’s period of performance must have been performed during the past five (5) years from the date of issuance of this Solicitation.

L.3.2.2.2. Relevancy Definition. Relevancy, as it pertains to past performance information, is a measure of the extent of similarity between the service/support effort (scope), complexity, dollar value (magnitude); and a measure of the likelihood that the past performance is an indicator of future performance. In determining relevancy, the Government will consider the role in the effort accomplished by the prime offeror, their affiliate(s), joint ventures, mentors, protégé, partners, subcontractor(s) etc. on previous/current contracts compared to this solicitation. The Government anticipates that the combination of contracts would cover all the Primary Evaluation Areas identified in Table M.4 and M.5 respectively. Relevancy is being determined based on PWS Section/Primary Evaluation Areas, not the requirement as a whole, and is further defined in Section M, paragraph M.3.2.2 and Table M.3. The Government is not bound by the Offeror’s opinion of relevancy.

L.3.2.3 Specific Content.

L.3.2.3.1 Problems/Issues: If problems were encountered during the performance of the identified contracts, provide evidence of the ability to isolate the root causes of problems and include in the Past Performance volume a description of programs or actions taken to resolve those causes. Note: In the case of Contractor Performance Assessment Report System (CPARS), if your input has already been provided and the rationale/circumstances have not changed, DO NOT repeat them here.

L.3.2.3.2 Organization Structure Change History: Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include with the proposal past performance volume a “roadmap” describing all such changes in the organization of your company. As part of this explanation, describe how these changes impacted the relevance of any efforts you identify.
