About this file
This is a Purchase Order Agreement template for the State of Maryland, Department of General Services (DGS), establishing the terms and conditions between DGS and a contractor selected through an Indefinite Quantity Contract (IQC) Master Contract. The agreement incorporates the terms of the underlying Master Contract and specifies that the contractor shall provide services as detailed in the Purchase Order Request for Proposals (PORFP) and the contractor's Project Quotation. The scope of work is governed by a hierarchical order of precedence: the Master Contract takes priority, followed by the PO Agreement, the PORFP, and the contractor's Project Quotation. The PO Procurement Officer retains the authority to issue written change orders within the general scope of work, with any resulting cost or time adjustments requiring written modification to the agreement. The contractor must assert any claims for equitable adjustment within thirty days of receiving a change order, and failure to submit claims prior to final payment forfeits the right to seek adjustment.
Performance under the agreement commences upon receipt of a Notice to Proceed (NTP) and must be completed within a specified number of calendar days, with liquidated damages assessed for work not completed within the designated timeframe. Compensation shall not exceed a specified ceiling amount without prior written approval from the PO Manager, and all work performed beyond this amount is performed at the contractor's risk of non-payment. Payment is due within thirty days of invoice submission, provided the Department has accepted the services and the invoice includes the contractor's Federal Tax Identification Number. The PO Procurement Officer may refuse, limit, reduce, or withhold payment approval if the contractor fails to perform satisfactorily and timely, maintaining discretionary authority to enforce performance standards. The related solicitation is restricted to Small Business Enterprises approved for the Master Contractors Central Region contract and pertains to an IQC upgrade project for walk-in refrigerators and freezers in Cambridge, Maryland.
