About this file
This document is the Agency Terms attachment for a contract administered by the Office of Management and Enterprise Services (OMES) on behalf of the Oklahoma Health Care Authority Employees Group Insurance Division (EGID) for HSA Administrator services. The contract is structured as a firm fixed-price agreement for indefinite delivery and indefinite quantity of supplies and services as specified in the related Request for Proposal. Bidders must guarantee unit prices and are required to execute and submit a completed Business Associate Agreement (BAA) as part of their proposal submission. The contract is subject to all applicable Oklahoma state statutes, EGID rules, and administrative directives, and any provision not in conformity with existing or future legislation shall be amended accordingly. Suppliers assume a legal obligation to perform in good faith according to the RFP terms for the entire contract period, and EGID reserves the right to undertake legal proceedings against suppliers who fail to perform.
The contract explicitly states that no minimum or maximum amount of services is guaranteed, and payment is contingent upon satisfactory performance and submission of required documentation. Vendors must submit invoices electronically to the designated EGID accounts payable email. Suppliers are prohibited from billing EGID for services for which they have already received compensation from EGID or another source, though they may seek additional funding to enhance services. The agreement includes strict confidentiality requirements regarding EGID member information protected under HIPAA and Oklahoma state law; any unauthorized disclosure may result in immediate injunctive relief without a cure period. Suppliers are responsible for all costs associated with any breach of confidential information, including credit monitoring services for at least three years and notification costs. The contract requires thirty days' advance notice for any changes affecting shared business processes, and suppliers must disclose prior litigation, data breaches, HIPAA violations, and potential conflicts of interest. Importantly, funds are non-appropriated, meaning EGID will not seek appropriations if revenue shortfalls occur.
