Attachment 1 ADDENDA to FAR 52.212-1

Addenda to FAR 52.212-1, Instructions to Offerors—Commercial Items (NOV 2021)

A. General Instructions

a. To assure timely and equitable evaluation of proposals, Offerors must follow the instructions contained herein. Proposals shall consist of three (3) separate volumes; Volume I—Solicitation Compliance, Volume II—Technical and Volume III—Past Performance. Evaluations will be conducted in accordance with (IAW) the addenda to 52.212-2 Evaluation – Commercial Items.

b. Electronic Proposals are to be sent to the Contracting Officer (CO) and the Contract Specialist (CS).

The CO and CS are the sole points of contact for this acquisition. Address any questions or concerns in writing to the CO and CS. The deadline for all questions, concerns, and/or requests for clarification is 30 calendar days from the Request for Proposal (RFP) issuance date. The Government may not respond to submissions past the deadline. Proposals are due 60 calendar days from RFP issuance date. Contact information is as follows:

Note: Email size must not exceed 10MB. If the proposal is more than 10MB, please submit as email 1 of 2, etc. Format must be a Word Document, PDF, or Excel sheet. The Offeror must request and obtain an acknowledgement of receipt for the electronic submission.

c. The proposal shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume the Government has no prior knowledge of their facilities or experience and will base its evaluation solely on the information presented in the Offeror's proposal. Statements that the Offeror will provide a particular feature or objective without explaining how the Offeror proposes to meet that feature or objective are generally inadequate and may adversely impact the Government’s evaluation of the Offeror. The following types of statements are also considered inadequate:

1. Unsupported statements that the Offeror allegedly understands the requirement and risks.

2. Unsupported statements that the Offeror allegedly can or will comply with requirements.

3. Undefined or unexplained statements that simply paraphrase the requirements.

4. Undefined or unexplained statements such as “standard procedures will be used.”

5. Undefined or unexplained statements such as “best commercial practices will be used.”

6. Undefined or unexplained statements such as “well-known techniques will be employed.”

d. Elaborate brochures, documentation, binding, detailed artwork, pictures or other embellishments are unnecessary and are not desired.

e. Glossary of Abbreviations and Acronyms. Each volume shall contain a glossary of all abbreviations and acronyms used, and an explanation for each. Glossaries do not count against the page limitations for their respective volumes

f. Acceptance Period. The proposal acceptance period is the number of calendar days available to the Government to award a contract from the date proposals are received. The Government requires a minimum acceptance period of 180 calendar days from the due date for receipt of proposals; however, Offerors may specify an acceptance period exceeding the Government’s minimum requirement. The Offeror’s proposal must affirmatively state an acceptance period equal to, or greater than, 180 calendar days.

g. Page limitations may be placed on responses the RFP and to Evaluation Notices (ENs), if issued. The specified page limits for the RFP are listed in each Factor and EN responses will be identified in the letters forwarding the ENs to Offerors or on the EN form itself. Each page containing proprietary information should be so marked.

h. Pre-proposal Conference will be held via ZOOM 10 business days after release of RFP. See RFP posting in www.SAM.gov for additional information.

i. Debriefings:

The CO will notify unsuccessful Offerors IAW FAR 15.503, Notification to Unsuccessful Offerors. Upon such notification, Offerors desiring a debriefing must make their request IAW the requirements of FAR 15.505, Preaward debriefing of offerors or FAR 15.506, Postaward Debriefing of Offerors, as applicable.

j. Specific Instructions:

1. VOLUME I-SOLICITATION COMPLIANCE: Solicitation Compliance shall compromise the following:

a. Include signed copy of Standard Form 1449 (SF1449).

b. Include signed copy of Standard Form 30 (SF 30) with, Blocks 15A-15C completed, for any/all amendments.

c. Include the provision at 52.212-3, Representation and Certifications-Commercial Items and shall be registered in System for Award Management (SAM) Registration: https://www.sam.gov/SAM/ .

d. Include an index for all proposal volumes.

e. The evaluation team will validate, as a part of the Solicitation Compliance, page count limitations stated in Volumes II and III are not exceeded. Limits on the number of pages are specified in each Volume below. Each page shall not exceed 8 ½” X 11 inches (except as otherwise allowed). Cover pages, glossaries, lists of abbreviations, tables of contents, indices, title pages, cross reference indices, and section dividers will not be included in the page count if they are inserted solely to provide ease to the reader in locating volumes/sections of the proposal. They will be counted if they contain any other information, (e.g. diagrams, extraneous data, etc). Pages marked “This page intentionally left blank” will not be counted. Pages in excess of the page count stated in the Volumes below will not be evaluated.

Times New Roman, font size shall not be less than 12-point font, with 1 inch margins on all sides.

Smaller, legible font size, no smaller than 8-point, may be used for text within charts and tables. Legible tables, charts, graphs and figures can be used wherever practical. These displays shall be uncomplicated and shall not exceed 11 x 17 inches in size or be less than size 8-point Times New Roman font. Each 11 x 17 inch page will count as two pages.

e. Submit a letter, signed at the vice-president level or equivalent or higher, that identifies the individual(s) with the authority to obligate, negotiate or otherwise bind your company to the resulting contract and, if necessary, future contract modifications.

f. IAW FAR 9.104-5, the Offeror is required to comply with the submission regarding FAR 52.209-5, Certification Regarding Responsibility Matters. Since it is the Government’s intent to make Award without Discussions IAW FAR 52.215-1, the Government may request that an Offeror submit additional information so a responsibility determination can be made. This request for additional information will not be construed as clarifications, communications or discussions with an Offeror as defined by FAR 15.306. An incomplete proposal may be considered to indicate lack of understanding of the requirement and may result in the entire proposal being determined “Unacceptable” and eliminated from further consideration.

g. Solicitation Requirements, Terms and Conditions. Exceptions taken to the terms and conditions or any other requirements of this RFP shall be identified. Each exception shall be specifically related to each paragraph or specific part of the solicitation to which the exception is taken. Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost and specific requirements of the solicitation. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being removed from consideration for award. Under no circumstances shall exceptions be included in any other volume of the proposal.

2. VOLUME II-TECHNICAL: Technical Proposals will be rated on an acceptable/unacceptable basis. Offeror shall provide a proposal that covers the following subfactors in sufficient detail, and clearly demonstrate that the Offeror has a thorough understanding of the requirement.

a. Subfactor 1- Obtaining Aircraft and Simulators: The Offeror shall provide detailed information which demonstrates the capability to gain access to aircraft from PWS Appendix A, Aircraft Categories A, B, C and D, as well as both simulator & aircraft for categories E and G. The technical volume shall include for each category, at a minimum:

1. Aircraft model(s) that will be obtained for each category above.

2. Identify how access will be obtained (in-house, lease-back, etc) for each category of aircraft and simulator required above. If by subcontract, include the name of the vendor.

This technical subfactor response may use a matrix for illustration and brevity but must be no more than two (2) pages in length.

b. Subfactor 2- Specialized Undergraduate Pilot Training (SUPT): The Offeror shall provide a proposal to a Fair Opportunity Proposal Request (FOPR) on a sample task order Statement of Work (SOW) for SUPT IAW PWS Section 2.1 and student support services IAW PWS Section 3.1.11. The sample FOPR is Attachment 05 with three attachments to this RFP. The response shall include a detailed proposal to meet minimum requirements as outlined in the SOW. The proposal shall cover, at a minimum, the following:

1. Technical approach and descriptive narrative of the contractor’s understanding of the requested Scope of Work to include Final Service and Criteria for Completion

2. Training Timeline/Schedule, to include breakout of flight, simulator, and academics for aircrew training along with aircraft availability timeline

3. Key personnel assigned

4. Period of Performance

5. Place of Performance

6. Student Support Service for IMS to include lodging, meals, transportation, medical, etc.

7. Teaming Arrangement (including subcontracting)

8. Deliverables IAW with the PWS and SOW to include Training Mitigation plan and COVID protocols

9. All assumptions and exceptions shall be identified in a separate section with a numbered list

10. Pricing Sheet completed to include supporting documentation (example attached to sample task order SOW)

This technical subfactor response must be no more than twenty (20) pages in length.

c. Subfactor 3- Maintenance Training: The Offeror shall provide a Contractor Statement of Work (CSOW) to a Fair Opportunity Proposal Request (FOPR) on a sample task order Statement of Objectives (SOO) C-208 aircraft maintenance training IAW PWS Paragraph 2.2.2. The sample task order SOO is attachment 06 with four attachments to the RFP. The response shall include a detailed CSOW to meet minimum requirements as outlined in the SOO. The CSOW shall cover, at a minimum, the following:

1. Scope of Work

2. Task Objectives

3. Training Requirements

4. Training Timeline/Schedule

5. Training Capacity

6. Place of Performance

7. Task Order Period of Performance

8. Pricing Sheet completed (example attached to sample task order SOO)

This subfactor response to the RFP must be no more than twenty (20) pages in length.

3. VOLUME III-PAST PERFORMANCE: Past performance will be rated on an acceptable/unacceptable basis using the assessment described in DoD Source Selection Procedures, Table C-2. The Past Performance Volume shall be organized according to the following general outline:

A. Table of Contents B. Past Performance Information (PPI) C. Subcontractor Letters of Consent

a. Utilizing the PPI sheets (RFP Attachment 07 - Past Performance Information #1 and RFP Attachment 08 - Past Performance Information #2 ) submit information on no more than four (4) recent contracts the Offeror considers most relevant in demonstrating the ability to perform the proposed effort for either Government agencies or commercial customers. “Recent” is defined as the effort must have been performed during the five (5) years preceding the date of issuance of this solicitation, to include at least 90 days of documented performance during the five (5) year period. Include rationale supporting the Offeror’s assertion of relevance. “Relevance” is defined by three (3) subtopics, each with four (4) supporting criteria:

1. Training A. Past Performance providing aircrew flight and/or simulator training that meets FAA

Part 61, 141, or 142, and/or aircraft maintenance training that meets 14 CFR Part 147 B. Past Performance providing OCONUS aircrew or OCONUS aircraft maintenance training C. Past Performance providing multiple classes with multiple students per class simultaneously D. Past Performance graduating students on time

2. Administration A. Past Performance providing qualified management, support staff, and infrastructure to meet contract requirements B. Past Performance providing qualified aircrew instructors IAW FAA Part 61, 141, or

142, or aircraft maintenance instructors who meet 14 CFR Part 147 C. Past Performance following International Traffic in Arms Regulation, foreign disclosure, or Third Party Transfer guidance as implemented in the Arms Export Control Act

D. Past Performance managing multiple simultaneous subcontracts

3. Student Support A. Past Performance providing international student medical support B. Past Performance providing international student meals C. Past Performance providing student lodging D. Past Performance providing student transportation

b. Letters, metrics, customer surveys, independent surveys, etc., which demonstrate customer satisfaction with overall job performance, may be provided as part of the PPI. Attachment 07, Past Performance Information, for each contract along with any corresponding letters, metrics, customer surveys, independent surveys, etc., is limited to six (6) pages. Each page shall not exceed 8 ½” X 11 inches and 12-point Times New Roman font. The Government may collect additional references from other sources during the evaluation of past performance.

c. The contractor shall have their customer fill out the Questionnaire and have them submit directly to the POC for this Solicitation by the response date. Questionnaires received from the Offeror, will not be considered/reviewed.

d. Subcontractor Letter of Consent. Past performance information, pertaining to a subcontractor cannot be disclosed to the prime Offeror without the subcontractor’s consent. Proposals must include a Subcontractor Letter of Consent executed by each subcontractor, teaming partner, or joint venture partner, that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.
