L.1.0 FAIR OPPORTUNITY PROCESS

L.1.1 GENERAL INSTRUCTIONS TO OFFERORS This is an acquisition for a 100% small business set aside award as a RFO FAR Part 16.202 firm fixed price contract. Per RFO FAR Part 15.203, the Government intends to evaluate proposals and make award without negotiation. The goal of source selection is to select the proposal that represents the best value to the Government. To obtain best value, the Government intends to use RFO FAR Part 15.103-1 Tradeoff approach.

L.1.2 Offerors are strongly encouraged to submit their best solution and price in response to this notice. Offerors are cautioned not to include assumptions, caveats, or exceptions within any part of the submission, as this may detract from an Offeror’s chance of being determined best suited.

L.1.3 Inconsistencies. Any inconsistency, whether real or apparent, between the Offeror’s non-price factors and price proposal must be clearly explained in the price proposal. Inconsistencies between the non-price factors and price proposals that raise questions about the terms of any resulting contract may be considered as flaws in an Offeror’s non-price factor(s). For example, if unique or innovative approaches are the basis for an apparently inconsistently priced proposal, the nature of these approaches and their impact on price must be completely documented. It is the responsibility of the Offeror to provide all required documentation.

L.2.0 FORMAL COMMUNICATIONS, AND SUBMISSIONS

L.2.1 All inquiries, questions, and requests for clarification concerning this Request for Proposal (RFP) must be submitted using Attachment 009 "Questions Template" and emailed to usarmy.orlando.cpe-st3.mbx.trioss-ii@army.mil no later than 15 October 2026 at 11:00 AM EST.

To streamline the solicitation and review process, each Offeror (Company, Teams, or JV) is limited to submitting no more than five (5) questions. Multipart questions will not be answered. Offerors must complete the template in its entirety, clearly identifying the specific solicitation section, paragraph, and page number to which each question pertains. Questions submitted without complete location references or submitted in an alternative format may not be answered. The Government will publish formal responses via an amendment to the solicitation.

Offerors are instructed to use the following email subject line format: TRIOSS II Questions [Offeror’s Company Name]

d) When the Government receives the proposal, the Contract Specialist will send confirmation of receipt. NOTE: Confirmation of receipt of submission by the Government does not mean that the Offeror’s proposal submission is compliant with this solicitation. The Government will inform an Offeror if its proposal is noncompliant IAW the solicitation instructions after the Government runs its compliancy checks once all proposals have been received. If the proposal is found non-compliant and other proposals are in compliancy, then the non-compliant proposal shall not be considered.

e) The Offeror's proposal must include all data and information requested and must be submitted in accordance with these instructions.

f) The Government will not reimburse Offerors for any costs incurred for the preparation and/or submission of a proposal for this solicitation.

The Government is not obligated to, and will not, search other volumes for a missing file or missing information.

i) Classified information is not required in the Offeror’s proposal, or any response to this solicitation request, nor shall it be submitted.

j) Noncompliance (to include exceptions or assumptions listed within proposal) with these instructions, to include naming conventions, and page counts, may result in rejection of the proposal IAW M.2 and related subsections.

The responsibility for providing a thorough, persuasive response to the solicitation instructions/evaluation criteria falls on the Offeror.

l) The proposal should not simply rephrase or restate the Government's requirements, but rather, shall provide convincing rationale to address how the Offeror intends to meet or exceed the requirements. Paraphrasing the PWS or parts thereof is inadequate. Mere reiteration of the requirement or standard reference material is discouraged and may render the Offeror’s less favorable in the final ratings. It is the Offeror’s responsibility to present enough information to be meaningfully evaluated without negotiations.

m) Proposal data shall not be incorporated into the proposal by referring to another proposal or other source. Any references to sources not provided with an Offeror’s proposal will not be considered.

The Government will not be held liable if the Offeror fails to reach a Government POC. Just sending an incomplete proposal via email does not satisfy this requirement nor does it absolve the contractor from responsibility to ensure its submission(s) are timely. Due to the time restrictions placed on this requirement, Offeror’s requests for extensions to the Government submission timelines will not be granted.

· All allocable indirect expenses (Overhead, Subcontract Handling, General & Administrative [G&A]);

· Contractor Profit / Fee;

· DBA Insurance

· All non-labor direct costs (training, certifications, recertification records, and other items) required by the PWS.

L.3.3.10 CLIN 0002 (1002, 2002, 3002, 4002 and 5002) (Cost) Travel / Temporary Duty (TDY):

· This CLIN covers mission-related, pre-approved and only directed by the Government for travel outside the routine daily commute or routine site operations IAW PWS Paragraph 3.7.

· Government Plug Number: The Government has established a non-negotiable plug amount of $12,000 per year.

· MANDATORY INSTRUCTION: Offerors shall not modify, adjust, or alter the $12,000.00 plug number. The Government plug number must be inserted directly into the designated cell on each yearly pricing tab. Proposals that alter the travel plug amount will be considered materially non-compliant.

L.3.3.11 Mandatory Minimum Staffing Baseline (MMSB)

In accordance with PWS Paragraph 3.0.4, the contractor is required to maintain 100% operational readiness by staffing the Mandatory Minimum Staffing Baseline of 110 FTEs across 25 performance sites. In their pricing workbook, Offerors shall propose Fully Burdened Labor Rates (FBLRs) for each of the individual site-labor combinations established in PWS Section 3.0.4.

L.3.3.12 "Above and Beyond" MMSB Labor (Management and Support)

· Scope of Additional Labor: The Offeror must propose, within CLIN X001 (FFP), all necessary management, operational oversight, supervisory, quality control, training/credentialing maintenance, and administrative support personnel required to successfully perform the PWS requirements.

· Technical Alignment: These positions are designated as "Above and Beyond" MMSB labor and must be clearly detailed in Part 2 of each yearly tab in the pricing workbook. The Offeror’s proposed labor mix, labor categories, proposed FTE count, and total annual hours must reflect 100% consistency with the Offeror’s Management Plan submitted in Volume I (Technical).

· MMSB personnel may perform dual-hatted administrative, lead, or supervisory functions, provided that doing so does not interrupt, degrade, or reduce scheduled training throughput or required instructor coverage. The contractor must explicitly demonstrate in their Program Management Plan (PMP) how primary instruction duties remain fully covered during any period of leadership execution.

L.3.3.13 Indirect Rates, Profit/Fee, and Escalation

Offerors shall propose indirect rates (Fringe, Overhead, G&A) and profit/fee percentages for the Base Period and all subsequent Option Periods. Offerors may propose escalated or variable rates for Option Years, provided the proposed rates are substantiated in the Cost Narrative. Acceptable substantiation includes, but is not limited to:

· A current Forward Pricing Rate Agreement (FPRA) or Forward Pricing Rate Recommendation (FPRR).

· DCAA/DCMA-approved Provisional Billing Rates (PBR).

· In the absence of the above, three (3) consecutive years of audited financial statements and indirect rate pool calculations that form the basis for the out-year projections.

L.3.3.14 Collective Bargaining Agreements (CBA Sites)

L.3.3.15 Adherence: Portions of the 25 performance sites operate under recognized CBAs with labor unions representing incumbent personnel. Offerors are legally obligated under FAR 22.1008-2 and the Service Contract Labor Standards statute to honor wages, health and welfare payments, and pension contributions established in current CBAs. Under section 4(c) of the Service Contract Act (“SCA” ), an offeror must pay not less than the wages and fringe benefits set forth in the predecessor’s collective bargaining agreement (“CBA”). This is known as the Successor Contractor Rule. In essence, the predecessor’s CBA becomes the wage determination for the contract, and the rates set forth therein are required during the base term of the performance. A list of these CBAs are found under Attachment 007 “List of Collective Bargaining Agreements” and the Offeror shall use these pricing agreements for each site in order to determine the minimum labor rates. If an Offeror uses a labor rate lower than the current CBA rate for each specific location, then the pricing will be determined noncompliant and the proposal will be removed for non-compliancy.

L3.3.16 Mid-Year Scheduled Increases: If an active CBA stipulates a wage increase that takes effect on a date midway through a contract performance period, the Offeror must reflect this step-increase in their cost proposal. The Offeror shall calculate the proportion of the 1,992 annual productive hours occurring before the effective date at the pre-increase rate, and the remaining balance of hours at the post-increase rate. The Offeror shall show the weighted average hourly direct labor rate or provide distinct labor line items reflecting the exact hour breakdown.

L.3.3.17 Expiring CBAs Without Successor Agreements: If a CBA expires during the contract term (e.g., during Option Year 1) and no successor agreement has been ratified and incorporated into the solicitation via formal amendment, the Offeror must use the last known wage rate and fringe benefit rate from the expiring CBA for all remaining option periods. Offerors are strictly prohibited from applying arbitrary escalation or market projections to expired CBA rates in out-years.

L.3.3.18 Service Contract Act (SCA Sites) For locations covered by the Service Contract Act (SCA) / Service Contract Labor Standards (SCLS) (41 U.S.C. Chapter 67), Offerors shall ensure that proposed base direct labor rates and health and welfare benefit rates strictly meet or exceed the applicable Department of Labor (DOL) Wage Determination (WD) incorporated into Section J of this solicitation.

L.3.3.19 Non-SCA / Non-CBA Positions (Exempt & Overseas Sites)

· For performance sites not subject to a CBA or SCA WD (including OCONUS locations such as Vilseck, Germany and Camp Humphreys, Korea, as well as exempt managerial staff), the Offeror shall propose a specific, direct, unburdened hourly labor rate for the Base Year and for each individual Option Year (Option Years 1 through 4).

· Binding Rates: These proposed yearly rates will become part of the awarded contract and shall be legally binding and fixed for their respective performance periods. The contractor will not be entitled to post-award equitable adjustments, cost reconciliations, or exchange rate price adjustments for these positions during contract execution.

L.3.3.20 Mandatory Indirect Rate and Profit/Fee Locking Rules Fixed Indirect Pools and Profit: The percentage rates proposed by the Offeror for Overhead, General & Administrative (G&A), and Profit / Fee in the Base Year shall be fixed for the entire life of the contract (Base Year plus all Option Years). Offerors are prohibited from proposing escalating indirect rate percentages or variable fee structures across option years. The agreed-upon indirect and profit percentages established in the Base Year will be incorporated directly into the contract and applied across all option periods without modification.

Fringe Benefits Rate Stability and Exception:

As a standard rule, the proposed Fringe Benefits percentage rate established in the Base Year shall remain fixed for all Option Years.

Strict Exception for CBA-Mandated Changes: An Offeror is permitted to propose changes to the Fringe Benefits percentage rate in Option Years if and only if the adjustment is the direct mathematical result of an employer contribution increase explicitly codified in a ratified CBA incorporated into this solicitation. If an Offeror proposes an altered Fringe Benefits rate in any Option Year, the Cost Narrative must cite the exact CBA, section, and article number, and provide mathematical reconciliations illustrating the exact cost impact. Any non-CBA-driven escalation of the Fringe Benefits rate will be considered noncompliant.

L.3.3.21 Structure of the Cost/Price Proposal Workbook (Attachment 3)

Offerors must organize their submission using the multi-tab Microsoft Excel template structured as found in attachment 3 Price Proposal Workbook. These workbooks are left opened and addition of columns or rows may indirectly change “Total” formulas. If this happens, it is the Offeror’s responsibility to ensure that all totals are correct and all formulas that feed the summary tab are working correctly:

L.3.3.22 Tab 1-6 Part 1: Mandatory Minimum Staffing Baseline (MMSB) Labor:

Must be populated with all site/labor category as found in PWS section 3.0.4 totaling 110 FTEs. Total hours must add up to a total of 1992 hours per position. If one position is divided between 2 or more personnel filling that position, or due to the change in CBA rates, the FTE must still add up to equal 1 FTE. (Example: #1. 2 part-time employees may equal .5 FTEs each and be paid differently. #2. If a site is under a CBA, the employee has 600 hours at $45.00 and 1392 hours at $45.75 due to increase during the years. Both entries should only equal 1 FTE) Columns: In this section, Offerors may add to the right or left of the columns provided with their own additional columns to show items such as subcontractors or other information, but offerors shall not delete any column initially placed on worksheet.

L.3.3.23 Tab 1-6 Part 2: "Above and Beyond" MMSB Labor (Management & Support):

Lines populated by the Offeror reflecting their proposed management plan labor categories and any positions they are planning to add in addition to the MMSB..

Columns: In this section, Offerors may add to the right of the columns with additional columns to show items such as subcontractors or other information, but offerors shall not delete any column initially placed on worksheet.

Mandatory Statutory Requirement: In accordance with the Defense Base Act (42 U.S.C. 1651 et seq.), FAR 28.305, and FAR Clause 52.228-3 (Workers' Compensation Insurance (Defense Base Act)), the Contractor shall obtain and maintain DBA insurance coverage for all personnel (prime, subcontractor, and independent consultant) performing direct services outside the United States under this contract. Offerors shall calculate, detail, and incorporate all estimated DBA insurance premiums directly into TAB 1-6, Part 2 of the Government-furnished TRIOSS Pricing Workbook. The Offeror must provide a written narrative in the Price/Cost Volume substantiating the proposed DBA rates. This narrative must include an unredacted quotation or policy binder from a U.S. Department of Labor (DOL)-approved DBA insurance carrier. Subcontractor DBA costs must be explicitly identified, consolidated, and accounted for within TAB 1-6, Part 2. Prime offerors remain responsible for full compliance across all lower-tier partners.

L.3.3.24 Part 3: CLIN X002 Mission Travel (Plug Number):

This section is a Government plug number, and the total shall not be changed or deleted. Manipulating or deleting this from your proposal will make the proposal noncompliant.

L.3.3.25 Period Totals Block:

Total Price - CLIN 0001 (FFP) – shall be the total of the Part 1 and Part 2 on each of these Base and Option Tabs.

Total Evaluated Period Price- Shall equal the sum of Part 1, 2 and 3.

L.3.3.26 Tab 8: "Labor Rate Buildup" Offerors shall detail the step-by-step mathematical escalation and burden buildup for every labor category proposed (both MMSB and Above and Beyond), for every year of performance. Offeror may add columns to the left or right of columns C – O to signify more information, ie subcontractor identification.

L.3.3.27 Cost Narrative and Supporting Documentation Requirements The Offeror’s Cost Narrative (Volume III) must systematically address the following elements:

L.3.3.28 Basis of Estimate (BOE) for Direct Labor:

CBA Positions: Provide explicit cross-references to the applicable CBA wage articles. If a mid-year wage escalation occurs, provide a calendar schedule detailing the allocation of the 1,992 annual hours between the rates. Certify that expired CBAs without successors reflect the last known CBA wage without speculative escalation throughout the remainder of the contract.

SCA Positions: Identify the applicable SCA WD number, publication revision date, job classification code, and wage rate. Confirm compliance with statutory health and welfare rates.

Non-SCA/Non-CBA Positions: Provide market salary surveys (e.g., Economic Research Institute, Bureau of Labor Statistics, Salary.com), current payroll actuals, or regional hiring historical data to substantiate why the proposed direct hourly rates for the Base Year and Option Years 1 through 4 are realistic and sufficient to attract and retain fully certified instructor personnel.

L.3.3.29 Substantiation of Indirect Rates:

Provide historical documentation validating the proposed indirect pools (Fringe, Overhead, G&A). Acceptable documentation includes:

A current Forward Pricing Rate Agreement (FPRA) negotiated with DCMA or DCAA;

A Forward Pricing Rate Recommendation (FPRR) or Provisional Billing Rate (PBR) approval letter;

In the absence of an FPRA/PBR, three (3) consecutive years of audited historical financial statements and indirect rate pools.

L.3.3.30 CBA Fringe Escalation Justification: If an Offeror proposes an altered Fringe Benefits rate in any Option Year, the narrative must provide an audit trail directly tying the percentage shift to specific collective bargaining contract language.

L.3.3.31 Reconciliation with Management Plan (Above and Beyond Staffing): The Offeror shall include a narrative mapping matrix linking every proposed "Above and Beyond" labor category to the technical functions outlined in PWS 3.2 (Business Relations), PWS 3.3 (Contract Administration), PWS 3.17.1 (SME Oversight), PWS 3.18 (Program Management & Phase-In), and PWS 3.18.7 (Quality Control). Explain precisely how the proposed staffing levels guarantee continuous mission readiness and ensure zero degradation of instructor presence during short-term employee absences.

L.3.4. General

L.3.4.1 Executive Summary: A brief overview of the Offeror's solution, demonstrating an understanding of the TRIOSS II Program's mission to strengthen Warfighters' medical skills through effective, standardized training. – 2 pages (max).

L.3.4.2 All other items: The Offeror shall place “all other items” to include the signed SF33, all fillable clauses contained in the solicitation, Teaming Agreements, Memorandums of Understanding (MOUs), or Subcontractor Letters of Commitment for all proposed subcontractors identified in the Offeror’s proposal.
