About this file
This document is Section M – Evaluation Factors for Award for a Task Order competition under FAR 16.507-2. The Government will award one Task Order to the responsible Contractor whose offer conforms to the Request for Offer and is determined to have the Highest Technically Ranked Offer (HTRO) with fair and reasonable pricing. The evaluation does not permit tradeoffs between technical and cost factors; technical ranking determines the HTRO, with cost/price evaluated only for the HTRO for realism and reasonableness.
The evaluation process consists of three sequential steps: (1) Prerequisite Evaluation (Pass/Fail) of Volume 1 – Key Personnel for RFO compliance; (2) Technical Evaluation using comparative analysis of Volume 2 – Technical Offers, with the Government assigning Positive and Negative Findings based on demonstrated understanding of requirements, adequacy of approach, cost or schedule efficiencies, and risk reduction; and (3) Cost/Price Evaluation of the HTRO only. The Government will rank offers first, second, third, etc., with the first-ranked offer designated as HTRO. Comparative analysis is conducted by directly comparing each offeror's response against others without assigning isolated ratings; each offer's relative standing is established only in relation to other offers received. The Government may conduct oral or written interchanges at any time to clarify requirements, resolve errors, finalize terms, or obtain other evaluation-facilitating information, though such interchanges do not constitute competitive negotiations. Key Personnel must meet minimum education, experience, and certification requirements, be consistent across all proposal years, and include required Letters of Commitment for contingent hires. Cost realism analysis applies to cost reimbursable contract types and includes verification of labor rates, escalation rates, indirect rates, and compliance with Service Contract Labor Standards and organizational conflict of interest requirements.

SECTION M – EVALUATION FACTORS FOR AWARD
PART A – GENERAL INFORMATION
1.0 BASIS FOR AWARD
1.0.1 The Government intends to make a fair-opportunity selection in accordance with FAR 16.507-2 and award one Task Order (TO) to the responsible Contractor whose Offer conforms to the Request for Offer (RFO) and is determined to have the Highest Technically Ranked Offer (HTRO) with a fair and reasonable price.
1.0.2 The evaluation approach does not permit tradeoffs between the Technical Factor and the Cost/Price Factor.
Technical ranking determines the HTRO. Cost/Price will be evaluated only for the HTRO for realism and reasonableness.
1.0.3 The Government will use comparative analysis to evaluate each Contractor's proposed approach to the Sample Tasks assigning Positive Findings and Negative Findings which are defined as follows:
1.0.3.1 Positive Findings
Findings in the evaluation that favorably impact the demonstrated understanding of the requirements, adequacy of approach, potential cost or schedule efficiencies, or associated risk to performance of the contract in a distinguishable way.
1.0.3.2 Negative Findings
Findings in the evaluation that unfavorably impact the demonstrated understanding of the requirements, adequacy of approach, potential cost or schedule efficiencies, or associated risk to performance of the contract in a distinguishable way.
2.0 EVALUATION PROCESS
2.0.1 This TO competition is a streamlined evaluation conducted under FAR 16.507-2 and does not use the formal source selection procedures of FAR Subpart 15.2. Accordingly:
2.0.1.1 Competitive range determinations are not required.
2.0.1.2 Competitive Negotiations as defined in FAR 15.204-2 will not occur.
2.0.1.3 Terminology similar to FAR Subpart 15.2 does not imply application of FAR Subpart 15.2 procedures.
2.0.2 The Government will afford all Contractors a fair opportunity to submit an Offer. Initial Offers must represent the Contractor’s best terms and pricing.
2.0.3 The Government may conduct oral or written interchanges at any time during the evaluation with one, some, all, or none of the Contractors to:
2.0.3.1 Clarify understanding of requirements.
2.0.3.2 Resolve errors or omissions.
2.0.3.3 Finalize TO terms.
2.0.3.4 Obtain other information to facilitate the Government’s ability to evaluate the Offer and make a fair opportunity selection.
2.0.4 Such interchanges do not constitute competitive negotiations under FAR Subpart 15.2.
2.0.5 The Government may use information other than that submitted in the Offer to validate Offer content.
Failure to comply with Section L instructions may result in the Offer being found non-compliant and removed from consideration.

3.0 INCORPORATION OF PROPOSED FEATURES
3.0.1 The Government may incorporate beneficial features of a Contractor’s proposed technical approach directly into the awarded TO, with or without interchanges.
PART B – EVALUATION FACTORS AND METHODOLOGY
1.0 EVALUATION OVERVIEW
1.0.1 The Government will evaluate Offers using the following steps:
1.0.1.1 Prerequisite Evaluation (Pass/Fail)
1.0.1.2 Technical Evaluation (Comparative Analysis)
1.0.1.3 Cost/Price Evaluation (HTRO Only)
1.1 STEP 1 – PREREQUISITE EVALUATION (PASS/FAIL)
1.1.1 The Government will evaluate Volume 1 – Key Personnel for compliance with RFO requirements. An Offer receiving a Fail rating will not be further evaluated and is ineligible for award.
1.1.2 Key Personnel Pass/Fail Criteria
1.1.2.1 The Government will assign a Fail rating if the Offer:
1.1.2.1.1 Omits required Key Personnel submissions.
1.1.2.1.2 Proposes Key Personnel in Attachment P1 that is not consistent with the name Key Personnel proposed within Attachment C1 for the base year and all subsequent option years.
1.1.2.1.3 Proposes more or fewer Key Personnel than required.
1.1.2.1.4 Proposes contingent hires without required Letters of Commitment.
1.1.2.1.5 Proposes prospective hires as Key Personnel.
1.1.2.1.6 Proposes any Key Personnel which fails to meet the minimum education, or experience, or certification requirements.
1.3 STEP 2 – TECHNICAL EVALUATION
1.3.1 The Government will perform a comparative analysis of Volume 2 – Technical Offers in accordance with the methodology defined in Paragraph 3.1, directly comparing Offers against one another to determine the HTRO.
1.3.2 The Technical Factor consists of:
1.3.2.1 Sample Tasks
1.3.3 The Government will rank Technical Offers (first, second, third, etc.).
1.3.4 The Government will evaluate each Offeror’s Sample Task response and assign Positive Findings and Negative Findings, as defined in Paragraphs 1.0.3.1 and 1.0.3.2 and applied in accordance with Paragraph 3.1, based on the criteria identified in Paragraphs 3.1.3.1 through 3.1.3.4. Following the assignment of Findings, the Government will weigh the totality of Positive and Negative Findings across all Offers in accordance with Paragraph 3.1.6 and rank Technical Offers (first, second, third, etc.). The Offer ranked first will be designated the HTRO and will proceed to the Cost/Price evaluation in Paragraph 1.3.
1.4 STEP 3 – COST/PRICE EVALUATION
CUI Page 3 of 5
Attachment M1
1.4.1 The Government will evaluate only the HTRO Contractor’s Cost/Price for realism and reasonableness in accordance with FAR 15.404.
2.0 COST/PRICE EVALUATION
2.0.1 The Government will evaluate only the HTRO Contractor’s Cost/Price for realism and reasonableness in accordance with FAR 15.404. However, if the HTRO price is deemed unrealistic, the Government will proceed to the next highest-ranked offer until a fair and reasonably priced offer is identified.
2.1 Subcontractor Contract Type Other than Cost Reimbursable. The Government will not perform realism analysis on Subcontractor Offers that are proposed as a contract type other than cost reimbursable (e.g., FFP, FFP LOE, T&M etc.).
2.1.1 Contingent Hires. The Government will utilize the salary information stated within the Letter of Commitment submitted as an enclosure to Attachment C3. Offers with a proposed contingent hire FBLR lower than that stated in the Letter of Commitment will be considered unawardable.
2.2 Cost Reimbursable Contract Type. The Government will evaluate the HTRO Contractor’s and Subcontractor’s Volume 3, Attachment C1- Cost Workbook and Attachment C2 – Cost Reimbursable Narrative (Step 3) for cost realism and reasonableness.
2.3 Cost Realism Analysis for Contractor and Subcontractors proposing a cost reimbursable contract type.
2.3.1 The Government will perform a cost realism analysis to determine the most probable cost (MPC) only for the HTRO Contractor’s Cost/Price Offer. The MPC is the Contractor’s total cost, including fee, and any additional adjustments the Government has determined necessary to make the proposed cost realistic for all periods (base and all option periods). The MPC may differ from the proposed cost. The Government, generally, will not make downward adjustments.
2.3.2 Any discrepancy(ies) between the proposed labor categories and Government specified labor categories stated in Section J, Attachment 01, SOW, Paragraph 3.4.1 will make the Offer ineligible for award, with no further evaluation of the Cost/Price Offer conducted by the Government.
2.3.3 In conducting its cost realism evaluation, the Government will review the prospective Contractor and Subcontractor Offers as follows:
2.3.3.1 Prospective Hires. The Government will utilize the minimum rates stated within the “Minimum Direct Labor Rates” worksheet of Attachment C1. Offers with prospective hire direct labor rates lower than those in the Attachment C1 "Minimum Direct Labor Rates” worksheet will be considered unawardable.
2.3.3.2 Contingent Hires. The Government will utilize the salary information stated within the Letter of Commitment submitted as an enclosure to Attachment C2. Offers with a contingent hire direct labor rate lower than that stated in the Letter of Commitment will be considered unawardable.
2.3.3.3 Current Employees. The Government will verify the direct labor rates proposed against the payroll verification provided within Table 6 – Hourly Direct Labor Rates for Current Employees of Attachment C2. If the rates proposed are not the same as the payroll verification rates the Government will review the justification provided and upwardly adjust as appropriate. If the Contractor did not apply escalation to the payroll verified rates to coincide with the beginning of the Period of Performance and does not provide adequate justification for not applying escalation, the Government will adjust the payroll verified rate to include applicable escalation.
2.3.3.4 Pertinent cost information includes, but not limited to, the most current Defense Contract Audit Agency (DCAA) Direct and/or Indirect Rate Approval Letters; DCAA Forward Pricing Rate Agreement or
CUI Page 4 of 5
Attachment M1
Recommendation; and/or Defense Contract Management Agency (DCMA) Letters (such as accounting system letters, property management system letters, etc.), as applicable, as well as Contractor-specific historical indirect and escalation rate information, Bureau of Labor Statistics (BLS) Wage Data, and BLS Employment Cost Index (ECI) information, may be used to arrive at the Government determination of the MPC.
2.3.3.5 Escalation
2.3.3.5.1 Non-Service Contract Labor Standard (Non-SCLS) Labor Categories. The Government will utilize pertinent cost information. If the Contractor and or Subcontractor proposes escalation rates lower than their historical escalation rate actuals, the Contractor and Subcontractor must provide a justification for the rate proposed.
Contractors and Subcontractors who fail to provide rationale to support proposing a lower escalation rate than the most recent historical escalation rate actuals may result in a determination that the rate is unrealistic and the Government will upwardly adjust the escalation rate to coincide with pertinent cost information. If no historical escalation rate actuals are provided and the escalation rate proposed is lower than the escalation rate provided in Section L, Part C, Paragraph 3.3.1.2.1, the Government will upwardly adjust the proposed escalation to the Government’s escalation rate stated in Section L, Part C, Paragraph 3.3.1.2.1.1.
2.3.3.5.2 SCLS Labor Categories. The Government will utilize the minimum escalation rate stated in Section L, Part C, Paragraph 3.3.1.2.2. If the proposed escalation to SCA labor categories is less than the Government’s minimum escalation rate, the Offer will be unawardable.
2.3.3.6 Indirect rates. The Government will utilize pertinent cost information. Contractors and Subcontractors who fail to provide rationale to support proposing a lower indirect rate than the most recent historical actual indirect rate may result in a determination that the rate(s) are unrealistic, and the Government will upwardly adjust the indirect rate to coincide with pertinent cost information.
2.3.3.7 Service Contract Labor Standards. The Government will evaluate the Contractor’s, including Subcontractor’s, compliance with minimum monetary wages and fringe benefits for service employees as specified in the Wage Determinations (attached in Section J) and in accordance with FAR 52.222-41 Service Contract Labor Standards.
2.3.3.8 If there is a discrepancy between the Subcontractor’s fully burdened rates in the Contractor’s C1 and the fully burdened rates in the Subcontractor’s C1, the higher of the two fully burdened rates will be utilized for cost realism in establishing the Government’s MPC.
2.3.3.9 The higher value of any individual cost element will prevail if there are discrepancies within the Cost/Price Volume. Discrepancies may impact the Government’s cost realism analysis of the Contractor’s Offer or its eligibility for award.
2.4 Evaluation of Options. FAR clause 52.217-8, Option to Extend Services, is incorporated in the RFO.
Total evaluated cost/price will also include the six month performance period permitted under the clause, to account for a situation where invoking of the clause, in whole or part, becomes necessary. Specifically, the evaluated cost/price of this six-month period will be calculated by dividing the final option period by two (2) to establish the estimated cost for the six-month option to extend services.
2.5 Reasonableness Analysis. As part of the reasonableness analysis, the Government will identify all instances where a proposed fully burdened labor cost exceeds the NAVAIR labor tripwire of $420K annually per employee. This also applies to fully burdened subcontractor employee labor cost, inclusive of the prime contractor’s pass-through burden. Any fully burdened annual labor cost exceeding the tripwire may ultimately be determined unreasonable absent justification.
2.6 Minimum Labor Cost. The Government will evaluate the Contractor’s proposed labor cost to ensure it meets or exceeds the minimum labor cost stated in Section L, Part C, Paragraph 3.1.4. If the proposed labor cost falls below the stated minimum cost, the Government will review the justification provided by the Contractor. If the
CUI Page 5 of 5
Attachment M1 proposed labor cost is less than the Government’s stated minimum labor cost without adequate or any justification, the Offer will be determined unawardable.
2.6.1 Contractors and Subcontractors proposing the Minimum Direct Labor Rates for Prospective Hires is not adequate justification.
2.7 Organizational Conflict of Interest. The Government will evaluate the Contractor’s, including Subcontractor's, response to KTXT.209-9511 Organizational Conflict of Interest Representation and LTXT.209- 9513 Organizational Conflict of Interest Instructions to assess whether or not an actual or potential OCI exists as defined in FAR Subpart 9.5. If an actual or potential OCI is identified that cannot be feasibly mitigated, avoided, or resolved in accordance with FAR Subpart 9.5, the Contracting Officer will determine whether such interests or contracts present potential organizational conflicts of interest which could preclude award to the Contractor.
3.0 DEFINITIONS
3.1 COMPARATIVE ANALYSIS
3.1.1 Comparative analysis is the evaluation methodology by which the Government directly compares each Offeror’s Volume 2 – Technical Offer against the other Offerors’ Volume 2 – Technical Offers to determine the Highest Technically Ranked Offer (HTRO). Comparative analysis is not a tradeoff source selection conducted under FAR 15.3 and does not assign adjectival, color, or numerical ratings to individual Offers in isolation. Each Offer’s relative standing is established only in relation to the other Offers received in response to this RFO.
3.1.2 The Government will conduct comparative analysis by identifying Positive Findings and Negative Findings, as defined in Paragraphs 1.0.3.1 and 1.0.3.2, in each Offeror’s response to the Sample Tasks.
3.1.3 A Positive Finding will be assigned where an aspect of an Offeror’s Sample Task response demonstrates a discernible advantage over one or more other Offerors with respect to one or more of the following:
3.1.3.1 Demonstrated understanding of the Sample Task requirements;
3.1.3.2 Adequacy and feasibility of the proposed technical approach;
3.1.3.3 Potential cost or schedule efficiencies derived from the proposed approach; or
3.1.3.4 Reduction of risk to successful contract performance.
3.1.4 A Negative Finding will be assigned where an aspect of an Offeror’s Sample Task response demonstrates a discernible disadvantage relative to one or more other Offerors with respect to any of the criteria identified in Paragraphs 3.1.3.1 through 3.1.3.4.
3.1.5 The Government will document each Positive Finding and Negative Finding with a written narrative identifying (i) the specific aspect of the Offer that gave rise to the Finding, (ii) the criterion under Paragraph 3.1.3 to which the Finding relates, and (iii) the specific comparative basis (i.e., the corresponding aspect of one or more other Offers) supporting the Finding.
3.1.6 The Government will determine the HTRO by weighing the totality of Positive and Negative Findings across all Offers. Findings will be considered qualitatively rather than by raw count; a single Finding addressing a significant aspect of contract performance may carry greater weight than multiple Findings addressing minor aspects. The Offer determined to provide the most advantageous balance of Findings relative to all other Offers will be ranked first (HTRO), with the remaining Offers ranked thereafter (second, third, etc.) on the same basis.
3.2 PREREQUISITE (KEY PERSONNEL) RATINGS
3.2.1 For the Key Personnel prerequisite, the Contractor will be assigned a Pass or Fail Rating.
