Attachment # 15
NEGOTIATED LABOR RATES
(a) The Government shall have the right during the period of performance of this IDIQ contract, to acquire services and deliverables at prenegotiated labor rates for services and deliverables as defined in C-SAR IDIQ PWS sections 3.1, 3.2, 3.3, 3.4, 3.5, 3.6, and 3.7. The labor rates are located in Attachments 4 through 12 of the C-SAR IDIQ contract.
(b) The Government shall issue a task/delivery order proposal request, which will include a description of the support requirements and objectives, including any Contract Data Requirements List (CDRL) items the Contractor will be required to submit. Upon receipt, the Contractor shall submit to the Government a schedule; a technical description of how the Contractor will accomplish the effort; a description of all computer software and technical data the Contractor expects will be developed, generated, or delivered to the Government; the number of hours required for completion; and the total cost/price and fee/profit for completion. The Contractor's task/delivery order proposal preparation shall be included in the number of labor hours submitted.
The Government shall evaluate the proposal for technical acceptability and technical reasonableness.
(c) For each task/delivery order to be performed in accordance with CLIN X001, X003, X004, X005, X006, X007, X008, and X013 the parties will negotiate a bilateral task/delivery order, but the Government reserves the right to unilaterally direct performance of the work subject to later equitable adjustment. The total cost of each CLIN in the respective task/delivery order shall be calculated by utilizing the applicable labor rate and fixed fee per hour as specified in the tables found in Attachment 4 through 12 and multiplying them against the quantity of labor hours agreed to between the Government and the contractor. If during the performance of an order additional value is determined to be required for the completion of an effort, it may be added through a bilateral modification and shall not be fee bearing.
(d) All computer software, technical data, and other data items developed or generated as a result of task/delivery orders associated with PWS sections 3.1, 3.2, 3.3, 3.4, 3.5, 3.6, and 3.7 shall be licensed with the rights in accordance with DFARS data rights clauses, data rights attachment and/or unless otherwise negotiated in TO/DO in such task/delivery order.
