(3) The following are excluded from page counts, however, the excluded items are to be strictly limited to the content specified:

(i) Title pages, table of contents, cross-reference matrices, glossaries, and acronym lists which do not contain information that can be construed as proposal information,

(ii) Technical Templates, (iii)Past Performance Information Matrix,

(iv) Past Performance Environmental and Safety Data including Insurance Information, and

(v) Model Contract Volume.

(4) In addition, the Cost/Price Volume of the proposal is not page limited. However, this section is to be strictly limited to cost and price information. Information that can be construed as belonging in one of the other sections of the proposal will be so construed and counted against that section's page limitation.

(5) If final revisions are requested, separate page limitations will be specified in the Government's request for that submission.

(6) Pages submitted in excess of the limitations specified in this provision will not be evaluated by the Government and will be returned to the Offeror.

(d) A cover sheet should be contained as the first page of each volume file clearly marked with volume number, title, solicitation identification, and the Offeror’s name. Be sure to apply all appropriate markings, including those prescribed in accordance with FAR 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR 3.104-5, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.

(e) Provide a suitable table of contents with each volume for ready reference to sections, tables, and figures.

(f) Provide a Cross Reference List that tracks the page and paragraph numbers of the Offer’s proposal to the page and paragraph numbers in the Government’s instructions.

A Cross Reference List shall be submitted in each volume for that particular volume.

(g) Additional Requirements:

(1) The following requirements apply to the sections of the proposal which ARE page limited:

Sections of the proposal which are page limited shall be prepared and submitted using single-spaced, non-compressed Arial font in accordance with Microsoft Word default settings. See section L.16.2(c)(2). for font size. Character spacing shall be “Normal” per Microsoft Word settings. The margins may contain headers, footers, and corporate logos, but shall not contain any proposal content to be evaluated. (The headers, footers, and corporate logos are not subject to the font type and size limitations.) See section L.16.2(c)(2). for margin spacing. Pages shall be formatted in a standard page style, without the use of numerous columns. Text in diagrams, charts, tables, artwork, and photographs shall be consistent with requirements stated above, and shall not be used to circumvent the font size limitations of the proposal.

In each file, all pages shall be numbered sequentially with Arabic numerals (1, 2, 3, etc.) preceded by upper case roman numerals matching the volume number; for example, when paginating for volume II, paginate pages as II-1, II-2, II-3, etc. and for volume 4, paginate pages as IV-1, IV-2, IV-3, etc.

Information shall not be incorporated by reference. Each side of the sheet, tab, or divider containing proposal material will be counted as part of the appropriate volume’s page limitations as shown in Table L-2. (Page tabs and section dividers that do not contain information that can be construed as proposal information will not be counted as part of the page limitations.) If proposal content is included within the margins, the content will be disregarded from evaluation. Information that can be construed as belonging in another volume of the proposal will be so construed and counted against the appropriate volume’s page limitation.

Pages larger than 8 ½” x 11” may only be used for large tables, charts, graphs, plans, figures, diagrams, and schematics, and NOT for pages of text. These larger pages shall only be 11” x 17” electronic paper and shall be counted as two pages against the page limitations. (The same margin rules apply as stated above.)

Minor informalities or irregularities in a proposal, other than excess pages, that can be adjusted, corrected, or waived without being determined as prejudicial to other Offerors by the Government may be accepted if it is immaterial to the acquisition. If these minor infractions are determined prejudicial to other Offerors by the Government, these pages will be returned by the Government and not evaluated. In addition, any pages contained in a page-limited section of the proposal which do not comply with the RFP requirements will be returned by the Government and not evaluated.

(2) The following requirements apply to the sections of the proposal which ARE NOT subject to page limitations:

Sections of the proposal which are not page limited do not need to abide by the font type or size, page size, or margin requirements of the page limited sections, though the Offeror should ensure readability.

In each volume, as is for the page limited pages, all pages shall be numbered sequentially with Arabic numerals (1, 2, 3, etc.) preceded by upper case roman numerals matching the volume number; for example, when paginating for volume II, paginate pages as II-1, II-2, II-3, etc. and for volume IV, paginate pages as IV-1, IV- 2, IV-3, etc.

(h) The electronic proposal shall be prepared and submitted in Microsoft Office® applications (Word and Excel). Further, the Microsoft Excel spreadsheets shall be submitted in Microsoft Excel format, not in a scanned Microsoft Word or Adobe PDF file. Microsoft Word documents shall be submitted in Microsoft Word format, not in an Adobe PDF file.

(i) If an Offeror’s electronic files are corrupted and cannot be opened and/or read, the Government will notify the Offeror to resubmit by close of business the same day the Offeror is notified.

*The page limit for the Total Compensation Plan (TCP) is 12 pages for the Prime and 12 pages for each subcontractor [subcontractors are defined in JPI 1852.231-71(d)]. For joint ventures, the page limit is 12 pages per team member. The Prime, subcontractors, and team members are permitted to combine data into one TCP, and the page limit for the combined TCP will be 12 pages. The team members (prime/subcontractor or joint venture relationship) may have one combined 12 page TCP or each team member may submit its own TCP. For example, a team of three (3) members may submit one TCP (which will result in 12 pages) or each member may submit its unique TCP (which may result in 36 pages).

** All Offerors are required to submit the entire Model Contract inclusive of every section in A- J with all requested fill-ins completed.

***Offerors shall also submit Section K, Representations and Certifications, with all fill-ins completed.

^Proposal content is submitted directly by third parties per the instructions below (see L.17 (h) and (i)).

~ Proposal content shall be created as a separate file, and referenced within the appropriate volume file (see L.16.2 (b)).

L.17 Past Performance Factor - Volume I

In Volume I, Offerors shall demonstrate past experience in all areas of the statement of work by submitting information that best demonstrates the Offeror’s ability to perform the Facilities Contract work. Offerors shall include the following.

(a) Introductory Material

One page of introductory material, if the Offeror so chooses, may be submitted that includes information about the experience and performance of the Offeror’s company, Program Manager, and/or Subcontractors (if applicable). This introductory material is included in the page limitation constraints.

(b) Organizational Chart

Submit an organizational chart displaying the relationships between the parent company, affiliate, and/or any other organizational entity (division(s), business units, or other segments of the company) which are proposed to perform the effort.

(c) Past Performance Relevance Matrix

Attachment L-8, Past Performance Relevance Matrix, shall be submitted as part of the response. In the event of a conflict between the narrative and the Relevance Matrix, the narrative will take precedence as the Offeror’s intended response.

(d) Past Performance Narrative

A past performance narrative shall include information on work the Offeror has previously performed for organizations and companies, in order for the Government to obtain appraisals of past performance. Offerors, including Major Subcontractors (subcontractors with an estimated annual contract value that equals or exceeds $3,000,000), and their proposed Program Manager (as listed in Section H, Key Personnel and Facilities), shall each provide information on no more than three past contracts (subject to the page limitation constraints). Only contract period of performances within the three years preceding the date of the Facilities Contract original solicitation (80JSC020R0034) will be considered in the past performance evaluation.

Within the narrative portion for the Program Manager, reference the corresponding resume submitted, per L.19.1 (b)(1), in Volume III. Please be advised that a Limited Communications Notice (LCN) has been issued in conjunction with this solicitation, as stated below in L.19.1(b)(1)(iv).

• Offerors shall consider the recency and relevance of each submitted contract, as they relate specifically to this solicitation. The contract information submitted should be those that the Offeror considers relevant in demonstrating ability to perform the proposed effort.

• References with Government contracts are preferred, but not required.

• Offerors with no past performance experience shall so state.

The following information shall be provided for each past contract:

(1) Contract number, cage code, NAICS code, and Duns number (if other than the Prime, provide the Prime’s contract number and the Offeror’s cage code and Duns number)

(2) Contract value (if other than the Prime, provide the overall contract value and the subcontract value)

(3) Number of Work Year Equivalent employees assigned to the contract (if other than the Prime, provide the number of Work Year Equivalent employees provided by the applicable subcontractor/entity)

(4) Employing agency/company name

(5) Point of contact (including current address, telephone numbers, and e-mail addresses)

• If a Government agency, include both the Contracting Officer and Contracting Officer’s Representative

(6) Contract description

(7) Place of performance

(8) Period of performance

(9) Contract type

(10) Status of contract (current, terminated (if so, why), successfully completed (include completion date))

The submission shall include rationale supporting the Offeror’s assertion of relevance and shall clearly detail what portions of the SOW, the Prime, Major/Minor Subcontractors, teaming partner, joint venture partner, or proposed Program Manager is responsible for to perform the proposed effort. The Offeror must provide a narrative describing what if any role each of these affiliated entities will have in the performance of this Contract. Only past performance data for affiliated entities that will be meaningfully involved in the performance of this Contract will be considered.

(e) Small Business Participation

Submit a statement of the Prime’s and Major Subcontractor’s small business participation (targets, record, and type of work subcontracted) for every past contract submitted, with special emphasis on the division of the company which will perform the proposed Contract.

(f) Consent Letters

Consent letters executed by each Major Subcontractor, teaming partner, joint venture partner, and/or Program Manager for every past contract submitted, shall be submitted, authorizing the release of past performance information so the Offeror can respond to such information. See sample consent letter at Attachment L-7.

(g) Performance Data

Submit the following performance data with explanatory remarks on all relevant contracts performed by the Prime and Major Subcontractor in the last three years (not just the past contracts submitted). If a teaming partner or joint venture partner is proposed, the same information shall be provided for each company proposed.

Explanatory statements shall be included as appropriate.

(1) Environmental Data:

(i) Copies of any and all environmental non-compliance correspondence and citations from federal, state or local agencies or authorities with explanatory remarks.

(2) Safety and Health Data:

(i) Copies of any and all OSHA citations with explanatory remarks.

(ii) Records of the company’s occupational injuries and illnesses. These records shall include, for each worksite, as a minimum, number of occupational injuries and illness, annual average number of employees at the worksite, and total hours worked by all employees. Provide records with signature of a company executive. Provide explanatory remarks of adverse performance and methods being used to improve performance. A copy of each year’s OSHA logs (Forms 300 and 300A) may be submitted or equivalent occupational injury and illness data.

(h) Past Performance Questionnaires

The Offerors, any Major/Minor Subcontractors, as defined above, the proposed Program Manager, and any other organizational entity (parent or affiliated company, division(s), business units, or segments of the Offeror’s company), which are considered to provide meaningful involvement in Contract performance, shall each submit the Past Performance Questionnaire (see Attachment L-6) to all of the point of contact references required in paragraph (d) above. The Offeror is responsible for ensuring that all references are directed to email the questionnaire directly to the Contracting Officer identified in provision L.9, Communications Regarding This Solicitation.

Where an Offeror chooses to request, from a civil servant employee at JSC, that a past performance questionnaire be submitted on its behalf, please be advised that a Limited Communications Notice (LCN) has been issued in conjunction with this solicitation.

The LCN directs that all civil service personnel at JSC shall refrain from communicating with industry on any matters related to this competitive Procurement; as a result, while the civil servants may respond to the past performance questionnaire they will be unable to provide status to the Offeror, or communication in any other fashion with the Offeror, about that past performance request.

(i) Insurance Letter

A letter shall be sent directly from the insurance carrier to the contact identified in provision L.9, Communications Regarding This Solicitation, providing workers compensation coverage (or equivalent) summarizing the Offeror’s Experience Modification Rates, loss run data, liability and lawsuit history related to safety and health performance, for the past three years, including history of changes to the experience modified rate. If an Offeror self-insures, provide and certify the same information (except the experience modification rate history) with the signature of the responsible corporate officer or official.

(End of Provision)

L.18 Cost and Price Factor - Volume II

Offerors shall follow the instructions shown below in the preparation of the Cost and Price Narrative and the Electronic Pricing Model (EPM) for their Volume II Cost and Price Proposal.

See Table L-2 for the required file names.

(a) Introduction

Certified cost or pricing data is not required; however, data other than certified cost or pricing data is required. The Offeror’s cost proposal shall be compliant with, and based upon, the Offeror’s estimating, accounting, and other applicable business systems. To ensure that the Government is able to perform a fair assessment of the proposed cost, the Prime Offeror and all Major Subcontractors are required to submit a cost proposal that is suitable for evaluation. A cost proposal that is suitable for evaluation shall:

(1) Account for all resources necessary to complete the requirements of this RFP.

(2) Provide traceability to the technical/management proposal.

(3) Explain in detail all pricing and estimating techniques.

(4) Disclose the basis of all projections, rates, ratios, percentages, and factors in sufficient detail to facilitate the Source Evaluation Board’s (SEB) understanding and ability to mathematically verify these estimates.

(5) Comply with applicable Federal Acquisition Regulations (FAR), NASA FAR Supplements (NFS), and statutory requirements.

(6) Include a narrative section that explains all judgmental elements of cost projections and fee and profit policies, including any proposed cost ceilings and team fee sharing arrangements.

(7) Include all templates required in this RFP using the Microsoft Excel application.

(b) Specific Guidelines

The cost instructions apply to the Prime Offeror and all Major Subcontractors

(subcontractors with an estimated annual contract value that equals or exceeds $3,000,000) over the period of performance for this Contract as defined in Section L.8, Period Covered by Procurement. Detailed additional instructions to assist in the preparation of each worksheet in the Electronic Pricing Model (EPM) workbook are found in text boxes within each worksheet.

(1) Direct Labor Rates

For any direct labor rates not included in a Forward Pricing Rate Agreement (FPRA), or a Forward Pricing Rate Recommendation (FPRR), the Offeror shall indicate the basis and/or source data (e.g., actual salary data as of a specific date, proposed salary data from a specific source as of a specific date, etc.) of all direct labor rates proposed, including the date to which the source data is current. For informational purposes only, the Government has provided in the technical library, average composite direct labor rates under the current Facilities Support Services contract. The provision of historical data is only a guide to assist Offerors in developing their base direct labor rates. It should not be construed as the Government’s requirements or preference regarding proposed direct labor rates for contractor employees.

The Government has included the Incumbency Retention and Pay (IRAP) template in the EPM to facilitate Offerors’ development of direct labor rates per SLC.

(2) Direct Labor Rate Escalation

For any direct labor rate escalations not included in an FPRA or FPRR, Offerors shall provide the direct labor annual escalation history for the past three years, and provide the basis for the historical escalation factors. If an FPRA or FPRR is used to develop this proposal, historical data is not required.

Additionally, the Offeror shall provide, and explain, the rationale for any proposed direct labor rate annual escalation factor through the period of performance of the Contract, whether the escalation factor is positive, zero, or negative. Finally, if the historical escalation factors are significantly different from the proposed prospective escalation factors, Offerors shall provide the basis and rationale for the differences.

The EPM templates are designed to give Offerors the flexibility to propose different escalation factors by SLC.
