IDIQ LABOR RATES MATRIX
Task Plan proposals must utilize the not-to-exceed rates and factors delineated below for pricing all task orders contemplated or issued in accordance with the “Task Ordering Procedure” and “Supplemental Task Ordering Procedures” clauses of the contract. All Task Orders issued will be applied to the guaranteed minimum quantity and maximum quantity as provided in “Minimum/Maximum Amount of Supplies or Services” clause.
1. PRIME FULLY-LOADED DIRECT LABOR RATE MATRIX (for all Task orders):
The Prime Contractor shall not exceed the fully-loaded direct labor rates as specified below (loaded through Profit) for pricing all task orders:

**Labor Categories - The Offeror shall provide Prime direct labor categories in accordance with the Position Qualifications in Section 4 of this attachment.

^HR = Hourly Rate: These are not-to-exceed rates to be used for task order pricing purposes only for the Prime Contractor direct labor hours. The Contractor may propose lower rates when pricing task orders.

2. PRIME COST ESTIMATING RELATIONSHIPS (For Deriving Other Direct Costs (ODCs)) AND INDIRECT RATES & PROFIT PERCENTAGE TO BE APPLIED AGAINST ODCs:
When proposing Other Direct Costs (ODCs) under a task order, the Prime Contractor shall not exceed the following cost estimating relationships (CERs) rates or factors for deriving recurring ODCs, indirect rates applied against ODCs, and profit percentage applied against ODCs for pricing all task orders:
Cost Estimating Relationships (CERs):
The Prime Contractor shall not exceed the CER rates or factors specified below for deriving/pricing Other Direct Costs (ODCs), if applicable, on all task orders:

*** CERs – If applicable, the Offeror shall complete all Prime ODC categories and rates/factors that are proposed using a CER, such as management percentages or computer/IT fees. Clearly delineate the base of application. If not applicable, insert “NONE”.
Indirect Rates:
PRIME INDIRECT RATES TO BE APPLIED AGAINST CERTAIN MATERIALS ON TIME-
AND-MATERIAL TASK ORDERS OR CERTAIN OTHER DIRECT COSTS ON FIRM-
FIXED PRICE TASK ORDERS:
When proposing certain Materials costs in accordance with FAR 52.212-4, Alt I, under a Time-and-Materials (T&M) task order OR when proposing certain Other Direct Costs (ODCs) under a Firm-Fixed Price (FFP) task order, the Prime contractor shall not exceed the indirect rates specified below for pricing all task orders. The rates provided below are ONLY to be applied to materials (under T&M task orders) and ODCs (under FFP task orders)

31. If not applicable, insert “NONE”.
PRIME PROFIT PERCENTAGES TO BE APPLIED AGAINST CERTAIN ODCs (For FFP Task Orders Only) The Prime Contractor shall not exceed the following profit rate applied against ODCs, if applicable, for pricing all task orders:

3. SIGNIFICANT SUBCONTRACTOR (Name-TBP) FULLY-LOADED LABOR RATE MATRIX (For All Task Orders):
The Prime Contractor shall not exceed the fully-loaded direct labor rates as specified below for pricing the Significant Subcontractor direct labor hours on all task orders:

Labor Categories - The Offeror shall provide fully-loaded Subcontractor direct labor categories, in accordance with the Position Qualifications in Section 4 of this attachment. Clearly delineate onsite versus offsite rates, if applicable.

HR = Hourly Rate: These are not-to-exceed fully-loaded rates to be used for pricing purposes only for the Subcontractor direct labor hours. The Prime Contractor may propose lower rates when pricing task orders.
4. POSITION QUALIFICATIONS (For All Prime contractor and Subcontractor Direct Labor Categories):
TO BE PROPOSED (TBP) A Position Qualification shall be proposed for each individual Prime Direct Labor Category included in Section 1 and each individual Significant Subcontractor Direct Labor Category included in Section 3.
