000.1 Scope. This Statement of Work (SOW) encompasses the explicit Vessel Construction

Manager (VCM) requirements.

000.1.1 Period of Performance (POP). This SOW defines the effort applicable to all phases of VCM solicitation development, design, construction, testing and delivery of a MARAD National Security Multi-Mission Vessel. The SOW covers the base period of the contract; it also covers the Option period of the contract—if the Option is exercised.

000.3 Requirements.

Contract Number: 693JF719D000002/ Contract for the Procurement of the National Security Multi-Mission Vessel(s)

000.3.1 SOW Minimum Requirements. The scope, intent and incorporation of plans and specific tasks or deliverables are derived from this SOW and shall serve as explicit requirements to meet MARAD Specifications and Objectives as defined in Sections C.2 and L.8 of the RFP.

000.3.2 Master Cross Reference Matrix (MCRM). The VCM shall maintain the MCRM as a recurring deliverable identified in Paragraph 000.4.2 of this SOW, which shall contain traceability between the VCM Contract Requirements, SOW, Updated List of Deliverables (ULD) and the Integrated Master Schedule (IMS).

000.3.3 Updated Deliverables List (ULD). Is based on the minimum deliverable requirements cited in Attachment J-4 (List of Deliverables) and has been expanded to incorporate all cited deliverables. The VCM shall incorporate and maintain, 000.4.1, the Updated Deliverables List (ULD) as the single cross-reference matrix for all deliverables incorporated by contract.

000.3.4 SOW Construct. The SOW uses a common structure throughout. It contains a common Work Breakdown Structure (WBS) and outline schema that will make scope, references and requirements easier to reference and will help MARAD and VCM to manage any adjustments over the Contract period of performance.

All changes will be managed by VCM per MARAD approval as deliverable identified in Paragraph 000.4.3 of this SOW.

000.3.5 SOW Order of Precedence. This SOW is established as required by Contract order of precedence of Section H.27 and explicitly expands on objectives defined by Section C.2 of the RFP (Statement of Objectives). The SOW does not violate the Contract’s order of precedence; however, it provides amplifying information on scope, requirements, and deliverables, incorporating updates and deliverables required in Attachment J-4 of this Contract (List of Deliverables) or Performance Requirements as defined in Sections H.24 of this Contract and Attachment J-5 of this Contract—Guidance Design “Core Reference” documents. The Contractor shall develop and deliver to MARAD a Master Cross-Reference Matrix (MCRM). The MCRM shall directly tie all requirements of the Sections H.24 and H.27 and Attachments J-4,and J-5 of this Contract.

000.3.5.1 SOW Task Based Statements. The task based statements within this SOW are designed to support all activities of the VCM contract award, commercial pre-solicitation analysis and deliverables, solicitation review, commercial negotiations and down-select processes through shipyard selection/award, and finally vessel contract, detail design, construction, delivery, logistics elements and warranty management of the MARAD National Security Multi-Mission Vessel (NSMV).

000.3.5.2 SOW Schema. This SOW establishes discrete schema in conjunction with the common numbering system. Paragraphs contain (Level 1) headings that are

Contract Number: 693JF719D000002/ Contract for the Procurement of the National Security Multi-Mission Vessel(s) based on Ships Work Breakdown Structure (SWBS) and form the basis of the SOW Contract Work Breakdown Structure (CWBS) chapter-sections. Where practical numbering will contain brief descriptive nomenclature that is underlined after outlined numbering down to the 3 level outline. Second level (Level 2) headings are categories of the chapter-section and will always fall into 1 of 4 categories as follows: 1. scope, 2. references, 3. specific tasks and 4.

deliverables. Third level headings and beyond will use outline style numbering 040.3.1…. and indenting. A contract modification or insertion might use an applicable three-digit WBS number such as 040.3.100. The purpose for adopting three digits after the category is to help SOW users rapidly reference specific WBS tasks or deliverable products. The VCM SOW Schema also enables a lettering format to be used anywhere past the fourth level, but lettering should be saved specifically for lists or discrete sub-tasks or may be used as a modifier in the first three levels only as determined by the MARAD contracting officer (for instance to capture former SOW revision history). Any outline lettering used, shall not be duplicated or confuse with any higher-level common outline numbering system. The first two levels (Chapter-Section. Category) shall include nomenclature that is underlined to identify the scope, references, requirements or deliverables categories, for third level tasks and higher a task “may” contain underlined nomenclature that immediately follows the common numbering schema. The adoption of this CWBS numbering schema approach enables scope, reference, task or deliverables to be changed, deleted or new statements inserted without major disruption or requirement for reserve numbering while still being able to specifically reference a specific SOW Scope, Reference, Requirement or Deliverable.

000.3.5.2.1 All third level SOW statements have at least a one-to-one relationship with a contract requirement and “may” have other contractual requirement relationships. The one-to-one relationship will flow-down from third level task requirements. All relationships to the RFP sections is accomplished using a bracketed reference with a section of the RFP or other internal reference statement (or proposed deliverables). Cross-References within a statement may refer to another VCM SOW reference (###.2), task (###.3.) or deliverable (###.4.). Fourth level task statements and beyond “may” contain bracketed references to definitize other requirement relationships, but in absence of any bracket reference beyond the third level, the requirement is assumed to have flowed down or is a naturally derived requirement to achieve MARAD objectives.

000.3.6 Inspection & Acceptance. 042 General Administrative Requirements, 090 Quality Assurance (QA), 092 Testing and 983 Delivery/Acceptance procedures contained within the SOW are intended to be integrated to meet all conditions in

Contract Number: 693JF719D000002/ Contract for the Procurement of the National Security Multi-Mission Vessel(s) place by FAR 52.212-4 and RFP Section E, Inspection, Testing and Access by MARAD. Findings of inaccuracy or non-conformance shall only be addressed by the MARAD Contracting Officer or as covered by the processes explicitly identified in QA, testing or acceptance procedures defined in these referenced sections. [E.1-10]

000.3.7 Guidance Design shall not be a basis for constructive change orders or any REA of this Contract.

000.4 Deliverables.

000.4.1 ULD (Updated Deliverables List). The VCM shall provide updated ULD revision as a recurring Contract Deliverable. Any changes to the ULD must be a function of a contract requirements change.

000.4.2 MCRM (Master Cross Reference Matrix). This overarching deliverable shall be provided as a recurring Contract Deliverable a revised MCRM with updates directly coincident to any contract requirements change.

000.4.3 SOW Revisions. As per ULD 000.4.1.

040 SHIP SYSTEM AND PROJECT MANAGEMENT REQUIREMENTS

040.1 Scope. VCM Ship System and Project Management includes overarching management requirements to independently orchestrate and deliver each contractually compliant NSMV to MARAD. The VCM shall appropriately scope staffing, teaming arrangements, and provide design and construction execution metrics into phased periods beginning from VCM award (task order) and through each NSMV task order, delivery and warranty period, to include the optional 5 year award term.

040.1.1 VCM Phases.

040.1.1.1 Post Award Review (PAR). Period immediately after VCM award leading into discussions and refinement of technical volume approaches and alignment with MARAD program processes.

040.1.1.2 Solicitation Development. Period after PAR for shipyard solicitation and leading to incorporation of MARAD GFI and Regulatory Schema for final commercial solicitation package and release.

040.1.1.3 Shipyard Selection. Period between solicitation release, Q&A and bid evaluations, leading up to a MARAD review and approval for award of the VCM selected shipyard.

040.1.1.4 Shipyard Award and Design. Includes award and several review and design milestones leading to a Production Readiness Review (PRR) Construction Phase.

040.1.1.5 Construction and Construction Oversight. Period per NSMV—from construction through Test, Trials and up to Delivery.

040.1.1.6 Delivery and Warranty. Period after delivery and for 1 year thereafter per

NSMV.
