About this file
This is Amendment No. 0005 to Solicitation No. 6913G626R200002 for a Rail Rolling Stock Modernization & Sustainment (RMS) Indefinite Delivery/Indefinite Quantity (IDIQ) contract issued by the U.S. Department of Transportation Volpe National Transportation Systems Center. The amendment formalizes submission instructions and evaluation criteria for Phase II Task Order Requests for Proposals (TORFPs) across four contract line items (CLINs 00100, 00200, 00400, 00500) and provides official government responses to 22 vendor questions and answers.
The Phase II proposal due date remains July 31, 2026, at 5:00 PM Eastern Time. CLIN 00100 requires the manufacture and delivery of locomotives (maximum 8 units across six delivery locations) with specifications including weights of 80 to 140 tons, minimum tractive effort of 60,000 pounds, and compliance with AAR Plate-L dimensions. Offerors must submit tiered unit pricing based on total aggregate quantity awarded, with all costs including labor, materials, freight to FOB Destination, program management, engineering, tooling, and commissioning fully burdened into unit prices. No progress payments or alternative payment schedules are authorized; payment occurs upon inspection, delivery, and acceptance of each individual unit. The Period of Performance is 09/30/2026 to 09/30/2031, with delivery of all locomotives required within 18 months of task order award. Phase II proposals must include a signed cover letter with task order consideration election, technical narratives addressing Factors 1–4 (including minimum two to three past performance records executed or completed within the past five years), and a pricing narrative with basis of estimate. Only prospective prime contractors who successfully participated in Phase I advisory down-select are eligible to submit proposals.

AMENDMENT NO. 0005
SOLICITATION NO. 6913G626R200002
RAIL ROLLING STOCK MODERNIZATION & SUSTAINMENT (RMS) IDIQ
The purpose of this Amendment 0005 is to:
(1) Formally amend and conform the submission instructions and evaluation criteria for Factor 4 (Past Performance) and Factor 5 (Price) across all Phase II Task Order Requests for Proposals (TORFPs); and
(2) Issue official Government responses to Phase II Vendor Questions & Answers (RFIs 1 through 22).
Accordingly, SOLICITATION NO. 6913G626R200002 is amended as follows:
SECTION 1: REVISIONS TO TASK ORDER SOLICITATIONS (CLINs 00100, 00200, 00400, 00500)
In strict accordance with the overarching IDIQ RFP and Amendment 0002, the Task Order proposal submissions constitute the mandatory evaluation baseline for base IDIQ contract awards and concurrent initial task order selections. Therefore, the TORFPs for CLIN 00100, CLIN 00200, CLIN 00400, and CLIN 00500 are hereby amended as follows:
1. REVISION TO SECTION 3.2 (VOLUME II: PHASE II TECHNICAL PROPOSAL)
Section 3.2 in each of the four TORFPs is amended to insert the following Factor 4 submission requirement directly beneath the Factor 3 instructions:
"Factor 4: Past Performance
Offerors shall submit a minimum of two (2) and a maximum of three (3) past performance records for recent contracts (executed or completed within the past 5 years) that are materially similar in size, scope, and complexity to the technical requirements of the applicable CLIN as described in the SOW. Submissions are subject to the strict 5-page budget defined in Section L.3 of the parent IDIQ RFP. For each record provided, the proposal must include: (1) Reference name and contact info (email/phone); (2) Contract Number; (3) Agency or Business Entity; (4) Period of Performance; (5) Contract Value; (6) Contract Type; and (7) A detailed description of the work performed."
2. REVISION TO SECTION 4 (BASIS OF TASK ORDER AWARD & EVALUATION) —
FACTOR 4
The evaluation narrative for "Factor 4: Past Performance" in Section 4 of each TORFP is deleted in its entirety and replaced with the following text:
"Factor 4: Past Performance. The Government will evaluate the recency, relevance, and quality of the offeror's submitted past performance records to assess performance risk and assign an adjectival confidence rating in accordance with Section M.2.1 of the parent IDIQ RFP. This evaluation will directly measure the offeror's history of successfully executing projects of a similar technical and logistical complexity, and the rating will be actively utilized as a scored, non-price factor in the final best-value tradeoff determination for IDIQ contract selection and task order award."
3. REVISION TO SECTION 4 (BASIS OF TASK ORDER AWARD & EVALUATION) —
FACTOR 5
The evaluation narrative for "Factor 5: Price" in Section 4 of each TORFP is deleted in its entirety and replaced with the following text:
"Factor 5: Price. Proposed pricing will be evaluated for completeness, balance, and reasonableness in accordance with FAR 15.404-1. In strict accordance with Amendment 0002, the pricing elements provided within these initial task order sheets will form the mandatory baseline used by the Government to calculate the Total Evaluated Price (TEP) for the overarching IDIQ contract best-value tradeoff decision, ensuring a uniform evaluation baseline regardless of the offeror's final task order award consideration election."
SECTION 2: SOLICITATION QUESTIONS & ANSWERS (PHASE II - RFIs 1 THROUGH 22)
Q1: Is there a method for progress payments on CLIN 00100 Locomotive New Build, or does the OEM Mfg. need to price in cost of money through delivery and acceptance for each Locomotive?
A1: No. In accordance with FAR Part 12 commercial item acquisition procedures, contract financing and progress payments are not authorized under this solicitation. Offerors must price their proposals accordingly to cover performance costs through delivery and final acceptance.
Q2: For cost of money planning, is it correct that each individual Locomotive will be paid upon acceptance, per UNIT PRICE as defined on Section 8, “Task Order CLIN Pricing Schedule” of CLIN 00100 TORFP, and each locomotive payment will not be held until complete/all qty CLIN 00100 (Qty 6 or 8) are delivered in whole?
A2: Yes, that is correct. In accordance with FAR 52.232-1 (Payments) and FAR 52.212-4(i), payment will be processed on a per-unit basis at the awarded firm-fixed unit price following formal inspection, delivery, and acceptance of each individual locomotive at destination. Payment for accepted units will not be withheld pending delivery of the total fleet order quantity.
Q3: Does the Government have overland insurance to cover interchange transport of locomotives that have departed the OEM mfg. siding, but have not arrived at the Delivery Location listed in Section 8?
A3: No. In accordance with FAR 52.247-34 (F.O.B. Destination) and FAR 52.246-16 (Responsibility for Supplies), title and risk of loss or damage to equipment remains entirely with the Contractor until formal delivery and acceptance by the Government at the specified destination railhead. The Government does not carry transit insurance; securing appropriate transit insurance during transport is the sole responsibility of the Contractor.
Q4: PROPOSAL FORMAT - Is there a specific proposal format bidders should follow for the bid due July 31? Do bidders simply fill in UNIT PRICE for Sheet 3 on document RMS IDIQ RFP 6913G626R200002 or are project detail narratives encouraged/accepted?
A4: Submitting unit prices alone is non-compliant and will result in proposal rejection. Narrative submissions, both Technical Narratives in Volume II and Pricing Narratives / Basis of Estimate (BOE) explanations in Volume III, are required.
In accordance with Sections L.3 and L.4 of the RMS IDIQ RFP, Amendment 0002, and TORFP Section 3, a complete Phase II proposal submission package must contain:
1. Signed Cover Letter: Must satisfy all RFP Section L.4 requirements and explicitly execute the mandatory Task Order Consideration Election (Opt-In / Opt-Out) established in Amendment 0002.
2. Volume II – Phase II Technical Proposal: Written technical narratives structured directly around Factors 1 through 4 in accordance with TORFP Section 3.2 and Amendment 0005, subject to the page budgets defined in RFP Section L.3.
3. Volume III – Price Proposal: The completed Task Order Pricing Schedule (Attachment 1, including Tables A and B, to this Amendment 0005) AND a supporting Pricing Narrative/Basis of Estimate (BOE) breaking down labor, major materials, freight, commissioning, spare parts, and tools in accordance with TORFP Section 3.3. Volume III has no page limit.
Q5: 00300 - Is there a Railcar Mover specification bidders can review/follow? Size and type? New or remanufactured?
A5: There is no requirement for Railcar Movers at this time, and no offerors expressed interest in CLIN 00300 during Phase I; therefore, it was removed from the scope of the RMS IDIQ.
Q6: 00400 - Is there a minimum number of personnel required on job site?
A6: No, the number of personnel should be based on the workload and schedule requirements.
Q7: 00404 - Is there an available listing of locations for the 642 railcars referenced?
A7: Yes. Quantities at each location are approximate:
- McAlester, OK: 200
- Sunny Point, NC: 130
- Iowa Army Plant: 130
- Crane, IN: 150
- Remaining cars are located at: Blue Grass, KY; Fort Eustis, VA; Hawthorn, CA.
Q8: CLIN00100 TORFP, Proposal Due Date - In order to allow for bidders to gather component pricing and lead times, which change frequently, will USDOT Volpe Center please extend the Proposal Due Date until Friday, August 28, 2026 at 5:00 PM ET?
A8: Not at this time. The Phase II proposal due date remains July 31, 2026, at 5:00 PM ET.
Q9: General Question - Will proposers declining to bid on the initial job orders be considered for future job orders under the IDIQ?
A9: Yes. In accordance with Amendment 0002 (Section L.4), offerors may elect "IDIQ Pool Consideration ONLY (Task Order Opt-Out)" within their proposal cover letter. Opting out of the initial task order award will have no negative impact on an offeror's eligibility to receive an IDIQ contract award or compete for subsequent orders during the 5-year ordering period.
Q10: CLIN00100 TORFP, Period of Performance - The lead times for major components within the rail industry, especially Tier 4 rail engines in the power range specified (1800hp), are currently in excess of one year - sometimes up to 18 months. This makes the specified Period of Performance almost impossible or impossible for the winning bidder. Considering this, will Volpe extend the Period of Performance to 42 months, or otherwise, allow bidders to submit their own proposed schedule for evaluation?
A10: The Government will not extend the maximum delivery timeline to 42 months. Delivery of all awarded locomotives must be completed no later than eighteen (18) months after task order award. However, offerors are authorized and required to submit their proposed master production and delivery schedule as part of their Factor 3 (Management Approach) technical proposal for evaluation.
Q11: CLIN00100 TORFP, Period of Performance / FAR 52.211-11 Liquidated Damages-Supplies, Services, and Research or Development (OCT 2025) - What daily liquidated damages will be / would be enforced if the Contractor were to fail to deliver within the required Period of Performance for CLIN00100? Is there a cap (i.e., 5 percent of the total contract value) on these damages?
A11: Liquidated damages, if applicable, are established at the individual Task Order level upon award. There is no standard FAR cap (such as 5%) on liquidated damages.
However, adherence to the agreed-upon Period of Performance is a mandatory technical and contractual requirement. Failure to meet delivery schedule milestones without an excusable delay subjects the contractor to standard FAR remedies, including: (1) Negative performance evaluations documented in the Contractor Performance Assessment Reporting System (CPARS), impacting eligibility for future Task Order awards across the 5-year IDIQ ordering period; (2) Termination for Cause under FAR 52.212-4(m); and (3) Liability for any excess reprocurement costs incurred by the Government to fulfill the requirement following a termination.
Q12: Requests for Proposal Section G.7 PAYMENT AND CONSIDERATION - The Payment and Consideration for Fixed Price orders provision states: Upon delivery and acceptance of the required services, the Contractor shall be paid at the fixed price specified under each CLIN or SLIN specified in the Order. This payment structure will require the bidders to pass through borrowing costs for major components, such as the engine, alternators, trucks, and other major components. These fees can be avoided through a milestone payment structure that allows the Contractor to maintain a cash-neutral position throughout the manufacturing of the locomotives.
Will USDOT VOLPE CENTER either allow for alternative payment plan proposals, allow the Contractors to offer discounts for alternative payment plan proposals, or allow bid prices to be conditioned on the acceptance / negotiation of proposed payment plan proposals?
A12: No. In accordance with FAR Part 12 commercial item acquisition procedures and Section G.7 of the RFP, payment is executed upon formal delivery and acceptance of each individual unit.
Alternative payment schedules, milestone financing, or proposals conditioned upon negotiating custom payment plans are unauthorized and will result in the proposal being determined non-compliant and excluded from evaluation.
Q13: CLIN00100 TORFP, 3.1 Partial Quantity Proposal Authorized - Will USDOT VOLPE consider changing the price sheet to something similar to one of the attached proposed price forms?
A13: The “attached proposed price forms” referenced in the question have been omitted to eliminate confusion. The Government has revised Section 8 of the CLIN 00100 TORFP to incorporate an updated, two-table Task Order Pricing Schedule (provided in Attachment 1, Tables A and B, to this Amendment). This revised structure allows offerors to propose tiered unit pricing based on the total quantity of locomotives awarded (accounting for manufacturing economies of scale), while selecting specific delivery locations. However, separately priced shipping line items and isolated "Fixed Program Fee" line items are strictly unauthorized. In accordance with FAR 52.247-34 (F.O.B. Destination) and TORFP Section 3.3, all freight, delivery, program management, engineering, and tooling costs must be fully burdened into the proposed Firm-Fixed- Price (FFP) unit prices.
Q14: Requests for Proposal L.2.7 & CLIN00100 3.2 Volume II: Phase II Technical Proposal - For formatting, should bidders append job order level evaluation factor to each master IDIQ outline?
A14: In accordance with Amendment 0002, the Task Order proposal submission serves as the uniform evaluation baseline for Phase II. Bidders shall not prepare separate "Master IDIQ" and "Task Order" technical volumes. Offerors must structure Volume II directly around Phase II Factors 1 through 4 as defined in RFP Section L.3 and TORFP Section 3.2, providing a single, integrated narrative per factor that addresses both overarching CLIN capabilities and specific SOW requirements, subject to the strict page limits in Section L.3.
Q15: Requests for Proposal L.2.7 Phase II Proposal Submission, Factor 3 - If bidders are considered small businesses per their NAICS code (336510 - Railroad Rolling Stock Manufacturing), it is interpreted that the Subcontracting Plan under Phase II, Factor 3 is not required. Is this correct? If not, by what specific measurement (revenue, employee count, etc.) is it determined that a business is a Large or Small business?
A15: Yes, that is correct. In accordance with FAR 19.702 and RFP Section L.2.7 (Factor 3), small business concerns are exempt from submitting an Individual Subcontracting Plan (subcontracting plans are required for Large Businesses only). Business size status is determined by employee count under the Small Business Administration (SBA) size standard for NAICS code 336510 (Railroad Rolling Stock Manufacturing), which sets the threshold at 1,500 employees (as stated in Section K, FAR 52.219-1).
Q16: CLIN00100 TORFP Phase II Q&A Deadline - To allow for bidders to ask follow up questions to this round and to provide adequate time to gather any questions from its suppliers, will USDOT VOLPE CENTER please extend the Q&A period until July 31, 2026?
A16: Not at this time.
Q17: CLIN00100 Statement of Work (SOW) - Are there any dimensional limitations, such as overall length, distance between truck centers, maximum height, maximum width, or curve negotiation requirements?
A17: Locomotives shall not exceed AAR Plate-L dimensions. For the 80-ton locomotive, maximum length over couplers is 45 feet, maximum width is 10’-6”, and maximum height is 15 feet. Curve negotiation for the 80-ton locomotive is 110 feet coupled to a 40-foot flatcar. Curve negotiation for the 120-to-140-ton locomotives is 300 feet coupled to a 50-foot boxcar.
Q18: CLIN00100 Statement of Work (SOW) - Are there any minimum tractive effort requirements for the locomotives?
A18: Minimum starting tractive effort shall not be less than 60,000 pounds.
Q19: CLIN00100 Statement of Work (SOW) - Does USDOT VOLPE CENTER or the end user group have a preference for a lighter or heavier weight locomotive within the stated range of 80 to 140 tons?
A19: All locomotives except for Fort Eustis and optional Tooele shall weigh at least 120 tons but not exceed 140 tons. The Fort Eustis locomotive shall not weigh more than 120 tons. The Tooele locomotive shall be an 80-ton design (may be center cab).
Q20: CLIN00100 Statement of Work (SOW), 3.6 Wheels, Traction & Main Engines - Are reconditioned D77 or equivalent traction motors acceptable, provided they include new support bearing seal rings?
A20: Yes.
Q21: CLIN00100 Statement of Work (SOW), 3.6 Wheels, Traction & Main Engines - Are reconditioned truck frames acceptable?
A21: Yes.
Q22: CLIN00100 Statement of Work (SOW), 3.6 Wheels, Traction & Main Engines - Is there a preferred two-axle truck design (e.g., Blomberg, Flexicoil, or rigid switch), or is any truck design acceptable provided it can operate safely at 35 mph?
A22: Truck design must be of the AAR B-B type identified for rail service in the AAR Manual of Standards and Recommended Practices and must allow all other requirements to be met.
SECTION 3: SOLICITATION TERMS & ACKNOWLEDGMENT
