About this file

This is Amendment No. 0002 to Request for Proposals (RFP) 6913G626R200002 for a Rail Rolling Stock Modernization & Sustainment (RMS) Indefinite Delivery Indefinite Quantity (IDIQ) contract. The amendment removes the requirement for Mock Task Orders from Phase II and updates proposal submission instructions, proposal structure, cover letter requirements, and evaluation methodology. The Phase II Proposal Due Date remains July 31, 2026, at 5:00 PM ET. The Period of Performance is 09/30/2026 to 09/30/2031. The contracting activity is the Volpe National Transportation Systems Center, located at 220 Binney Street, Cambridge, MA 02142-1001. Offerors responding to Phase II must submit technical and pricing information for the funded Initial Task Order Statement of Work (SOW) only, applicable to relevant Contract Line Item Numbers (CLINs): 00100, 00200, 00400 (and related Sub-Line Items), and/or 00500 (and related Sub-Line Items).

The amendment establishes a mandatory Task Order Consideration Election mechanism requiring offerors to select one of two options in their signed cover letter: either request evaluation for an IDIQ award with concurrent Initial Task Order award consideration, or request IDIQ Pool Consideration only with a formal decline of the Initial Task Order award. Submission of comprehensive technical and pricing volumes for the Initial Task Order is strictly mandatory for all Phase II offerors regardless of their task order election status. The Initial Task Order pricing sheets will form the baseline for evaluating price reasonableness and calculating Total Evaluated Price (TEP) for IDIQ contract tradeoff decisions. Failure to submit the required pricing sheets for a proposed CLIN will result in immediate proposal rejection for non-compliance. Offerors electing to opt out of the immediate Initial Task Order award will maintain full eligibility for the IDIQ award and remain eligible to compete for all subsequent task orders during the 5-year ordering period. If an opt-out offeror's proposal represents the best value to the Government, they will receive an IDIQ contract, and the immediate Initial Task Order award will cascade to the next highest-ranked offeror who elected to accept the task order.

AMENDMENT NO. 0002

SOLICITATION NO. 6913G626R200002

RAIL ROLLING STOCK MODERNIZATION & SUSTAINMENT (RMS) IDIQ

The purpose of this amendment is to update the Phase II proposal submission instructions, proposal structure, cover letter requirements, and evaluation methodology. The requirement for Mock Task Orders is hereby removed from this solicitation in its entirety. Offerors responding to Phase II shall submit technical and pricing information for the funded Initial Task Order Statement of Work (SOW) only, as applicable to the relevant CLIN(s).

This task order framework will serve as the mandatory, uniform evaluation baseline to assess capability and calculate the Total Evaluated Price (TEP) for the base IDIQ contract awards. To accommodate offerors who are eligible for a base IDIQ contract but do not wish to be considered for an immediate, funded Day 1 project, a formal Task Order Consideration Election mechanism is hereby established.

Accordingly, SOLICITATION NO. 6913G626R200002 is amended as follows:

Detailed Text Modifications

1. Section L.2.7 — Phase II Proposal Submission (Page 85)

The second, third, fourth, and fifth paragraphs under Section L.2.7 are hereby deleted and replaced in their entirety with the following text:

REVISED TEXT: For offerors who have properly submitted proposals for the mandatory Phase I evaluation, Phase II full proposals will form the sole basis for multi-award IDIQ contract determinations and the competitive selection of the funded Initial Task Orders. To establish a uniform and equal competitive baseline across all offerors, the SOW and pricing sheets for the funded Initial Task Order must be completed and submitted by all offerors submitting proposals for Phase II.

Submission of the comprehensive technical and pricing volume corresponding to the Initial Task Order statement of work is mandatory for IDIQ award consideration. This submission is required regardless of whether the offeror intends to accept performance of the Initial Task Order at the time of award.

To accommodate varying contractor capacities, offerors may elect to exclude themselves from the immediate award of the initial project(s) while maintaining full eligibility for an IDIQ award.

Offerors must formally execute this selection via the Task Order Consideration Election in their Phase II Cover Letter as described in Section L.4.

For offerors who opt out of the immediate Initial Task Order award, the technical and pricing materials submitted in response to the Initial Task Order(s) will be utilized by the Government strictly as a standardized evaluation baseline to measure proposal merit against Phase II Factor 1 (Technical Approach), Factor 2 (Key Personnel), Factor 3 (Management Approach), and Factor 4 (Past Performance), and to compute TEP for the final best-value tradeoff. Non-selection or voluntary opt-out from the Initial Task Order award will have no negative impact on an offeror's eligibility to receive an IDIQ award. Offerors who receive an IDIQ award but are not awarded an Initial Task Order will remain fully eligible to compete for all subsequent task orders issued during the 5-year ordering period.

2. Section L.2.7 — Phase II Factor 5 Price (Page 88)

Paragraph A (Proposal Submission Requirements) under Phase II Factor 5 Price is hereby deleted and replaced in its entirety with the following text:

REVISED TEXT: A. Proposal Submission Requirements The Offeror shall submit a comprehensive Price Volume (Volume III) consisting of the following components. No pricing information shall be included in Phase I.

• Mandatory - Initial Task Order Pricing Baseline: The Offeror must provide a completed price sheet in response to the funded Initial Task Order for CLINs 00100, 00200, 00400 (and related SLINs), and/or 00500 (and related SLINs), as applicable to each specific CLIN the offeror wishes to be considered for under the overarching IDIQ contract pool.

• Baseline Enforcement: Submission of these task order pricing sheets is strictly mandatory for all Phase II offerors. The pricing elements provided within these sheets will form the baseline used by the Government to evaluate price reasonableness and to calculate the TEP for the IDIQ contract tradeoff decision. Failure to submit the Initial Task Order pricing sheets for a proposed CLIN will result in the immediate rejection of the proposal for non-compliance, regardless of the offeror's task order award election status.

3. Section L.3 — Proposal Structure and Page Limits (Page 90)

The row corresponding to Volume III within the proposal structure and page limits table is hereby amended to read as follows:

Volume Title Page Limit

III Phase II, Factor 5 - Price (based on response(s) to mandatory Initial Task Order baseline sheets)

Pricing Sheet

4. Section L.4 — Cover Letter Requirements (Page 91)

Section L.4 is amended to add Item "M", inserting a mandatory checkbox and signature requirement to the formal cover letter instructions:

REVISED TEXT: M. Task Order Consideration Election The offeror must explicitly copy, complete, and execute the following text block within their signed cover letter:

The Offeror shall select exactly one of the two following options by placing an "X" in the appropriate box:

[ ] IDIQ Pool and Task Order Award Consideration: The offeror requests evaluation for an IDIQ award and concurrent award of an Initial Task Order. By checking this box, the offeror certifies that all technical and pricing submissions for the Initial Task Order represent a firm, binding offer to perform the required rail modernization and sustainment services if selected by the Contracting Officer.

[ ] IDIQ Pool Consideration ONLY (Task Order Opt-Out): The offeror requests evaluation for an IDIQ award only and formally declines consideration for the Initial Task Order award. The offeror acknowledges that they are still strictly required to submit the complete Initial Task Order proposal volumes to provide the Government with the mandatory evaluation baseline data required under Phase II Factors 1, 2, 3, 4, and 5. The offeror certifies that the pricing elements submitted within the Phase II Price Volume represent firm, valid maximum pricing metrics for evaluation purposes, but understands that they are excluded from selection for the funded Initial Task Order award at, or shortly after, the IDIQ contract execution.

5. Section M.1.2 — Phase II Evaluation (Page 93)

The third paragraph under Section M.1.2 is hereby deleted and replaced in its entirety with the following text:

REVISED TEXT: Technical evaluation for the multi-award IDIQ contract pool will be performed as described below. Price evaluation for the IDIQ award will be based entirely on the mandatory pricing submissions for the funded Initial Task Orders provided during Phase II. The orders for CLINs 00100, 00200, 00400 (and related SLINs), and 00500 (and related SLINs) are based on actual requirements and will be awarded to the successful offeror at, or shortly after, IDIQ award, provided the successful offeror has not executed a Task Order Opt-Out election within their proposal cover letter.

For offerors who execute a Task Order Opt-Out election, the task order submittals will be evaluated strictly as standard baseline information to assess merit against Factor 1 (Technical Approach), Factor 2 (Key Personnel), Factor 3 (Management Approach), and Factor 4 (Past Performance), and to formulate the mandatory TEP for the IDIQ contract best-value tradeoff determination. If an opt-out offeror's proposal is selected as representing the best value to the Government under the Section M tradeoff criteria, they will receive an IDIQ contract and remain fully eligible to compete for all subsequent orders issued during the 5-year ordering period, but the immediate Initial Task Order award will cascade to the next highest-ranked, opt-in offeror.
