About this file

This is a Deviations or Exceptions to Sample Services Agreement form issued by the Incorporated County of Los Alamos Procurement Division in New Mexico for a pavement survey, analysis, and pavement management software solicitation. The form provides offerors with two certification options: either to confirm they have reviewed the County's Sample Services Agreement and have no deviations or exceptions to submit, or to formally submit proposed deviations and exceptions for the County's consideration. Offerors must cite the original County language and provide suggested alternative language for any requested changes, and may include their own standard contractual terms such as Master Services Agreements or Licensing Agreements. The County explicitly reserves the right to consider but is under no obligation to accept any proposed deviations or exceptions submitted by offerors.

All specification deviations, including limitations of liability, must be documented in writing and submitted with the proposal; failure to do so will result in the offeror being held strictly accountable to the terms and conditions as written by the County. Offerors are required to identify any conflicts between their standard contractual terms and the County's Sample Services Agreement provisions. The form notes that the inclusion of additional agreements alone is insufficient and that any deviations not specifically addressed in the offeror's submission and subsequently accepted by the County may serve as grounds for proposal rejection. Additional pages may be submitted if more space is needed for stating deviations and exceptions.

Solicitation No.:

Solicitation Title:

Select one option below.

I certify that I have read and understand the County’s terms and conditions stated in the Sample Services Agreement provided and have no deviations or exceptions to submit.

Having read the Sample Services Agreement provided by the County, the following deviations and exceptions to the terms and conditions are hereby submitted for County’s consideration. I understand that the County may consider, but is under no obligation to accept, any of an Offeror’s contractual terms or provisions included in an Offeror’s Proposal.

Instructions Offeror must cite the original language from the County’s standard terms and suggested language for any deviations or exceptions. Offerors should also provide with their Proposal any of their own standard contractual terms or provisions the County will be asked to consider if Offeror is selected for award. This may include, but is not limited to, such things as a sample Master Services Agreement or Licensing Agreement and any additional governing documents referenced within those sample standard agreements.

The inclusion of additional agreements alone will not be considered by the County to be a sufficient submission of deviations or exceptions. All deviations from the specifications, including but not limited to limitations of liability, must be noted in detail by the Offeror, in writing, at the time of submittal of the Proposal. In the absence of a written list of specification deviations at the time of submittal of the Proposal, the Offeror shall be held strictly accountable for the terms and conditions as written. Any deviation from the specifications as written, not specifically addressed in an Offeror’s submission and accepted by the County, may be grounds for rejection of the Proposal. Offerors must note if their own standard contractual terms or provisions conflict with those provisions provided in the County’s Sample Services Agreement. If more room is needed, Offerors may submit additional pages with their Proposals.
