Releated Information
All The RFP addresses the process and documentation needed for non-OCI related no-bids of task orders. Please clarify the mechanism and process for submitting and gaining approval for no-bid decisions on task orders based upon OCI reasons?
A letter documenting the OCI concerns, how it prevents you from bidding and your request for a waiver from VRFOR.
Attachment 7 All All rows in Attachment 7 In Amendment 2 with clarification in Amendment 3 of the RFP, the Government has changed the minimum and maximum ranges for all labor categories. To respond to the change, responders have to effectively reevaluate and/or rebuild all 140 LCAT rates causing significant rework of the price proposal. Because of the very large amount of work necessary to address the government change, we respectfully ask the government to both (1) document the pricing changes in the amendment description and (2) extend the submission time two weeks.
NO. If you have DCAA or DCMA approved rates, these ranges ultimitately should not matter.
M5 119 Tab F - Security Clearances for Key Personnel (Optional): Where, specifically, in the MATOC evaluation process will Employee Security Clearances play a role?
This shows you have immediate acess to KPs with active security clearances, as opposed to waiting for someone to go through the process of being cleared.

Government is not in a position to provide at this time.
Amendment 3 N/A With the recent release of Amendment 3, and the amount of documents and information to be evaluated and incorporated, would the Government please consider releasing an extension on submittal? NO
1st Set of Responses to Questions, Question 3
N/A "Q: What are Offerors required to submit within MATOC Volume 5 - Systems, Certifications, and Clearances- Tab F: Security Clearances at the MATOC Level?
A: For key personnel"
Will the Government accept a list provided by the company FSO, stating clearances, status, and necessary dates, or will the Government specify what document or format it wants offerors to provide to validate clearances for key personnel?
Inclusion in KP resume, level of clearance and date of expiration is sufficient.
2nd set of responses to questions, Question #66
N/A "Q: there is a disconnect between years of experiecne and education requirements stated in the Key Personnel Section and in Attachment J9.
Exhibit 2 MATOC LCATS and Definitions…. Can the Government confirm, is this exception acceptable to be used for these MATOC level KP or are the KP requirements going to be adjusted to be in alignment with Exhibit 2?
A: Will Correct"
M.3.6 Key personnel states that 8 years experience is required for a Sr. Level position, the J9 attachment states 10 years are required for a senior level position. Will the Government confirm that M.3.6 takes precedence over J9, or do candidates have to meet both requirements?
Labor category and definitions says "over 8 years of experience"

Attachment 7
MATOC Labor Rates Ranges Amendment 2
Amendment 2, MATOC question 40 In the Government response to question 40, the Government advised that the Subject Matter Expert IV direct labor range maximum would be increased. Amendment 2, Attachment 7 revised all of the DL ranges for every labor category and skill level, including some very significant downward adjustments.
Some of the new salaries are as low as $34,000 - $45,000, which is unrealistic for SCLS exempt labor in the Washington, DC geography, requiring a Bachelors degree and up to 3 years of experience.
There are many Journeyman salaries that are also unrealistically low for the qualifications, such as the Business and Financial Operations Specialists, Accountants, Programmers, and IT Specialists. The maximum DL rates are out of sync with the current market.
Can the government please review the revised salary ranges in light of the information provided and the answer to Q40?
Some ranges were changed by mistake. Corrected.
L.6 Formatting Guidelines
90 TAB D – Professional Employee Compensation Plan (10 Page Limit) Typical Employee Compensation Plans are often in excess of 20 pages. Would the Government please increase the page limit to the Compensation Plan to 20 pages so that offerors have enough page count to address all of the requirements of FAR 52.222-46? Increased to 20 pages
L.6 MATOC
VOLUME 1 -
General (Amendment 1)
90 TAB D – Professional Employee Compensation Plan (10 Page Limit) Amendment 1 establishes a 10-page limit for the Professional Employee Compensation Plan. In order to fit all of the content required of 52.222-46 within 10 pages, would the Government accept compensation ranges by labor family (e.g. one compensation range for the Actuary family, inclusive of all four skill levels), rather than compensation ranges for each of the 136 individual LCATs?
(Reference FAR 52.222-46: "As part of their proposals, offerors will submit a total compensation plan setting forth salaries and fringe benefits proposed for the professional employees who will work under the contract.")
Submit plan IAW 52.222-46.
page count increased to 20.
The answer to question 29 clarified that Teaming Subcontractors are to provide their own MATOC labor rates; Amendment 3 states that Teaming Subcontractors may provide their Attachment 3 Price Labor Rates directly to the PRISM Pool POCs. Please confirm that the only requirement of Teaming Subcontractors is the Attachment 3 Price Labor Rates, and no other documentation or proposal response.
Teaming Subcontractors are required to provide Attachment 3, which are MATOC Labor rates. See section H for "Teaming Subcontractor" definition.
1st Set of Responses to
Questions
Answer to Question
Teaming Subcontractors must also complete the Direct Labor Rates spreadsheet. Non-teaming subcontractors can't exceed Prime ceiling rates.
Offerors may be using Teaming Subcontractors to supplement Key Personnel that are small businesses, 1099 / independent consultants and/or are commercial item subcontractors in accordance with RFP FAR Clause 52.244-6 that do not have approved accounting systems or established indirect rates.
Would the Government permit Teaming Subcontractors without approved accounting systems and/or established indirect rates to submit a statement that they will agree to fall under the Prime's MATOC ceiling rates, or provide a price analysis in lieu of a cost-build-up, since they do not have indirect cost rates?
See section H for "Teaming Subcontractor" definition.
Approved accounting system is only required for the Prime contractor, however, attachment 3 is still required for all Teaming Subcontractors.
PRISM MATOC
RFP 2nd Set of Responses to
Questions
Answers to questions 144 and 108 The answer to question 144 regarding Prime offeror G&A and/or Materials Handling rates stated that "Offerors shall include this at the MATOC level."
The answer to question 108 answered differently, stating "Prime cost burdens for overseeing subcontractors will be evaluated at the task order level."
These costs / cost rates are not applied to Prime labor, but are rather applied to subcontractor labor, or travel, ODCs. Therefore, they cannot be introduced as new columns in the Prime's MATOC pricing sheet, and it would be inappropriate to apply these to the Teaming Partner's Attachment 3, as it would result in the exchange of proprietary cost information between Prime and Subcontractor.
Please confirm that it will be acceptable to disclose these rates in the Prime's one-page MATOC Price Narrative, and that they will be applied to the Task Order pricing, consistent with the answer to question 108. Confirmed
Section L.6 90 Formatting Guidelines Requirement says, "...12-point Times New Roman type...Text within tables and graphics may be smaller, if necessary, but must be legible and readable when printed."
If each Corporate Experience project is contained within a table, would the Government please confirm it is acceptable to use Times New Roman 10-point font? YES
DEAMS PWS
1.6.11.2

95, 117 Section L.11 - Completion of the Base Year and Option (OY) tabs will populate in the summary tab. Labor rates must be consistent with the binding labor rates submitted for the MATOC Base Contract Awards for the Prime contractor and the subcontractors.
Section M.6.1 - Binding Ceiling Rates: For each labor category the offeror shall provide cost element breakdown of Direct Labor, Fringe Benefits, Overhead, and General and Administrative (G&A) for the ceiling rate for that labor category. Note: Profit and/or fee shall NOT be included in the binding ceiling rates. Profit and/or fee will be negotiated at the task order level.
Will the government please provide clarification if offerors are to propose fee for the Seed Task Orders pricing? The answer to question 32 indicates pricing should include fee however the answer to question 298 indicates all Seed Task Orders should be exclusive of fee.
Offerors are to provide fee for the seeds
M.6.1. Factor 6 Price Proposal
119, 120 Section M.6.1 In accordance with FAR 15.404-1(g), the Government has established a direct labor rate range for the PRISM Base Contracts and proposal labor hour range for the Seed Task Orders that are, by definition, realistic, fair, and reasonable. M.6.1 - #4 If applicable, pursuant to FAR 15.404-1(c)(2)(i) a verification of cost data or pricing data and an evaluation of cost elements will be conducted to include (A) the necessity for, and reasonableness of, proposed costs, including allowances for contingencies; (B) projection of the offeror’s cost trends, on the basis of current and historical cost or pricing data; (C) reasonableness of estimates generated by appropriately calibrated and validated parametric models or cost-estimating relationships; and (D) the application of the audited or negotiated indirect cost rates, labor rates, and cost of money or other factors.
Will the Government confirm since Fair and Reasonable pricing was provided to industry by the Government, that offerors are not required to substantiate rate at the MATOC level if they fall within the ranges provided.
Offerors must provide all of the information requested regarding direct rates.

- Item e . The extent of participation of small business prime offerors in terms of the percentage of the total acquisition, OR alternatively the percent of ‘planned subcontract’ dollars;”
Please correct the language to align with FAR 52.219-9 in Item e to state: The extent of participation of small business prime offerors in terms of the percentage of the total acquisition AS a percent proportionate to 'planned subcontracting dollars. " The current language does not make it clear, there are two separate SB participation percentages, and they are not the same.
For example : In accordance with FAR 52.219-9, At the Total MATOC Task Order value of $400,000,000.00; 1) Prime deducts the portion of the TCV they will perform. If that is 50% of the TCV ($200,000,000.00), 50% of the TCV remains available to be subcontracted between OTSB (Large) and SB subcontractors ($200,000,000.00) .
Applying the minimum DoD 30% SB participation subcontracting goal stated in G.3.1 and Attachment J-11 (Previously J-10), the available subcontracted portion for SB concerns ($60,000,000.00), this amount is equal to 15% of the Maximum Total Task Order value (TCV) of $400,000,000.00.

A majority of the P&R Key Personnel categories require expertise in one or more of the P&R functional areas and expertise in DoD or similar federal agencies financial management policies, processes, and procedures. This additional requirement significantly reduces the number of qualified personnel to support this requirement.
Will the Government consider changing the requirement to “or” rather than “and” regarding expertise in DoD or similar federal agencies financial management policies, processes, and procedures?

118 An Acceptable Accounting System is mandatory. All other Systems, Certifications, and Clearances are not mandatory requirements;
however, offerors who have these Systems, Certifications, and Clearances currently in place are considered more favorably in accordance with the Technical Approach Evaluation Factor. Systems, Certifications, and Clearances will be evaluated on an Acceptable/Unacceptable basis, to be included with the overall evaluation of Technical Approach.
As a small business, DCAA audits cannot be requested by contractors. They must be requested by Government Agencies so many contractors will not have a DCAA audit performed within the last year. Will an Offeror receive an Acceptable rating for an Accounting System if they have been audited by DCAA more than a year ago, however not within a year, and the only evidence of the audit is the previously issued audit report from
DCAA?
If an apparent awardee, an audit will be requested.

Amendment 1, Section M.6.1 states, "Note: Direct Labor Rates are defined as unburdened labor rates for both the Primes and the Subcontractors proposing on this requirement. The Prime is responsible for ensuring that the subcontractor provides a full and complete labor rate build that provides complete transparency for the direct labor rate component and each indirect rate applied to it."
Per Amendment 1 Q&A #28, the Government confirmed that subcontractors are required to provide pricing that would include proprietary data. Can the Government please provide explicit subcontractor submission requirements, including how the subcontractors should submit their proprietary data to the Government?

Amendment 1, Section H.9.1 states, "Security clearances for Contractor employees, including Subcontractor employees, may require Confidential, Secret, Top Secret, Agency-Specific Clearances, and/or Special Background Investigations for Sensitive Compartmented Information or Special Access Programs."
Per Section H.9.1, it states that a security clearance may be required but there are no security requirements in any of the key personnel labor categories. Per Amendment 1 Q&A #3, the Government indicated that security clearance information is required for key personnel. Will the government confirm that personnel security clearance requirements are only at the Task Order level and a facility clearance is required for the MATOC bid? If so, please consider removing the requirement for Tab F - Personnel Security Clearance for Key Personnel in Volume 5.
All 3 Seed PWS have security clearance requirements and Key Personnel must meet those requirements at the time of proposal submission.

115 Section M.4.1, Factor 4 Past Performance, "Recency Assessment: ...To be recent must have been completed within the last ten (10) years of issuance of this solicitation or is ongoing for at least one year prior to the proposal due date."
Would the Government consider a Corporate Experience that is longer than 1 year in duration (total contract period of performance) that has not been ongoing for 1 year yet?
For example, there may be a relevant, ongoing contract that an offeror has only been performing for 8 months. Would the Government consider changing the sentence from, "To be recent must have been completed within the last ten (10) years of issuance of this solicitation or is ongoing for at least one year prior to the proposal due date." to "To be recent must have been completed within the last ten (10) years of issuance of this solicitation or is ongoing ."
