About this file

This is a Justification and Approval (J&A) document for Other Than Full and Open Competition issued by the Department of Veterans Affairs.

The acquisition seeks brand-name proprietary Johnson Controls Metasys N2 protocol control devices for a Building Automation Systems (BAS) upgrade at Temple and Waco Veterans Affairs Medical Centers. The project requires Johnson Controls to replace existing Metasys software, databases, firmware, programming tools, and integration services to incorporate new devices into the Government's current system. Major components include Field Controllers managing HVAC systems and Variable Air Volume boxes; Network Engines (Supervisory Network Engine and System Network Controller series); Application and Data Servers; a web-based User Interface for monitoring and control; Field Devices/Sensors (valves, actuators, sensors); and Integration Components supporting Master-Slave/Token-Passing field bus, N2, BACnet/IP protocols. The estimated project value is redacted, with a period of performance of 548 days. The solicitation will be conducted as a Service-Disabled Veteran-Owned Small Business (SDVOSB) set-aside and made publicly available on SAM.gov. The justification cites 41 USC §3304(a)(1) as the statutory authority, determining that Johnson Controls is the only responsible source capable of providing the proprietary Metasys platform, as replacing it with another vendor's system would require demolition of existing equipment, network redesign, and extensive recommissioning in occupied clinical buildings, resulting in substantial cost duplication and unacceptable delays. Market research conducted in October 2025 confirmed that while other BAS vendors can provide control systems generally, none can provide proprietary Metasys software, firmware, or database access required to extend the existing Metasys 12.0 system without replacing the entire Johnson Controls platform. Johnson Controls International is headquartered in San Antonio, Texas, with domestic manufacturing locations in Wichita, Kansas and Norman, Oklahoma, with Buy American Act compliance required.

4. Statutory Authority Permitting Other than Full and Open Competition:

( X ) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements per 41 USC §3304(a)(1) as implemented by Revolutionary FAR Overhaul (RFO) 6.103-1.

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): The unique qualifications and nature of acquisition necessitate the use of the cited authority for the following reasons:

Replacement of the existing Metasys BAS with another vendor’s system would require demolition of functioning Government-owned Metasys equipment, redesign of the BAS network, reengineering of sequences of operation, and extensive recommissioning in occupied clinical buildings, resulting in substantial duplication of cost and unacceptable delay, in conflict with RFO 6.103-1(b).

Accordingly, Johnson Controls is the only firm capable of providing the brand-name proprietary Metasys BAS platform described in Section III above.

6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as possible (including whether a notice was or will be publicized as required by RFO Part 5 and, if not, which exception under RFO Part 5 applies): The solicitation will be made publicly available on SAM.gov. This J&A will be posted with the solicitation as required by RFO 5.201(c)(3). The construction project will be competed as a SDVOSB set-aside.

7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable: The CO anticipates competition for this solicitation. The price will be determined fair and reasonable by evaluating the competitive proposals received during solicitation against each other and the Independent Government Estimate (IGE) if necessary.
