About this file
This is an Information Technology Terms and Conditions exhibit for the City of Alexandria's Transportation Stipend Card Management Services RFP, establishing contractual requirements for any vendor providing technology products or services under the resulting contract. The exhibit applies to contractors who will access City information systems, store or process City data, or provide software and cloud-based services. Key obligations include implementing reasonable security safeguards to protect City data, maintaining compliance with Virginia and federal data protection laws including the Virginia Information Technology Access Act and ADA Title II (WCAG 2.1 Level AA standards), and notifying the City within one business day of any security incidents or unauthorized access. The contractor must ensure all custom deliverables are treated as works made for hire with the City retaining perpetual, non-exclusive, royalty-free licenses, while pre-existing software and tools remain subject to applicable license terms. The contractor may not permit subcontractors or third-party providers to access City data unless such access is necessary for contract performance and those parties are subject to equivalent data protection obligations.
The exhibit establishes that all City data created, received, or maintained by the contractor remains the exclusive property of the City, with the contractor acquiring no ownership interest. Upon contract expiration or termination, the contractor must return all City data in a commercially reasonable format or securely destroy it as directed by the City, unless retention is required by law. The City retains audit and verification rights to confirm compliance with the exhibit's obligations during normal business hours with reasonable notice. The exhibit addresses transition assistance requirements, specifying that upon contract conclusion the contractor must cooperate in the orderly transition of services to the City or successor contractor for a reasonable period, with any assistance beyond the original scope requiring mutual written agreement regarding scope and compensation. All obligations survive contract termination to the extent necessary to protect City data and enforce the City's rights.
