About this file
This is an Addendum 2 document issued by the Town of Ridgefield, Connecticut, Office of the Purchasing Manager for Bid Number 26-10, a Request for Quotes for Performance-Based Energy Services. The addendum modifies the required Hold Harmless Agreement by adding language that limits the Contractor's indemnification obligations to exclude costs, losses, damages, claims, or charges arising from the sole gross negligence or willful misconduct of the indemnified parties. The addendum applies to all bidders submitting proposals for this solicitation.
The Hold Harmless Agreement, as amended, requires the Contractor to indemnify and hold harmless the Town of Ridgefield from all costs, expenses, losses, damages, claims, and attorney's fees that the Town may suffer resulting from work performed under the contract or related activities, whether losses are incurred directly by the Town, its employees, licensees, invitees, or third parties seeking to hold the Town liable. The agreement also mandates that the Contractor comply with the Immigration Reform and Control Act of 1986 and hold the Town harmless for any failure to verify legal eligibility to work in the United States for all employees and subcontractors.
