About this file

This document is a draft contract clause (H Clauses) for a federal contract, specifically focused on technical data and software rights for in-service repairs, maintenance, and sustainment. The clause details comprehensive requirements for contractors to provide technical data and software necessary for enabling government maintenance and repair of weapon systems across organizational, intermediate, and depot levels. Key provisions include:

The clause establishes two primary licensing options for the government: (1) Government Purpose Rights for 10 years after contract completion, converting to Unlimited Rights after that period, or (2) Limited Rights for 10 years, converting to Government Purpose Rights. Contractors must provide access to all technical data and software used by original equipment manufacturers (OEMs) to repair, fix, calibrate, or maintain weapon system components. The clause also mandates the use of a Contractor Integrated Data Environment (C-IDE) to enable government access, download, and collaboration capabilities, with specific requirements for data marking, user agreements, and long-term data accessibility and ownership.

The Contractor shall be responsible for correction of discrepancies from contract award until the end of the period of performance of CLIN 0001. For the purposes of this contract, a discrepancy is defined as a failure to meet one or more of the requirements contained within any Section J attachments and/or all exhibits, including problems and defects associated with both hardware and software.

(b) The Contractor shall prioritize discrepancies as follows:

1. Priority 1: Prevents the accomplishment of an operational or mission-essential capability or jeopardizes safety, security, or other requirements designated “critical”

2. Priority 2: Adversely affects the accomplishment of an operational or mission-essential capability and no operationally acceptable work-around solution is known

3. Priority 3: Adversely affects the accomplishment of an operational or mission-essential capability and an operationally acceptable work-around solution is known

5. Priority 5: Any other effect

(c) In the event of a conflict between the Contractor’s priority classification of a discrepancies and the Government’s priority classification of a discrepancy, the Government’s priority classification of the discrepancy shall take precedence.

(d) The Contractor shall correct:

1. All priority 1, 2, and 3 discrepancies

2. All priority 4 discrepancy where correction of the problem costs less to implement than updating documentation and training materials for the approved workaround

3. Discrepancies at all priorities affecting documentation

4. Lower priority discrepancies that when combined with one or more lower priority discrepancies have a cumulative adverse effect that is of a higher priority and resulting severity which should be addressed in the same manner as a priority 1, 2, or 3 (e.g., combination of high-failure rate items identified via FRACAS that impact Operational Availability (AO))

(e) The Contractor shall deliver software that is in compliance with the following discrepancy quality limits:

Priority Limit 1 or 2 Zero 3 One per 8K Non-Comment, Non-Blank logical source lines of code or fraction thereof

The final product baseline is defined as a configuration that passes IOT&E with discrepancies corrected. The Contractor shall not be responsible for updating products to the UJTS final product baseline. This however does not alleviate the Contractors responsibility during testing to modify as necessary the products to meet successful testing requirements in accordance with this contract. The Contractor shall submit the necessary configuration documentation for Government’s approval.

(h) The Contractor shall ensure that Option Items 0101 - 0110 represent the final product baseline.

(j) The three-year warranty period as specified in paragraph (b) of DFARS 252.246-7001 shall not commence until all deliverables have been accepted or the period of performance has ended, whichever is later. This time period is consistent with the longer period that may be specified in this contract.

H-3 Integrated Data Environment The intent of this clause is to enable knowledge parity as referenced in SOW paragraph 2.1.6.2.

The Contractor shall support use/consumption of data created as part of the EMD program, through the Contractor Integrated Data Environment (C-IDE) in the following ways. These are high level descriptions and not inclusive of every potential scenario.
