Request for Proposal 24322622R0002 USALearning® Training and Education Support Product and Services Indefinite Delivery, Indefinite Quantity (IDIQ) Contract

USALearning® Training and Education Support Products and Services
1. BACKGROUND
USALearning® (USAL) originated as an e-Gov initiative called GoLearn under the Bush administration in 2004. Because of the centralized domain specific (e-Learning) technical expertise it was designated a Government-wide Shared Service Center and Human Resource Line of Business Preferred Provider for all Government e-Learning products and services and renamed USALearning®.
In 2017 the USAL program obtained “Best-In-Class" (BIC) designation, an acquisition status for Federal Shared Service Provider (FSSP) which demonstrates best business practices in the design and execution of contracts. The BIC designation requires that the USAL program office meet rigorous criteria defined by Office of Management and Budget (OMB) guidance. This includes demonstrated use of category and performance management strategies and third-party validation. When used Government-wide BIC adoption:
• Reduces contract duplication which leverages the Government's collective buying power to help agencies operate more efficiently.
• Provides transparency and standardization that leads to better data-driven business decisions.
• Reduces administrative costs and eliminates practices that reduce the Government’s shared purchasing power.

Under the Office of Personnel Management (OPM), USAL program supports all US Government— Federal agencies, state, and local municipalities with training services, training systems, courseware development, virtual simulators, strategic planning, and many other requirements. USAL learning management system (USAL LMS) support provides FedRAMP systems to over 60 large and small Federal agencies with non-cloud and cloud-based applications to include but not limited to Platform as a Service (PaaS) and Software-as-a-Service (SaaS) approaches to meet organizational requirements, as appropriate.
Furthermore, as an assisted acquisition provider, OPM is congressionally authorized to use its revolving fund for assisted acquisition support. This support across these agencies allows the USAL Program to leverage the Government’s buying power, reducing overall costs to Government customers. The two OPM authorities that govern USAL are the following:
Authority #1: 5 United States Code (U.S.C.) 1304 (e)(1): “A revolving fund is available, to the Office without fiscal year limitation for financing investigations, training, and such other functions as the Office is authorized or required to perform on a reimbursable basis, including personnel management services performed at the request of individual agencies.”

Authority #2: 5 U.S.C.4116: “The Office of Personnel Management, on request of an agency, shall advise and assist in the establishment, operation, and maintenance of the training programs and plans of the agency under this chapter, to the extent of its facilities and personnel available for that purpose.”
2. OBJECTIVES
The purpose of this requirement is to provide Training and Education Support Products and Services to support USAL customer agencies. The Contractor shall provide proposed solutions and all aspects of analysis, design, development, implementation and evaluation for all Training and Education Support services. These functional areas are as follows:
1) Formal and Informal Learning ISD and Support Services
2) Simulator Live and Virtual
3) Organizational Training and Planning
3. GENERAL REQUIREMENTS
The Contractor shall provide all labor, incidental materials, and other services required by individual Task Orders pursuant to the general requirements specified below.
3.1 Contract Maximum/Minimum Ceiling:
IAW Attachment 4, clause 52.216-22, “Indefinite Quantity,” the Maximum Overall Value of the USALearning® Training and Education Support Products and Services IDIQ contracts is $1,760,000,000.00.
IAW Attachment 4, clause 52.216-22 entitled, “Indefinite Quantity” the Minimum guaranteed value under any IDIQ contract is $10,000.00. The Government reserves the right to award initial orders at the time of the basic contract award on a sole source basis pursuant to FAR 16.505(b)(2)(D) at amounts which may exceed the minimum guaranteed value. No order under the IDIQ shall be awarded in excess of $50,000,000.00.
The ceiling price as set forth in clause 52.212-4 “Contract Terms and Conditions-Commercial Items, Alternate I,” paragraph (i)(3) will be established for each individual Time-and Materials/Labor Hour Task Order.
3.2 Contracting Officer’s Representative (COR)
CORs will be designated by the Contracting Officer (CO) at the IDIQ and Task Order level. The CORs will be responsible for inspection and acceptance of the services specified and will evaluate the Contractor's performance based on the terms of the requirements. A Technical Point of Contact (TPOC) from Customer agencies will provide input into the Contractor’s performance and technical guidance for any questions regarding customer agency requirements. In addition, the CORs will be responsible for entering Contractor Performance Assessment Reporting System (CPARS), receiving reports, and
Amendment 2 Attachment 1 Page 3 of 18 approving invoices. CPARS will be done annually at the IDIQ level; however, if there is an issue that warrants an Interim CPARS at the IDIQ or Task Order (TO) level one will be accomplished.
4. TASK ORDER MANAGEMENT
4.1 General Ordering
Individual TOs will be placed in accordance with the regulations within FAR Part 16.505 and according to the procedures established in this section.
To the maximum extent practicable, customer agency requirements shall be performance-based.
To the maximum extent practicable, TOs will be placed on a firm-fixed price (FFP) basis. For labor-hour and time and material orders, the CO shall follow the procedures at FAR Part 16.601.
4.2 Contractor Program Management
The Contractor shall establish a single management focal point, the Program Manager, to accomplish the administrative, managerial, and financial aspects of this contract and all subsequent TOs. This individual shall be identified as the focal point for all programmatic issues.
4.3 Fair Opportunity
Each IDIQ holder offering the required services will be afforded a fair opportunity in accordance with 16.505(b)(1)(i) and considered for each order exceeding the micro-purchase threshold unless one of the following exceptions at 16.505(b)(2)(i) applies:
(A) An urgent and compelling need exists, and following the procedures would result in unacceptable delays;
(B) Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized; or
(C) In the interest of economy and efficiency, the new work is a logical follow-on to an order already issued under the contract, provided that fair opportunity was considered for the original order;
(D) It is necessary to place an order to satisfy a minimum guarantee;
4.4 Data Ownership
Data rights will be determined at the Task Order level in accordance with FAR 52.227-14 and any alternatives as applicable by the requirement.
4.5 Requests for Task Order Proposal (RFTOP)
When the Government has a TO requirement, it will issue a written Request for Task Order Proposal (RFTOP) to include an assigned tracking number, a description of the work, submission instructions and the basis upon which the selection will be made. If circumstances do not permit issuance of a written RFTOP, OPM may use other streamlined procedures IAW 16.505 Ordering to order services under the https://www.acquisition.gov/far/html/Subpart%208_4.html#wp1089505

IDIQ.
The description of the work shall be in the form of a Statement of Objectives (SOO) or Performance Work Statement (PWS). The SOO/PWS will include a description of work to be performed; location of work; period of performance; deliverable schedule; applicable performance standards; and any special requirements (e.g., security clearances, travel, special knowledge).
The RFTOP shall indicate the contract type for the TO.
The RFTOP shall require the IDIQ Holders to provide a Technical Volume (technical proposal) and Price Volume (price proposal). The Technical Volume shall include a description of how the IDIQ Holder proposes to accomplish the work and any exceptions taken to the Government’s proposed terms. The price volume shall specify a price for the performance of the tasks identified in the SOO/PWS. The RFTOP will indicate if Past Performance shall be required.
A Quality Assurance Surveillance Plan (QASP) will be incorporated into each individual performance based TO.
Within ten business days after receipt of the RFTOP, or as specified within the TO Request, the Contractors shall provide its proposal.
The TO proposal will be submitted to the CO for evaluation and acceptance.
4.6 Task Order Proposal Evaluation
The COR or other OPM Program Office POC will provide a written evaluation of each TO proposal submitted in the format agreed upon by the CO and in accordance with the basis provided in the RFTOP.
Regardless of whether the RFTOP required past performance references, the Government reserves the right to consider the evaluation of Past Performance in its selection for award of any individual TO, including the IDIQ Holder’s performance under any individual TOs issued under this IDIQ. For evaluation of Past Performance, the Government may use information from any sources available to it including, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases.
Office of Procurement Operations (OPO) is responsible for considering the level of effort, the mix of labor proposed to perform a specific task being ordered, determination of price reasonableness through appropriate analysis techniques and documenting the file accordingly.
OPO shall document evidence of compliance with these procedures and the basis for the award decision.
4.7 Placing of TOs against the IDIQ
If, after the conclusion of any clarifications or exchanges deemed appropriate by the CO, agreement is reached, the CO will issue a funded TO against the IDIQ incorporating all relevant documents. The TO will be issued unilaterally except when circumstances require the inclusion of terms or conditions not

5. TECHNICAL FUNCTIONAL AREAS
Individual TOs may encompass one or more functional area listed below.
5.1 FUNCTIONAL AREA 1 – FORMAL AND INFORMAL LEARNING INSTRUCTIONAL
SYSTEM DESIGN (ISD) AND SUPPORT SERVICES
The Contractor shall provide analysis, design, development, implementation, and evaluation for all formal and informal training products, training instructional support, training facilitation and management.
Training and development services can be provided for any discipline and subject matter in any format and mode (e.g., online, in person, etc.)
These services shall consist of, but are not limited to, the following:
a. Design/ Develop Formal Learning. The Contractor shall provide design, development, and delivery of adult formal learning and application of adult learning theory in relation to a systems approach to training. Training and development services shall be provided at any level for any discipline and subject matter in any format and mode (e.g., online, in person, etc.). A progressive use of the Analysis, Design, Development, Implementation and Evaluation (ADDIE) (or similar preferred industry model) shall be outlined to provide confidence that all final deliverables will successfully meet learning objectives and validate the learning outcomes.
The Contractor shall provide the following formal learning areas:
i. Provide eLearning courseware design and development. Contractor shall provide design, developing, delivering and validation of fully interoperable eLearning courseware that is sharable object content reference model (SCORM) courseware compliant. This requirement may also require conversion of existing classroom or instructor-led training to online delivery. This courseware shall play on standard browsers, as specified, and designed in one or more of the interactive levels below for interactive multimedia instruction:
• Level 0 – no assessments, informational
• Level I – simple content & assessments
• Level II – contains images, diagrams, learning checks and assessments
• Level III – highly enriched with multimedia, to include video. Content may be presented in up to 3 levels. Level III includes complex interactive assessments and checks on learning
• Level IV – simulation level development-refer to 4.2 below
ii. Provide classroom curricula design, development, and support. Contractor shall develop course curricula using industry common practices and standards for instructional development. These standards include standards for Instructional Systems Design published by the Association for Educational Communications & Technology (aect.org)
Amendment 2 Attachment 1 Page 6 of 18 and the International Board of Standards for Training, Performance, and Instruction (ibstpi.org).
Contractor shall develop, deliver, and manage:
• Program of instruction and/or syllabus
• Classroom instructional aids
• Presentation materials
• Teaching aids
• Handouts, references, and other materials
• Provide the supporting products for classroom and/or online virtual instruction
iii. Provide Training and instruction. Contractor shall provide instruction or facilitation at on-site at locations, or online using virtual meeting or training software.
• Hard skills training such as Medical, Information Technology, Cybersecurity, Law Enforcement, and other subject areas of expertise as required
• Contractor may be required to provide subject-matter experts (SME) trainers or as support staff for the development and delivery of technical training
• Some requirements may require Secret, Top Secret (TS) or TS Sensitive Compartmented Information (SCI) clearance
• Various soft skills, such as leadership and management, human resources, teambuilding, equal opportunity training, diversity, and inclusion, or similar.
iv. Design/develop Assessments. Contractor shall design, develop, and program assessments that are designed to measure the skills and knowledge the learner has mastered.
• Develop learning assessments that validate learner knowledge either before, during or after training events
• Provide mapping of learning assessments to learning objectives, validation and test item analysis as required
• Develop various methods to eliminate test cheating or compromise of test materials and answer sheets
• Program assessments into the customer agencies LMS or assessment systems (such as Questionmark)
• Analyze and report test reliability and validity, assessment delivery and statistical analysis
• Provide real-time dashboard and customizable reports for tests
v. Provide course curriculum validation. Contractor shall provide for either existing course material or as part of a development process. Validation includes learner trials, Amendment 2 Attachment 1 Page 7 of 18 test-item analysis, pilot testing, formative reviews, and other methods used to ensure that course content meets all objectives set forth.
vi. Develop training aides and device support (classroom). Contractor shall provide commercial-off-the shelf (COTS) training aides and devices. These may be electronic devices that can provide feedback or non-electronic devices used with instructor/facilitator support.
b. Informal Learning. Informal learning follows less structured rules than formal learning. It is intended to be discoverable and available for individual use in the workplace and is designed for modality on various mobile and computer devices in the learner’s possession.
i. Provide activity-based learning. Courseware design & development for learning utilizing the Experience Application Programming Interface (xAPI) activity-based course that utilizes Learning Record Store (LRS) library management. xAPI provides a level of granularity beyond SCORM and other formal eLearning distributed learning. The xAPI statement “Learner (name) did this (activity) in nine (9) minutes (measurement of the activity)” allows for design and programming of an infinite level of experience capture of the learner’s activities.
ii. Design/produce short videos. Show how to perform a specific task or provide specific information that the customer agency is seeking. As an example, YouTube has become the single largest repository of learning information in the world. Specific requirements for videos, such as length, native resolution, and streaming delivery mode/method will be described in the TO.
iii. Develop knowledge management for informal learning support. Creation of domain specific knowledge repositories for academic papers, information, and curated information libraries searchable and applicable to the topic for which is searched.
iv. Provide performance support. Includes learning activities, enable specific performance, or as a job aide for standalone event. These shall be tracked or included in a larger curricula (structured) learning, but which are delivered in small knowledge objects for performance support interventions.
c. Social Learning and collaboration. Allow agencies to easily manage content using the selected infrastructure of communities of learning (CoL), online forums, document management knowledge repository, wikis, and social media sites. Social learning events, activities, and collaboration can be online, in person, impromptu or organized. The intent is to provide connections for people to learn from each other- individually, or can be a part of a structured class, course curricula, cohort, or other organized manner.
i. Analyze/develop optimal online forum solutions. Considering COTS and open-source alternatives and build out a customer agency unique infrastructure to enable Customer agencies to manage its content using the selected infrastructure of CoL, online forums, Amendment 2 Attachment 1 Page 8 of 18 knowledge repositories, and social media sites. This task will develop the backend infrastructure for a customer agency to implement and manage online knowledge in the system. This infrastructure development shall include a custom customer agency header, unique customer agency forum or CoP instance, secure access URLs, and accounts to manage and maintain the customer agency content employing the selected approach.
Agencies may be provided with access to content administration controls in order to be able to create and edit its content.
ii. Develop and implement governance documents and planning. Ensure safe and effective use of social media for learning.
iii. Provide social media management. Support to customer learning communities of practice sites.
d. Additional requirements:
i. Provide educational support services. Includes educational consultants, testing services, guidance counseling and testing evaluation services.
ii. Course migration and conversion (i.e., Flash to HTML5/CSS). Contractor shall update or migrate of course content for purposes of bring to current playability, browser standard, accessibility standard or other.
iii. Mobile delivery. Contractor shall provide products that are Mobile ready. Provide learning design and development for learning content that uses smartphone and electronic tablet technologies, including GPS (locational) data, camera, video capabilities, phone, and other collaborative capabilities to enhance the mobile learning experience. These may focus on using microlearning or activity-based events that can capitalize on xAPI, short streaming videos, pictures, voice dictation and other media inputs available through the device which may depend on cellular data access.
5.2 FUNCTIONAL AREA 2: SIMULATORS AND LIVE-VIRTUAL
The Contractor shall provide for simple simulations that utilize a personal computer or mobile device and high-level architecture (HLA) distributed simulations. These simulations may be used in conjunction with instructor/facilitator led events, or as standalone learning simulations with the learner driving the pace and intensity (i.e., level) of the learning.
a. Live & virtual systems. Utilize HLA architecture designed to allow multiple persons in different locations to interact. These services shall consist of, but are not limited to, the following:
i. Develop live simulations. Involves real people operating real systems. Military training events using real equipment are live simulations. These are considered simulations because they are not conducted against a live enemy.
ii. Develop virtual simulations. Involves real people operating simulated systems. Virtual simulations inject a Human-in-the-Loop into a central role by exercising motor control skills (e.g., flying jet or tank simulator), decision making skills (e.g., committing fire control resources to action), or communication skills (e.g., as members of a C4I team).

b. Personal Computer Learning Games
i. Provide constructive simulations. Involves simulated people operating simulated systems. Real people stimulate (make inputs to) such simulations but are not involved in determining the outcomes. A constructive simulation is a computer program. For example, a military user may input data instructing a unit to move and to engage an enemy target. The constructive simulation determines the speed of movement, the effect of the engagement with the enemy and any battle damage that may occur.
ii. Provide single player learning games. Using game engines for full engagement in immersive interactive experiences, or scenario-based learning that can be utilized either onsite or via the Internet for remote learners. Development of these learning games requires Contractor technical expertise in programming game engines, development of 3D animations, video, audio, and other sensory inputs designed to stimulate high-level learning engagement.
iii. Create or support massively multiplayer online game (MMOG). MMOG is an online game with large numbers of players, often hundreds or thousands, on the same server. An example of a MMOG is America’s Army, which utilizes a COTS gaming engine adapted for recruiting and learning simulations by the US Army.
iv. Provide adaptive learning. Through artificial intelligence (AI) engines that creates personalized learning experiences which may tailor the learning rate, repetition and discovery based upon the individuals experience and responses.
c. Mobile games and apps. Rapidly growing in the training and education community these provide lightweight and effective applications which can be utilized as learning applications or performance support tools. An example of this type of application is the PERvasive Learning System (PERLS), a government-owned platform that uses advanced algorithms to provide tailored learning recommendations to personnel based on their characteristics, learning history, training requirements, and context. This allows distributed, self-regulated, context-aware, and personalized learning.
d. Support requirements. Above environments may include:
i. Design. Creation of virtual simulations for technical or non-technical training. These may include scenarios that place the learner into role-based environments or require virtual operation of PC based emulations of actual equipment.
ii. Development of virtual environments using game engines. Including licenses for Government use, or custom developed code for use on PC, mobile or other networked devices.
iii. Testing of HLA systems and environments. Tests may include functional testing and validation testing for determination of learning performance.
iv. Design of augmented reality and virtual reality (AR/VR). AV/VR learning experiences capitalizing on near-life realism in an immersive environment using VR viewing equipment.

5.3 FUNCTIONAL AREA 3: ORGANIZATIONAL TRAINING AND PLANNING
5.3.1 ORGANIZATIONAL NEEDS ASSESSMENTS
Provide services and products associated job task analysis and organizational needs assessment, which includes but is not limited to:
a. Provide knowledge management processes.
b. Provide competency and skills mapping.
c. Provide gap analysis.
d. Provide organizational training requirements and semi-annual reporting as required.
e. Provide performance metrics development.
f. Provide solution recommendations including technology-based solutions.
5.3.2 STRATEGIC PLANNING
Provide learning consultation services for organizations for the purpose of development of strategic learning/training programs, organizational improvement in learning processes, learning surveys and analysis of strategies for improvement and other consultative services at the organizational learning and development level.
5.3.3 EXECUTIVE COACHING AND MENTORING
a. Provide support for executive coaching electronic systems, applications, and coaching processes.
b. Support employee mentoring programs and supporting systems. Provide program support for matching mentors with mentees, and track progress.
5.3.4 TRAINING MEETING AND CONFERENCE COORDINATION
a. Provide for training meeting/conference planning services and support.
b. Provide training meeting/conference facilitation support.
c. Provide audio visual support.
6. DELIVERABLES
The Contractor shall be capable of performing and delivering the required services, in accordance with Section 5 – Technical Function Areas of this Requirements Description which outlines the required service areas and typical requirements. The requirements identified within each of the functional areas reflect the majority of the activities anticipated under that specialty but are by no means inclusive of all possible requirements within that area.
The Contractor shall provide proposed solutions and all aspects of analysis, design, development, implementation, and evaluation for all USALTraining and Education Support Products and Services, but is not limited to the following:

a. The functional areas are as follows:
1) Formal and Informal Learning ISD and Support Services
2) Simulator, Live and Virtual
3) Organizational Training and Planning
b. Task Order Deliverables
All applicable task order deliverables, required delivery dates, destination of delivery, and schedule for completion of work to be performed will be specified in task orders issued under this IDIQ contract, as applicable.
If the Contractor is non-compliant in the submission of deliverables, the Government will impose the Quality Assurance Surveillance Plan (QASP) disincentives for the respective deliverable.
c. Quarterly Status Report
The Contractor POC shall submit a status report to the COR no later than Quarterly as set forth in the table below. Deliverables with due dates falling on a weekend or holiday shall be submitted the first Government workday immediately following the holiday weekend.
For Quarterly reporting use the following calendar:

The report shall identify an accurate record of all task orders issued. The Government does not waive its right to request other deliverables or reports not specifically listed in the bullets below. Reports are required until the final task order is closed.
Quarterly Reports shall identify the following information:
• Task Order Number
• Brief Description of the Task Order
• Task Order Award Date
• Task Order Award Amount
• Task Order Performance Period
• Task Order schedule and progress to date
• Burn Rate and when funding is expected to run out given current Burn Rate
• Significant open issues, risk, and mitigation action

• Invoices submitted to date with current status
• Any meetings with USAL customer agencies (end user) to include date of meeting and brief overview of subject(s) discussed. Any notes generated from such meetings, shall be submitted to the USAL COR no later than 5 business days after occurrence.
d. Public Trust Investigations / Clearances
On a quarterly basis, the COR will submit a reconciliation report for eligible reimbursement costs associated with public trust investigation/clearance requests deemed outside the requirements of the IDIQ.
The Contractor must provide concurrence with or a detailed response identifying any disputes, discrepancies, errors or omissions claimed within 10 days from receipt of the report. Written response via Email is acceptable. If the vendor does not respond within the required timeframe, its non-response will be considered as concurrence with the investigation cost to be reimbursed to OPM.

e. Post-Award Conferences
The Government intends to convene a one-time Post-Award Conference with each awardee within 30 days after contract award. The CO shall notify all Prime Contractors of a specific date, location, and agenda within 15 days after contract award.
7. GOVERNMENT FURNISHED INFORMATION/EQUIPMENT
The Government will provide the Contractor with all relevant background information and documentation for successful conduct and completion of all requirements, as applicable.
8. ON RAMP
The Government may utilize an On-Ramp to add small businesses (SB) under any circumstances, as many times as it determines necessary, including in the event an Off-Ramp is exercised. The Government can exercise this right at its sole discretion. It is in the Government’s best interest that there remain an adequate number of Contractors eligible to compete for task orders to meet the USAL program needs. The Government may On-Ramp Contractors by any means the Government determines appropriate, including but not limited to, revisiting the original pool of Offerors and/or issuing a follow-on solicitation for evaluation. Any IDIQ Contract awarded via an On-Ramp process will include the same terms and conditions and in no way increase, the ceiling established or the ordering period for the program.

9. OFF RAMP
The Government, in its sole discretion, reserves the unilateral right to Off-Ramp non-performing Contractors. Contractors that are Off-Ramped shall have no active task orders. The Government may Off-Ramp a Contractor if any of the following events occur: an IDIQ Contract SB holder no longer qualifies as an SB because it is acquired by a non-SB concern or is no longer certified as a SB under the applicable NAICS for any reason; the CO permits the IDIQ Contract to expire instead of exercising an option; Termination for Convenience; Termination for Cause; Debarment, Suspension, or Ineligibility as defined in FAR Subpart 9.4; and/or Contractors who fail to meet the standards of performance, deliverables, or compliance. If the Government elects to exercise the Off-Ramp for any IDIQ Contract holder, the Contractor will be removed from the program and will not be eligible to propose on any Task Orders.
10. SMALL BUSINESS CERTIFICATION STATUS
Prior to the end of the Fifth Year and Exercising Optional Ordering Period 1: At the end of the fifth year of the contract and prior to exercising Optional Ordering Period 1 the Contractor will be required to certify its small business size status. In the event that the Contractor’s size standard changes from a small business concern to other than a small business concern and the Contractor has active task orders, including the exercise of options and modifications at the task order level, the Contractor shall continue performance of active task orders, but not have its Option exercised.
Any order issued during the effective period of the contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to the order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under the contract beyond 5-years from the end of the contract’s effective ordering period for those orders placed within the effective ordering period.
Upon re-certification at the end of the fifth year of the contract, if the Contractor’s size standard remains a small business concern and the Contractor’s Option Determination is determined justifiable by the CO, the Contractor’s Optional Ordering Period 1 will be exercised, and the Contractor will remain a small business concern under the award(s) that correspond to the Contractor’s respective SB Multiple Award Contract Number(s) for the remaining period of performance of the contract.
Contractor’s Optional Ordering Period 2 – IAW FAR 52.217-8 will be exercised, upon re-certification at the end of the fifth year of the Contractor’s Optional Ordering Period 1, if the Contractor’s size standard remains a small business concern and the Contractor’s Option Determination is determined justifiable by the CO, and the Contractor will remain a small business concern under the award(s) that correspond to the Contractor’s respective SB Multiple Award Contract Number(s) for the remaining period of performance of the contract.
11. PHASE-IN/PHASE-OUT TRANSITION AND CONTINUATION OF SERVICES
The outgoing Contractor shall provide a written draft transition plan as part of each task order proposal for performance requiring continued services to be awarded to a new Contractor, as applicable.

Transition plans required at the task order level will provide for all transfer of Government owned software, intellectual property, content, data schema, documentation, systems authorities, data transfer (if required), administrative access and controls, customer agencies policies and documentation, customer agencies contact information, and all other information, content, or requirements for continued operation.
The final transition plan will be presented to the CO or COR for approval a minimum of 30 days prior to the end of the task order contract period. The COR or COR shall confirm with the customer agency the final transition plan for approval. At the sole option of the Government, the phase-in/phase-out periods may commence either 30 days prior to the expiration or immediately upon termination of the contract term, or any extension thereof.
12. TRAVEL
All travel, if applicable, will be defined and priced as Not to Exceed at the task order level. Travel by air shall be negotiated at a fair and reasonable price, not to exceed coach fare. The costs for meals and incidental expenses incurred by Contractor(s) personnel shall be considered reasonable and allowable to the extent they do not exceed, on a daily basis, the per diem rates set forth in the Federal Travel Regulations (FTR). Travel by privately owned vehicle shall be at the current GSA approved mileage rate.
Traveling expenses within a 50- mile radius of a selected delivery facility/location will not be reimbursed.
Except as indicated above, the Contractor(s) will be reimbursed for actual travel expenses incurred, in accordance with the FTR and FAR Part 31.205-46 - Travel costs. Contractor(s) or its representatives who incur travel costs in excess of the amount negotiated and agreed upon for each activity do so at its own expense.
13. QUALITY CONTROL PLAN (QCP)
The Contractor will establish and maintain a QCP throughout the contract performance period in accordance with contract requirements.
The Contractor will provide a QCP, which will be used by the Contractor to control all aspects of the responsibilities within the performance of this contract. The QCP shall be submitted no later than 10 Days after notice of award. The QCP will include, but is not limited to, (1) a control system covering services; (2) a checklist for inspection performance during scheduled/unscheduled inspections; and (3) a system for identifying/correcting deficiencies.
14. QUALITY ASSURANCE SURVEILLANCE PLAN (QASP)
The Contractor will establish and maintain a QASP for each task order throughout the period of performance. The QASP will use quality metrics specific to the nature of the work required and evaluation of past performance. In some cases, the Government may specify required metrics for a specific TO Quality Assurance Surveillance Plan (QASP), while in other cases IDIQ Contract Holders may be asked to propose metrics as part of its Task Execution Plans (TEP), which may or may not be used for TO evaluation purposes. It is the Government’s preference, when appropriate and practical, that performance information be provided via real-time tools (e.g., dashboards) made available to the Government rather than via separate paper or electronic reports. Performance at the TO level will also be measured in the categories of on-time delivery/schedule, cost control, and management. Additionally, for TOs that exceed the Simplified Acquisition Threshold, in order to meet Contractor Performance

Information requirements in accordance with FAR Part 42.15, CPARS will be utilized. The Past Performance evaluations will be based upon the average of the cumulative TO QASP assessment ratings.
15. OTHER REQUIREMENTS
15.1 COPYRIGHT OWNERSHIP
The Contractor shall relinquish all copyrights to the U.S. Federal Government for all deliverables directly funded by the U. S. Federal Government. This does not apply to content when the Government does not pay for the development of the content, but does apply to the development of content, such as Government branded websites. This includes, but is not limited to graphics, documentation, database schemas, and source code.
The Contractor shall provide electronic copy of all associated content, documents, source files, media files, design documents, derivative documents, authoring files, talent releases, stock media usage rights and all other information related to the design, development, implementation, testing- to include any bug/fix documentation as a final deliverable for the project. This will be included in the project plans, milestones, and project deliverable lists.
15.2 RELEASE OF INFORMATION
All Government data must be treated confidentially, using the NIST guidelines for the security and handling of sensitive but unclassified (SBU) data. This requires data not to be released to any outside organizations, without specific written permission by authorized sources within OPM. Information collected will be provided in a mutually agreed upon format within seven (7) days of a formal request either in writing, letter, or e-mail. Any unplanned release of data must be reported according to current CISA guidelines.
15.3 PERSONNEL SECURITY INVESTIGATIONS (PSI).
Contractor may be required to provide personnel at specified public trust or higher levels. This information will be provided utilizing the DD 254 Form. Contractor will have a minimum facility clearance level of SECRET within 6 months of contract award.
a. Security. The Contractor shall implement and maintain security measures aimed at preventing unauthorized access to the Government information systems and data, student data, infrastructure support systems, and telecommunication services supporting LMS internet websites. Data systems shall be secured and protected from remote intrusion, hackers, virus infections, and service denial schemes. All Contractor personnel requiring access to Government IT systems will require a minimum of a public trust security clearance.
This clearance may take up to 30 days once the request has been made to OPM.
15.4 REVIEW TOOL
Contractor will provide an online review tool capability, such as zipBoard, ReviewLink or similar for Government review and comments for any developmental web-based products, such as eLearning
Amendment 2 Attachment 1 Page 16 of 18 courseware, LCMS web-page development, or any customized web-based learning applications. As a minimum, the review tool shall:
• Tag the web/HTML page with reviewer and comment information
• Allow other reviewers to collaborate and see any reviews in real time
• Allow reviewer to assign comment or review to another member of review team, such as a supervisor or subject-matter-expert
• Capture screen image or display page in link that can be opened and see the comment and associated page as it appeared at the time comment was made
• Allow reporting function that shows all comments by date, or reviewer or keyword
• Allow for collaboration and comments by developer to be entered and viewed by reviewers
15.5 PROJECT MANAGEMENT COLLABORATION TOOL
Contractor shall provide Government access to a shared web-based project management collaboration tool (PMCT), such as Trello or similar. The PMCT will allow Contractor to show project status information to USAL staff (up to 25 persons) and customer agency staff (up to two (2) per project) for milestone progress, sprint status, and other information as required. As minimum, the PMCT shall:
• Utilize a timeline view for project planning and status
• Include a calendar view for goals and completions
• Provide for various team roles and custom views based on role
• Allow for and depict customized workflows
• Show project task status using a dashboard that is based upon the user role
• Allow for collaborative conversations between Government and Contractor staff
• Utilize an intuitive and easy to learn interface
• Allow feedback and track feedback
15.6 WARRANTY
Contractor to warranty all custom products and services to be free of defects (including latent) at time of delivery. Changes in technology that result in a performance issue or change in the system are not considered a defect unless that defect would have resulted in an issue at the time of the delivery. Non-custom, or commercial software shall include the manufacturer warranty terms and conditions.
15.7 INCORPORATION OF RATES AND LABOR CATEGORIES
The blended labor rates and indirect labor rates are incorporated into the IDIQ Contract and are set forth in Attachment 13 – Pricing Workbook. The blended labor rates and indirect rates are applicable to Firm- Fixed Price (FFP) and Time-and-Material/Labor-Hour contract types at the Task Order level. Indirect costs as set forth in FAR 52.212-4 Alternate I (i)(ii)(D)(2) shall be billed using the indirect rates in the contract.

15.8 SECTION 508 OF THE REHABILITATION ACT
All systems, software and final course and media deliverables shall comply with Section 508 of the Rehabilitation Act, to include the most current refresh, as well as any additional accessibility requirements.
The following Section 508 requirements to all electronic deliverables, including electronic courseware, simulations, applications, portals, including all training media that is delivered on a computing device. The following apply to all requirements:
a. The Contractor shall test and validate all deliverables for conformance to the Revised 508 Standards, in accordance with the required testing methods. All deliverables will conform to the applicable Revised 508 Standards prior to delivery and before final acceptance.
b. The Contractor shall ensure all personnel providing content production and quality reviews possess the knowledge, skills, and ability necessary to address the applicable Revised 508 Standards defined in this contract and shall provide supporting documentation upon request.
c. All media associated with deliverables shall include (as applicable) captioning, audio description and playability with JAWs and other assistive technologies. For interactive media that requires visual response, alternative media and content may be proposed, and pending Government acceptance may be utilized. Any such proposed use of alternative media must be approved by the customer agency prior to incurring any production costs. Failure to comply or to ensure media is compliant will require Contractor to redo or replace any non-compliant media at no-cost to the Government.
d. When the contract requires installation, configuration or integration services for equipment and software pursuant to this contract, the Contractor shall not install, configure, or integrate the equipment and software in a way that reduces the level of conformance with the applicable Revised 508 Standards.
i. All maintenance upgrades, substitutions, and replacements to equipment and software pursuant to this contract do not reduce the original level of conformance with the applicable Revised 508 Standards at the time of contract award.
e. The Contractor shall not implement any hosting services in a manner that reduces the existing level of conformance of the electronic content with applicable Revised 508 Standards.
Throughout the life of the contract, the customer agency reserves the right to perform testing on a vendor or Contractor’s hosted solution to verify conformance with this requirement.
f. For web portals and/or associated content, and/or software, WCAG Level A and AA Conformance Test Results must be based on the Harmonized Testing Process for Section 508 Compliance: Baseline Tests for Software and Web Accessibility.
g. The Contractor shall maintain and retain full documentation of the measures taken to ensure compliance with the applicable requirements, including records of any testing or demonstrations conducted.
h. The Contractor shall provide an Accessibility Conformance Report (ACR) for each deliverable that is developed, updated, configured for the customer agency, and when product substitutions are offered.
i. Before acceptance, when the Contractor is required to perform testing to validate conformance to the customer agency’s accessibility requirements, the vendor shall provide
Amendment 2 Attachment 1 Page 18 of 18 a Supplemental Accessibility Conformance Report (SAR) that contains the following information:
i. Accessibility test results will be based on the required test methods.
1. Documentation of features provided to help achieve accessibility and usability for people with disabilities.
2. Documentation of core functions that cannot be accessed by persons with disabilities.
3. Documentation on how to configure and install the ICT item to support accessibility.
j. When a deliverable is an authoring tool that generates content (including documents, reports, videos, multimedia productions, web content, etc.)., provide information on how the deliverable enables the creation of accessible electronic content that conforms to the Revised 508 Standards, including the range of accessible user interface elements the tool can create.
i. Before final acceptance:
1. The Contractor shall provide a fully working demonstration of the completed deliverable to demonstrate conformance to the customer agency’s accessibility requirements. The demonstration shall expose where such conformance is and is not achieved.
2. The customer agency reserves the right to perform independent testing to validate that the deliverable solution provided by the Contractor conforms to the applicable Revised 508 Standards.
k. Non-Compliance:
i. Before final acceptance of any deliverable, including updates and replacements, if the Contractor claims its products or services satisfy the applicable Revised 508 Standards specified in the statement of work, and the CO determines that any furnished deliverable is not in compliance with such requirements, the CO will promptly inform the Contractor in writing of the noncompliance. The Contractor shall, at no cost to the customer agency, repair or replace the non-compliant products or services within the period specified by the CO.
