About this file
This document is the Owner's Additional Provisions for a fuel supply contract issued by the Madison County Mass Transit District in Illinois for the purchase and delivery of B11 Biodiesel Fuel and 87 Octane Unleaded Gasoline on an as-needed basis. The contract period runs from January 1, 2027, through December 31, 2027. The Madison County Mass Transit District has established estimated quantities based on the owner's current 12-month fuel requirements, though the district does not guarantee purchase of these quantities and reserves the right to purchase greater or lesser amounts as needed. The contract is subject to an operating assistance grant from the Illinois Department of Transportation (IDOT), and contractors must comply with all IDOT terms and conditions to avoid jeopardizing the owner's grant eligibility.
Contractors are required to maintain Pollution Liability Insurance with policy limits of not less than $2,000,000 for each pollution condition and $2,000,000 general aggregate, in addition to standard State of Illinois insurance provisions. The contract constitutes the complete agreement between the parties and supersedes all prior representations and communications. The owner reserves the right to purchase fuel in small quantities from non-contract providers when the contractor cannot provide service as required or to expedite repairs. Disputes arising from contract performance that cannot be resolved by mutual agreement shall be decided by the owner's chief executive officer, with appeals available within ten days. Any litigation shall be brought in the Circuit Court of the Third Judicial Circuit, Madison County, Illinois. The contract is funded through local funds, and the contractor must continue performance during any dispute resolution process unless otherwise directed by the owner.

The Contractor agrees not to perform any act, fail to perform any act, or refuse to comply with any Owner requests that would cause the Owner to be in violation of IDOT terms and conditions.
OAP 2 Insurance Requirements
In addition to State of Illinois Provisions for insurance, the Contractor shall maintain:
Pollution Liability Insurance with policy limits not less than $2,000,000 for each pollution condition and $2,000,000 general aggregate.
OAP 3 Notices
Any notice required under this contract shall be in writing, dated and signed by the party giving such notice or by a duly authorized representative of such party. Notices shall not be effective unless transmitted by any method that provides confirmation of transmission and delivery.
OAP 4 Entire Contract
This contract constitutes the complete and entire agreement between the Owner and Contractor and supersedes any prior representations, understandings, communications, commitments, agreements or proposals, oral or written, that are not incorporated as a part of the contract.
OAP 5 Estimated Quantities
The estimated number of tank deliveries used for bidding purposes are the Owner’s estimated 12-month requirement based on current usage and anticipated needs. The Owner does not guarantee, either expressed or implied, to purchase these quantities, but the right is reserved to purchase any greater or lesser quantities.
OAP 6 Purchase Contingency
The Owner reserves the right to purchase products in small quantities from non-contract providers when the Contractor is unable to provide service or supply parts as required or to expedite a repair.
OAP 7 Breaches and Dispute Resolution
Disputes - Disputes arising in the performance of this Contract which are not resolved by agreement of the parties shall be decided in writing by the Owner's chief executive officer. This decision shall be final and conclusive unless within ten (10) days from the date of receipt of its copy, the Contractor mails or otherwise furnishes a written appeal to the chief executive officer. In connection with any such appeal, the Contractor shall be afforded an opportunity to be heard and to offer evidence in support of his/her position. The decision of the chief executive officer shall be binding upon the Contractor and the Contractor shall abide by the decision, subject only to dispute resolution as provided herein.
Performance During Dispute - Unless otherwise directed by the Owner, Contractor shall continue performance under this Contract while matters in dispute are being resolved.
Claims for Damages - Should either party to the Contract suffer injury or damage to person or property because of any act or omission of the party or of any of his employees, agents, or others for whose acts he is legally liable, a claim for damages therefore shall be made in writing to such other party within a reasonable time after the first observance of such injury of damage.
Remedies - Unless this contract provides otherwise, all claims, counterclaims, disputes and other matters in question between the Owner and the Contractor arising out of or relating to this contract or its breach will be decided by arbitration administered by the Miles Mediation and Arbitration unless the parties agree to a different arbitration tribunal or to conduct the arbitration without the use of an arbitration tribunal. In the event that any suit is brought in connection with this contract, including a suit to compel arbitration or to enforce any arbitration decision, it shall be brought in the Circuit Court of the Third Judicial Circuit, Madison County, Illinois, which forum shall have sole and exclusive jurisdiction and venue of the parties and the matter and each of the parties does consent to personal jurisdiction in that court. Prior to the initiation of any dispute resolution procedure, the parties agree to confer in good faith to resolve the matter in dispute. If agreed to by both parties, disputes may be resolved by a mutually agreed-to alternative dispute resolution process that may include structured negotiations different from the remedies herein, mediation or arbitration.
