About this file
This document is a GSA leasing solicitation exhibit (RLP No. 36C24W24R0017) that establishes broker commission requirements and pricing terms for a real estate lease acquisition project involving the Veterans Health Administration (VHA).
CARPENTER/ROBBINS COMMERCIAL REAL ESTATE, INC. is designated as the authorized Tenant Representative Broker providing lease acquisition services to VHA. The Lessor is responsible for paying all real estate commissions, calculated as a percentage of total aggregate lease value as specified in the broker commission agreement. Aggregate lease value includes base rent, rental income, operating expenses, real estate taxes, and amortized tenant improvements, but excludes rental abatement, escalations for operating expenses or taxes, payments for services beyond those furnished by the Lessor, and lump sum tenant improvement payments. Commission is not collected on option periods or lease terms beyond the firm term. Payment is structured as 75% within 30 calendar days following lease execution and the remaining 25% within 30 calendar days following the earlier of VHA's space acceptance or rent commencement. The total Lease Acquisition Fee shall not exceed $1,500,000. If the Lessor fails to pay, VHA may deduct the commission from rent payments or lump-sum reimbursements owed to the Lessor. Offerors must acknowledge the potential for dual agency representation and treat commission information as confidential. Commission must not be evaluated separately in price evaluation as its value is incorporated into rental consideration. Offerors must submit an executed Broker Commission Agreement and Dual Agency Acknowledgement Statement with their proposals, and compensation to VHA's Broker must be entered in block 26.a of GSA Form 1364.

In connection with the provisions of such Lease Acquisition Services and in the event of consummation of a lease agreement between Lessor and VHA, Lessor will pay a commission or lease acquisition fee to CARPENTER/ROBBINS COMMERCIAL REAL ESTATE, INC. in the amount of a percentage equal to amount specified in commission agreement of the total aggregate lease value.
