Price reasonableness of the IDIQ pricing will be based on (ii) a comparison of the proposed prices/rates found reasonable on previous purchases, and/or (iii) current commercial price lists, and/or (vii) any other reasonable basis. If the Government cannot determine the prices fair and reasonable based on the information provided, then an award will not be made.

M.6 CLARIFICATIONS/DISCUSSIONS/AWARD WITHOUT DISCUSSIONS

The Government reserves the right to award without communications or clarifications, so it is in the best interest of each Contractor to include their most favorable terms in the initial submission. However, the Government reserves the right to conduct communications or clarifications, and to permit Contractors to revise their submissions. Clarifications are limited exchanges with Offerors that may occur when award without exchanges/discussions is contemplated. If award will be made without conducting discussions, Offerors may be given the opportunity to clarify certain aspects of their proposal or to resolve minor or clerical errors.

This statement is not to be construed to mean that the Government is obligated to communicate with every offeror. An offeror may be eliminated from consideration without further communication if its technical and/or price volume are not among those offerors considered most advantageous to the Government based on a best value determination.

Any exceptions or deviations by the Offeror to the terms and conditions stated in this solicitation for inclusion in the resulting contract may make the offer unacceptable for award without discussions. If an Offeror proposes exceptions to the terms and conditions of the RFP, the Government may make an award, without discussions, to another Offeror that did not take exception to the terms and conditions, if such Offeror is determined to be the best value for this effort.

M.7 INCORPORATION OF CONTRACTOR’S PROPOSAL

The Government may incorporate any aspect of the Offeror’s written submission or oral presentation/demonstration into the resulting award that is not specifically marked proprietary, with or without prior inquiry to the Offeror. If the Government makes inquiry to the Offeror, the purpose will be to make sure the Government has the correct text to capture the Offeror’s promise. This exchange will not constitute discussions in the context of FAR 15.306(d). If the parties are unable to agree on the exact text, any evaluation benefit based on that aspect of the Offeror’s proposal will not be considered in the selection of the successful awardee.
