About this file
This is a Vehicle Use Agreement template between the County of Rockland, New York and a contractor for the operation of the Transport of Rockland (TOR) public transit bus service. The agreement authorizes the contractor to possess, operate, maintain, repair, and use county-owned buses exclusively for commuter bus service operations as defined in a separate Operating Agreement dated 2026. The contractor is required to maintain all vehicles in a state of good repair in accordance with New York State Department of Transportation (NYSDOT) standards and industry maintenance schedules as recommended by vehicle manufacturers. The contractor must submit all county-owned vehicles for NYSDOT safety inspections every six months and ensure each vehicle passes inspection before returning to service. The agreement explicitly prohibits the contractor from using vehicles for charter, school, or non-commuter purposes without prior county authorization.
The contractor bears responsibility for all maintenance facility and storage requirements, though indoor storage is preferred but not mandatory. The contractor must maximize and properly administer all manufacturer warranties, submitting timely warranty claims to designated local service providers and purchasing extended warranty coverage if claims are voided due to contractor negligence or improper maintenance. In the event of vehicle incidents or accidents, the contractor must notify the County's Commissioner of Public Transportation within 48 hours with detailed documentation. All insurance proceeds from vehicle damage, minus reasonable expenses such as towing and cleanup costs, shall be paid to the county. The agreement is governed by New York State law, with venue in Rockland County or the United States District Court for the Southern District of New York, and requires prior written county consent for any assignment, subletting, or transfer of the contractor's interests.

(hereinafter referred to as “COUNTY”) and _____________ (hereinafter referred to as

In the event a VEHICLE is determined to be damaged beyond repair, a certified professional opinion/damage and repair estimate shall be forwarded to the COUNTY’s
Commissioner of Public Transportation or designee. All insurance proceeds not used for the repair of a VEHICLE shall be paid to the COUNTY, minus appropriate expenses (towing, site cleanup, etc.) as determined by the COUNTY’s Department of Public Transportation. The CONTRACTOR shall submit any and all receipts to the COUNTY for review.
In the event the VEHICLE is repairable, the afore-mentioned procedure does not apply. In such instances, a copy of the repair estimate and final invoice from a certified professional/business and a copy of the insurance check shall be provided to the COUNTY within 24 hours of the
VEHICLE’s return to revenue service. Any and all insurance or other proceeds remaining that are above the cost of the complete VEHICLE repair shall be paid to the COUNTY.
