Payment will be made within sixty days of receipt of a correct invoice, with interest potentially added per the Utah Prompt Payment Act if payment is delayed beyond that period. The contractor must warrant work quality for one year following the Completion Date and is responsible for all subcontractor payments, safety, hazardous materials management, and shall indemnify UCA and the State of Utah from all claims arising from performance. UCA reserves the right to terminate the contract for cause upon three days' written notice or for convenience without cause, with the contractor's sole remedy being payment on a percentage-completion basis for properly completed work.
