SECTION H - SPECIAL CONTRACT REQUIREMENTS
The following have been modified:
COST REIMBURSABLE INSTRUCTIONS
Post Award/Delivery Order Instructions for the Analysis of Cost Reimbursable CLINs: No submission requirement for the solicitation.
Instructions to awarded contractors: In response to a fair opportunity for work under a cost reimbursable CLIN, contractors shall use sufficient detail to demonstrate their balance, reasonableness and realism. If a contractor's unit prices appear unbalanced, when comparing them from quantity range to quantity range or ordering period to ordering period, the contractor shall provide documentation, including calculations and supporting rationale, explaining the apparent unbalanced pricing
The burden of proof for establishing the cost realism of costs proposed under cost CLINs rests with the contractor.
Therefore, the contractor is highly encouraged to submit spreadsheets and supporting narrative to show and explain the build-up of costs including build rate tables and estimating formulas used, in their submissions of spreadsheets.
Submitted Excel spreadsheets:
Shall be in a Microsoft Excel readable format.
Shall not be linked unless the linked data is provided with the cost proposal provided to the Government.
Shall be submitted in an unlocked format.
Quantitative factors that impact cost shall be addressed in the offer submission. Specifically, proposed material quantities, labor hours, and other quantitative elements should be addressed to allow for Government cost realism evaluation of material and labor in accordance with FAR 15.404-1(d). Proposed material quantities and labor hour amounts shall be the same in both the fair opportunity document and the contractor's offer.
Contractors shall show/explain the estimating basis of direct labor hours by labor category. Direct labor hours shall be clearly cross-referenced by labor category, work breakdown structure (WBS) element, and CLIN element. This information shall also be submitted for any subcontractors or interdivisional entities for any costs proposed under any cost reimbursable type CLIN. Subcontractor information can be submitted directly to the Contracting Officer should the subcontractor consider its rates sensitive or proprietary. Contractors shall submit a table of direct labor and indirect rates used for proposal purposes for prime, interdivisional, and subcontractors. Each contractor/subcontractor shall provide documentary accounting and estimating support for ALL proposed direct labor rates and indirect rates (i.e. scrap/material handling, fringe benefit, overhead, G&A, FCCOM, etc.) and documentary support for proposed direct labor and indirect rates.
Contractors shall provide current copies of forward pricing rate agreements, proposals, or recommendations (FPRA, FPRP, FPRRs) to support proposed direct labor and indirect rates. Also provide copies of any existing current DCAA Provisional Rate Agreements. If none of this data is available for proposed indirect rates, the contractor shall show the detailed calculated basis for the proposed rates including pool and base detail by cost element attached and cross-referenced to the cost proposal. Submitted W-2 or payroll information shall be cross-referenced to labor categories to support proposed direct labor rates, if direct labor rate agreements are not available. This information shall also be submitted for any subcontractors or interdivisional entities for any costs proposed. If a subcontractor considers its rates sensitive or proprietary, their information can be submitted directly to the Contracting Officer.
Contractors (prime) shall conduct the price and/or cost analysis necessary to determine the reasonableness of intercompany or subcontractor proposals in accordance with all the provisions of FAR 15.404-3. For interdivisional subcontractor proposals exceeding $500,000, detailed support shall be provided showing the nature and extent of the work involved, proposed contract type (i.e. CP, CPFF, T&M, etc.), as well as the details necessary to enable the
Government to evaluate the proposed costs. As stated above, in accordance with FAR 15.404-3(b), the contractors (prime) shall conduct and provide evidence of the reasonableness of proposed subcontractor costs. If a subcontractor declines to provide certain sensitive proprietary data (i.e. rates, etc.) directly to the prime to substantiate reasonableness and realism, the prime shall direct that the subcontractor provide the data to the Government. If contractors (prime) are unable to conduct price/cost reasonableness of a subcontractor, the contractor (prime) shall provide a statement which explains why and ensures that the required data will be provided to the Contracting Officer from the subcontractor.

1.1 Instructions, Conditions And Notice To Offerors (Section L)
1.1.1 Proposal Submission
1.1.1.1 General Instructions
In order to be considered for award, Offerors must submit their proposal in accordance with these instructions.
Failure to adhere to these instructions may result in rejection of the offer without further SSEB consideration for award.
Proposals shall be submitted in digital format as specified herein. The proposals shall be divided into four sections or “Volumes”. The below table lists the title for each Volume, specifies the page limit for each Volume, and specifies the number of digital copies.
Volume Title Page Limit # of Digital Copies
Volume 1: Offer 30 3
Volume 2: Technical 100* 3
Volume 3: Price N/A 3
Volume 4: Small Business Approach N/A 3
Volume 5: Past Performance N/A 3
1.1.1.1.1 * Excluding Appendices to the Technical Volume (see 1.1.2.2 below)Page Limits
The numbers of pages specified in the above table are firm page limits. The Cover Page, Table of Contents, List of Figures, and Acronyms pages are not included in the page count. Any pages in excess of the limit specified will be removed from the Volume and not considered part of the proposal. Information contained on any excess pages will not be evaluated. Technical Volume supporting documentation will not be considered in the page limits and shall be submitted as appendices (See Factor 1).
1.1.1.1.2 Acquisition Source Selection Interactive Support Tool (ASSIST)2Industry
During the conduct of this acquisition, the Government will use the Acquisition Source Selection Interactive Support Tool (ASSIST) to support the proposal evaluation and source selection process. A separate tool, the ASSIST2Industry, will be used in conjunction with ASSIST to accomplish all exchanges with Offerors after receipt of proposals pursuant to FAR 15.306. ASSIST2Industry provides the ability for the Government to issue, and Offerors to receive and respond to, all Evaluation Notices (ENs) in a secure online environment. In order to initiate the use of ASSIST2Industry, the Government requires the names, company titles, telephone numbers, and email addresses of two (2) individuals (primary and back-up) who Offerors designated as responsible for receiving and responding to Government ENs through ASSIST2Industry. The required information regarding these two individuals must be submitted with Offeror’s proposal and included in the cover letter.
After the solicitation closing date, the Government will establish an account and authorize access in ASSIST2Industry for Offeror’s designated individuals. Two (2) separate system generated emails will be sent to each individual. One of the emails will contain the individual’s ASSIST2Industry username. The other email will contain the individual’s temporary password. Using the provided username and temporary password, each individual can then go to https://ASSIST2Industry.army.mil to access the account. NOTE: The first time a user logs in, the user will be required to change the temporary password before the user can proceed to use the site.
Whenever the Government issues ENs to Offerors through ASSIST2Industry, the Government’s Contracting Officer will notify Offerors through a medium independent of ASSIST2Industry (e.g., e-mail) that Offerors have ENs in ASSIST2Industry waiting for a response. There will be no ENs in ASSIST2Industry until such notice is issued by the Contracting Officer. Offerors can contact the ASSIST2Industry helpdesk at (609) 562-7050 or
(609) 562-7031 for any technical assistance that may be needed.
Offerors are cautioned that the system generated emails referred to above are intended for administrative purposes only. Receipt of these emails does NOT constitute the commencement of any type of exchange with Offerors in accordance with FAR 15.306(a), (b), or (d) (i.e., clarifications, communications, or discussions).
Also, receipt of these emails does not signify that a competitive range determination in accordance with FAR 15.306(c) has been made or that the Offeror’s proposal will be included in the competitive range when that determination is made. All notifications that any type of exchange with Offerors has commenced and Offerors have ENs available to respond to, or any notification that the offeror’s proposal has been included in or excluded from the competitive range, will be sent to Offerors by the contracting officer independently of the ASSIST2industry.
1.1.1.1.3 Digital Copies
Offerors shall provide digital copies of proposals on Compact Discs (CD) or Digital Versatile Discs (DVD).
Volumes 2, 4 and 5 may be placed on the same disc. Volume 2, 4, 5 and any supporting documents shall NOT contain any pricing information. Volume 1, Offer and Volume 3, Price may be placed on the same disc but must remain separate from Volumes 2, 4 and 5.
The Government will host the digital files within ASSIST2Industry, a secure on-line environment, as described in paragraph 2.1.1.1.2 above. The files will be available to authorized members of the Source Selection Evaluation Board (SSEB) only, and the SSEB facility access will be controlled and limited to authorized personnel. The network will have limited, or no, outside connectivity. The intent is to facilitate the Government evaluation and report preparation in a secure, controlled environment. Offerors shall submit digital copies only.
1.1.1.1.4 File Formats
The below table specifies the acceptable file formats. Only the file formats specified below (or compatible with) are to be used.

1.1.1.1.6 Compliance with Instructions
The Government will consider how well Offerors complied with these instructions when evaluating Offeror’s capability to perform the prospective contract. The Government will consider an Offeror’s noncompliance with these instructions or any attempt to take advantage of loopholes in these instructions to be indicative of the type of conduct that it may expect from Offerors during contract performance. Offerors are advised to ask the Contracting Officer for clarification or explanation of any part of these instructions that they do not understand.
Offerors must submit a fully completed copy of all representations and certifications as found in Section K of the subject solicitation. Offeror’s initial proposal should contain Offeror’s best technical and price and cost terms since the Government reserves the right to make awards based on the initial offers.
