To be determined responsible, a contractor must meet the general standards in FAR Part 9 and any special standards set forth in this solicitation.

2.2. SOURCE SELECTION USING THE LOWEST-PRICE, TECHNICALLY-ACCEPABLE

Similarly, an OƯeror that relies on the performance history of a member or members of a proposed contractor team arrangement will be expected to maintain that arrangement during performance of any contract awarded to that OƯeror under this RFP. As a part of its proposal, the OƯeror must provide a contractor team agreement signed by all parties, identifying the legal name(s) of all entities and describing the nature of each entity’s relationship (teaming/partnering, joint venture, etc.) and its proposed role in performance of this contract. 3.2 Conditional OƯers.

Do not include exceptions to the terms and conditions of the solicitation in either the technical or price proposal volumes. Inclusion of any company terms and conditions that conflict with the terms and conditions of the solicitation may result in a determination that the oƯer is unacceptable and thus ineligible for award. Resolve questions about the terms and conditions or technical requirements of the solicitation prior to submission of your oƯer; see “Special Instructions for Submitting Your Proposal”, located in Section 00 21 00.

3.3 Restrictions on OƯeror-Provided Information.

The tabs directly correlate to the technical evaluation factors. Although the Government may use information obtained from any source in its evaluation of the technical proposal, the Government is not obligated to search for or to consider information that belongs under a specific tab in an oƯeror’s proposal but is actually elsewhere in the proposal. Limit proposal submittals to the information specified; excess information will not be evaluated.

The term “tabs” means searchable PDF bookmarks.

4.2.2 Tab 1 of the Technical Proposal: Factor 1 Past Performance

4.2.2.1 Submission Requirements

If the OƯeror is unable to obtain a completed PPQ before the proposal closing date, the OƯeror shall complete and submit the first page of the PPQ, which provides contract and reference contact information for the project(s). The OƯeror shall ensure correct phone numbers and email addresses are provided for each point of contact.

Completed PPQs may also be submitted by the preparer directly to the Contract Specialist (lisa.i.ip@usace.army.mil) and Contracting OƯicer (nairi.freeman@usace.army.mil) via email prior to the RFP closing date.

The Government may review and consider information obtained from other sources, e.g., CPARS information using CAGE/Unique Entity ID of the teaming arrangement, Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), etc.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the OƯeror.

Each example project must start on a new page and there is no page limitation for CPARS and PPQ’s submission. Pass Performance will not count against the page limitation for this volume.

4.2.2.2 Evaluation Criteria:

The past performance evaluation is an assessment of the oƯeror’s ability to successfully perform this requirement based on the oƯeror’s record of relevant past projects, and the documented level of satisfaction of each project owner after completion of construction.

Past Performance will be determined relevant if a submitted project is similar in size, scope, and complexity to this requirement.

How well the oƯeror performed the prior contracts submitted under Factor 1 will be evaluated by reviewing CPARS evaluations, completed PPQ forms and other information available to the Government.

*NOTE: If an oƯeror does not have a record of relevant past performance or information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the oƯeror may not be evaluated favorably or unfavorably on past performance (IAW FAR 15.202(c)(1)). A neutral rating shall be considered acceptable.

Each OƯeror shall be assigned one of the two ratings listed below.

Acceptable - Based on the oƯeror’s performance record, the Government has a reasonable expectation that the oƯeror will successfully perform the required eƯort, or the oƯeror’s performance record is unknown *(See note above).

Unacceptable - Based on the oƯeror’s performance record, the Government does not have a reasonable expectation that the oƯeror will be able to successfully perform the required eƯort

4.2.3. Tab 2 of the Technical Volume: Factor 2 – Availability of Equipment

4.2.3.1 Availability of Equipment – Evaluation Factor

The OƯeror shall provide a projected timeline and supporting narrative detailing the availability of equipment. The narrative shall be task-oriented, clearly indicating the number of calendar days following pre-construction submittals and mobilization— assumed to occur approximately 30 calendar days after Notice to Proceed (NTP)—by which dredging activities are to commence and be completed.

The narrative shall also include a summary of any failures and/or successes related to equipment availability on the last five dredging projects.

Constraints:

The OƯeror must demonstrate the capability and flexibility of equipment availability to meet the proposed contract completion period. The narrative shall clearly identify any known or anticipated constraints, such as:

• Equipment or labor availability

• Weather impacts

• Other logistical or operational limitations

4.2.3.2 Submission Requirements

Evaluation Criteria: The Government will evaluate the OƯeror’s Availability of Equipment narrative to assess the likelihood that equipment will be provided in a timely and eƯective manner to ensure successful completion of the project within the specified period of performance.

Narratives that clearly demonstrate the OƯeror’s ability to complete dredging within 123114 calendar days from Notice to Proceed (NTP), along with a general understanding of potential factors that could impact availability (e.g., labor, weather, logistics), will be considered acceptable.

Proposals that indicate equipment availability or project completion beyond 123114 calendar days after NTP will be rated Unacceptable under this factor.

A proposal will be rated as Unacceptable if it does not meet the definition of Acceptable.

Technical Acceptable/Unacceptable Ratings:

o Acceptable - Proposal meets the minimum requirements of the solicitation o Unacceptable - Proposal does not meet the minimum requirements of the solicitation

4.3. PRICE VOLUME.

4.3.1 FORMAT, CONTENTS, AND LIST OF TABS FOR THE PRICE PROPOSAL

This should be a separate file from the technical proposal. There are no page limits for the price proposal; however, responses should be focused, providing required information only. Organize your price proposal as indicated below.

Tab 1: Proposal Cover Sheet.

As required by FAR 52.215-1(c)(2)(i)-(v), the proposal cover sheet must include the following items:

1. Solicitation Number.

2. The name, address, email, and telephone numbers of the oƯeror.

3. A statement specifying the extent of agreement with all terms, conditions, and provisions included in the Solicitation and agreement to furnish any or all items upon which prices are oƯered at the price set opposite each item.

4. Names, titles, e-mail address, and telephone numbers of persons authorized to negotiate on the oƯeror’s behalf with the Government in connection with this solicitation

5. Name, title, and signature of person authorized to sign the proposal. Proposals signed by an agent shall be accompanied by evidence of that agent’s authority, unless that evidence has been previously furnished to the issuing oƯice.

Tab 2: SF 1442; Acknowledgement of Amendments; Joint Venture Agreement

The Standard Form (SF) 1442 must be completed by the oƯeror and duly executed with an original signature by the oƯicial(s) identified in the proposal cover sheet as authorized to bind the oƯeror in accordance with FAR 4.207, which includes Contractor Team Arrangements. Include the oƯeror’s CAGE code in block 14 of the SF 1442, along with the oƯeror’s address. All amendments must be acknowledged in accordance with the instructions on the Standard Form 30, Amendment. If the oƯeror is a Joint Venture (JV), include a copy of the JV agreement and indicate its status.

Tab 3: Contract Line-Item Number (CLIN) and Pricing Schedule and Dredging Plant and Equipment Schedule

Submit the completed Contract Line-Item Number (CLIN) Schedule on the SF 1442 and provided Price Schedule with the oƯeror’s proposed contract prices inserted in the appropriate spaces. Prices must be provided for all CLINs. Submit the Dredging Plant and Equipment Schedule under Section 00 10 00.

Tab 4: Annual Representations and Certifications

The oƯeror must have electronically completed the annual representations and certifications on the “System for Award Management” (SAM) website in accordance with DFARS 252.204-7998. The oƯeror is responsible for ensuring that these on-line Representations and Certifications are updated as necessary to reflect changes, but at least annually to ensure that they are kept current, accurate and complete.

Tab 5: OƯer Guarantee Form and Amount

The oƯeror shall furnish a separate bid guarantee in accordance with the solicitation provision titled "Bid Guarantee", FAR 52.228-1. In accordance with FAR 28.101-2 (b) the bid guarantee amount shall be at least 20 percent of the "proposed price" but shall not exceed $3 million. When the penal sum is expressed as a percentage, a maximum dollar limitation may be stated.

In accordance with FAR 28.106-1, a Standard Form (SF) 24 shall be used for the bid bond.

In accordance with FAR 28.202(a) (1), corporate sureties utilized must appear on the list contained in the Department of Treasury Circular 570 titled, "Companies Holding Certificates of Authority as Acceptable Sureties on Federal Bonds and Acceptable Reinsuring Companies."

Contractor shall provide written confirmation that the Contracting Specialist may contact the bonding company to confirm the bond agreement’s legitimacy.

Tab 6: Contractor Responsibility, Pre-Award Survey Information

To determine a contractor's responsibility for purposes of contract award in accordance with FAR Part 9, the contractor is required to provide a statement regarding previous experience and past performance in performing comparable work, information related to the business organization, financial resources, and/or plant to be used in performing the work (see Attachment 2, Pre-award Survey). The Government will request this information from the eligible contractor after receipt of oƯer if they have not had a contract with the San Francisco District, Sacramento District or Los Angeles District within the last twelve months and the Government will set a due date for its submission.

(a) If required to determine that a prospective contractor is responsible, the oƯeror must:

1) Demonstrate that they have adequate financial resources to perform the contract or the ability to obtain them.

2) Be able to comply with the required or proposed delivery or perform schedule, taking into consideration all existing commercial and governmental business commitments.

3) Have a satisfactory performance record. In making the determination of responsibility, the Government Contracting OƯicer shall consider relevant past performance information. A prospective contractor shall not be determined as responsible or not responsible solely based on a lack of relevant performance history except when there are special standards set forth in the solicitation, which applies, to all oƯerors that must be met in order to receive the award. These special standards may be necessary when unusual expertise or specialized facilities are necessary in the performance of the contract; therefore, in order to be determined as responsible for a particular contract, the oƯeror must be able to meet those special standards. A prospective contractor that is or recently has been seriously deficient in contract performance shall be presumed to be nonresponsive unless the Contracting OƯicer determines that the circumstances were beyond the contractor's control or that the contractor has taken appropriate corrective action.

Other responsibility considerations by the Contracting OƯicer will include past eƯorts by the contractor to apply suƯicient tenacity and perseverance to perform acceptably, to meet quality requirements of contracts, and the contractor's past compliance with subcontracting plans (if required) under recent contracts.

4) Have a satisfactory record of integrity and business ethics.

5) Have the necessary organization, experience, accounting and operational controls, and technical skills, or the ability to obtain them (including, as appropriate, such elements as production control procedures, property control systems, quality assurance measures, and safety programs applicable to materials to be produced or services to be performed by the prospective contractor and subcontractors).

6) Have the necessary production, construction, and technical equipment and facilities, or the ability to obtain them.

7) Be otherwise qualified and eligible to receive an award under applicable laws and regulations.

FAR PROVISION 52.229-11 AND FAR CLAUSE 52.229-12

FAR provision 52.229-11 and FAR clause 52.229-12 are included in this solicitation. This provision and clause concern the imposition of a 2 percent Federal excise tax withholding on any resultant contract award or payment request. This rule applies to Federal Government contracts for goods or services that are awarded to foreign persons- such as foreign contractors. It implements the Department of the Treasury's final regulations published in the Federal Register at 81 FR 55133 on August 18, 2016, under section 5000C of the Internal Revenue Code relating to the 2 percent tax on payments made by the U.S.

Government to foreign persons pursuant to certain contracts.

Pursuant to the FAR 52.229-3 Federal, State, and Local Taxes, taxes imposed under 26 U.S.C. 5000 C may not be included in the contract price or reimbursed.

Exemptions from this excise tax must be claimed by an OƯeror when it submits, with its oƯer, a U.S. Department of Treasury Internal Revenue Service (IRS) Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, available via the internet at www.irs.gov/W14. If not submitted with the oƯer, exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent on each contract payment. Failure to submit an IRS Form W-14 with each payment request will also result in an automatic withholding of 2 percent from the payment request.

When filling out the IRS Form W-14 the following information may be used to complete Part I, Lines 6 and 7.

Line 6 Contract/reference number: W912P726RA020

Line 7 Name and address of the acquiring agency:

U.S. Army Corps of Engineers, San Francisco District

Attn: Contracting OƯicer450 Golden Gate Avenue, 4th Floor

San Francisco, CA 94102-3406

Any exemption claimed and self-certified is subject to audit by the IRS. Any disputes concerning this tax are adjudicated by the IRS because the Section 5000C tax is a tax matter not a contract issue. OƯerors are encouraged to seek guidance from their own tax professionals for advice concerning the provision, clause, and exclusions exclusion/submission of IRS Form W-14.

Commencement, Prosecution, and Completion of Work - Construction (Apr 1984)

The Contractor shall be required to (a) commence work under this contract within 1 calendar days after the date the Contractor receives the notice to proceed, (b) prosecute the work diligently, and (c) complete the entire work ready for use not later than 123 114 calendar days.* The time stated for completion shall include final cleanup of the premises.

(End of condition)

Variation in Quantity (Apr 1984)

If the quantity of a unit-priced item in this contract is an estimated quantity and the actual quantity of the unit-priced item varies more than 15 percent above or below the estimated quantity, an equitable adjustment in the contract price shall be made upon demand of either party. The equitable adjustment shall be based upon any increase or decrease in costs due solely to the variation above 115 percent or below 85 percent of the estimated quantity. If the quantity variation is such as to cause an increase in the time necessary for completion, the Contractor may request, in writing, an extension of time, to be received by the Contracting OƯicer within 10 days from the beginning of the delay, or within such further period as may be granted by the Contracting OƯicer before the date of final settlement of the contract. Upon the receipt of a written request for an extension, the Contracting OƯicer shall ascertain the facts and make an adjustment for extending the completion date as, in the judgement of the Contracting OƯicer, is justified.

(End of condition)
