DRAFT Project Suite Solicitation Summary

This is a Draft Project Suite Solicitation and Initial Announcement for the Initial Minot Sentinel Beddown (IMSB) project at Minot Air Force Base, North Dakota, issued by the U.S. Army Corps of Engineers (USACE), Omaha District on behalf of the Air Force Civil Engineering Center (AFCEC). The solicitation seeks a single Design-Bid-Build (D-B-B) contractor under an Other Transaction Agreement (OTA) pursuant to 10 U.S.C. § 2808a to deliver three facilities: the Consolidated Vehicle Maintenance Complex (CVMC), Security Forces Operations Complex (SFOC), and Athletic Complex (AC). The total construction cost limitation is $203,000,000, with performance periods of 1,440 days for CVMC, 920 days for SFOC, and 550 days for AC from notice to proceed. The delivery model emphasizes collaborative project development, innovation, speed, qualifications-based selection, and risk management outside traditional FAR constraints. The Government will not require preliminary or construction pricing during the initial selection phase.

The competitive selection process consists of two steps: Step 1 White Paper submission (due November 5, 2026) evaluating contractor qualifications, bonding capacity, experience, staffing, and collaborative approach; and Step 2 Pitch Meeting (on or around February 1, 2027) by invitation only for approximately three qualified contractors to present their understanding of the project, subcontractor engagement strategy, technical approach, and team capabilities. Phase 1 (Pre-Construction Services) involves collaborative design adjustments, open-book cost estimating, and integrated schedule development, followed by negotiation of a Final Construction Price functioning as Firm-Fixed-Price. Phase 2 (Construction) may be awarded by modification upon successful Phase 1 negotiation and is contingent upon Congressional authorization, appropriations, and Government determination that progression is warranted. The OTA includes an off-ramp provision allowing the Government to discontinue the relationship and pursue alternative acquisition methods if fair and reasonable pricing cannot be achieved. Contractors must demonstrate bonding capability of at least $100,000,000, maintain SAM registration with a valid UEI, and handle Federal Contract Information (FCI) under CMMC principles, though CMMC certification is not applicable to all IMSB projects. Selection notification is anticipated for March 17, 2027, with all projects intended for award in FY27.

1.0 PROJECT SUITE INFORMATION

1.1 The U.S. Army Corps of Engineers (USACE) Omaha District (NWO), on behalf of the Air Force Civil Engineering Center (AFCEC), is seeking to identify a Contractor for the Initial Minot Sentinel Beddown (IMSB), Minot Air Force Base, North Dakota.

1.2 Project Goals:

Project Goal / Objective

Description / Key Focus Areas

Collaborative Project Development

Facilitate early and continuous collaboration between the contractor, stakeholders, and the Government to jointly develop the project’s design, cost, and schedule in a non-adversarial environment.

Innovation, Speed, and Flexibility

Leverage the OT framework outside traditional FAR constraints to emphasize speed, innovation (in materials, methods, and delivery), and optimal mission outcomes.

Qualifications- Based Selection

Prioritize the selection of a Design-Bid-Build Partner based on proven past performance, team merit, and technical approach rather than detailed construction price proposals at this initial stage.

Risk Management & Feasibility

Ensure the chosen team has a deep understanding of complex Military Construction (MILCON) requirements, coupled with proactive risk identification and mitigation strategies.

Integrated Team Execution

Establish a cohesive team structure for construction (including Prime, Designer of Record, Key Subcontractors, and the Government) that demonstrates clear reporting lines, continuity, and collaborative execution capabilities.

1.3 The established period of performance is 1,440 days for the CVMC, 920 days for the SFOC, and 550 days for the AC project from notice to proceed. Total project suite funding must not exceed $203M. White Papers, Pitch Meeting responses, and the selected Contractor’s post-selection Phase 1 Proposal must demonstrate a credible approach to delivering the project within these time and affordability constraints. The Government will not require a preliminary or construction price at the time of initial selection.

NOTE: The issuance of notice to proceed is subject to availability of funds. Each project will have a unique notice to proceed date that may or may not be concurrent with the other projects in this suite, although it is Government’s intention to award all projects in FY27. These dates will be communicated to the selected Contractor during Phase 1 Pre-Construction Services.

1.4 The Government intends to utilize a Design-Bid-Build (D-B-B) under an Other Transaction Agreement (OTA) project delivery method. This approach emphasizes collaboration between the selected Contractor and the Designer of Record (DOR), qualifications-based selection, open-book pricing, and shared risk management between the Government and the Contractor.

2.0 ACRONYMS AND DEFINITIONS

• CMAR (Construction Manager At Risk): A delivery model that is functionally similar to the D-B-B under OTA delivery method. Differences exist between these two methods, but experience with CMAR will generally be recognized as valid experience with D-B-B under OTA.

• CUI (Controlled Unclassified Information): Information that requires safeguarding or dissemination controls pursuant to and consistent with applicable law, regulations, and government-wide policies, but is not classified under Executive Order 13526 or the Atomic Energy Act, as amended.

• D-B-B under OTA (Design-Bid-Build under Other Transactional Agreement):

A two-stage project delivery method where the owner selects a Contractor based on qualifications. The Contractor then works collaboratively with the Government and DOR during Phase 1 (pre-construction activities) to adjust the design and establish a Final Construction Price and schedule for Phase 2 (construction).

• DOR (Designer of Record): The licensed professional, firm, or team responsible for the planning, design, and technical drawings/specifications for the facility.

IMSB involves two discrete DOR teams, with one responsible for the CVMC design and the other responsible for the SFOC and AC designs.

• FFP (Firm-Fixed-Price): A pricing structure where the price is not subject to any adjustment on the basis of the Contractor's cost experience in performing the contract. This places maximum risk on the Contractor and provides full responsibility for all costs and resulting profit or loss.

• Final Construction Price: A pricing structure that will be developed collaboratively during Phase 1 using Open Book methodology. Once negotiated and incorporated into the OT Agreement through modification, the Final Construction Price functions as a Firm-Fixed-Price (FFP) commitment for the final design documents resulting from Phase 1 collaboration. The Contractor assumes the risk for completing the work within the negotiated price and is generally responsible for cost overruns, except for Government directed changes, differing site conditions, or other authorized modifications that formally adjust the Final Construction Price.

• IMSB (Initial Minot Sentinel Beddown): The three projects contained within this solicitation, they are initial facilities intended to facilitate early Sentinel-related activities Minot Air Force Base, North Dakota.

• Model OT Agreement Template: The Government’s baseline OT agreement template that will be provided as Attachment 4. The Model OT Agreement Template identifies anticipated terms and conditions for the resulting Phase 1 OT Agreement and future Phase 2 modification, as applicable. The final agreement will be completed after selection and negotiation with the selected Contractor.

• Off-Ramp: Refers to a contractual mechanism that allows the Government to discontinue the D-B-B under OT relationship if a fair and reasonable Final Construction Price or schedule for construction cannot be achieved. Upon off-ramp, the Government retains rights to continue the project through another delivery method or Contractor.

• Open Book: A transparent cost estimating methodology used during the D-B-B under OT process where the Contractor shares complete, detailed, and auditable cost information with the Government and DOR. This includes, but is not limited to, direct and indirect costs, subcontractor quotes, and fee structures, for the purpose of collaboratively validating and negotiating a Final Construction Price.

• OT/OTA (Other Transaction/Other Transaction Agreement): A legally binding instrument other than a standard contract, grant, or cooperative agreement. OTs are not subject to the Federal Acquisition Regulation (FAR) and provide significant flexibility in tailoring the procurement process and terms to the needs of a project.

• SAM (System for Award Management): The official U.S. government website where all entities must be registered to do business with the federal government.

• UEI (Unique Entity Identifier): The 12-character alphanumeric identifier assigned to all entities (public and private companies, individuals, institutions, or organizations) who register to do business with the federal government in the System for Award Management (SAM).

• USACE (U.S. Army Corps of Engineers): The federal agency, acting as the engineering and construction agent for the Department of Defense, responsible for managing this solicitation and the resulting OT.

3.0 THE D-B-B UNDER THE OT PROCESS

The D-B-B under the OT model is a collaborative project delivery approach in which the Government, DOR, and Contractor work together to reduce risk and improve cost and schedule certainty. Under this OT, the process will be executed in two parts:

Phase 1: Pre-Construction Services

• Scope: The selected Contractor shall collaborate with the Government and DOR to adjust the design documents as necessary to improve constructability and develop progressively more detailed cost and schedule information.

• Purpose: The purpose of Phase 1 is to de-risk the project, resolve constructability issues, and align the parties on a common path forward before establishing the Final Construction Price and schedule.

• Constructability Design Adjustments: This phase will begin upon issuance of the Selection Notification and will continue through an agreed-upon milestone. That milestone will allow sufficient time for the Contractor to develop a fixed price model for construction via Open Book Costing and finalize the Integrated Schedule prior to award of Phase 2.

• Open Book Costing: During Phase 1 and concurrent with the Constructability Design Adjustments, the Contractor shall develop a transparent, "Open Book" cost estimate, sharing subcontractor quotes, labor, equipment, material, and detailed pricing data to support cost reconciliation and scope validation with the Government and DOR to inform the Final Construction Price.

• Integrated Schedule Development: During Phase 1 and concurrent with the Constructability Design Adjustments, the Contractor shall develop an integrated schedule in coordination with the Government and DOR. This schedule shall identify long lead items, allocated resources, phasing strategies, and other critical items that are identified by the Contractor, Government, or DOR to inform the final construction schedule

• Pricing & Negotiation: Upon completion of the Constructability Design Adjustments in Phase 1, the Contractor will submit a Final Construction Price and schedule, to be awarded in Phase 2 based on the Open Book Costing model and Integrated Schedule Development. The Agreements Officer will lead a formal negotiation with the Contractor to finalize a fair and reasonable price.

• Award: If the parties successfully negotiate a fair and reasonable price and schedule, the Government may modify the Phase 1 OT to authorize the awardee to complete the Phase 2 construction activities.

Phase 2: Construction

• Scope: Phase 2 consists of all physical construction activities required to deliver the complete and usable IMSB facilities as identified in the final design documents.

• The Off-Ramp: The Government is not obligated to award Phase 2. The OT includes an off-ramp provision allowing the Government, if unable to reach an agreement on a fair and reasonable price for Phase 2, a lack of sufficient funds, or any other reason determined (in its sole discretion), to use the adjusted design and associated project information to pursue another acquisition approach, including a competitive solicitation for construction.

4.0 OT PROCESS

The Government will conduct a two-step competitive Qualifications-Based Selection (QBS) process to identify the most qualified Contractor for this D-B-B under an OT delivery method. The competitive selection process consists of Step 1, White Paper evaluation, and Step 2, Pitch Meeting evaluation. The Pitch Meeting will serve as the final competitive evaluation step.

Step 1: White Paper Submission and Evaluation

Interested D-B-B under OT Contractors shall submit a White Paper in accordance with Attachment 1. The Government will evaluate White Papers to identify the most qualified Contractor to proceed to Step 2.

Step 2: Pitch Meeting Phase — By Invitation Only

A target of three of the most highly qualified Contractors from Step 1 will be invited to participate in a Pitch Meeting in accordance with Attachment 3. Each participant(s) will receive formal notification of their selection or non-selection. The 100% Design drawings and specifications for each of the three projects will be provided to the selected Contractors at this time. Prior to the Pitch Meeting, the Government will host an optional Q&A where questions and comments submitted by the selected Contractors will be addressed. This Q&A meeting will also provide an opportunity for open dialog between the Government and Contractor(s) as final preparations are being made for the Pitch Meeting. The Pitch Meeting will allow Contractors to present their approach and strategy to both pre-construction services and construction execution in-person. The meeting will focus on the Contractor’s understanding of the IMSB project suite, including a high-level review of the 100% design documents, strategy for subcontractor engagement, technical approach to suite-specific construction activities and schedule, ability to support the Phase 1 pre-construction services, and overall team chemistry.

The 100% design documents and Attachments 3 and 4 will be distributed to the Contractors who are selected to participate in Step 2 upon the issuance of Down Select Notifications.

The Government may select the most advantageous Contractor based on the totality of the Step 1 White Paper and Step 2 Pitch Meeting evaluation.

Post-Selection Phase 1 OT Agreement - Development and Negotiation

• Attachment 4 – Model OT Agreement Template, provided upon issuance of Down Select Notifications, will serve as the baseline agreement template for award of the Phase 1 OT Agreement.

• After completion of the competitive QBS process, the Government will issue Attachment 5 – Post-Selection Phase 1 Instructions only to the selected Contractor.

• Attachment 5 - Post-Selection Phase 1 Instructions will include the proposed Phase 1 scope and will request information to assist in the development of the Phase 1 OT Agreement. Requested information may include a staffing plan, level of effort details, Phase 1 schedule, assumptions, exclusions, suggested alterations to the Model OT Agreement Template, and other information necessary to support the Phase 1 OT Agreement. Negotiations will be conducted as necessary based on the information received from the selected Contractor.

• Attachment 5 is not part of the competitive Step 2 evaluation and will not be issued to all down-selected Contractors; it is a post-selection document used only with the selected Contractor.

• If the Government and selected Contractor cannot reach agreement on fair and reasonable Phase 1 OT Agreement terms, the Government reserves the right to discontinue negotiations and take any action in the Government’s interest, including engaging other highly qualified Contractors, revising the acquisition approach, or cancelling the solicitation.

Award

• Phase 1 — Pre-Construction Services: The selected Contractor may be awarded a Phase 1 OT Agreement after successful negotiation of fair and reasonable Phase 1 terms. No construction activities will be authorized under Phase 1. Subject to the availability of funding, the Contractor will receive a stipend for Phase 1 activities using appropriated funds for planning, design, and pre-construction services, as applicable.

• Phase 2 — Construction: Phase 2 may be added by modification to the OT Agreement upon successful negotiation of a fair and reasonable Final Construction Price and schedule. Phase 2 is subject to statutory authorization, required approvals, availability of Military Construction funds in or around FY27, and the Government’s determination that progression to construction is in the Government’s interest. If the Government and the Contractor cannot agree upon a Final Construction Price and/or schedule, the Government deserves the right to exercise its off-ramp, terminate negotiations, and utilize the Phase 1 design to procure construction through alternative methods.

5.0 SUBMISSION REQUIREMENTS
