SECTION SF 30 BLOCK 14 CONTINUATION PAGE

The following items are applicable to this modification:

W91151-12-R-0037 AMENDMENT0002

The purpose of this amendment is as follows:

1. DELETE from Section L, TAB D, Section 2(d) Skilled Workforce, the following phrase , “including if applicable, the use of the award fee in an employee incentive program.”

2. CHANGE Section L, Oral Presentation Procedures, (c) Sequence Changes, from “ Volume IV” to “Volume II”

3. CHANGE clause 52.222-49, Service Contract Act attachment reference from “Attachment 14” to “Technical Exhibit P”

4. The solicitation closing date remains unchanged.

5. All other terms and conditions remain unchanged.

6. The below are the questions from Industry and the Government answers.

1) The Synopsis for RFP W9115112R0037 Operational Test Support for the U.S.

Army Operational Test Command, Fort Hood, Texas, 24 Sep 2012 states that information to be submitted for consideration of an OCI opinion "shall be provided not later than 12 October 2012". Section L - Instructions, Conditions and Notices to Bidders; C. Proposal Preparation Instructions;1(a) Organizational Conflicts of Interest (OCI) RFP W9115112R0037 ( page 95 0f 119) states "Offerors shall submit their Phase One (inserted OCI) proposals electronically by emailing them to the Contract Specialist at worner.o.heath.civ@mail.mil", and that "Electronic versions shall be received not later than November 9, 2012 at 3:00 pm CST."

Pls confirm that the date and time information is required for consideration of an OCI advisory Opinion (Phase 1) is November 9, 2012 at 3:00 pm CST in lieu of 12 October 2012.

Answer – This question was answered in the amendment to the DRFP issued 15 October 2012, which states, “Respondents who have submitted OCI proposals prior to October 30, 2012 have the opportunity to update and resubmit their OCI information prior to the OCI submission deadline. The deadline for OCI submissions is November 9, 2012, 3:00pm CST.”

2) Both the synopsis and dRFP for Solicitation W9115112R0037 Operational Test Support for the U.S. Army Operational Test Command, Fort Hood, require that offerors shall submit copy(ies) of Performance Work Statement(s) to include list of deliverables for all DoD systems in which the Offeror is involved with development. The synopsis and dRFP also require electronic copies of an Offeror's Annual Report " since this document discusses the company's involvement in various programs". Finally both the Synopsis and the RFP require "file(s) shall be submitted (electronically) in a format compatible with Adobe Acrobat or Microsoft Office (2007 or earlier) and is limited to no more than ten (10) pages in length."

Pls confirm that neither the Performance Work Statement nor the Annual Report to Stockholders are included in the 10 page limit.

Answer – The ten (10) page count limitation to OCI is inclusive of the relevant sections of the performance work statement and annual report.

Pls confirm that due to the anticipated size of the files containing Performance Work Statement and/or Annual Reports to Stockholders may be submitted by CD/DVD to arrive NLT November 9, 2012 at 3:00 pm CST.

Answer – The deadline for submission of OCI is November 9, 2012. Submission should be by e-mail to worner.o.heath.civ@mail.mil. No CD or DVDs will be accepted.

3) Presently, we are bidding a test support effort at Aberdeen Test Center and have had to submit our formal OCI Volume which is currently under evaluation in response to exactly the same requirement in this draft, i.e., “The respondents shall describe their involvement in the development of any DoD System with details including contract numbers, dates, programs supported, a copy of Scope of Work or the Performance Work Statement to include list of deliverables, as well as contact information for Program Manager points of contact and contracting office points of contact. Respondents shall discuss any competitions for developmental work in which the company is involved regardless of the stage of the acquisition. … This includes participation in contracts that provide engineering or technical support to sponsors or program offices responsible for developing such systems. Included shall be an electronic copy of your company's latest annual report to stockholders since this document discusses the company's involvement in various programs.” This submission was several hundred pages in length, covering only DOD contracts. In some cases the SOW alone runs more than 10 pages.

Given this experience in answering exactly the same requirement for another proposal, can the government specify what it expects to be presented in the 10 page limit specified in the draft RFP? Providing all required information will result in an extensive response possibly of over a hundred pages.

Answer – Disclose all information that will aid the Government in identifying possible Organizational Conflicts of Interest thus allowing the Government to advise each respondent in writing either that it will be invited to participate in the resultant acquisition or based on the information submitted, it is unlikely to be a viable competitor. Notwithstanding, the advise provided by the Government, each respondent may participate in the resultant acquisition. There is a ten (10) page count limit to OCI.

4) Many smaller companies are solely owned and do not have an annual report to stockholders. For such companies, can this requirement be deleted?

Answer – If a company does not have one of the requested items (i.e. annual report) that item does not have to be submitted for an OCI advisory review.

9) As stated in the synopsis for the U.S. Army Operational Test Support Contract, the Government is asking each potential bidder to prepare an OCI response. The response is limited to 10 pages. This page limit does not appear to be sufficient to allow the submission of all required data. Please consider the following four questions:

Synopsis Requirement: The respondents shall describe their involvement in the development of any DoD System with details including contract numbers, dates, programs supported, a copy of Scope of Work of the Performance Work Statement to include list of deliverables, as well as contact information for Program Manager points of contact and contracting office points of contact.

Question: Is the Government expecting the bidders to provide a listing of all current DoD contracts or just those DoD contracts that are specifically involved in systems development or SETA support to the PM/PMO offices? Are you expecting the bidders to make their own independent “self-assessment” or will the Contracting Officer review all active DoD contracts of each bidder to ensure there is no tie contractually or financially to system development/SETA work as defined in the synopsis, ATEC OCI policy, and Army Regulation 73-1, 10 USC 2399 (d).

Answer – Disclose all information that will aid the Government in identifying possible Organizational Conflicts of Interest thus allowing the Government to advise you in accordance with FAR 15.202. Offerors shall make their own independent self-assessment by consulting with their legal.

10) Synopsis Requirement: Respondents shall discuss any competitions for developmental work in which the company is involved regardless of the stage of the acquisition. The respondent shall present its rationale for why the cited development work does not create an OCI. Supporting information for the assertion that there is no OCI is vital to facilitate the Government's evaluation of an OCI. In the context of OCI, involvement is defined as any participation or connection to a project, contract, program, or product which may create actual or perceived OCI. This includes participation in contracts that provide engineering or technical support to sponsors or program offices responsible for developing such systems.

Question: Is the Government expecting the bidders to provide a listing of all current DoD contracts or just those DoD contracts that are specifically involved in systems development or SETA support to the PM/PMO offices? Are you expecting the bidders to make their own independent “self-assessment” or will the Contracting Officer review all active DoD contracts of each bidder to ensure there is no tie contractually or financially to system development/SETA work as defined in the synopsis and ATEC OCI policy.

Answer – The same as Question 9 above.

11) Synopsis Requirement: Included shall be an electronic copy of your company's latest annual report to stockholders since this document discusses the company's involvement in various programs.

Question: Is the electronic copy of the Annual Report excluded from the page count and a separate attachment to the response? Are you expecting to receive the full report or simply a financial statement? As an example, a report for one company is 8 pages long. Teams with multiple bidders could have 15-30 pages just associated with the Annual Reports?

Answer –The submission is limited to ten (10) pages.

12) Synopsis Requirement: Subcontractor OCI is equivalent to a prime contractor OCI. Failure to provide the required information will be deemed non-responsive; incomplete submissions will not be considered and no opinion will be provided.

Question: Will the Government consider a separate OCI submission for each subcontractor? The same issues on page count will apply to teams with multiple subcontractors to meet required small business categories. Current ATEC subcontracting goals typically require participation by Small, Woman-Owned, Small Disadvantaged, Service-Disabled Veteran Owned, HubZone, etc. companies. Are you expecting the same level of response for each small business team members, i.e. consider a team with 5 companies involved?

Answer –The ten (10) page count limitation to OCI applies to each subcontractor and Prime OCI submission.

13) Ref. Page 97, Sec L Paragraph 3 (C) Proposal Format: The Draft RFP specifies that Volume II - Mission Capability (Technical) is limited to 200 pages. Question: Does this page count include the slides/printouts associated with the Element III Sample Task Authorization Request Oral Presentation? Is there a separate page limit or slide count to be specified for the two separate oral presentations?

Answer – The two hundred (200) page count limit for Mission Capability (Technical) is not inclusive of Element III Sample Task Authorization Request Oral Presentation.

14) Ref. Pages 100 and 101, Sec. L Paragraph 4 (b) Section 3 – Element III Sample Task Authorization Request Oral Presentation: The draft RFP specifies that 4 hours are allowed for the total oral presentation, with 2 hours allowed for each portion of the oral presentation with a 15 min. break between the two periods. Question: Is the bidder required to split the 4 hours equally between the two Sample Task Authorization Requests (Base Operations and Test Task Multi Requirement) or may the bidders use their own discretion in allocating the time used for each sample TARs?

Answer – The offeror will be required to present two (2) oral presentations. Each oral presentation will be no longer than two (2) hours in duration exclusive of the one (1) 15-minute break per presentation. Each presentation is independent of the other presentation. The combined allotted presentation time is four (4) hours.

15) Ref. Page 105, Section L Paragraph (d) Volume IV - Small Business Participation Proposal and Page 116, Section M Paragraph 4 Small Business Participation: In Section L Paragraph D.5, the extent of participation of small business firms of this acquisition is in terms of the value of the total acquisition. In Section M Paragraph C.4.e, the small business participation is in terms of the total contract value. Question. Please clarify the basis for computing small business participation.

Answer – In both places, Section L, page 105, (d)(5), and in Section M, page 116, 4.e, the extent of participation of small business firms is expressed in terms of value of the “total acquisition.”

16) Page 100, Section L, Volume II-Mission Capability (Technical), paragraph (d),Skilled Workforce, line 1 says:

“The offeror shall provide complete job descriptions for each skill classification/category anticipated to be hired under this contract whether core or test support. Each job description must identify whether the job category is considered to be exempt or non-exempt.”

Question: Will these job descriptions count against the 200 page limit of Volume II? 50 to 100 job descriptions at 1 page each is a significant impact on page count.

Answer – The job descriptions can be provided as attachments and will not count against the 200 page limit.

17) Page 15, Section C, Paragraph C. 1.14. states that “The Quality Control Plan shall be included as a part of the proposal” Question: Is the Quality Control Plan counted as part of the 200 page limit for Vol II?

Answer – The Quality Control Plan will not count toward the 200 page limit for Volume II Mission Capability.

18) Attachment 8, Sample TAR Multi-Requirement Test. Question. Is the Government going to develop the databases and forms? For example, on page 8, Paragraph d. Milestones/Deliverables, it shows on 21 June that databases and forms will be provided to TSC by the Govt Test Team, and then below, on 8 July, it shows that databases are due from TSC. Who is developing the databases?

Answer. No deliverable of databases or form are required for this oral presentation of the sample TARS. Attachments 7 & 8 are obsolete and have been replaced with Attachments 15 & 16.

19) On Page 7 Paragraph 2.2.c.16, the contractor is required to fill out training activity records and enter into MANPRINT database daily. The TAR specifies that training starts on 1 Feb and ends on 30 June. Later on page 8, the TAR states that the Contractor is required to attend NET from 1 Feb - 27 May. Question. When will the MANPRINT database be available so the Contractor is in compliance with Paragraph 2.2.c.16

Answer – This question references a “Sample Task Order.” Sample Task Orders (TARs) are for the facilitation of oral presentations. There is no requirement to complete activity record and enter MANPRINT database daily. Also, see Question 18 above.

20) D-RFP, Section L, Page, 97, Paragraph 3(c) states, “Printing shall be easily readable (12-pitch type or 10 point proportional spacing.) Please clarify, what font and point size are required? Do you want font size 10 or 12?

Answer - Printing shall be easily readable (12-point minimum font size tables and illustrations may use a reduced font size no less than 10-point and may be landscape). This guidance is reflected in the final RFP.

21) Are contractors typically part of FOA teams, or is that restricted to government personnel?

Answer – The deployment of the FOA team is restricted to Government personnel. The Contractor provides remote support from Fort Hood.

22) In paragraph C.1.22, key personnel are identified as PM, Security Manager, and Logistics Manager, but in paragraph L.4.b.2.b an Engineering Manager position was added to the list of key personnel. Attachment 6 also calls out a Test Support Lead, while TE_F_DID_A005 lists key personnel as "Program Manager, Test Task Leads, and key leaders of the major sections". Please indicate the number and type of key personnel identified by USAOTC for the purpose of this proposal.

Answer – Key personnel are the Program Manager, Security Manager and Logistics Manager. For the purpose of Emergency Contact the list of “key personnel” also includes the Test Task Leads and key leaders of the major sections and or divisions. Attachment 6 titled Positions Requiring Security Clearances does not identify key personnel positions.

23) Ref: C.1.4.1. - If incumbent personnel who may be family members of current ATEC employees have already been cleared to work on the current contract, do we still have to go through the process of submitting them for approval to work on this contract?

Answer – Yes. This will be a new contract and no current family members have been approved to work on this contract.

24) Ref: C.1.22 - Are the Program Manager and Contract Manager identified in this paragraph intended to be the same person? If not, please clarify the intended roles of each position.

Answer – Paragraph C.1.22 should read, “Program Manager.” The position of “Contract Manager” is in error and was corrected in the final RFP.

25) Ref:C.4.9.3. - Is the government really looking for a replacement to TIMS, or would they prefer that we propose to keep using TIMS?

Answer – No, the Government is not looking for a replacement to TIMS. The contractor has the option of using Government provided software (TIMS) or software equal or better in capability in accordance with the terms and condition of the contract.

26) Please provide a complete list of all vehicles, equipment, and buildings that will be required to be maintained.

Answer – A complete listing of all vehicles and equipment to be maintained can be found in attachment 3a “Government Furnished Property.” A complete listing of all buildings to be maintained can be found in attachment 2 “Government Furnished Facilities.”

27) Will additional questions be accepted after release of the final RFP? If so, when will they be due?

Answer – The cutoff date for all questions was November 19, 2012 at 4:00 central standard time. Additional questions will not be accepted.

28) Timeline for proposal development prior to submission (est. at 30 Nov 2012) overlaps submission of OCI concerns by offerors (9 Nov 2012) and allows only a week for response (est. at 16 Nov. per Industry Day Briefing). Are offerors expected to concurrently execute proposal development for bid submission prior to responses from the government regarding OCI concerns? If yes, is there any way to mitigate that overlap?

Answer – The deadline for OCI submissions is November 9, 2012 by 3:00pm CST and the Government Advisory opinion was issued not later than November 16, 2012.

29) Will OCI submissions turned in prior to 9 Nov be evaluated before to 16 Nov?

Answer – All advisory opinions were provided on November 16, 2012.

30) Ref: DRFP Section H, OCI, B.3. - Does the future OCI Future Efforts statement pertain only to systems or components analyzed for USAOTC during the performance of this contract?

Answer – Section H, Special Contract Requirements, OCI, B3 pertains to both systems and components of those systems.

31) Ref: DRFP Section H, OCI, B.3. - Dees the future OCI Future Efforts statement include all DoD or is it limited to only U.S. Army?

Answer – the OCI future effort statement includes all DoD efforts.

32) Ref: DRFP Section H, OCI, B.3. - Does the future OCI Future Efforts statement pertain to performance as a prime, subcontractor, or both for systems and components analyzed on behalf of USAOTC?

Answer – the OCI future effort statement applies to performance as a prime and subcontractor equally both to systems and components of those systems.

33) Reference (e) VOLUME V – COST/PRICE. Page 107: (4) The specific direct labor rates utilized to price the proposal must be identified in the cost and pricing proposal only. The proposal shall set forth a complete breakdown of the direct and indirect rates by category and the rationale thereof. Provisions for overtime and shift differential charges shall be clearly addressed on a per- hour basis. Bid codes (applicable codes used to identify a labor category in the offerors accounting system), employee names and/or other documentation (such as assigned letter of commitment for key personnel not currently employed by the offeror) to support the rates proposed shall be provided. Letters of commitment shall clearly identify the prospective employees‟ agreed-to salary/hourly rate and other pertinent conditions of employment. The same detailed support data shall be furnished for all major subcontractors

Does this imply that all employees must have a letter of commitment or just key employees?

Answer – No, this applies only to key personnel.

34) Attachment 5 is unclear as to the Historical and Projected Workload. There is no indication of FTE data required for the historical PoP or the new PoP. Explanation of the data presented pertains to average number of OTC tests for the last PoP with GFP & Facility data and the anticipated average number of OTC tests for the new PoP with GFP & Facility data. The data does not address the variations in scope and complexity of the tests or the allocation of the effort to PWS elements or labor categories. Will more detailed historical and/or anticipated labor data be furnished to help determine labor requirements for the new PoP?

Answer – No more detailed historical labor data will be furnished.

35) Reference Page 12 - C.1.4.3.4. Personnel Security Clearance, Page 99 - (b) Key Personnel, Attachment 6, and Attachment 8 Page 12 - C.1.4.3.4. Personnel Security Clearance. The PM and the PM’s Security Manager shall possess a Top Secret - Sensitive Compartmented Information (SCI) clearance. In addition, the contractor shall provide personnel with Secret clearances and who possess the ability to obtain Top Secret clearances, if required during contract performance. Other selected contractor personnel, as designated in the technical requirement, shall be required to have Secret clearances (see Attachment 6). At a minimum, interim clearances shall be required at contract start date for key personnel and for those personnel required to support tests. It is the responsibility of the contractor to ensure prior to performance that appropriate security clearances have been obtained. Contractor personnel who have not received required security clearances shall not be granted access to classified information nor be allowed to perform classified work. A request for clearance shall be made within five (5) working days after hiring and shall contain a request for an interim clearance. Compliance by the contractor’s personnel with AR 25-2 and AR 380-5 is required. The contractor shall also comply with the Industrial Security Program In Accordance With (IAW) DOD 5220.22-M. The approved DD Form 254 will be incorporated as part of this contract.

Page 99 -

(b) Key Personnel: USAOTC has identified four multi-functional key positions (Program Manager (PM); Security Maintenance (SM), Engineering Manager (EM) and Logistics Manager (LM) in the contractor work force (PWS paragraph 1.22). However, offerors should identify what they consider to be key positions within their proposed organizational structure, and summarize the duties and responsibilities of those positions. The Program Manager (PM), Security Manager, Engineering Manager, and Logistics Manager shall have or shall be able to obtain a Top Secret - Sensitive Compartmented Information (SCI) clearance. ….

The referenced Attachment 6 file content appears to be titled Attachment 8 and the referenced paragraphs do not agree as to the actual required security levels or the Engineering Manager. Will the Government please clarify?

Answer – Attachment 6, Positions Requiring Security Clearance, is mis-titled as attachment 8 on the document. This was corrected on the final RFP. The positions of Program Manager (PM) and Security Manager shall have a Top Secret – Sensitive Compartmented Information (SCI) clearance. The position of Engineer Lead and Test Support Lead shall have Top Secret clearance and the ability to obtain a Top Secret – Sensitive Compartmented Information (SCI) clearance.

36) Reference Page 109 – Section L – (1) TARs & PWS Para: The offeror shall provide cost/price data to all of sample Task Authorization Requests (TARs) and the PWS. In order to evaluate completeness, all TARs and PWS shall be addressed. If multiple PWS paragraphs and TARs are being performed by cross-utilized employees and the employees are being priced under just one of the PWS paragraphs, ensure that the non-priced PWS paragraphs are identified by simply cross-referencing the priced PWS paragraph.

Is the offeror to provide a Technical Approach for each sample TAR along with cost/price data in accordance with the CDRL/DID (003) instructions for the Technical Implementation Plan(TIP), or just the subset of Cost/Price for the TIP?

Answer – For the purposes of developing volume V cost/ price the offeror is not required to provide a technical approach for each of the sample TARs. The offeror is only required to propose technical approaches to two (2) sample TARs (Base Operations and Test Task Multi Requirement).

37) Reference paragraph C.1.4.3.7. Identification and Badges. The contractor shall provide all employees working on this contract with identification badges. As a minimum, badges shall include contractor name, contract number, employee photograph, employee's name, and appropriate code for security clearance access.

Our current company identification badges provide Company Name, Employee Photo, Employee Name, Employee Number and US Citizenship. For OPSEC concerns, we have not included information regarding clearance level or contract. Will the Government please confirm the information in the referenced paragraph is required?

Answer –Contractor identification badges shall include contractor name, contract number, employee photograph, employee's name, and appropriate code for security clearance access as stated in the PWS.

38) Reference Presolicitation Conference slides 7-10 in the Organizational Conflict of Interest presentation. The Government will evaluate responses to determine an offeror’s viability but a negative determination will not prevent an offeror submitting a proposal. How will the Government use the OCI evaluations in rating the offerors’ proposals and making a contract award?

Answer –OCI will not be rated nor evaluated. The Government will only render an OCI advisory opinion.

39) What is the Government’s desired validity period for the offerors’ proposals?

Answer – See Item 12 on the Standard Form 33. The standard is 60 calendar days unless the offeror insert a different period.

40) Ref: Section B, p.5 CLIN DELIVERY/TASK ORDER MINIMUM/MAXIMUM QUANTITY AND CLIN ORDER VALUE -What Quantity is being requested? Hours, LOT? What is the unit of measure for determining Minumum and Maximum?

Answer –No minimum and no maximum have been established at the task order level. This section was removed from the final RFP.

41) REF: Section G - Contract Administration Data, NEGOTIATED CEILING RATES, pg 47 of 119-NEGOTIATED CEILING RATES - Is the cost proposal to include direct burdened labor rates or will these be requested after contract award?

If burdened rates are to be included, are rates for all locations proposed to be included?

Answer –The cost proposal should include both burdended and un-burdended labor rates which will be incorporated into the contract. The negotiated contract rates and negotiated ceiling rates shall be established prior to contract award.

42) Ref: Section K.52.204-8 ANNUAL REPRESENTATIONS AND CERTIFICATIONS (MAY 2012), p 88 of 119-The small business size standard is stated as $27M. Will this be changed to $35.5M to reflect the current standard for NAICS 541330?

Answer – $27M is an error. This was changed to reflect $35.5M in the final RFP.

43) Ref: a) Attachments 7, 8, 9, 11, 12 Para 2. SPECIFIC TECHNICAL REQUIREMENTS

TABLE -a) "Costs shall be separately identified by each month and segregated by fiscal year." Is "fiscal year" defined as Governement Fiscal Year?

Answer – Fiscal year is defined as Government fiscal year starting October 1st and ending September 30th.

44) Ref: b) Draft RFP Page 109 of 119, Tab B, DIRECT LABOR- b) Table indicates that costs are to be presented by TAR & PWS Para (1)

Do these costs need to be further broken out by month and fiscal year?

Will the Government provide cost templates for offerors to utilize so that we may present cost/price information in a standardized format?

Answer – Cost proposals need not be broken out by months. Cost proposals shall be broken out by year. The Government will not provide a cost template.

45) Ref: Section H, Page 65 of 119, General and Administrative Expenses-"Not withstanding. Fee will not be applied to General and Administraive expense."

Is the intent that the offeror will not be allowed to calculate fee on all G&A Expense or only on increased amounts due to a provisional rate adjustment?

Answer – No fixed fee shall be applied to G&A expenses.

46) Ref: Attachment 8, pg. 1, para 1.1.b-Dates specified do not include year(s)

Please provide years for support. For example, is this a one time test event that only occurs in the first contract period?

Answer – Attachment 8, Sample TAR Multi-Requirement Test, is obsolete. See Attachment 15.

47) Ref: Attachment 9, pg. 1, para 1.1.b-Dates specified do not include year(s)

Please provide years that require this support.

Answer – Attachment 9, Limited Requirements Test, is a typical requirement you might encounter during the course of test support. It is not year specific.

48) Ref: Attachment 10, pg 1, Para 1.5-Please provide "other locations" and Period of Performance (including years)

Answer – Attachment 10, TECHNOLOGY BASE SUPPORT, is a typical requirement you might encounter during the course of test support. It is not year specific. “other locations” is a phrase typically used when test locations have not been identified at the time the requirement is issued to the test support contractor.

49) Ref. Page 98, Sec L Paragraph 4 (b) (1) (a) Volume II – Mission Capability (Technical): The Draft RFP requires the offerors in Element I to demonstrate an understanding of the processes and procedures required to perform operational test services to include the functions of the performance-based work statement (PWS). Question: Are the offerors required to address in Volume II every major paragraph of the PWS or only those major technical functions as described in PWS Section 5 SPECIFIC TASKS? Question: If every element of the PWS must be addressed, would the Government consider adding significantly more pages to Volume II to provide an adequate response?
