VOLUME II – PAST PERFORMANCE AND SMALL BUSINESS SUPPORT

The offeror shall provide the past performance, small business support, and earned value management system information described below. The Government will evaluate the submitted information to determine if the offeror is eligible for best value award consideration as set forth in the Go/No Go evaluation criteria at Section M.3.

Section 1 – Past Performance:

Part A – Performance History Matrix: Provide the matrix of recent and relevant corporate experience that is submitted in Volume III, Section 3 of the offeror’s proposal for this solicitation. It is the offeror’s responsibility to ensure consistency between the information submitted in this Section and that provided in Section 3 of Volume III.

It is further the responsibility of the offeror to verify the accuracy of all contact and other descriptive information provided in the matrix. The Government will not attempt to resolve inaccurate and/or inconsistent information, or to locate missing data. The proposal of inaccurate, inconsistent or incomplete information may adversely impact the Government’s evaluation of the proposal.

Part B – Small Business Performance: Specifically address the offeror’s track record of meeting small business subcontracting and/or participation goals applicable to the performance history examples provided in Part A above.

The proposal shall include the following:

Part A - Small Business Participation Plan: The offeror (both large business and small business prime offerors) shall provide a Small Business Participation Plan that demonstrates compliance with the goals set forth in Section H.5 of the solicitation. Small business prime offerors are advised that its own proposed participation as a prime contractor, as well as its proposed participation of any small business subcontractors, counts towards the percentage of total acquisition value goals set forth in Section H.5 of the solicitation. However, small business prime offerors are not required to subcontract to other small businesses in order to achieve the small business participation goals, but may meet or exceed the goals through its own planned performance as a prime. The plan shall include the information, and be submitted in the format, set forth below.

(i) Proposed Prime Contractor Business Size.

{ } Large

{ } Small (also check type of Small Business below)

{ } Small Disadvantaged Business (SDB) { } Woman-Owned Small Business { } Historically Underutilized Business Zone (HUBZone) Small Business { } Veteran Owned Small Business (VOSB) { } Service Disabled Veteran Owned Small Business (SDVOSB)

(ii) Identification of small business firms that will be utilized in performance of the contract. This part shall identify each firm’s small business classification (i.e., small business, SDB, WOSB, VOSB, etc.) and the effort each is proposed to perform under the contract.

(iii) Extent of Commitment. This part shall provide information regarding enforceable commitments to utilize any small business category, as defined in FAR Part 19, as subcontractors. Bilateral agreements, including subcontracts between DoD Mentor-Protégé program team members, constitute enforceable agreements. Copies of such agreements shall be provided as part of the Small Business Participation Plan.

(iv) Proposed Small Business Participation Goals. The offeror shall use the matrix below to propose small business participation plan goals (which shall meet or exceed the minimum goals set forth in Section H.5 of the solicitation). For example, an offeror who is a small disadvantaged women owned business gets credit in the prime category (B), the small category (D), the small disadvantaged business category (E) and the women owned small business category (F). The sum of the percentages in matrix categories for small business (E thru I) may exceed 100% since individual subcontractors may be counted in more than one category. The sum of all the percentages need not equal 100% since individual sub-contractors may be counted towards more than one category. All percentages shall use total contract value as a baseline.

(Note: For any corporate experience example that involves multiple task orders, the offeror is limited to submitting relevant task orders only with each task order counting as one contract reference. However, the offeror may submit the overall contract as one submission if it feels the entire effort is relevant to this requirement in lieu of individual task order submissions.)

Section 4 - Key Personnel Qualifications:

(4) Data other than certified cost or pricing data is required in accordance with FAR 15.403-3 and 52.215-20 (Alt IV). The prime offeror and each proposed major subcontractor/team member shall provide a copy of their cost proposal to their cognizant DCAA. By submitting its proposal, the offeror grants the Contracting Officer or an authorized representative the right to examine records that formed the basis for the cost proposal. That examination can take place at any time before award. It may include those books, records, documents, and other types of factual information (regardless of form or whether the information is specifically referenced or included in the proposal as the basis for the cost estimate) that will permit an adequate evaluation of the proposed cost.

(5) The offeror shall ensure that the cost/price proposal contains all information specified herein, and that the information presented is adequate for evaluation and consistent with the information contained in the other proposal volumes. The offeror shall ensure that the information submitted in this volume is consistent with and fully supports the Contract Line Item Number (CLIN) amounts set forth in the SF33, Schedule B (Section B) to be completed and submitted in the cost volume.

(6) The proposal must be completely detailed and itemized so as to permit an adequate analysis thereof and to provide traceability to the other proposal volumes, as necessary, and must be in full consonance with the offeror’s system of accounting and cost/price management. Unless approved by the Procuring Contracting Officer (PCO), the cost/price proposal shall not contain any classified information.

(7) The same level of detail and supporting data that is required for the prime offeror cost/price proposals shall be submitted for all proposed major subcontractors (defined in Volume VI (a)). Major subcontractors may submit their fully disclosed cost/price proposals directly to the Procuring PCO. The prime offeror’s proposal shall clearly identify which of these subcontractors have elected to submit its fully-disclosed cost/price proposal directly to the Government; however, it is the prime offeror’s responsibility to ensure that all cost/price information required by this section is submitted to the Government. The prime contractor proposal must include estimated costs/prices of proposed non-major subcontractors and fully address the basis of the estimate and the methodology employed for incorporating such costs/prices in its proposal. Prime offeror shall conduct cost or price analyses establishing the reasonableness of the proposed subcontractor prices and include the results of these analyses in the price proposal.

In the event the subcontract costs identified in the prime offeror’s proposal do not match the amounts in a subcontractor’s individual proposal, the prime offeror’s proposal must provide a detailed reconciliation of any adjustments made to derive the prime offeror’s proposed individual subcontract costs.

(8) The cost proposal, including all proposed rates and factors, shall be for a ten year period of performance with an assumed contract award date of 28 November 2017. The ten year period consists of a four-year base period and three consecutive two-year option periods. Costs for all phase-in and phase-out transition activities shall be estimated within the ten year period. Phase-in and phase-out shall be proposed as separate line items. Phase-In will occur within the first 90 days after contract award.

(9) The offeror’s proposal shall be submitted with any and all information reasonably required to explain the estimating process, including the judgmental factors applied and the mathematical or other methods used in the estimates, including those used in projecting from known data; and the nature and amount of any contingencies included in the proposed price. Offerors are instructed to provide any other general or specific information that may be beneficial in evaluation of the offeror’s proposal.

b. If the proposed direct labor rates and indirect rates and factors are based on a current Forward Pricing Rate Agreement (FPRA), or Forward Pricing Recommended Rates (FPRR), the offeror shall provide a copy of the FPRA.

The offeror shall state whether or not proposed FPRA/FPRR includes the impact of this proposal on the business base used to develop the rates; or if the FPRA/FPRR has been adjusted for the impact of this proposal on the business base. Note further that the application of FPRA or FPRR rates and factors in an offeror’s proposal does not preclude the offeror from submitting the underlying support for the subject rates upon request by the Contracting Officer.

c. If the buildup of direct labor rates or indirect rates are based on other than the contract periods specified by the solicitation, identify the allocation of the accounting year(s) to the rates proposed and provide the computational data (via spreadsheet) that illustrates this allocation.

d. This solicitation contains Government-identified labor categories and associated minimum duties/responsibilities, experience and education requirements. The offeror is instructed to propose its own labor categories and shall include a crosswalk of its proposed labor categories to the corresponding RETS labor categories in Section J, Attachment 16 of the solicitation, which must be consistent with labor crosswalk provided in Vol II Technical. If an offered/proposed labor category does not correspond with the RETS labor categories, experience and education, the offeror shall so state and provide experience and education requirements for the non-corresponding category. The information provided in this section must be consistent with the labor crosswalk information provided in Volume III (Transition and Sustainment Capability).

Section 2 – Direct Labor Cost:

a. The offeror and each subcontractor/team member shall provide the information described below for proposed TMS/I&M and STS direct labor costs. The level of detail and clarity of the information provided will have a direct reflection on the evaluator’s ability to adequately understand and assess the offeror’s proposal.

b. Basis of Estimate: The offeror shall specify the basis of estimated direct labor hours and direct labor rates utilized to develop proposed direct labor costs. The discussion shall include the following:

(1) Labor Resource Mix. Identify the labor hours proposed inclusive of the prime offeror team/subcontractors and differentiated between prime offeror and team/subcontractors) by labor category for each of the base year CLINs and each of the option CLINs. The proposed labor categories shall be consistent with those cross walked to the RETS labor categories in Section J, Attachment 16 of the solicitation.

(2) Labor rates shall be proposed separately for RTS site (Kwajalein) and ROC-H (Huntsville, AL) locations.

Identify the basis of the proposed direct labor rates. Disclose whether the labor rates are based on a Forward Pricing Rate Agreement (FPRA) or Forward Pricing Rate Recommendation (FPRR). If not, identify the basis of the proposed rates and if the rates have been audited by DCAA.

Identify the escalation applied to direct labor rates throughout the ordering period and discuss the basis for the selected escalation factor(s). Describe the method by which the escalation factor(s) were applied to proposed labor rates. Offerors are advised that failure to escalate direct labor rates may be determined unrealistic and deemed a significant proposal risk.

(3) Identify labor burdens/indirect rates and calculate indirect costs associated with labor identified to the appropriate labor allocation bases.

(4) Labor (TMS): Offerors shall propose the following not-to-exceed Level of Effort (LOE) hours for the TMS and I&M effort CLINs. For proposal purposes, offerors shall assume that the LOE will be incurred equally across the respective CLIN performance period (as specified in Section F of the solicitation) in estimating costs for these CLINs.

(5) Composite Rates: The offeror shall derive and identify in the proposal applicable composite labor rates for each TMS LOE CLIN. Separate composite rates shall be derived for each CLIN’s Estimated Cost (total CLIN direct and indirect labor costs divided by total CLIN labor hours), Fixed Fee (total CLIN fixed fee divided by total CLIN labor hours), and total CPFF (total CLIN CPFF divided by total labor hours). Offerors shall provide sufficient information for the Government to fully understand and verify how the proposed composite rates are calculated.

The proposed composite rates will be utilized by the Government to establish estimated costs, fixed fee, and total CPFF for incremental option exercises as specified in Section H-___ of the solicitation.

Section 3 – Travel, Materials, and ODCs:

The Government contemplates that non-labor resources may be required to successfully satisfy the PWS requirements. As such, travel, materials, and other direct cost (ODC) CLINs have been established for each in Section B of the solicitation. For proposal evaluation purposes only, the prime offeror shall apply its applicable burdens to the following estimates to derive the total estimated cost for each. Offerors shall assume that the travel, material, and ODC costs will be incurred equally across the respective CLIN performance period (as specified in Section F of the solicitation). Profit/fee WILL NOT be authorized for either Travel, Materials, or ODCs under the resultant contract. The estimates provided in this section will be used for proposal evaluation purposes only; the Government will fund these non-labor resources at its discretion.

Section 4 – Fixed Fee:

Identify the overall fixed fee proposed for each TMS labor CLIN (CLINs anticipate one base CLIN and one CLIN for each Option period.), both as a percentage of the total cost and expressed in monetary terms, and discuss the basis thereof. If fee-on-fee is proposed, discuss the rationale for and method of proposing such. Offerors are advised that per FAR 15.404-4(c)(4)(i)(C), proposed fixed fee shall not exceed 15 percent of the contract’s estimated cost, excluding cost of money. An offeror’s proposal of a fixed fee exceeding 15 percent will render the offeror ineligible for award.

Section 5 – Incentive Fee:

Identify the overall target, minimum and maximum fees proposed for each STS labor CLIN (CLINs anticipate one CLIN per year), both as percentages of the target cost and expressed in monetary terms, and discuss the basis thereof. Identify the share ratio proposed. If fee-on-fee is proposed, discuss the rationale for and method of proposing such. Offerors are advised that proposed maximum fee shall not exceed 15 percent of the contract’s estimated cost, excluding cost of money. Offerors are advised that proposed minimum fee shall be $0. An offeror’s proposal of a maximum fee exceeding 15 percent or a minimum fee other than $0 may render the offeror ineligible for award. Offerors are advised that a proposed share ratio other than 70/30 may render the offeror ineligible for award.

Section 6 – Pass-Through Charges:

For the prime offeror only, discuss the proposed pass through costs and effective rate applied to fully-burdened subcontractor/team member labor rates and the basis thereof. For the purpose of this solicitation and resultant contract performance, “pass through charges” refers to charges to the Government by the prime contractor that is for indirect costs and/or profit on labor work performed by a subcontractor/team member (other than charges for the direct costs of managing subcontracts and applicable indirect costs and profit based on such costs). For this acquisition, an excessive pass-through charge is defined as a charge that exceeds more than a single-digit percentage of total subcontract value. In this section, the offeror shall identify its pass-through rate to be applied to all subcontract effort in task orders issued under the resultant contract. The offeror shall further disclose the specific elements/factors that form the basis for the proposed pass-through rate.

Section 7 – Substantiating Cost Data:

In this section, the offeror shall provide the records, documents, and other types of factual cost information that formed the basis for the cost estimate and that will permit the Government to substantiate the offeror’s proposed costs, rates and factors. This information shall, at a minimum, include current/historical/projected cost data related to proposed direct and indirect expense rates upon which the proposed rates were based (e.g., FPRAs, FPRRs, payroll records, financial records substantiating projected expenses and expense pools, etc.). Also provide any documents required to support the computation of proposed direct and indirect rates/factors. If labor rates are based on payroll records, provide payroll data directly from the offeror’s accounting system (not just a listing of rates) related to proposed base labor rates. If rates are based on survey information, provide the applicable pages from the survey and indicate the rates used. Note that the Government highly discourages contractors from "backing into" base labor rates from GSA rates. The Government also highly discourages using surveys that allow personnel to enter data with no restrictions (e.g. Salary.com).

Section 8 – Status of Systems:

a. The offeror shall provide the most current compliance status and date of adequacy/inadequacy determination for the following systems: Accounting System, Estimating System and Purchasing System. In accordance with FAR 16.301-3(a) (3), the contractor must have an accounting system that is adequate for determining costs applicable to the contract. Further note that the lack of an adequate accounting system will render the prime offeror ineligible for award, and that cost-reimbursement subcontracts cannot be issued to any subcontractors whose accounting system has not been determined adequate by DCMA/DCAA. If any proposed subcontractor’s accounting system has been deemed inadequate or has not been reviewed, the prime offeror must ensure that the subcontractor is proposed on other than a cost-reimbursement basis or must adequately explain how the subcontractor's accounting system will be approved prior to an award to that subcontractor.

b. The offeror shall provide a summary description for its accounting system, including indirect rate structure, and state whether it is compliant with Generally Accepted Accounting Principles (GAAP) and Cost Accounting Standards, if applicable. The offeror shall provide any known/cited accounting system deficiencies. The Contracting Officer may request an accounting system audit or follow up audit from DCAA. The offeror shall also identify any deviations from the offeror’s standard procedures in preparing this proposal. If the offeror proposes to absorb a portion of costs, explain the reason and impact on cost and the specific accounting treatment that will be given to those absorbed cost.
