The following have been modified:

SECTION L: INSTRUCTION TO OFFERORS

Section L - Instructions, Conditions and Notices to Bidders

PROPOSAL SUBMISSION

L.1.0. INTRODUCTION

L.1.1. The BCTC-ES requirement is a Total Small Business Set-aside to be competed among companies qualifying as small businesses under NAICS 541513, (Computer Facilities Management Services), with a size standard of $27,500,000.00. The BCTC-ES requirement and the details for the Sample Task Scenario are defined within the Performance Work Statement, Attachment 8.

L.1.2. The BCTC-ES source selection will involve Government evaluation of offerors’ written proposals in accordance with (IAW) Sections L and M of this solicitation. Offerors shall demonstrate their capability, understanding and willingness to satisfactorily perform the entire effort described in the Performance Work Statement (PWS) located in Section C of this solicitation for the resultant

Single Award Indefinite Delivery/Indefinite Quantity (ID/IQ) contract. Capabilities may be established within either the offeror’s corporate structure or through contractor teaming arrangements. The Government is neither encouraging nor discouraging teaming arrangements and will focus on the offeror's proposed approach to perform the full scope of work. The proposal shall be valid for 270 calendar days from date of initial proposal submission.

L.1.3. Unless otherwise specifically stated, the term contract will be synonymous with the words contract, project or effort, when used in reference to information required in association with this solicitation.

L.1.4. The offeror’s proposal shall be submitted in digital copies, as set forth below:

The offeror’s proposal shall consist of four (4) volumes. The Volumes are I – Program Management/Technical, II – Past Performance, III – Cost/Price, and IV – Business. Files shall not contain any classified data. The use of external hyperlinks in proposals is prohibited.

L.1.5. All proposals must clearly and convincingly demonstrate that the offeror has a thorough understanding of the entire requirement and associated risks, and is competent and willing to devote resources necessary to meet the requirement, and has a valid and practical solution for the requirement. Statements that the prospective offeror understands, can, or will comply with the requirements, and statements paraphrasing the requirements or parts thereof without supporting information/narrative are considered inadequate and unsatisfactory. The proposal shall comprehensively explain how the offeror proposes to comply with the applicable requirements, as well as the techniques and procedures the offeror proposes to implement. Mere reiteration of the requirement or standard reference material is discouraged and is considered inadequate and unsatisfactory. The Offeror must include any data necessary to illustrate the adequacy of the various assumptions, approaches, and solutions to problems. In presenting material in proposals, offerors are advised that quality of information is more important than quantity.

Offerors are encouraged to use quantitative terms wherever possible and avoid the use of qualitative and subjective terms to the maximum extent practicable. Offerors are cautioned that while the Government will not evaluate every PWS requirement for the purposes of the source selection evaluation, the awardee/Contractor will be required to comply with all PWS requirements during performance of the contract. Offerors shall provide a statement that they will fulfill all requirements of the PWS. The offeror’s proposal shall describe its approach to implementing PWS requirements. The proposal shall reference the related paragraphs of the PWS (e.g. 5.1.7) and provide the detail necessary to substantiate the proposed approach and methodology for performance. It should identify any unique or innovative approaches which ensure successful performance. The Government will determine that an offeror's proposal is non-compliant, and therefore ineligible for award, if the proposal indicates that: it cannot or will not meet any of the PWS requirements; provides an approach that clearly does not meet any of the PWS requirements; or, includes data which prompts the Government to question the offeror's compliance with any of the PWS requirements. The Source Selection Authority may reject all proposals received in response to a solicitation, if doing so is in the best interest of the Government. Deviation from, or non-compliance with, the solicitation’s instructions may result in a non-compliant proposal determination.

L.1.6. Information previously submitted to the Government should be assumed unavailable during this proposal evaluation and source selection process.

L.1.7. Proposals submitted will not be returned. Alternate proposals will not be evaluated or accepted.

L.1.8. The portions of the successful offeror’s (Awardee’s) proposal that have merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance will be incorporated into Section C of the resulting contract and resulting Task Orders.

L.1.9. The offerors shall ensure that each proposal volume submitted contains only the information relevant to that specific volume. The offerors are cautioned that each volume of the proposal is evaluated standalone against the criteria set forth in Section M and the evaluators for one volume may be different than the evaluators of another volume. It is incumbent upon the offerors to ensure they properly submit their proposals. If the data is not contained in the appropriate volume of the proposal, it will not be evaluated. The Government will consider information it requires for proposal evaluation not found in its designated volume as the offeror having omitted it from the proposal. No cost information shall be included in the Management/Technical volume of the offerors proposal. No Management/Technical information shall be included in the Cost volume of the offerors proposal. Files shall not contain classified information.

L.1.10. If an offeror believes that the RFP contains an error, omission, or is otherwise unsound; the offeror shall immediately notify the Contract Specialist, corretta.m.benton.civ@mail.mil and Contracting Officer, robert.m.minjack.civ@mail.mil in writing with supporting rationale prior to the solicitation closing date and time.

L.1.11. All questions regarding the solicitation shall be submitted in writing to the Contract Specialist, corretta.m.benton.civ@mail.mil and Contracting Officer, robert.m.minjack.civ@mail.mil within 10 calendar days after the solicitation is published in FEDBIZOPPS. Phone inquiries regarding the solicitation will not be received or acknowledged. Offerors will receive an acknowledgement of their question via response to the email submission. All questions submitted to the Government will be answered via an amendment to the solicitation and posted to fedbizopps.gov website under the solicitation number and made available to all interested parties. The Government reserves the right to decline addressing questions received after 10 calendar days after the RFP posting.

L.1.12. Offerors shall submit questions using RFP Attachment 6, Solicitation Question/Comment Form located in Section L. Answers will be posted without Offeror identification. The Government will not provide responses to questions that would reveal a potential Offeror’s confidential business strategy, technical solution, or any information that is considered unique to a particular offeror.

L.1.13. In accordance with FAR 52.215-1, the Government intends to make contract award without discussions. However, the Government reserves the right to request additional information (via clarifications, communications or discussions) after receipt of proposals as determined to be necessary by the PCO. Clarifications are limited exchanges, between the Government and offerors, where offerors may be given the opportunity to clarify certain aspects of proposals or to resolve minor or clerical errors. Communications are exchanges between the Government and offerors to determine an offeror(s) inclusion or exclusion from the competitive range.

Discussions/Negotiations are exchanges between the Government and offerors that are undertaken after the establishment of a competitive range with the intent of allowing the offeror(s) to revise their proposal(s).

L.1.14. Firms that have formally organized or associated specifically for this project may submit proposals.

A firm may be included in more than one proposal (each firm/association may enter a separate proposal) by entering into more than one association. Associations may be joint ventures or include subcontractors relationships. Any legally organized offeror may submit a proposal. Contractor Team Arrangements are considered as an arrangement in which (1) two or more companies form a partnership or joint venture to act as a potential prime contractor, or (2) a potential prime contractor agrees with one or more other companies to have them act as its subcontractor under a specified Government contract or acquisition program. In accordance with FAR Subpart 9.6, the Government mailto:marvin.j.hagan.civ@mail.mil mailto:dunamis.t.triska.civ@mail.mil mailto:marvin.j.hagan.civ@mail.mil mailto:dunamis.t.triska.civ@mail.mil will recognize the integrity and validity of contractor team arrangements; provided, the arrangements are identified and company relationships are fully disclosed in the offer. In accordance with the Small Business Act (15 U.S.C. section 46) the potential prime contractor may not expend on subcontractors more than 50% of the amount paid under the contract (not including the cost of CHESS IT Hardware purchases and FSS FF&E purchases). The prime contractor will be held fully responsible for contract performance, regardless of any team arrangement between the potential prime contractor and its subcontractors. Where the use of subcontractors is proposed, the proposal shall clearly distinguish between the prime and the major subcontractor’s work and responsibilities. Major subcontractors are defined as members of an offeror’s overall team who will provide critical hardware/services (e.g. RWIS Support, VTC Support) or whose subcontract is for more than twenty (20) percent of the total proposed cost/price.

L.1.15. Any proprietary information submitted separately for major subcontractors shall be furnished in the same format, level of detail, and submission due date/time as prescribed for the prime offeror.

One DOES NOT need to be logged in to search the UC APL. The offeror shall identify all IT network hardware that does not appear on the UC APL, then nominate a replacement piece of hardware with the same or better capability.

The offeror shall provide a labor estimate of activities required to execute the task associated with this scenario. Activities include but are not limited to executing a site survey for a legacy site, procurement, delivery and installation of the FFE to include audiovisual and video teleconference capability, information technology network hardware and ancillary equipment. A plug number will be provided in RFP Attachment 2 – Cost-Price-Basic IDIQ Workbook for the FFE cost for pricing purposes. This information shall be included in the offeror’s proposed Price Volume for the scenario for a total price utilizing Attachment 4, Scenario Cost/Price Workbook. However, in the Management/Technical Volume, you shall identify all labor and ancillary materials to accomplish the tasks stated above for the FFE installation as part of the total effort. The offeror shall include all steps relevant to understanding their proposed approach.

The offeror shall identify all required travel to accomplish the scenario identified below.

b. Scenario: The Ft Hood large MTC MCA project is scheduled to be completed 5 March 2018. The FFE for the Ft Hood MTC can be found in Attachment 2, FFE Packages. All IT equipment must appear on the UC APL.

The offeror shall develop an Integrated Master Schedule and work plan to accomplish all required activities from procurement to installation of the FFE to include extending the network infrastructure from the zone boxes to the modular furniture being installed and exiting the site. A legacy site survey is scheduled for the medium MTC located at Ft Carson CO from 3-5 April 2018. The offeror shall identify the composition of the site survey team labor categories and hours required to plan and execute the site survey then prepare and submit a recommended bill of materials. The offeror shall utilize the FFE list for a medium MTC in identifying the scope of activities to compute the level of effort. The audiovisual, video teleconferencing and IT network hardware are the only FFE components requiring refresh. The legacy site survey will be followed by a small MTC MCA fielding to Shaw AFB SC which is scheduled for completion on 25 May 2018. The FFE for the Shaw AFB MTC can be found in Attachment 1, FFE Packages. All IT equipment must appear on the UC APL.

The offeror shall develop an Integrated Master Schedule and work plan to accomplish all required activities from procurement to installation of the FFE to include extending the network infrastructure from the zone boxes to the modular furniture being installed and exiting the site.

Section 2 - Performance Offerors shall provide a specific narrative explanation of each contract listed in Section 1 describing the objectives achieved and detailing how the effort is relevant to the requirements of this solicitation.

For any contracts that did not/do not meet original schedule or technical performance requirements, provide a brief explanation of the reason(s) for the shortcomings and any corrective action(s) taken to avoid recurrence. The offerors shall list each time the delivery schedule was revised and provide an explanation of why the revision was necessary. All Requests for Deviation and Requests for Waiver shall be addressed with respect to causes and corrective actions. The offerors shall also provide a copy of any Cure Notices or Show Cause Letters received on each contract listed and a description of any corrective action implemented by the offeror or proposed subcontractor. The offerors shall indicate if any of the contracts listed were terminated and the type and reasons for the termination.

Section 3 – Subcontracts Offerors shall provide an outline of how the effort required by the solicitation will be assigned within the offeror’s corporate entity and among the proposed subcontractors. If an offeror is utilizing past performance information of affiliate/subsidiary/parent company, the proposal shall clearly demonstrate that the affiliate/subsidiary/parent company will have meaningful involvement in the performance of the contract. The offeror shall clearly identify and describe the work that the affiliate/subsidiary/parent company will be performing under the BCTC-ES effort. Furthermore, offerors shall explain how the past performance work specifically relates to the work that will be performed under the BCTC-ES effort. The description of the work performed by the affiliate/subsidiary/parent company will be considered in determining the relevancy of the past performance information provided for the affiliate/subsidiary/parent company.

If the Offeror fails to demonstrate the affiliate/subsidiary/parent company’s meaningful involvement in the performance of the resultant contract, the contract or effort will not be considered relevant and will not be evaluated, and may result in an “Unknown Confidence” rating. The information provided for the prime offeror and each proposed major subcontractor must include the entire company name, company address, CAGE Code, DUNS Number and type of work to be performed by citing the applicable Government PWS subparagraph number. This includes all subcontractors who will be providing critical hardware/services or whose subcontract is for more than twenty percent of the total proposed price.

Section 4 – New Corporate Entities

A new corporate entity is defined as a business/corporation (to include Joint Ventures) established within 24 months from the date of the closing of this solicitation. New corporate entities may submit data on prior contracts involving its officers and employees. The offeror shall describe the officer’s proposed role in performance of this contract. Past performance of former employees will not be considered unless the offeror provides commitment letters or some other assurance that those employees will be performing on this contract. However, in addition to the other requirements in this section, the offeror shall discuss in detail the role performed by such persons in the prior contracts cited. Information should be included in the files described in the sections above.

Past Performance Evaluation Questionnaire Form

For all contracts identified in Section 1 Attachment 9 Past Performance Evaluation Questionnaire Forms must be completed and submitted as follows:

(a) The offeror shall complete Part A of the Past Performance Evaluation Questionnaire Form and e-mail the questionnaire to both the Government/commercial contracting activity and technical representative responsible for the past/current contract.

(b) The POC’s shall be instructed to electronically complete Parts B and C of the questionnaire and return it to the Contract Specialist at corretta.m.benton.civ@mail.mil by 12:00 p.m. (1200 hours) ETZ on 28 April 2017.

(c) The offeror shall also e-mail the Contracting Officer a POC list of their identified past performance contracts by 12:00 p.m. (1200 hours) ETZ on 28 April 2017. The POC list shall be submitted in Microsoft Word format table format to include the following fields: Solicitation Number; Company Name;

Contract Number; Government Agency; POC Last Name; First Name; POC Title; POC Telephone Number; POC E-mail Address; Date E-mailed to POC (month/day).

3. VOLUME III – Cost/Price.

a. This volume shall consist of all information, required to support proposed costs and prices for both the Basic ID/IQ and the Sample Task Scenario. The offeror shall include all assumptions, including assumptions associated with Phase-In and Phase-Out, relative to their proposal submissions. The offeror shall ensure that all Labor Categories, skill mix, hours, and job descriptions provided in the Management/Technical Volume match those provided in the Cost/Price Excel workbooks for both the Basic ID/IQ and Sample Task Scenario.

If the Sample Task Scenario Cost/Price methodologies differ from the Basic ID/IQ Cost/Price methodologies, the offeror shall provide a separate narrative that supports the difference.

mailto:corretta.m.benton.civ@mail.mil

b. As part of price evaluation, the Government will evaluate its option to extend services by 6 months under the execution of FAR Clause 52.217-8. The cost of the 6 months extension will be 50% of the last 12 months of the evaluated price.

c. Because adequate price competition is anticipated, offerors are not required to submit “Certified Cost and Pricing Data”. However, in order to support a determination of a fair and reasonable price, offerors are required to submit “Other Than Certified Cost or Pricing Data”.

The information submitted in this volume shall comply with the requirements set forth below. In the event that adequate price competition is not received, the Government reserves the right to later request the offeror to submit “Certified Cost or Pricing Data” in accordance with FAR Clause 52.215-20, Alternate III located later in this Section L.

d. There are no page limitations for this volume.

e. The Cost Volume shall be submitted in electronic copy (Compact Disc

(CD/DVD)) only. Paper copies of the Cost/Price Volume will not be accepted. Offerors shall submit the Cost/Price Volume on a separate CD/DVD and shall mark it appropriately with the offeror’s name and address and volume identification and solicitation number. No Cost/Price information shall be included in any volume other than the Cost/Price Volume.

f. No cost information shall be included in the Program

Management/Technical Volume of the offerors proposal. No Program Management/Technical information shall be included in the Cost volume of the offerors proposal.

g. Files shall not contain classified information.

h. The use of hyperlinks in the proposals is prohibited.

i. Please note – Self extracting exe files are not acceptable. All files on each CD/DVD shall be directly supported by Microsoft Office 2013 and verified to be free of any virus or malware.

j. The offeror shall ensure that all Sub-Contractor Cost/Price Volumes are also appropriately marked with the prime offeror’s name and address, volume identification, solicitation number, and distribution restrictions.

Prime and Sub-Contractor files contained in the Cost/Price Volume shall not be password protected and all cell formulas and cell references shall be intact and the worksheet shall be unprotected, not locked.

k. All Excel workbooks shall include formulas that are executable and traceable to allow the Government to test and evaluate the offeror’s and supporting subcontractor’s proposed costs. Offeror’s shall provide cost-element breakdowns for each proposed line item. Offerors shall not submit unstructured “flat files” where calculations are not supported by rate tables or formulas.

l. Each offeror shall fill out Attachments 2 and 4 Cost/Price Excel

Workbooks for the Basic ID/IQ and the Sample Task Scenario, respectively, in its entirety and provide as Appendix A to their Cost/Price Volume. All offerors are required to complete and provide as Appendix B to their Cost/Price Volume, the Fixed Fully Burdened Labor Rate Buildup Workbook, which is provided as Attachment 3.

Attachment 3 is to be used to illustrate how the “fully burdened labor rate” is derived. The fully burdened labor rate is the rate that should be used for the Cost/Price Worksheet “labor rate”. All instructions needed to complete the Total Evaluated Price Excel Worksheet and Fixed Fully Burdened Labor Rate Buildup are included in the respective workbooks. The Total Evaluated Price Excel Workbook submissions must be consistent within your proposal and must strictly confirm the requirements of the workbook. The fully burdened rates proposed will be utilized as ceiling rates under CLINs 0005 and 0007 in the base and options years in the awarded contract for the purposes of future task orders.

m. If the prime is unable to submit subcontractor information relative to the BCTC-ES requirement due to proprietary data issues, subcontractors’ information may be provided separately. Offerors are cautioned that subcontractor information shall be in compliance with the deadlines and guidance already established for the BCTC-ES requirement. If subcontractors submit their proprietary information separately, and the information is not included within the same shipping container as the prime, the subcontractor must identify their prime contractor via cover page or other designation/marking. If the Sub-contractor information is provided late, then the entire proposal may be found to be untimely.

n. An offeror’s proposal is presumed to represent the offeror’s best efforts to respond to the solicitation. Any inconsistency, whether real or apparent, between promised performance and cost should be explained in the proposal. For example, if the intended use of new and innovative production techniques is the basis for an abnormally low estimate, the nature of these techniques and their impact on cost should be explained.

Additionally, if a corporate policy has been made to absorb a portion of the estimated cost, that should be stated in the proposal and the contract will include a clause which requires the offeror to absorb that portion of costs reflected in its cost proposal. Any significant inconsistency if unexplained, raises a fundamental issue of the offeror’s understanding of the nature and scope of the work required and of his financial ability to perform the contract, and may be grounds for rejection of the proposal. The burden of proof as to cost credibility rests with the offeror.

o. All CLINs shall be supported with detailed data to support the efforts proposed. The offeror shall provide a detailed Basis of Estimate.

p. Summary Estimating Methodology.

Summary of Cost Proposal for Basic ID/IQ (see Attachment 2 – Cost-Price - Basic IDIQ Workbook) and Sample Task Scenario (see Attachment 4 – Scenario Cost-Price Workbook):

The offeror shall provide a separate cost estimating summary for the Basic and for the Sample Task Scenario describing the process used to develop the estimate. This section shall include, at a minimum, a summary of the approach used to estimate labor hours and a description of the process used to obtain vendor quotes for purchased equipment and/or material. The offeror shall organize the summary so that similar costs are grouped together. For example, the offeror shall discuss labor costs and then will discuss indirect labor costs and then material costs and so on. Each summary shall provide a reference to the cost being discussed. For example, the summary describing how labor for CLIN 000X was developed is referenced in the Excel document labeled “_______”; cell D22-D45. The offeror shall provide any additional narrative to further clarify and explain the cost data in the proposal. It is incumbent upon the offeror to create confidence that the proposed costs are reasonable.

Ground Rules and Assumptions: The offeror shall provide an explanation of all ground rules and assumptions that affect the cost estimates. The offeror is advised that any assumptions proposed in the Program Management/Technical volume will be compared to the assumptions provided in the Cost/Price volume. Topics to be addressed include, but are not limited to, investments, programmatic variables (e.g., inflation/escalation, make/buy decisions, prime/subcontractor relationships, and business base concerns), etc. Any and all costs that are affected shall have an associated reference to the cost being discussed. For example, the summary describing how labor for CLIN 000X was developed is referenced in the excel document labeled “___”; cell D22 – D45.

The offerors shall specifically provide supporting data and rationale for performance period rates and factors, including labor rate development methodologies, basis for estimate, escalations applied, overhead, fringe benefit and G&A expenses, etc. Offerors shall disclose their standard man-year as it pertains to this effort.

The offeror shall ensure that the information submitted in this volume is consistent with and fully supports the amounts set forth in the SF33, Solicitation, Offer and Award, and continuation sheets. Offeror shall ensure that information presented in the Cost/Price Volume is consistent and correlates with information contained in other proposal volumes.

Estimated phase-in and phase-out costs shall be discussed separately in the offerors cost/price proposal.

Cost Type CLINs. The offeror shall utilize the fill-in number provided by the Government for the estimated cost for the travel CLINs in the attachment 2 workbook. Therefore, the Government will not conduct a Cost Realism Analysis on the proposed costs for the cost type CLINs for travel.

Firm Fixed Price CLINs The offeror shall provide all pricing for all FFP CLINs in Schedule B on the Cost-Price Basic ID/IQ Excel Workbook and Cost-Price Sample Task Scenario Workbook and in Schedule B of the RFP.

q. The offeror shall report all price/cost elements. If the offeror incurs G&A expenses, then those expenses shall be captured in the Cost/Price Excel Workbook. If the offeror incurs Overhead expenses, than those expenses shall be captured in the Cost/Price Excel Workbook. The offeror shall submit the following detailed information to support the cost as applicable:

i. Direct Labor: Breakdown of direct labor cost by labor category including number of labor-hours and current actual average hourly rates based on the offeror’s reported man-year (1,920 hours for example).
