The offeror shall propose the base labor rate, plus escalation, and applicable indirect rate(s) for each labor category listed. The offeror shall propose for each labor category regardless of whether the offeror employs personnel in each labor categoy or intends to rely on team members/subcontractors for these specific labor categories. If a particular proposed labor category is a composite of more than one labor category, the calculation of the composite with the assigned weighting shall be provided.

If proposing as a Joint Venture (JV), provide all direct and indirect rates/factors utilized in the calculation of the overall prime's direct and indirect rates/factors by each direct labor category and contract year. If applicable, each of the JV labor rates shall be mapped and directly traceable to the prime’s overall blended labor rate for each direct labor category. This information shall be provided in a separate spreadsheet within the cost volume.

The Government recognizes that not all offeror's accounting systems utilize the listed labor categories as direct costs; therefore, if an offeror's established and disclosed accounting practices include any of the labor categories listed within an offeror's indirect cost factor/rate - this information shall be disclosed within the cost volume of the offeror's proposal.

The Government recognizes that not all offeror's accounting systems utilize the indirect rates listed; therefore, adjust accordingly. The offeror's proposed indirect rates listed here shall be traceable to the worksheet tab, Indirect Rates, which will be capped in accordance with Section H provision entitled, "Rate Cap on Indirect Rates".

The contractor may propose lower rates for any order, but may not exceed these rates in its order execution plans (Reference Section H provisions entitled, "Order Procedures" and "Rate Cap on Indirect Rates"). However, additional post differential or danger pay uplifts may be negotiated at the order level and may be applied to the base rate for specific OCONUS areas depending on the threat level specified by the US Department of State. The negotiated uplifts may not exceed the current rates for the pay period published by the US Department of State at http://aoprals.state.gov/Web920/allowance.asp.

Indirect Rates

MAXIMUM ALLOWABLE INDIRECT RATES
The Government recognizes that the contractor's accounting systems may not apply indirect rates in the same manner; therefore, the contractor shall provide indirect rates (listed as a percentage (%)) within this table pursuant to the contractor's established and disclosed accounting practices. The contractor's proposed indirect rates will be capped in accordance with section H provision entitled, "Rate Cap on Indirect Rates". The contractor may propose lower rates for any order, but may not exceed these rates in its order execution plans (Reference Section H provisions entitled, "Order Procedures" and "Rate Cap on Indirect Rates"). When the contractor's accounting system does not include or allow for these rates, the Contractor shall enter 0 (zero).

INSTRUCTIONS
IDIQ Contract Profit/Fee: The Contractor shall propose maximum profit and fee rates by order type and by base and option periods in compliance with the Section H provision entitled “Material Costs” and the "Profit/Fee Calculation Worksheet" (reference the attachment by the same name within Section J) and the methods described therein; however, the fee on CPFF orders cannot exceed the statutory limitation of 10% as provided in 10 U.S.C. 2306(d). These maximum profit and fee rates are enforceable within any subsequent orders issued under the IDIQ contract; however, the Contractor may build its Order Execution Plan using lower rates. Profit/Fee will be negotiated at the time of order award and shall not exceed the maximum profit or fee rates detailed below. Profit/Fee is not allowable on travel costs. The proposed maximum profit and fee rates on material costs shall reflect a minimum of a 2% decrement to the corresponding order type maximum profit or fee within each corresponding period (e.g. Base CPFF Fee = A, then Base CPFF Material Fee ≤ A-2%).

Order Profit/Fee: The Contractor shall propose a Profit/Fee for each order by completing a draft "Profit/Fee Calculation Worksheet" (reference the attachment by the same name within Section J) and the methods described therein; however, the fee on CPFF orders cannot exceed the statutory limitation of 10% as provided in 10 USC 2306(d). In addition to the "Profit/Fee Calculation Worksheet", the Contractor shall provide narrative justification for any profit or fee proposed. The Government will consider all of the criteria contained in the contract provision entitled "Material Costs" in establishing an acceptable material profit/fee for each order ranging from No Profit/Fee up to the Maximum Allowable Profit/Fee. The proposed order profit or fee rate shall not exceed the maximum profit and fee rates established under the basic IDIQ contract; however, the Contractor may build its Order Execution Plan using lower rates. Profit/Fee is not allowable on travel costs. The prime contractor is not allowed to charge fixed fee against the fixed fee portion paid to subcontractor for performance on any CPFF order. For CPFF (Term) no fixed fee shall be paid on material. Profit/fee will negotiated on individual order basis based on the performance risk and contract type risk of the requirement. In the event that a Fixed-Price Incentive or Cost-Plus-Incentive-Fee order is issued, the fee arrangement will be negotiated on an individual order basis.
