It is intended to award up to two MA IDIQ contracts on a small businesses set-aside basis.

A.1.2. The contract performance period for the proposed MA IDIQ contract will consist of the following ordering periods:

Ordering Period 1: Date of award through 30 September 2019

Ordering Period 2: 01 October 2019 through 30 September 2020

Ordering Period 3: 01 October 2020 through 30 September 2021

A.1.3. The total IDIQ contract guaranteed minimum is 36,608 sets. The maximum quantity is 50,000 sets. The guaranteed minimum quantity for each contract awardee will be 18,304 sets. A delivery order will be issued to each contractor concurrently at award of the base contract for the minimum guaranteed quantity. Deliveries of the minimum quantity of ACFT equipment must be in-hand to Army units no later than 01 OCT 2019.

A.1.3.1. In the event there is only one qualified offeror, the minimum requirement of 18,304 ACFT equipment sets for the single awardee may increase up to 36,608 ACFT equipment sets. In order to be qualified for the total minimum quantity of 36,608 ACFT equipment sets, Sections F.3.2. and L.4.2.5.1. shall be proposed to and agreed upon. The offeror must also be determined responsible in accordance with

Section M.3.5.

A.1.4. The solicitation contains several clauses and provisions which require the offeror to complete a fill-in or representation.

Incomplete fill-ins or representations may determine an offer ineligible for award.

A.2. ELECTRONIC CONTRACTING.

(a) All Army Contracting Command Warren solicitations will be publicized on the Federal Business Opportunities website

(https://www.fbo.gov ). Any additional attachments, including Technical Data Packages (TDPs) when available electronically, will be separate attachments or links embedded in the solicitation.

(b) As of 10 August 2015, unless directed to do otherwise in Section L of this solicitation, vendors are required to submit a quote or proposal via the Federal Business Opportunities (FBO) system. Proposals or quotes submitted after this date using any other mechanism, including the Army Single Face to Industry Bid Response System (ASFI BRS) may be deemed non-responsive.

(c) Requirements for the online FBO bid submission:

(1) Vendors must log into the FBO System to be able to submit electronic responses for opportunities.

(2) Vendors must be registered in the System for Award Management (SAM) at www.sam.gov (a Federal Government owned and operated free web site) and have a CAGE Code and CCR Marketing Partner Identification Number (MPIN).

(3) Once logged into the FBO System, vendors will be asked to enter basic information and directed to upload one or more files containing the proposal/quote and any additional information as outlined in the solicitation.

(4) FBO will send an email to vendors registered email address confirming the electronic submission.

(5) For additional information on submitting electronic bid responses via the FBO system see the FBO Vendor Guide Section 4.3.1

Submitting an Electronic Response (https://www.fbo.gov/downloads/FBO_Vendor_Guide.pdf ).

Note to offerors:

(d) Please pay close attention to the Issued By block location on the cover page of the solicitation for closing date and time. The closing date and time is based on the local time of the listed location of the Issued By office. In accordance with FAR 15.208(a), offerors are responsible for submitting proposals, and any revisions, and modifications, so as to be received by the Government office designated in the solicitation by the time specified.

(e) It is the responsibility of the Offeror to ensure the proposal/quote is received by the date and time specified on the cover page of this solicitation. In accordance with FAR 15.208, if the proposal/quote was not received at the initial point of entry to the

Government infrastructure (in this case, received through FBO) by the exact date and time specified on the cover page of this solicitation, it will be determined late. Proposal/quote is defined to mean ALL volumes or parts required in the solicitation are included in the electronic submission.

Note: There is no "expected" or "target" length of time for proposal submission; size and content may be factors, therefore offerors are strongly cautioned when submitting proposals to allow adequate time for submission.

SECTION M - EVALUATION FACTORS FOR AWARD

M.1. BASIS FOR AWARD

M.1.1. GENERAL The Government plans to award a firm fixed price, multiple award IDIQ type contract for the ACFT equipment program as a result of this solicitation. The Government reserves the right to choose not to award a contract if such action is in the Governments best interest.

M.1.1.1. There are two evaluation factors:

a. Technical Factor

b. Price Factor

M.1.1.2. It is the Governments intent to award up to two contracts for 18,304 ACFT sets each, but reserves the right to award only one contract up to 36,608 ACFT sets. Award will be made using a Lowest Price Technically Acceptable (LPTA) process, where award will be made on the basis of the two lowest total evaluated priced proposals meeting the technical acceptability standards for minimum estimated quantity of 18,304 ACFT equipment sets each. The Government will follow the process set forth in Section M.3 below. Under this scenario, pricing under CLIN 0010AA is FFP. Pricing established for 36,608 ACFT sets under CLINs 0010AA, 0011, 0012, and 0013 in

Attachment 0001 rev1 will be used for price evaluation only in accordance with Section L.4.2.5.1.

M.1.1.2.1. In the event that the Government awards a single contract, the contractor will receive a delivery order award up to the total minimum quantity of 36,608 ACFT sets, in accordance with Sections F.3.2., L.4.2.5.1, and M.3.5. The offeror will be evaluated for the maximum estimated quantity of 50,000 ACFT equipment sets. Under this scenario pricing under CLINs 0010AA, 0011, 0012, and 0013 in

Attachment 0001 rev1 are FFP.

M.1.1.3. Award without Discussions: In accordance with FAR 52.212-1(g), the Government intends to evaluate proposals and award a contract without discussions with offerors (this excludes clarifications as described in FAR 15.306(a) which the Government reserves the right to conduct in order to obtain information to support the Pricing and Administrative volumes but shall not be obtained to revise the offerors proposed price or to obtain essential information to determine acceptability of the Technical Volume). Therefore, the offerors initial proposal should contain the offerors best terms from a price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. If discussions are held, they will be conducted with all offerors included in the competitive range.

M.1.2. Eligibility for Award. Award will only be made to an offeror who is eligible for award. To be eligible for award:

a. The offeror must be registered in System for Award Management (SAM) (see provision 52.204-7); and

b. The offeror must be considered a small business in accordance with NAICS 339920; and

c. The offeror must be determined acceptable under the L.4.1. Technical Factor; and

d. The offeror must be determined responsible (See Section M.3.4.); and

e. The offeror must be one of the two lowest evaluated prices in accordance with Section L.4.2. Price Factor.

M.2 REJECTION OF OFFERS

M.2.1. The Government may reject any proposal if doing so is in the Government's best interest. Examples include, but are not limited to, the following proposal conditions:

a. The proposal fails to meaningfully respond to the instructions in Section L of this solicitation (e.g.. fails to provide the required substantiating evidence outlined in Section L, fails to submit pricing attachment 0001 rev1 in accordance with the instructions; fails to submit Technical Information Questionnaire attachment 0002 in accordance with the instructions; fails to follow key proposal instructions or format requirements in Section L; or fails to provide data and information required in Section L); or

b. When an offerors proposal offers a product or service that does not meet all stated material requirements of the solicitation; or

c. The proposal proposes exceptions to the solicitation requirements, attachments, exhibits, enclosures, or solicitation terms and conditions; or

d. The proposal contains one or more OCIs that cannot be avoided or mitigated. Refer to Section L.3. of this solicitation, "Organizational Conflict of Interest."; or

e. The proposal is unbalanced as to price. See Section M.3.7.4.; or

f. The proposals acceptance period does not meet the Governments required minimum acceptance period (Refer to Section L.1.2.), or

g. The proposal does not meet the required delivery schedule in accordance with F.3.1.

M.3. EVALUATION CRITERIA AND PROCESS

11 13

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

M.3.1. Compliance Review. After receipt of proposals, but prior to the evaluation process, the Government will perform a compliance review of the offerors proposal to determine the extent of compliance to the solicitation instructions, and whether the proposal meets any of the conditions listed in M.2, Rejection of Offerors.

M.3.2 Evaluation Process. This will be a Lowest Price Technically Acceptable (LPTA) source selection process in accordance with (IAW)

FAR 15.101-2, which will follow the following process:

M.3.2.1. Unless otherwise rejected, each proposals Price volume will first be reviewed to determine a Total Evaluated Price.

M.3.2.2. The Government will then conduct an evaluation of the Technical Factor proposal on an Acceptable/Unacceptable basis on the two offerors with the lowest Technical Evaluated Prices. If the two lowest total evaluated priced proposals are determined to be

Unacceptable or they are otherwise ineligible for award, then the Government will conduct a technical evaluation on the next lowest total evaluated priced offerors proposal. Unless the Government determines it is in its best interests to conduct discussions, the

Government will follow this process until the two lowest total evaluated price, technically acceptable proposals are identified.

M.3.2.3. The Government will then conduct an assessment of price reasonableness and unbalanced pricing of the two lowest priced, technically acceptable offerors.

M.3.2.4. The Government reserves the right to conduct additional technical and/or price evaluations on other proposal(s) received in response to this solicitation in order to determine price reasonableness of the lowest priced, technically acceptable offer.

M.3.2.5. Pursuant to 52.212-1, the Government reserves the right to conduct discussions at any time, which would be conducted with all offerors determined to be in the competitive range established in accordance with FAR 15.306(c).

M.3.2.6. Award will be made to the proposal with the lowest Total Evaluated Price which was also rated Acceptable under the Technical

Factor, and is otherwise eligible for award.

M.3.3. Pursuant to 52.212-1, the Government reserves the right to conduct discussions at any time.

M.3.4. Awards will be made in accordance to Sections M.1.1.2. and M.1.1.2.1.

M.3.5. Determination of Responsibility

Per FAR 9.103, a contract will be placed only with an offeror that the Contracting Officer determines to be responsible. Prospective offeror(s), in order to eligible for award for this acquisition, must be able to demonstrate that it meets standards of responsibility set forth in FAR 9.104. In addition, the Government may assess the offerors financial ability to meet the solicitation requirements. The

Government reserves the right to conduct a Pre-award Survey on any or all offerors (or its subcontractors) to aid the Contracting

Officer in the evaluation of each offerors proposal and ensure that a selected offeror is responsible. No award can be made to an offeror who has been determined not responsible by the Contracting Officer. To ensure that the offeror meets the responsibility criteria of FAR 9.101, the Government may:

a. Arrange a visit to your facility and perform a necessary Pre-Award Survey. The offeror's refusal to authorize the Government to visit the offerors facility will result in a determination that the offeror is not responsible.

And/or

b. Request an offeror provide financial, technical, production, or managerial background information. If the requested information is not submitted within seven calendar days from the date of the receipt of the request, or if an offeror refuses the Government access to its facility, the Government may determine the offeror non-responsible. If the Government visits the offeror's facility, please ensure that current data relevant to the proposal is available for Government personnel to review.

M.3.6. Technical Factor.

M.3.6.1. The Technical Factor will be evaluated on a Technically Acceptable or Technically Unacceptable basis set forth in the

Evaluation process set forth in M.3.2. This assessment will be performed using the completed Technical information Questionnaire

(TIQ)(Attachment 0002) in accordance with Section L.4.1.1., and the substantiating documentation submitted in support of answers on the

TIQ in accordance with Section L.4.1.2. An Acceptable proposal is a proposal that demonstrates that the proposed product meets each requirement in the TIQ, by clearly indicating the proposed solution meets requirements to each question in addition to providing thorough, clear, and complete substantiating documentation for each TIQ question which the Government evaluates and determines to meet the requirements of the solicitation. The burden of providing thorough, clear, and complete information rests with the offeror.

Unsubstantiated claims may result in an Unacceptable rating which will make the offeror ineligible for award. In order to be considered for award, the offerors proposal must be determined Acceptable for 100 percent of the requirements in Attachment 0002, TIQ. Any offerors proposal assessed as Unacceptable for any requirement in the TIQ will be ineligible for award.

M.3.6.2. Exceeding Technical Requirements. The offeror will not be awarded extra credit for exceeding the technical requirements

12 13

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

outlined in the technical specification and Section L.4.1.1. of the solicitation.

M.3.7. Price Factor

The Price Factor will be evaluated in accordance with the Evaluation process set forth in M.3.2. The Price Factor evaluation will consist of the following:

M.3.7.1. Total Evaluated Price: The Price Factor evaluation will result in a determination of the Total Evaluated Price. The Total

Evaluated Price for multiple award IDIQ will equal the proposed price of CLIN 0010AA, as calculated in Attachment 0001 rev1.

M.3.7.1.1. Total Evaluated Price if only one eligible offeror for single award IDIQ: The Price Factor evaluation will result in a determination of the Total Evaluated Price equal to the sum of the proposed prices for all CLINs, as calculated in Attachment 0001 rev1.

M.3.7.2. Weighted Average Unit Price: For each CLIN with range pricing, the Government will calculate a weighted average unit price by first multiplying the unit prices proposed for each quantity range by the weighting percentages as stated in Attachment 0001 rev1.

Weighted average unit prices will be the summation of the proposed unit prices for each range multiplied by the weighting percentages.

The proposed price of each such CLIN will then be based on multiplying the weighted average unit price by the CLIN quantities as stated in Attachment 0001 rev1.

M.3.7.3. Price Reasonableness: A price is reasonable if, in its nature and amount, it does not exceed that which would be incurred by a prudent person in the conduct of competitive business. The Government may make a determination of price reasonableness by any means allowable under FAR 15.404-1.

M.3.7.4 Unbalanced Pricing: Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items or ranges is significantly over- or understated as indicated by the application of cost and price analysis techniques. Offerors are cautioned that a proposal the Government assesses to be unbalanced as to price, may either be rejected or determined unacceptable for award. See FAR 15.404-1(g) for more information on unbalanced pricing.
