CLAUSES INCORPORATED BY FULL TEXT

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.

(ii) If the General Services Administration, Department of Agriculture, or Department of Veterans Affairs issued this solicitation, a single copy of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained free of charge by submitting a request to the addressee in paragraph (i)(1)(i) of this provision.

Additional copies will be issued for a fee.

(2) Most unclassified Defense specifications and standards may be downloaded from the following ASSIST websites:

(i) ASSIST (https://assist.dla.mil/online/start/).

(ii) Quick Search (http://quicksearch.dla.mil/).

(iii) ASSISTdocs.com (http://assistdocs.com).

(3) Documents not available from ASSIST may be ordered from the Department of Defense Single Stock Point (DoDSSP) by--

(i) Using the ASSIST Shopping Wizard (https://assist.dla.mil/wizard/index.cfm);

(ii) Phoning the DoDSSP Customer Service Desk (215) 697-2179, Mon-Fri, 0730 to 1600 EST; or

(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.

(j) Data Universal Numbering System (DUNS) Number. (Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror's name and address. a) The offeror shall demonstrate at least three (3) consecutive years of recent and relevant experience performing equipment or appliance repair services contracts in the geographic area for which you are proposing. So, to be considered for award in only one geographic area, the offeror must demonstrate recent relevant experience in that area. And, if an offeror wants to be considered for award in a second geographic areas, the offeror must demonstrate recent relevant experience in that second area in addition to recent relevant experience in the first area.

The Government will not evaluate and will not give the offeror credit for the experience of proposed personnel. The offeror may submit the experience of proposed subcontractors. However, any changes to the evaluated subcontractor must be approved by the contracting officer Recent and relevant are defined as:

(1) Recent – Only contracts performed within the last five (5) calendar years will be considered.

(2) Relevant – Only contracts for equipment or appliance repair services with an estimated annual value or volume comparable with each area for which the offeror is proposing.

See Addendum, below.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. (c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

ADDENDUM TO 52.212-2

A. BASIS FOR AWARD

A multiple award is defined as the awarding of one or more line items on a given RFP to one vendor and one or more other line items on the same RFP to another vendor or vendors.

A split award is defined as the awarding of one line item’s quantities to more than one vendor.

The Government intends to make a multiple award of up to three (3) contracts, resulting from this solicitation, to the responsible offeror(s) who is(are) technically acceptable, with acceptable past performance and the lowest price In Accordance With (IAW) FAR 15.101-2 -- Lowest Price Technically Acceptable (LPTA) Source Selection Process.

A split award is not anticipated.

The contracts will be awarded by CLIN for each geographic area (Germany, Italy, and Benelux) based on the lowest price. The Government will add together all the CLINs (including option periods and possible extensions under 52.217-8) for a geographic area and the responsible offeror who is technically acceptable, with acceptable past performance and the lowest price IAW FAR 15.101-2 will be awarded the contract for that geographic area. Any offeror can propose for any number of the geographic areas and in the event an offerors' proposal is the lowest priced for more than one geographic area, they will be awarded one contract covering multiple areas. One awardee can receive a single contract for one (1), two (2), or three (3) geographic areas, or up to three (3) separate awardees can receive a single contract each.

The evaluation criteria consists of three (3) evaluation factors: Technical Acceptability (with Sub-factors), Past Performance, and Price.

To be eligible for award, a rating of “Acceptable” must be achieved for both the Technical Acceptability factor and the Past Performance Factor. A rating of “Unacceptable” in any of the technical sub-factors will be cause for an overall “Unacceptable” rating of the Technical Acceptability factor.

A finding of “Unacceptable” on the technical acceptability rating or “Unacceptable” for past performance rating may remove any offeror from competition without further evaluation. For each proposal found to be eligible for award, Price will become the determining factor for making the award.

The Government intends to award based on initial offers without discussions. However, if the Contracting Officer determines that discussions are necessary, then discussions may be held with each Offeror in the competitive range in accordance with FAR 15.306(d) and 15.307(b).

B. FACTORS AND SUB-FACTORS TO BE EVALUATED

1. Technical Acceptability

a. Sub-factor (1) – Technical Certification

b. Sub-factor (2) – Technical Experience

2. Past Performance

3. Price

C. EVALUATION APPROACH

1. Technical Acceptability

Technical Acceptability is evaluated on an “Acceptable”/”Unacceptable” basis for the below sub-factors. Technical acceptability or unacceptability will be determined using the following ratings:

Rating Description Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.

a. Sub-factor (1) – Technical Certification

1) DIN EN ISO 9001:2008/2015 certificates will be evaluated for authenticity and compliance with 2008/2015 year requirements.

2) Offeror shall demonstrate that it has one (1) Master Mechanic (Meister) for each geographic location being proposed. The offeror shall provide the certification (Meisterbrief or national equivalent) as either Electromechanical (Elektromechanik), Refrigeration (Kältetechnik), or Gas/Plumber Crafts (Gas/Wasser Installationshandwerk) or national equivalents in land of where service is to be performed per geographic location.

b. Sub-factor (2) – Technical Experience

The Government will evaluate the offering company’s experience performing equipment or appliance repair services contracts. The offering company shall demonstrate at least three (3) years of recent and relevant experience, in the geographic area for which you are proposing, in order to receive a rating of “Acceptable” under this sub-factor.

However, any changes to the evaluated subcontractor must be approved by the Contracting Officer. The Government assessment will determine technical acceptability on the following conditions:

1) Recent – Only contracts that were performed continuously within the last five (5) calendar years will be considered.

2) Relevant – Only contracts for equipment or appliance repair services with an estimated annual value or

2. Past Performance

a. The information presented in the Past Performance Questionnaire (Attachment # 28) and information obtained from other sources available to the Government will be the basis for evaluation of this factor. The Government will consider the offeror’s previous and current record of contractual performance. The Government assessment will focus on contracts that meet the following conditions:

1) Recent – Only contracts that were performed within the last five (5) calendar years will be considered.

2) Relevant – Only contracts for equipment or appliance repair services with an estimated annual value or

b. The Past Performance evaluation will be based only on an “Acceptable” / “Unacceptable” basis, and no ranking shall be assigned. The following definitions will be used in evaluating the degree the offeror will satisfactorily provide the required services based on past and current performance records:

1) Acceptable- Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror does not have a performance record.

2) Unacceptable- Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

c. Based on contracts received from the offeror, the past performance questionnaires, CPARS reports, and past performance information obtained from sources other than those identified by the Offeror, to include references, Federal, State and local Government agencies, better business bureaus, published media, electronic data bases and personal knowledge, a determination will be made as to whether the offeror is given an Acceptable or Unacceptable rating as defined above.

d. The Government may reject a proposal if it is found that any information that has a negative impact on the offeror’s past performance record has been deleted, misrepresented, or withheld.

e. It is at the Government’s discretion to determine whether past performance information furnished is or is not considered similar to the size and complexity of the present requirement. Should the offeror have no past performance information the Government will assign the offeror an “Unknown” performance rating which counts as an “Acceptable”. As an unknown performance risk, evaluators will rate the offeror neither favorably nor unfavorably on the factor of past performance. If the offeror has relevant past performance information but for whatever reason neglects to submit it, the offeror has submitted an incomplete and therefore unacceptable proposal.

f. Offerors are cautioned that in conducting the past performance assessment, the Government may use data provided in the offeror's proposal and data obtained from other sources. Since the Government may not necessarily interview all of the sources provided by the offerors, it is incumbent upon the offerors to explain the relevance of the data provided. Offerors are reminded that while the Government may elect to consider data obtained from other sources, the burden of proving an “acceptable” past performance rests with the offerors.

g. Offerors may provide information on problems encountered on the contracts identified in their past performance submissions and the offeror’s’ corrective actions (FAR 15.305).

h. The Government will evaluate only the offeror's recent and relevant past performance. The Government will not evaluate and will not give the offeror credit for the past performance of proposed personnel or proposed subcontractors.

3. Price

a. Lowest Price Technically Acceptable by CLIN: After determination of technical acceptability and past performance rating of acceptable, award will be based on the lowest price technically acceptable per CLIN, grouped by geographic area (Germany, Italy, and/or Benelux), including all CLINS / ELINS on the base year, all applicable Option years and the 52.217-8 extension. The Government may award an offeror any or all of the geographic areas for which that offeror proposed a price. Therefore, the price for any one geographic area shall not depend on receiving an award for any other geographic area. The price proposed by an offeror for a specific geographic area shall be independent of the price proposed for any/all of the other geographic areas. As an example, an offeror shall not split its’ management cost between an offer for Germany and an offer for Italy and then, if awarded only Germany, claim that performance is not possible for that price because the management costs are not fully covered. If an offeror proposes multiple geographic areas, and the price for any one geographic area is dependent on being awarded any other geographic area, the proposal will be eliminated from further consideration.

b. Options: Offerors shall submit a unit price for each CLIN / ELIN and each part in the Price Exhibit Parts tab for the base and option years for each geographic area offered. The lowest price for each geographic area shall be determined by summing all CLIN / ELIN prices under the base, including all option years and the 52.217-8 extension.

c. Price Exhibits: Offerors shall complete and submit item prices in Attachment 29, price exhibit, provided for the base and option years for each geographic area offered. Offers received without completed Price Exhibits will be considered non-conforming and will not be considered for contract award. Quantities included in the Price Exhibit are estimated quantities only, not a guaranteed amount.

d. Currency: Offers submitted in response to this solicitation shall be in terms of Euros. Offers received in other than Euros shall be rejected.

e. As part of the price evaluation, the Government will evaluate the Option to Extend Services under FAR Clause 52.217-8 by adding one-half of the offeror's final option period price to the offeror's total price. Thus, the offeror's total price for the purpose of evaluation will include the base period, the first option, the second option, and one-half of the second option. Offerors are required only to price the base and two (2) options. Offerors shall not submit a price for the potential one-half year extension of services period. See the “TOTAL COST OF THE 3 CONTRACTS” tab in attachment 29.

(End of Addendum)
