About this file

This is a comprehensive contract document for the Northern Wasco County People's Utility District (PUD) Three Mile Substation Control Building Upgrade project, involving electrical infrastructure improvements in The Dalles, Oregon. The project encompasses the construction of a new substation control building, replacement of existing outdoor equipment including relay and control panels, battery cabinet, AC and DC panels, conduit, and wiring systems. The contract is scheduled for bidding in March 2025, with a contract issuance target of June 15, 2025, following the PUD's regular board meeting. The work will be performed in a de-energized substation, with the contractor responsible for installation of owner-furnished equipment, complete system testing, and energization. Bidders will be evaluated on pricing (100 points) and contractor responsibility (pass/fail), with the owner reserving the right to reject any or all bids.

The project is competitively bid with a lump sum and unit price structure, requiring detailed documentation including non-collusion affidavits, bidder experience forms, and performance bonds. The estimated budget and specific funding sources are not explicitly detailed in the document. The contract includes provisions for potential quantity adjustments up to 25% without requiring a change order, and mandates compliance with prevailing wage requirements, drug-testing programs, and affirmative action policies. Contractors must demonstrate capability in electrical substation site development and will be required to provide comprehensive testing, startup assistance, and training for the new facility. The project emphasizes safety, environmental compliance, and adherence to various electrical and construction standards including NEMA, NESC, UL, and NEC regulations.

INSTRUCTIONS TO BIDDERS

Three Mile Substation Control Building Upgrade Instruction for Bidders March 2025 00100-1

SECTION 00100

INSTRUCTIONS TO BIDDERS

1. CONTRACT DOCUMENTS

A. FORMAT

The Contract Documents are divided into parts and sections for convenient organization and reference. Generally, there has been no attempt to divide the Specification sections into work performed by the various building trades, work by separate subcontractors, or work required for separate facilities in the project.

B. DOCUMENT INTERPRETATION

The separate sections contained within these Contract Documents are intended to be mutually cooperative and to provide all details reasonably required for the execution of the proposed work.

Should there be any doubt as to the meaning or intent of said Contract Documents, the Bidder should request of the ENGINEER, in writing (at least 10 working days prior to bid opening) an interpretation thereof. Any interpretation or change in said Contract Documents will be made only in writing, in the form of Addenda to the Documents which will be furnished to all registered holders of Contract Documents. Bidders shall indicate receipt of all Addenda.

The OWNER, Northern Wasco County PUD, will not be responsible for any other explanations or interpretations of said Documents.

2. GENERAL DESCRIPTION OF THE PROJECT

A general description of the work to be done is contained in Part 4 SPECIFICATIONS, Section GENERAL REQUIREMENTS. The scope is indicated on the accompanying Drawings and specified in applicable parts of these Contract Documents.

3. BIDDER'S UNDERSTANDING

Each Bidder must inform himself of the conditions relating to the execution of the work, and it is assumed that he will inspect the site and make himself thoroughly familiar with all the Contract Documents. Failure to do so will not relieve the successful Bidder of his obligation to enter into a Contract and complete the contemplated work in strict accordance with the Contract Documents. It shall be the Bidder's obligation to verify for himself and to his complete satisfaction all information concerning site and subsurface conditions.

March 2025 00100-2

The OWNER will make available to prospective Bidders upon request and at the office of the ENGINEER, prior to bid opening, any information that he may have as to subsurface conditions and surface topography at the worksite. Investigations of subsurface conditions were made for the purpose of study and design, and neither the OWNER nor the ENGINEER assumes any responsibility whatever in respect to the sufficiency or accuracy of borings, or of the logs of test borings, or of other investigations that have been made, or of the interpretations made thereof, and there is no warranty or guarantee, either expressed or implied, that the conditions indicated by such investigations are representative of those existing throughout such area, or any part thereof, or that unforeseen developments may not occur.

Logs of test borings, geotechnical reports, or topographic maps showing a record of the data obtained by investigations of surface and subsurface conditions that are made available shall not be considered a part of the Contract Documents, said logs representing only an opinion of the character of the materials encountered in investigations, and are available only for the convenience of the Bidders.

Information derived from inspection of logs of test borings, or pits, geotechnical reports, topographic maps, or from Drawings showing location of utilities and structures will not in any way relieve the Bidder from any risk, or from properly examining the site and making such additional investigations as he may elect, or from properly fulfilling all the terms of the Contract Documents.

Except as provided in the General Conditions, the CONTRACTOR will not be allowed any time or price adjustment for site or subsurface conditions encountered in its performance of the work.

Each Bidder shall inform himself of, and the Bidder awarded a Contract shall comply with, federal, state, and local laws, statutes, and ordinances relative to the execution of the work. This requirement includes, but is not limited to, applicable regulations concerning minimum wage rates (Oregon Prevailing Wage), nondiscrimination in the employment of labor, protection of public and employee safety and health, environmental protection, the protection of natural resources, fire protection, burning and non-burning requirements, permits, fees, and similar subjects.

4. TYPE OF BID - LUMP SUM

The Bid for the work is to be submitted on a lump sum basis. Lot and unit prices shall be submitted in the appropriate places in the Bid.

March 2025 00100-3

5. PREPARATION OF BID

A. GENERAL

All blank spaces in the Bid form must be filled in, as required, preferably in BLACK ink. All price information shall be shown in both words and figures where required. No changes shall be made in the phraseology of the forms. Written amounts shall govern in case of discrepancy between the amounts stated in writing and the amounts stated in figures. In case of discrepancy between unit prices and extended totals, unit prices shall prevail.

The Bidder shall acknowledge receipt of all addenda in the Bid. Bid received without acknowledgment will be considered informal and may be rejected by the OWNER.

B. SIGNATURE

The Bidder shall sign his Bid in the blank space provided therefore.

If Bidder is a corporation, the legal name of the corporation shall be set forth above, together with the signature of the officer or officers authorized to sign Contracts on behalf of the corporation. If Bidder is a partnership, the true name of the firm shall be set forth above, together with the signature of the partner or partners authorized to sign Contracts on behalf of the partnership. If signature is by an agent, other than an officer of a corporation or a member of a partnership, a notarized power-of-attorney must be on file with the OWNER prior to opening of Bids or submitted with the Bid, otherwise the Bid will be regarded as not properly authorized and may be rejected by the OWNER.

C. ATTACHMENTS

The Bidder shall complete and submit the Bidder's Experience Form with his bid.

6. CHANGES IN QUANTITIES

The OWNER reserves the right to increase or decrease the amount of any class of unit price work item shown in the Bid that may be deemed necessary, except that such increases or decreases in amounts shall not be more than 25 percent of the quantities shown on the Drawings and Specifications without a Change Order equitably adjusting the unit price for such items.

March 2025 00100-4

Significant changes in the lump-sum portion(s) of the project as bid shall be authorized, administered, and compensated through the Change Order process described in the General Conditions, with the itemized unit bid prices used as a primary method to determine the compensation associated with the change.

7. SUBMISSION OF BIDS

All Bids must be submitted not later than the time prescribed, at the place, and in the manner set forth in the Invitation to Bid. Bids must be made on the Bid forms provided herewith and submitted intact with the volume containing the Bidding Requirements, Contract Forms, and Conditions of the Contract.

Each Bid must be submitted in a sealed envelope, so marked as to indicate the Bidder's name and its contents without being opened and addressed in conformance with the instructions in the Invitation to Bid.

8. MODIFICATION OR WITHDRAWAL OF BIDS

Prior to the time and date designated for receipt of Bids, any Bid submitted may be withdrawn or modified by notice to the party receiving Bids at the place designated for receipt of Bids. Such notice shall be in writing over the signature of the Bidder or by facsimile or telegram. If by facsimile or telegram, written confirmation over the signature of the Bidder shall be mailed and postmarked on or before the date and time set for receipt of Bids. Such communication should not reveal the Bid price, it should, however, state the addition or subtraction or other modification so that the final prices or terms will not be known by the OWNER until the sealed Bid is opened. No Bid may be withdrawn or modified after the time scheduled for opening of Bids unless the time specified in paragraph AWARD OF CONTRACT of these Instructions to Bidders shall have elapsed.

9. EXCEPTIONS

The Bidder shall state in the Bid that they have complied with the Specifications. If exceptions are taken, they shall be listed under this heading. Printed terms and conditions shall not be considered as exceptions to this Bid Document. The Bidder may offer alternate designs of equipment if, in his judgment, such alternate designs will better and more economically serve the OWNER's service requirements.

10. AWARD OF CONTRACT

Within 10 working days after the opening of Bids, but intended to be performed by May 27, 2025, the OWNER will accept one of the Bids and

March 2025 00100-5 notify the successful Bidder of award or will act in accordance with the following paragraphs. The Contract will be issued by June 15, 2025, following the Northern Wasco County PUD regular scheduled Board meeting. The acceptance of the Bid will be by written notice of award, mailed to the office designated in the Bid, or delivered to the successful Bidder's representative. In the event of the failure of the successful Bidder to sign the Contract and provide an acceptable Performance and Payment Bond and insurance certificate(s), the OWNER may award the Contract to any other Bidder. Such a secondary award, if made, will be made within 30 working days after the opening of Bids.

The OWNER reserves the right to accept any or reject any or all Bids, and to waive any informalities and irregularities in said Bids. OWNER may exercise such rights in its sole discretion to best serve the OWNER's interests.

11. BASIS OF AWARD

The award will be made by the OWNER on the basis of that Bid from the lowest responsive, responsible Bidder which in the OWNER's sole and absolute judgment, will best serve the interest of the OWNER. All Bids will be considered on the following basis:

Criteria Maximum Score A Bid Price 100 B Bidder Responsibility and Qualifications Pass/Fail

TOTAL 100

The OWNER further reserves the right to reject all Bids, or any Bid not in conformance with the intent of the Contract Documents, and to waive any informalities and irregularities in said Bids. The owner may exercise such rights in its sole discretion to best serve the OWNER’s interest.

If any of the listed items of equipment to be selected by the OWNER are obviously unbalanced and, in the OWNER's judgment, not realistic prices for the particular equipment, the OWNER may request additional information to substantiate the prices prior to determination of the low Bidder or may reject the Bid.

12. PROTEST OF AWARD

Any Bidder that contends the provisions of the Contract Documents or any aspect of the procurement process encourage favoritism in the award of the Contract, or substantially diminish competition, must file a written protest to the Contract Document at least ten days prior to the date set for the opening of Bids. Failure to file a protest will be deemed a waiver of

March 2025 00100-6 any claim by a Bidder that the procurement process violates any provision of the Oregon Revised Statutes or these Contract Documents.

13. EXPERIENCE

Only CONTRACTOR's who have demonstrated their capability to construct electrical substation site development projects of the type specified will be considered. The OWNER will use the Bidder’s Experience Form to evaluate such capability.

14. NON-COLLUSION AFFIDAVITS

Each bid shall be accompanied by a properly executed non-collusion affidavit on the form furnished therefore by the OWNER.

15. EXECUTION OF CONTRACT

The successful Bidder shall, within 10 working days after receiving notice of award, sign and deliver to the OWNER a Contract executed by the successful Bidder in the form hereto attached together with the acceptable Performance and Payment Bond and insurance certificates as required in these Documents. Within 10 working days after receiving the signed Contract with acceptable bonds from the successful Bidder, the OWNER's authorized agent will sign the Contract. Signature by both parties constitutes execution of the Contract.

16. FAILURE TO EXECUTE CONTRACT

The Bidder who has a Contract awarded to him and who fails to execute the Contract promptly and properly shall forfeit the Bid security that accompanied his Bid. The Bid’s security shall be retained as liquidated damages by the OWNER, and it is agreed that this said sum is a fair estimate of the amount of damages the OWNER will sustain in case the Bidder fails to enter into a Contract as hereinbefore provided. Bid security deposited in the form of cash, a certified check, or cashier's check shall be subject to the same requirement as a Bid bond.

17. CONTRACT BONDS

A. PERFORMANCE AND PAYMENT BOND

The successful Bidder shall file with the OWNER a separate Performance and Payment Bond on the form bound herewith in the full amount of the Contract price, as security for the faithful performance of the Contract and the payment of all persons

March 2025 00100-7 supplying labor and materials for the construction of the work, and to cover all guarantees against defective workmanship or materials, or both, during the warranty period following the date of final acceptance of the work by the OWNER. The Surety furnishing this bond shall have a sound financial standing and a record of service satisfactory to the OWNER and shall be authorized to do business in the State of Oregon.

B. POWER-OF-ATTORNEY

The Attorney-in-Fact (Resident Agent) who executes this Performance and Payment Bond on behalf of the Surety must attach a notarized copy of his power-of-attorney as evidence of his authority to bind the Surety on the date of execution of the bond.

18. TIME OF COMPLETION

The time of completion of the work to be performed under this Contract is the essence of the Contract. Delays and extensions of time may be allowed in accordance with the provisions stated in the General Conditions. The time allowed for the completion of the work is stated in the Bid.

19. LIQUIDATED DAMAGES

No LIQUIDATED DAMAGE clauses are required as indicated in Bid Form.

20. TRANSFER OF TITLE

The OWNER shall accept ownership of the substation site development project only after the CONTRACTOR has completed construction and fulfilled all contract obligations.
