The Government may unilaterally issue delivery at any time during the ordering period of the contract, utilizing predetermined pricing. The contractor shall indicate acceptance of the order by returning a signed copy.

H.2On- and Off-Ramp Procedures H.2.1 The objective of an on-ramp is to maintain competitive sources for task orders and/or to obtain access to additional technologies and capabilities. The objective of an off-ramp is to reduce administrative burden and costs for the Government and contractors and to maintain streamlined and efficient ordering processes. The Government reserves the right to review all contracts under this JE-CLaSS II MA IDIQ vehicle to determine if the need exists to add additional contracts, and/or to determine if it is appropriate to remove existing contracts.

H.2.1 The Contracting Officer may conduct market research to assess additional technologies and capabilities available in the open market. The Contracting Officer may also assess contractor performance and the amount of competition available. The Government may conduct an on-ramp in any year of the ordering period in order to maintain adequate competition or to obtain access to additional technologies and capabilities. On-ramps may be done within either or both Domains.

H.3 Authority to Change or Modify the Contract.

H.3.1 The contractor is hereby notified that no Government personnel other than an authorized Contracting Officer can change or modify this contract or authorize any action that obligates the Government. If a COR or Alternate COR (ACOR) is appointed for this contract, his/her authority is limited to the specific duties as set forth in the letter of appointment. The COR/ACOR is not authorized to make any commitments or changes that affect price.

H.3.2 If the contractor accepts any such commitment from Government personnel other than an authorized Contracting Officer, it shall be at the contractor’s own risk and expense. Such actions do not bind the Government contractually and do not constitute a change order under FAR 52.243-2 Alt V. H.4.1 Contractor personnel under this contract shall not be placed in a position where they are appointed or employed by a Federal Officer, or are under the supervision, direction, or evaluation of a Federal Officer, military or civilian. H.5.2 Contractor personnel under this contract shall not be placed in a staff or policy-making position.

Additional information on the types of OCIs that can occur can be found in FAR Subpart 9.5.

H.5.2 The contractor shall notify the Officer (as well as the Ordering Contracting Officer, where appropriate) immediately whenever it becomes aware of a potential or actual OCI. This provision shall apply to the prime contractor, subcontractors, team members, and their collective employees, and shall be in effect throughout the period of performance of this contract, any extensions by change order or supplemental agreement, and for two (2) years thereafter. n the event of nondisclosure or misrepresentation of any relevant facts, the Government reserves the right to terminate the offeror’s contract(s) for default, disqualify the contractor and/or subcontractor(s) from future related contract efforts, and to pursue any other remedies as allowed by law.
