About this file
This document is a Section L Instructions file for a federal solicitation (N68520-25-RFPREQ-QK00000-0063) for Aviation Support Equipment (ASE) Maintenance, Repair, Overhaul & Logistics (MROL) Support Services. The solicitation is an 8(a) set-aside competition for the Department of the Navy Naval Air Systems Command (NAVAIR), with incumbent contractors being Arrow's Edge Joint Venture and Total Logistics SB Joint Venture. The contract will provide integrated Support Equipment maintenance and repair services across multiple Fleet Readiness Center locations, with a primary goal of reducing repair-cycle time and improving equipment availability.
The solicitation requires detailed proposal submissions across four volumes: Contract Administration, Key Personnel, Technical, and Cost/Price, with specific formatting and content requirements. Proposals must be electronically submitted through the Procurement Integrated Enterprise Environment (PIEE) system. Key evaluation factors include a technical assessment (significantly more important than cost) with subfactors for Management Approach, Transition Approach, and Sample Tasks, and a cost realism analysis. The government will conduct a best-value tradeoff source selection, with a total estimated labor effort of 5,274,530 hours and a focus on workforce recruitment, qualification, and retention across multiple geographic sites.

INSTRUCTION TO BIDDERS
PART A GENERAL INSTRUCTIONS
GENERAL
Offerors are required to submit sufficient information concerning the evaluation factors to allow Government personnel to fully assess the capabilities of the Offeror to perform the solicitation requirements. The Offeror’s proposal must be sufficient in detail and scope to provide evaluators with a clear understanding of the Offeror’s approach, expertise, and capabilities as required by the solicitation. The Offeror’s proposal must demonstrate the Offeror’s understanding of the solicitation requirements and its associated risks with its proposed approach. The Offeror must also demonstrate it is capable and willing to devote the resources necessary to meet the solicitation requirements. The Offeror shall arrange its proposal as described in the solicitation to facilitate evaluation of its offer. The burden of proof for all substantiation within the proposal rests with the Offeror. Offerors are advised that the Government may incorporate with discussions any part of the Offeror’s proposal deemed beneficial to the Government, into the final contract. Cost information, (e.g., dollar values and/or hourly rates) shall appear only in Volume 3 (Cost), and Volume 4 (Contract Administration). Alternate proposals are not acceptable.
In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Offerors shall utilize clarity, brevity, and logical organization when preparing proposals. Offerors are responsible for presenting sufficient information to allow the Government to evaluate the Offeror’s proposal.
The Offeror shall include the data necessary to illustrate the adequacy of the various assumptions, approaches, and solutions to problems. The Offeror shall include detailed information in the most logical place and summarize and referenced in other areas if an overlap exists. Do not provide elaborate brochures or other presentation material beyond that sufficient to present a complete and effective proposal.
Throughout these instructions, the “Offeror” is the prime contractor with its Commercial and Government Entity (CAGE) code identified in Block 15A on Standard Form (SF) 33, Solicitation, Offer, and Award. A “Joint Venture” (JV) is a partnership or teaming arrangement that is formed for the purpose of responding to this solicitation when the prime contractor consists of more than one legal entity. “JV Team Members” are the entities that form a Joint Venture. The term “entity” refers to the following: prime contractor, JV, JV team members, subcontractors, or a corporate parent, division, subsidiary, or affiliate (e.g., any contractor with a different CAGE Code/System for Award Management (SAM) Unique Entity ID (UEID) than the Offeror). To demonstrate work commitment, the Offeror must identify each principal entity in Volume 3 Cost/Price with a commensurate dollar amount that relates to the proposed work effort.

Sample Tasks
Sample Task 1 – QUALITY ASSURANCE AUDITING Scenario: The Commander Naval Air Forces is performing an audit on FRC ASE processes and procedures. During the course of the inspection, an inspector finds an NDI technician is missing qualifications required to be certified as level 2.
Assumptions: This employee has tested and certified 20 items in the last 6 months including load bearing fixtures and lifting devices and all have been returned to the fleet inventory for use.
Written Response: At a minimum, describe how the Offeror will:
a. address the missing qualification requirement of their employee.
b. address the training discrepancy of their employee.
c. take corrective action.
d. provide a solution for evaluating all qualification compliances in the future.
Sample Task 2 – SUPPLY CHAIN MANAGEMENT Scenario Background: The customer’s centralized MRO storage facility is manned and managed by the Offeror. All SE parts for overhaul are delivered to the MRO work locations. This fiscal year there were shortages that went beyond the customers’ estimated date of delivery. SE overhaul shortages were attributed to obsolescence of NIIN’s, open purchase long lead times, and unresolved DMSMS problems. The customer anticipates an increase in FRC ASE Scheduled Maintenance Lists (SML) Workload at MRO work locations in the next fiscal year.
Assumptions: The following assumptions are provided to enable the Offeror to proceed without the ability to ask follow-up questions. Note any unanswered assumptions as part of the Offeror’s written response to the Sample Task 2 scenario.
a. Supply functions for all FRC ASE are managed at Solomon’s, MD site.
b. Defense Logistics Agency (DLA) is the primary supplier of consumable material.
Written Response: The Offeror’s response shall include the following information, but not limited to:
a. How would you identify sources of supply due to obsolescence of NIIN’s
b. How does the Contractor resolve part shortages in the storage facility to reduce lead times and address open purchase long lead times and fair pricing?
c. How does the Contractor resolve stock levels, DMSMS, and obsolescence issues
VOLUME 4 – COST/PRICE
The following is a list of Section L Attachments that the Offeror shall use to provide information for this volume:
Attachment L-4 FRCASE Cost Workbook.xlsx
General Information This Volume shall contain the Contract Compliance information specified below as follows:
This Volume shall also contain a copy of Section B with the Contract Line Item (CLIN) Unit Prices and, for evaluation purposes, the Total Prices filled in using the estimated quantities value in the solicitation and the instructions below. Within all Excel spreadsheets, the Offeror shall use formulas and functions to the maximum extent possible and avoid using output type “value only” cells. All formulas must be unprotected, unlocked, and intact to show all mathematical operations. If links are utilized, supply those referenced files. Offerors shall not protect any of the Spreadsheets submitted.
All cost/price and supporting information shall be contained in Section B and the cost/price proposal. No price or pricing information shall be included in any other technical volume including cover letters. Offerors are responsible for submitting sufficient information to enable the Government to fully evaluate their cost/price proposal.
Ground Rules and Assumptions As this is a competitive acquisition with adequate price competition anticipated, certified cost or pricing data in accordance with FAR 15.403-1 is not required. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from both the Offeror and subcontractors and/or JV members. Further, the Offeror may be required to provide a Certificate of Current Cost or Pricing Data prior to award, pursuant to FAR 15.406-2.
The Offeror shall provide sufficient information to support its cost/price as well as an explanation of all ground rules and assumptions that affect the cost/price estimates.
(a) If subcontractors and/or JV members are proposed, they shall provide the same information required for the prime contractor, unless otherwise noted in the Cost/Price Information section below.
(b) Unpriced subcontractors and/or JV members shall not be proposed.
Cost/Price Information Offerors shall submit their fully completed cost/price proposal utilizing the Cost Workbook (Attachment L-4). The spreadsheet shall be unprotected and unlocked, with formulae intact to show mathematical operations. The Offeror shall use the CLIN Summary tab to breakout total proposed costs by CLIN. Instructions for how to complete each tab is available under the “Instructions” tab unless otherwise stated. The Offeror shall fully disclose the buildup of cost/price of each CLIN.
The “Instructions AFBL” tab and “AFBL” tab (this is located in Attachment L-4) are used to detail the fully burdened labor rates for all prime contractors and their subcontractor and/or JV personnel. Fully burdened labor rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fee, and subcontractor pass-through costs where applicable. For subcontractor labor, the fully burdened labor rates shall be inclusive of any pass-through charges (e.g., subcontractor handling, fixed fee on subcontractor labor, etc.) applied by the prime contractor. Proposed fully burdened labor costs may be subject to the NAVAIR labor tripwire identified in Section M. Offerors that propose a fully burdened per employee labor cost exceeding the labor tripwire shall provide rationale in their cost proposal narrative section that justifies the reasonableness of the tripwire cost for the applicable employees. At contract award, AFBL will be Attachment 10 to the contract.
The Government is not soliciting any investments. However, in order for the Government to properly assess a proposed cost/price that appears low due to a corporate decision to absorb costs, e.g., lower than usual burdens or rates, the Offeror shall fully identify and explain any such investments.
As the services to be provided will not require a meaningful number of professional employees, the Government is not requesting and will not evaluate a Professional Compensation Plan.
Provide a narrative that addresses any assumptions made during the preparation of the cost/price proposal and discuss the basis for the cost elements listed below:
Labor Hours Consistent with paragraph 4.6.2, Offerors shall propose the labor hours specified by the Government.
Direct/Indirect Rates
Labor Rate Rationale / Substantiation The Offeror shall submit Forward Pricing Rate Agreements (FPRAs), Collective Bargaining Agreements (CBAs), and Area Wage Determinations (AWDs) as applicable for all proposed personnel. The Offeror shall identify whether the labor rates proposed are FPRAs, CBAs, AWDs, ACO/DCAA recommended rates (FPRRs), or Offeror proposed rates (FPRPs). The Offeror shall (be used as a basis) propose in compliance at a minimum, with the current hourly rate set forth in the Area Wage Determination or CBA as applicable. If the labor category is not under the applicable SCA/Area Wage Determination, CBA, or Professional Labor Rates, Offerors shall use BLS data within the 50 – 90 percentile.
| Labor Category Classification |
| Instructions for Offerors |

The Offeror shall provide Defense Contract Audit Agency (DCAA) Information/Payroll Verification information as follows: A DCAA point of contact, with a current e-mail address, must be provided for the prime and each subcontractor. The Offeror and proposed subcontractors shall provide the most current DCAA Provisional Billing Rate Approval Letter, DCAA Final Billing Rate Approval Letter, and/or DCAA Forward Pricing Rate Agreement recommendation, payroll verification for currently employed proposed personnel, and any other information necessary to substantiate the rates proposed. Payroll verification shall consist of a form containing the title, direct labor rate, and a signed certification by an authorized representative of the company that the information contained in the form is correct. For key personnel contingent hires, the Offeror shall provide contingent offer letters outlining salary information for contingent hire employees. For any prospective hires for non-key personnel, provide information to substantiate the rates proposed. All contingent hires shall have a letter of intent submitted under the Cost Volume. The letter of intent is a separate written agreement signed by the potential employee(s) to work for the Offeror effective at contract award. Any proposed consultants shall have a consultant agreement substantiating the rates proposed. If a composite rate or other pricing methodology (e.g. cost estimating relationships) is utilized, the Offeror shall demonstrate how those rates were developed. Subcontractors and team members shall provide this information either separately or included in the Offeror’s submission of this document.
If any of the rates utilized by the Offeror or any subcontractors differ from the DCAA information and/or payroll verification, a justification shall be provided for the difference. If DCAA has not reviewed the rate information for an Offeror or one of its subcontractors, the Offeror must submit a detailed justification of the proposed direct and indirect rates. The Offeror shall also provide documentation verifying that it has a DCMA approved Accounting System in accordance with DFARS clause 252.242-7006, or state that its Accounting System has not been approved by DCMA. Offerors shall provide the last three (3) years of historical indirect information. The Government may compare a prospective Offeror’s labor category rate to the average labor rate from industry.
Direct Labor Rates by Category and Employment Status The Offeror is required to submit labor rates for all proposed current/incumbent, contingent, and prospective hire individuals. If composite or category averages are proposed, provide a breakdown of how rates are developed. If necessary, provide a narrative to describe derivation of labor rates, use of uncompensated overtime, pools to which indirect rates are applied, historical /provisional billing rates for indirect rates for the last 3 years and description, and amount of proposed other direct costs. If the Offeror requires the use of consultants in performance of the effort, the consultant cost shall be captured under the appropriate labor CLIN not the ODCs CLIN.
For proposal development purposes, the Offeror should estimate labor rates for all prospective employees using at least the median rate for their given labor category and geographic location based on BLS data. Offerors shall provide sufficient rationale should they choose to propose a different rate for a prospective employee. Offerors who choose to propose rates below the median rate for a given labor category and geographic location may be adjusted for cost realism purposes.
Direct labor rates for contingent and prospective hires: for any proposed contingent and prospective hires, Contractors and Subcontractors shall propose direct labor rates equal to or greater than the direct labor rates as listed below in Table C/P - 1. The BLS ranges are based on data from the Bureau of Labor Statistics (BLS) wage data by area and occupation for each labor category’s BLS code.

When completing the Cost Workbook (Attachment (L-4) Cost Summary tabs, the Offeror shall not utilize any fully burdened hourly rates when pricing the direct labor of its employees. Follow Section 4.3 Cost/Price Information for detailing fully burdened rates.
Service Contract Act (SCA) Considerations This solicitation is, and the resulting contract will be, subject to the Service Contract Act of 1965, as amended, and to FAR clause 52.222-41, contained in Section I of this solicitation.
Offeror's labor classifications should cross-reference to Department of Labor (DOL) wage determination classifications as much as possible.
Offerors shall propose, at a minimum, employee’s wages in accordance with the Wage Determination attached to this solicitation. As part of the cost/price proposal, the Offeror shall furnish the names of the proposed labor categories and the corresponding labor categories from the attached Wage Determination as well as documentation of compliance with the minimum monetary wages and fringe benefits for service employees as specified in the Wage Determination (provided as an attachment in Section J of this solicitation). Offerors are required to submit a total compensation plan setting forth salaries and fringe benefits proposed for employees (including temporary and part time employees) who will work under the contract and are subject to the Act, and explain how the compensation plan complies with the Service Contract Act. If the Offeror’s proposed employees are under a collective bargaining agreement, the Offeror shall provide a copy of the agreement.
Escalation Escalation will be applied on direct labor only for all years regardless of labor category. Escalation will not be applied to the 6-month option. Offerors, including subcontractors and/or JV members, shall include escalation for all labor categories in accordance with Section L, 4.3.3 and as stated in Section M. Offerors that do not include escalation, or an explanation as to why it is not included, may be considered unrealistically low and may have their proposals adjusted by the Government to include escalation in the “out years” minus the 6-month option. In an effort to ensure realism of costs during contract execution, Offerors, including subcontractors and/or JV members, shall propose all ordering periods, including FAR 52.217-8 (6 months), utilizing a minimum escalation rate of 5% for all labor categories. Escalation will not be applied to the 6-month option.
Indirect Costs The Offeror shall identify the indirect rates, for both the Offeror and the principal subcontractors, used in the proposal. The Offeror should include a projection of indirect rates that assumes the award of the contracts in their business base. Any changes to a current FPRA due to the award, variation of the business base or other factors should be fully described and justified. Discuss the application of these rates in the proposal. In addition, provide summary-level definitions for each major indirect rate included in each overhead pool. The indirect accounts may include, but are not limited to, engineering overhead, manufacturing overhead, general and administrative (G&A), material handling overhead, and Cost of Money (COM). Describe the development of composite indirect rates, which represent a combination of company labor categories, functional elements, or calendar year accounts. (e.g., Overhead, Fringe Benefits, General & Administrative (G&A), etc.)
Facilities Capital Cost of Money (FCCOM / COM) When the Offeror elects to claim Cost of Money (COM) as an allowable cost, the Offeror must submit DD Form 1861 and show the calculations of the proposed amount.
Profit/Fee Identify profit/fee rate and total amounts proposed and identify the various cost elements to which the profit/fee is being applied. Profit/fee rates, as applicable in Section B, must be clearly distinguishable. Profit/Fee shall not be applied to ODCs.
Other Direct Costs (ODCs) ODCs are separated by specific cost element (e.g., Travel, Material, and NMCI). Reimbursement for Travel will be in accordance with FAR 31.205-46. If the Offeror proposes burdens on the Government provided ODC estimates, the Offeror shall provide a percentage breakdown of the Offeror’s indirect costs and burdens added to the Government estimates for any and all Cost Reimbursable CLINs in Section B. Offerors shall utilize the Government estimates at paragraph 4.6.1 when proposing these costs.
Limitation on Subcontracting Consistent with 13 CFR §125.6(d)(2), compliance with the limitation on subcontracting shall be an element of responsibility.
This requirement is being set-aside for the 8(a) program. Provide a breakout to demonstrate how the prime contractor or, if the Offeror is proposed as a subcontractor or JV or mentor protégé, the 8(a) entity will perform in accordance with FAR clause 52.219-14. Consistent with 52.219-14, subcontracting limitations shall apply only to the service portion of the contract which only includes direct labor cost and all allocable indirect costs (e.g. Overhead and G&A) associated with the labor costs.
Consistency between the Technical and Cost/Price Volumes Demonstrate that the unit prices and the total proposed price/cost are reasonable, realistic, and consistent with the work required by the solicitation and the technical and management approaches identified in the Technical Volume of the proposal. Show traceability with the CLINs, SubCLINs, PWS, proposed effort, proposed manning levels, and prices/costs. Refer to specific sections in the Technical Volume as needed to illustrate the consistency between the Price/Cost Volume and the Technical Volume. The Offeror shall explain any inconsistency between promised performance and cost/price, as well as any appearance of unbalanced pricing, in the proposal.
