Section H - Special Contract Requirements

H.1 Procedures for Contract Changes

Notification from the Contracting Officer implementing changes as provided under the Contract Clause entitled "Changes - Fixed-Price (Alternate III)" will be the A- E's direction to commence work immediately. When these changes result in a change in the A-E's cost, a proposal will be prepared by the A-E in sufficient detail to permit appropriate review and analysis by the Contracting Officer. This proposal will be submitted in the same format as required by the original contract. The proposal will be filed with the Contracting Officer within 10 days of the A-E's receipt of the change letter.

H.2 TRUTH-IN-NEGOTIATIONS ACT

Notwithstanding the statement in the Contract Clauses entitled "Audit and Records - Negotiation," "Price Reduction for Defective Certified Cost or Pricing Data," and "Subcontractor Certified Cost or Pricing Data," or other provisions in the Federal Acquisition Regulation, which makes the use of these clauses and procedures therein mandatory for the contract and modifications in excess of $2,000,000, such clauses and procedures are also applicable for the contract and modifications of $2,000,000 or less if the Contracting Officer considers that the circumstances warrant such action.

H.4 METHOD OF ORDERING - (BILATERAL)

(a) Supplies and services to be furnished under this contract will be ordered by the issuance of bilateral task orders.

(b) The Government will be under no obligation to issue any particular number of types of task orders and no liability to the contractor will be incurred in the event that a certain number or types of task orders are not issued; however, the Government guarantees a minimum ordering quantity of $2,500.00 for the life of the contract. (NOTE: This is a minimum ordering amount; NOT a minimum payment. If the Government does not order the minimum order amount, the contractor will be limited to breach of contract damages. The contractor will only be entitled to anticipated profit for a task order of this amount and provable standby costs.) The contractor will furnish to the Government, when and if ordered, the services and/or materials set forth in the Statement of Work and will undertake performance in accordance therewith and within the monetary limitations set forth therein. The contractor will not exceed the monetary limit of any task order without prior written approval of the Contracting Officer.

(c) Ordering. The following type of task orders may be issued under this contract:

FIRM-FIXED PRICE TASK ORDERS - Firm fixed price task orders will utilize the labor categories and rates indicated in the basic contract award. The contractor may be required to provide sufficient detail regarding labor categories, hours, materials, and travel to allow an examination of the proposed price to determine price reasonableness. After agreement by the Government and the contractor on the firm-fixed price for performance of the scope of work, the Government will provide an unsigned task order containing the scope of work at the agreed upon price for signature by the contractor. The task order will be issued as a bilateral document.

The contractor must return the signed task order to the Government for signature by the Contracting Officer within three (3) business days of receipt or as otherwise indicated by instruction upon receipt.

(d) If the Contractor determines that the scope of work for an order is not within the scope of the basic contract, the contractor will notify the contracting officer immediately in writing and will include the reasons for such judgment.

(e) The contractor will not transfer labor or travel/material dollars between separate orders, except with prior written permission of the contracting officer.

(f) All orders will be signed by the Contracting Officer before performance begins. No work will be initiated by the contractor prior to receipt of the signed order. It is the intent of the Government to distribute the issuance of orders over the five (5) year ordering period of the contract. However, due to the nature of the mission, there is no guarantee of an orderly flow of work. Orders may be issued under this contract from the date of award throughout the contract period of performance.

(g) All orders issued hereunder are subject to the terms and conditions of the basic contract. The basic contract will control in the event of a conflict with any order.

Individual task orders will reference the applicable clauses from the base IDC.

(h) Subcontractor Terms and Conditions. All contract terms and conditions associated with this contract will be applicable to all subcontracts. The prime Contractor will include all applicable terms and conditions in all subcontracting agreements.

(i) All firms are required to be registered in System Award Management (SAM) https://sam.gov prior to contract award with the Government (see RFO 4.304(a)).

The Government will verify all firms are registered.

These records must be readily available for audit. The contractor will be responsible for managing costs within the proposed and estimated cost of the task order. After agreement by the Government and the contractor on the estimated cost and fixed fee for performance of the scope of work, the Government will provide an unsigned task order containing the scope of work at the agreed upon pricing schedule for signature by the contractor. The task order will be issued as a bilateral document. H-09 ORGANIZATIONAL CONFLICT OF INTEREST (Apr 2020)

a. Purpose: The purpose of this clause is to ensure that:

(1) the Contractor is rendering impartial assistance and advice to the Government at all times under this contract and related Government contracts;

(2) the Contractor's objectivity in performing work under this contract or related Government contracts is not impaired; and

(3) the Contractor does not obtain an unfair competitive advantage by virtue of its access to non-public Government information, or by virtue of its access to proprietary information belonging to others.

b. Scope: The Organizational Conflict of Interest (OCI) rules, procedures and responsibilities described in RFO 9.5 "Organizational and Consultant Conflicts of Interest", RFO 3.101-1 "Standards of Conduct - General, DFARS 209.5 "Organizational and Consultant Conflicts of Interest," and in this clause are applicable to the prime Contractor (including any affiliates and successors-in-interest), as well as any co-sponsor, joint-venture partner, consultant, subcontractor or other entity participating in the performance of this contract. The Contractor shall flow this clause down to all subcontracts, consulting agreements, teaming agreements, or other such arrangements which have OCI concerns, while modifying the terms "contract", "Contractor", and "Contracting Officer" as appropriate to preserve the Government's rights.

c. Access to and Use of Nonpublic Information: If in performance of this contract the contractor obtains access to nonpublic information such as plans, policies, reports, studies, financial plans, or data which has not been released or otherwise made available to the public, the Contractor agrees it shall not use such information for any private purpose or release such information without prior written approval from the Contracting Officer.

d. Access to and Protection of Proprietary Information: The Contractor agrees to exercise due diligence to protect proprietary information from misuse or unauthorized disclosure in accordance with RFO 9.505-4. The Contractor may be requested to enter into a written non-disclosure agreement with a third party asserting proprietary restrictions, if required in the performance of the contract.

e. In accordance with RFO 3.101-1, the Contractor shall also take all appropriate measures to prevent the existence of conflicting roles that might bias the Contractor's judgement, give the Contractor an unfair competitive advantage, and deprive MDA of objective advice or assistance that can result from hiring former Government employees. (See Health Net Fed. Svcs, B-401652.3).

f. Restrictions on Participating in Other Government Contract Efforts. TBD at the Task Order level.

g. OCI Disclosures: The Contractor shall disclose to the Contracting Officer all facts relevant to the existence of an actual or potential OCI, using an OCI Analysis/ Disclosure Form which the Contracting Officer will provide upon request. This disclosure shall include a description of the action the Contractor has taken or plans to take to avoid, neutralize or mitigate the OCI.

h. Remedies and Waiver:

(1) If the contractor fails to comply with any requirements of RFO 9.5, RFO 3.101-1, DFARS 209.5, or this clause, the Government may terminate this contract for default, disqualify the Contractor from subsequent related contractual efforts if necessary to neutralize a resulting organizational conflict of interest, and/or pursue other remedies permitted by law or this contract. If the Contractor discovers and promptly reports an actual or potential OCI subsequent to contract award, the Contracting Officer may terminate this contract for convenience if such termination is deemed to be in the best interest of the Government, or take other appropriate actions.

(2) The parties recognize that the requirements of this clause may continue to impact the contractor after contract performance is completed, and that it is impossible to foresee all future impacts. Accordingly, the Contractor may at any time seek an OCI waiver from the Director, MDA by submitting a written waiver request to the Contracting Officer. Any such request shall include a full description of the OCI and detailed rationale for the OCI waiver.

H.10. PROPOSALS FOR INDIVIDUAL TASK ORDERS

Whenever the Government invites the firm to submit a proposal for the preparation of specified Architect-Engineer services, the Contracting Officer will furnish the Architect-Engineer preliminary criteria together with the desired period of time for completion of the work.

The labor man-hour and overhead rates listed in the IDC be the maximum rates used in pricing task orders issued under this contract during the period specified therein. The contractor may propose lower rates for any specific task order. The prime will have an adequate accounting system, as required by RFO 16.204-3(b) and 16.301-3(a)(2) to propose on CPFF task orders.

H-12 CONTROL OF ACCESS TO MDA SPACES AND INFORMATION SYSTEMS (SEP 2013)

a. To maintain the security of the MDA spaces and information systems, the contractor shall notify the COR in writing whenever a prime or subcontractor employee included on the current visit authorization request/letter no longer supports this contract. This requirement shall apply to both contractor and employee initiated termination of services and to temporary suspension of services.

b. The contractor will cooperate with COR in facilitating the employee's return of all government issued credentials, e.g., badges, common access cards (CACs), SIPRNet tokens. Specifically, upon notification, the COR will work with the organization's Security Operations Center and the MDA Service Desk to ensure timely action to:

(1) remove the employee from the current visit authorization request/letter;

(2) cancel Government issued credentials pursuant to the visit authorization request/letter; and,

(3) terminate the MDA LAN account/access privileges.

c. In addition to actions related to MDA access control, the contractor shall maintain accountability for Government issued credentials provided under this contract.

Government issued credentials are the property of the U.S. Government and shall not be retained by cardholders upon expiration, replacement, or when the DoD affiliation of employees has been terminated. The contractor shall coordinate with the COR to ensure government issued credentials are retrieved in accordance with local command or installation procedures. Unauthorized possession of an official credential, like a CAC, can be prosecuted criminally under section 701, title 18, United States Code.

d. The contractor shall identify the reason for and date of termination or expected period of suspension and submit the notification to the COR within five (5) working days prior to service discontinuation. For unplanned termination or suspension of services, notification shall be made on the same working day as the termination/suspension action.

H-14 PERSONNEL QUALIFICATIONS (MAY 2005)

If replacing key staff the Contractor shall adhere to the following: (1) replacement person's qualifications are equal to or better than the qualifications of the person being replaced;

or (2) the added person's qualifications are equal to or better than the core capabilities of this contract. Key staff positions are defined as: [INSERT list of key personnel, e.g. Program Manager, Deputy Program Manager, Lead Engineer, etc.].

b. All Contractor notifications must provide the name and departure date for the incumbent leaving, a complete resume for the proposed substitute, and any other pertinent information requested by the Contracting Officer. The Government shall be provided the opportunity to review the proposed substitution regarding qualifications, security matters or any other concerns which could, in its opinion, affect performance under this contract.

c. This clause does not, in any way, abrogate the contractor's authority to hire or assign personnel as it sees fit, or its responsibility to fill key positions with qualified personnel.

H-20 SENSITIVE INFORMATION TECHNOLOGY WORK (JUL 2011)

a. DoD 5200.2-R, DoD Personnel Security Program, requires Contractor personnel, who perform work on sensitive Information Technology (IT)/Automated Data Processing (ADP) systems (hereafter referred toas IT), to be assigned to positions which are designated at one of three sensitivity levels (IT-I, IT-II or IT-III). These designations equate to Critical Sensitive, Non-Critical Sensitive, and Non-Sensitive. Working On-Site in any MDA Facility requires a minimum Sensitivity of ITII.

The following investigations are required:

IT- I designated positions require a Single Scope Background Investigation (SSBI).

IT-II designated positions require a National Agency Check with Law and Credit(NACLC).

IT-III positions associated with MDA are found only at contractor's facilities. See below for requirement.

b. The required investigation will be completed prior to the assignment of individuals to sensitive duties associated with the position.
