Contract Administration Data

In accordance with 52.232-37 Multiple Payment Arrangements, CTSC is authorized to utilize multiple methods of payment. The primary method is through submission of invoice through a Third-Party Payment System, herein described as "TPPS". The current TPPS is Syncada. The second method of payment is through submission of Public Voucher for Transportation Charges (SF 1113) herein described as "Legacy Payment Process". Contractors are not permitted to submit duplicate invoices through both processes. The payment office for each process is described below:

TPPS Process: Payment by US Bank

Legacy Payment Process: Payment by DFAS Japan

---Third Party Payment System (TPPS) Procedures---

Basic Process: Order > Performance (Documentation) > TPPS Contractor Payment Approval/Rejection/Remediation > TPPS Bank Payment

1. Shipment Booking by the shipper Ordering Officer (OO).

The shipper Ordering Officer (OO) will enter shipment data into the automated shipper system. The TPPS(Syncada) will use the Bill of Lading Office Code (BLOC), DoD Activity Address Code (DoDAAC), or express shipper account number to determine to which account the shipment is assigned. When preparing the Bill of Lading (BL), the TO will enter the Standard Contractor Alpha Code (SCAC) of the contractor to whom the shipment is tendered. This SCAC is used by the TPPS (Syncada) to identify the contractor moving the shipment.

2. Documentation.

a. The Ordering Officer will print a minimum of two hard copies of the BL: one to file and one to give to the contractor. The original BL is in electronic form only.

b. Manifest and pickup.

1) The Ordering Officer will provide the paper BL/manifest to the contractor at pickup.

2) The electronic BL data will be transmitted from the shipper system (e.g., CMOS/ETA/GFM, or the Distribution Standard System [DSS]) to TPPS (Syncada) no later than 24 hours after pickup.

c. Status/ Price Confirmation.

The contractor will submit a delivery status to TPPS (Syncada) either electronically or manually. For locally paid accessorial services (e.g., destination charges) the contractor will bill the Ordering Officer by creating and associated electronic bill (eBill*) in TPPS (Syncada).

*Either party may initiate an eBill, but it will not be paid until the other party approves it. An eBill needs to be identified as linked to the basic BL, therefore contractor will need to use their Seller Doc ID number and affix an "alpha code". A linked eBill will use the LOA/TAC of the original BL. Unlinked eBills are eBills without a prior existing transaction in the system and are not authorized unless a waiver is granted by the Office of the Secretary of Defense.

3. Contractor Payment Approval.

a. The contractor payment process cannot begin until there is confirmation in TPPS (Syncada) that the services have been performed. This event will be the posting of the contractor notification of delivery to TPPS (Syncada). Actual contractor payment will be based on the services requested under the BL.

b. The TPPS (Syncada) will not pay the contractor until notification of delivery and Ordering Officer approval are present in TPPS (Syncada). Ordering Officer approval can be via either manual or auto approval, depending upon the business rules set up in TPPS (Syncada).

c. For shipments that are approved manually, one of the following actions must be taken within 3 Business Days after the contractor sends the notification of delivery.

Option #1: Ordering Officer approves the payment. Payment is issued.

Option #2: Ordering Officer has the contractor adjust the price within TPPS (Syncada), and then approve the payment. Payment is then issued. (For example, if a shipment is delivered after the required delivery date, and the price paid is contingent on timely delivery, the Ordering Officer will have the contractor adjust the price in TPPS (Syncada) prior to approval, and record the reason in a TPPS Note.)

Note: The Ordering Officer cannot adjust the billing amount in TPPS (Syncada), only the contractor can. Upon payment approval, TPPS (Syncada) always pays the contractors the amount in the billing column.

Option #3: Ordering Officer places the transaction on "hold" and requests additional information from the contractor, using a TPPS Note. The Ordering Officer and Contractor can exchange notes within the TPPS (Syncada) until resolution is achieved.

The contractor must respond within 3 business days. After receiving acceptable information, the Ordering Officer may approve the payment in accordance with option #1 or option #2.

Note: that placing a transaction on "hold" gives the Ordering Officer an extra 3 business days to research the transaction.

Option #4: Ordering Officer denies payment and records the reason in a TPPS Note. To "deny" a bill is intended to communicate a final decision. (e.g., that the Ordering Officer does not intend to entertain any payment on a transaction)

Note: Ordering Officers can update a transaction in TPPS (Syncada) before the TPPS (Syncada) pays the contractor, either directly in TPPS (Syncada) or as an update from their shipper system. (e.g., GFM, CMOS, or DSS). In those situations where a transaction is updated, the Ordering Officer that approved the change will attach a Note to the transaction in TPPS (Syncada) explaining why the change was made. Notes are permanent and cannot be edited or deleted once entered in TPPS. After the TPPS (Syncada) has paid the contractor and prior to the Summary Invoice being generated, any changes to price or shipment data must be entered into TPPS (Syncada) via the eBill process.

4. TPPS Summary Invoice Certification and Bank Payment The Summary Invoice must be accessed through the TPPS (Syncada) website available at (https://portal.syncada.com/USBank /LogIn.aspx?ReturnUrl=%2fUSBank%2fHome.aspx). The Summary Invoice will generally be available at no later than 2 TPPS (Syncada) business days after the end of the billing cycle. (Exception: If the billing cycle ends on a holiday or weekend, the Summary Invoice will be available no later than the third business day following the end of the billing cycle.) The Summary Invoice is provided in HTML format along with supporting download files. Download options are generated and are fully compatible with Excel or Access. The summary invoice provides an overview of account activity and transaction billing information summarized at the Line of Accounting (LOA) level. The line level detail lists all the transactions that were paid during the statement cycle and shows the contractor, BL number, date, shipment origin, destination, and freight cost. The terms of the contract with the TPPS contractor are Net 30 days. DFAS will compute and pay Prompt Payment Act interest when payment to the TPPS is made more than 30 days after the statement availability date of the Summary Invoice. The statement availability date is systematically generated and printed on the Summary Invoice.

5. Dispute Resolution

The following guidelines will be followed regarding the creation of eBills for resolving under/overpayments:

a. A contractor may make a price adjustment before payment is approved in the TPPS (Syncada). The contractor will explain the reason for the adjustment in a TPPS Note. If the contractor payment has already been approved, the contractor may submit an eBill up to 36 months after payment. Before a price adjustment can be requested, a billing dispute must first go through the eBill process. If the transportation office and contractor cannot reach an agreement on funds due, either may contact the offices listed below. The request must include POC information (name, phone number, e-mail address), the origin BLOC, the BL number, the Shipment Routing ID (from the service shipper system), and a statement of the problem or issue.

(a) General freight/military vehicles/AA&E:

HQ, SDDC

ATTN: G3, Domestic Operations 1 Soldier Way, Building 1900W Scott AFB, IL 62225 DSN 770-5914 or 618-220-6914 usarmy.scott.sddc.mbx.cost- questions@mail.mil

1. When DOD and Contractor records conflict, DOD records take precedence.

2. Contractor has 45 days from date of delivery to initiate possible claim or dispute.

b. Either the Ordering Officer or the contractor can submit an eBill. After the eBill is submitted to the TPPS, the other party will have 3 business days to respond.

c. The Ordering Officer must take one of the following action within 3 business days of receiving an eBill from the contractor:

1) Approve payment

2) Deny payment (remarks documented in a TPPS Note required indicating why payment was denied)

3) Hold payment (remarks required requesting clarification or more information).

d. The contractor must take one of the following actions within 3 business days of receiving an eBill from the Ordering Officer:

1) Approve for credit

2) Deny credit (remarks using the Notes function to indicate why credit was denied)

3) Hold credit (remarks using the Notes function required requesting clarification or more information).

e. When an Ordering Officer or contractor creates an eBill, reference will be made to the original BL (or contractor shipment) number or the user will append sequential letters to the BL (or contractor shipment) number for each eBill created. For example, if the BL (or contractor shipment) is MC9912345, the first eBill will be assigned the identifier of MC9912345A, the second eBill will be assigned the identifier of MC9912345B, and so forth. The eBill must also be electronically linked to either the original BL or contractor invoice.

Special Contract Requirements

ORDERING

(1) Orders processed under this IDIQ contract will be decentralized. Designated Ordering Officers will solicit IDIQ holders for local requirements and administer the resulting orders. A list of designated Ordering Officers can be found in Section J.

(2) Orders shall be issued on a Firm-Fixed Price (FFP) basis and will cite an individual order number.

(3) Oral ordering is authorized under this contract and will be confirmed in writing on a bill of lading document or SF1449 Task Order. The Government's obligation for oral orders are contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government may arise until the Contractor receives notice of such availability, to be confirmed in writing by Ordering Officer on a bill of lading document, SF 1449 Task Order, or other written documentation provided by the Ordering Officer. The Government will not be obligated to reimburse the contractor for work performed, items delivered, or any costs incurred, nor shall the contractor be obligated to perform, deliver, or otherwise incur costs except as authorized by duly executed orders. The Government may request proposals with no assurance of funding and provides no assurance that orders will be issued. Authorization for Oral Orders under this section supplements FAR 52.216- 18, Ordering.

FAIR OPPORTUNITY

(1) Fair Opportunity is required for all orders greater than $10,000.

(2) Fair Opportunity for orders will primarily be based on readily available price, capacity, and utilization information rather than through direct contact of each of the multiple awardees under the contract in accordance with FAR 16.505(b)(ii). However, the Ordering Officer reserves the right to conduct a more formal Fair Opportunity Proposal competition.

(3) Exceptions to Fair Opportunity in accordance with FAR 16.505(b)(2) may apply.

ORDERING PROCEDURES

Services will be procured with the award of orders issued against the basic Indefinite Delivery, Indefinite Quantity Multiple Award contract. There are four procedures for the award of task orders:

(1) Initial Task Orders. Each awardee will receive an initial task order for the contract minimum.

(2) Direct Selection. If the order does not exceed $10,000, the Ordering Officer may select any awardee without providing fair opportunity.

(3) Order Selection based on readily available information. If the order exceeds $10,000, but does not exceed the simplified acquisition threshold, the Ordering Officer may provide fair opportunity for selection for all awardees through consideration of readily available information rather than through contact of each of the awardees under the contract.

(4) Order Selection based on Task Order Competition. If the order exceeds the simplified acquisition threshold or at the Ordering Officer's discretion, orders may be placed on a competitive basis. The Ordering Officer will provide a notice of the intent to make a purchase, including a clear description of the supplies to be delivered or the services to be performed and the basis upon which the selection will be made to all contractors offering the required services under the multiple-award contract and afford all contractors responding to the notice a fair opportunity to submit an offer and have that offer considered. Notification will be accomplished through the issuance of a Fair Opportunity Proposal Request (FOPR) Letter.

(a) The FOPR Letter will include, at a minimum, the following information:

1) Date

2) Description of services

3) Quantity

4) Delivery Location(s)

5) Delivery Date

6) Response Date

7) Permissibility for oral response to FOPR (oral presentations)

8) Selection Criteria

9) Other pertinent data such as planned closures for federal holidays, family days, and goal days.

FAIR OPPORTUNITY ORDER SELECTION CRITERIA

Source selection processes and techniques to achieve best value in accordance with FAR 15.3 are not applicable, including Tradeoff processes and Lowest price technically acceptable source selection processes as described in FAR 15.101-1 and FAR 15.101-2. The Government will award to the contractor who is deemed most advantageous to the Government based upon consideration of price and readily available non-price value indicators.

The Ordering Officer has broad discretion to tailor the procedures of consideration for individual orders to reflect the requirement and other aspects of the execution and contracting environment. Generally, after preliminary consideration of all contractors in the awardee pool, Ordering Officers will identify from the entire awardee pool one contractor that is suitable to the user for the specific requirement, and quickly screen lower priced contractors from the awardee pool based on prescribed value indicators for selection. The following value indicators may be used as selection criteria in addition to price to provide fair opportunity to be considered for each order, if fair opportunity applies:

(i) Contractor Capacity to Perform

(ii) Overall Contract Utilization

ON RAMP AND OFF RAMP PROCEDURE

(a) The Government reserves the right to reopen competition at any time during the term of the contract. The Contracting Officer intends to periodically review the need for additional Contractors during the contract Period of Performance (PoP)/Ordering Periods.

(b) When an on-ramp is used, the Government will advertise the reopening of the competition on SAM (https://sam.gov/), and awardees shall meet the criteria established in the initial Multiple Award CTSC solicitation. The solicitation process will be the same as during the original solicitation, but changes may occur if law, regulation, or policy have changed and require alteration to the process. Any new awardees will be afforded equal opportunity to be considered for award with any existing or remaining CTSC Contractors for all subsequent task orders (excluding the need to meet the minimum obligation amount). Any additions due to on-ramps will not increase the contract ceiling and the ordering period for new awardees will not exceed the overall maximum term of the original contract. The Government will not consider unsolicited requests for addition to the competitive pool. The anticipated number of awards will be announced in the reopening announcement posted to SAM; however, the Contracting Officer has the discretion to award more or fewer contracts than the number anticipated in the solicitation depending upon the quality of the offers received.

Contract Clauses

Addendum to FAR 52.212-4 CONTRACT TERMS AND CONDITIONS - COMMERCIAL ITEMS (Oct 2018):

(k) Taxes. The text is deleted and replaced as follows:

(1) Unless otherwise provided in this contract, the contract price includes all applicable taxes and duties, except taxes and duties that the Government of the United States and the Government of Japan have agreed shall not be applicable to expenditures in Japan by or on behalf of the United States.

(2) The Status of Forces Agreement between the Japan and the United States and implementing the Japanese laws authorizes the United States exemption from certain Japanese taxes for materials, supplies, equipment and services procured for official purpose in Japan by the United States Armed Forces or by authorized agencies of the United States Armed Forces. Those taxes include (1) Consumption tax, (2) Gasoline tax and local road tax on gasoline, (3) Diesel oil tax, and (4) Liquefied petroleum gas tax.

(3) The Contractor will submit requests for gasoline or diesel oil tax exemption certificate to the Contracting Officer. This request will show the actual amount of gasoline or diesel oil used exclusively for the performance of this contract, with documentary evidence and detailed item breakdown to support the accurate consumption of gasoline or diesel oil, or other necessary information and data as may be required. The Contracting Officer will issue to the Contractor a tax exemption certificate for the actual amount of gasoline or diesel oil used exclusively for the performance of this contract.

(w) Conciliation. Except as otherwise provided in this contract, any disagreement arising under this contract which is not resolved by the parties to this contract may be submitted to the United States - Japan Joint Committee for conciliation in accordance with Paragraph 10, Article XVIII of the Status of Forces Agreement under Article VI of the Treaty of Mutual Cooperation and Security between Japan and the United States of America.

Requests by the Contractor shall be made in accordance with the following procedures:

(1) In the event the Contractor desires conciliation after the decision of the Contracting Officer has been served upon him, he will first file his appeal from such findings of fact with the appropriate authority in accordance with the clause of this contract entitled, "Disputes" and within the time limits described therein before filing a request for conciliation with the Joint Committee and then request the appellate authority under the "Disputes" clause to suspend its action on his appeal until such time as the Joint Committee has had an opportunity for effecting conciliation.

(2) The request for conciliation will be submitted by the Contractor through the nearest Defense Facilities Administration Bureau, to the Contract Conciliation Panel of the Joint Committee. Upon the filing of the request with the Joint Committee, the Contractor will immediately notify the Contracting Officer in writing that the request for conciliation has been filed.

(3) In the event the disagreement submitted to the Joint Committee under subparagraph (2) above has been resolved through conciliation, it will be the responsibility of the Contractor to notify the appellate authority designated in the clause of this contract entitled, "Disputes", of the settlement of the dispute and to withdraw his appeal.

(4) In the event the Contractor has submitted a request for conciliation to the Joint Committee under subparagraph (2) above desires, notwithstanding tendency of his request for conciliation, that action by the appropriate authority under the clause of this contract entitled, "Disputes", be resumed on his appeal, it is his responsibility to so request the said authority in writing. The Joint Committee shall be immediately informed by the Contractor of his action taken hereunder.

(5) No request for conciliation can be submitted to the Joint Committee in the case of a dispute upon which the final decision of the appropriate authority under the clause of this contract entitled, "Disputes", has been rendered. Pending the hearing of the conciliation panel, the Contractor shall proceed diligently with the performance of the contract in accordance with the Contracting Officer's decision. The provisions of this clause shall not prejudice any right which the parties to the contract may have to file in a civil suit.
