(a) Definitions. As used in this clause-

Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern-

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (d) of this clause.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

(b) If the Contractor represented that it was any of the small business concerns identified in 19.000(a)(3) prior to award of this contract, the Contractor shall rerepresent its size and socioeconomic status according to paragraph (f) of this clause or, if applicable, paragraph (h) of this clause, upon occurrence of any of the following:

(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.

(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

(3) For long-term contracts-

(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and

(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.

(c) If the Contractor represented its status as any of the small business concerns identified at 19.000(a)(3) prior to award of this contract, the Contractor shall rerepresent its size and socioeconomic status according to paragraph (f) of this clause or, if applicable, paragraph (h) of this clause, for the NAICS code assigned to an order (except that paragraphs (c)(1) through (3) of this clause do not apply to an order issued under a Federal Supply Schedule contract at subpart 8.4)-

(1) Set aside exclusively for a small business concern identified at 19.000(a)(3) that is issued under an unrestricted multiple-award contract, unless the order is issued under the reserved portion of an unrestricted multiple-award contract ( e.g., an order set aside for a woman-owned small business under a multiple-award contract that is not set-aside, unless the order is issued under the reserved portion of the multiple-award contract);

(2) Issued under a multiple-award contract set aside for small businesses that is further set aside for a specific socioeconomic category that differs from the underlying multiple-award contract ( e.g., an order set aside for a HUBZone small business concern under a multiple-award contract that is set aside for small businesses);

(3) Issued under the part of the multiple-award contract that is set aside for small businesses that is further set aside for a specific socioeconomic category that differs from the underlying set-aside part of the multiple-award contract ( e.g., an order set aside for a WOSB concern under the part of the multiple-award contract that is partially set aside for small businesses); and

(4) When the Contracting Officer explicitly requires it for an order issued under a multiple-award contract, including for an order issued under a Federal Supply Schedule contract (see 8.405-5(b) and 19.301-2(b)(2)).

WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (JAN 2023)

(a) As used in this clause- Definitions.

"Department of Defense Activity Address Code (DoDAAC)" is a six position code that uniquely identifies a unit, activity, or organization.

"Document type" means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

"Local processing office (LPO)" is the office responsible for payment certification when payment certification is done external to the entitlement system.

"Payment request" and "receiving report" are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(b) The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as Electronic invoicing.

(c) To access WAWF, the Contractor shall- WAWF access.

(d) The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice WAWF training.

(d) . Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

Evaluation-Commercial Products and Commercial Services (Nov 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(i) certified qualifications; (ii) past performance; (iii) price

Certified qualifications and past performance, when combined are approximately equal to price.

(b) . The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic Options requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Attachment 2: Addendum to FAR 52.212-2, EVALUATION- COMMERCIAL ITEMS

(a). Basis of Award. The request for quotations uses streamlined simplified acquisition procedures pursuant to FAR Subpart 12.6 and FAR Subpart 13.5. The Government intends to award a single firm fixed price requirements contract resulting from this solicitation to the responsible vendor whose quote conforms to the solicitation, meets the minimum requirements, and will be the most advantageous to the Government, price and other factors are considered.

Award will be made to the lowest price quotation that meets the minimum technical approach requirement and satisfactory past performance.

The following factors shall be used to evaluate vendor's quotation:

Factor 1 - Certified qualifications

Factor 2 - Past Performance

Factor 3 - Price

As set forth in FAR 52.212-1, the Government intends to evaluate quote(s) and award a contract without discussion with vendor (s). Therefore, the vendor's initial offer should contain the vendor's best terms from a price and technical standpoint. The Government reserves the right to conduct discussion if later determined by Contracting Officer to be necessary.

(b). Evaluation Criteria.

Factor 1 - Certified qualifications: Certified Commissioning Professional (CCP) from the Building Commissioning Association (BCA) or Building Commissioning Certification Board (BCCB) and/or Certified Commissioning Authority (CxA) from the AABC Commissioning Group (ACG): Accredited by the ANSI National Accreditation Board, demonstrating expertise in leading commissioning teams.

Factor 2 - Past Performance on similar commissioning services contracts within the last three (3) years completed for both Federal, State, Local and private commercial industry clients; knowledge of the locality of the project as it relates to the Construction cost, availability of materials, and labor issues.

Factor 3 - Price. Price will not be scored or rated and should be provided on the Standard Form (SF) 1449 to determine price reasonableness in accordance with FAR13.106-3. Addendum to 52.212-1, Instructions to Offerors - Commercial Products and Commercial Services

1. Submission of quotes will be received via e-mail only to the Contract Specialist, Warren Sabugo at email:

mil@army.mil . All solicitation and amendments issued will be posted on https://www.sam.gov/. Once posted, all vendor(s) are responsible to monitor the website until the closing date for any issued amendments. It is the responsibility of the vendor to ensure quotes are received and acknowledged by the Contract Specialist or Contracting Officer, on or before the deadline for submission of quotes as indicated in Block 8 of the SF 1449.

2. The points of contact for this acquisition include the Contract Specialist and Contracting Officer. It is recommended that both individuals are included on any correspondence.

3. The deadline for the submission of questions is no later than three (3) business days after issuance of solicitation. A summary of questions received, and Government responses will be provided via an amendment to the solicitation and posted https://www.sam.gov/. Questions received after 4:00 p.m., HST on the third business day may RFQ W50SLF25QA011 not be answered. Questions must be submitted in writing to Contract Specialist and Contracting Officer.

A. General Instructions:

1. The Request for Quote (RFQ) and evaluation of quotes will be conducted in accordance with FAR Subpart

12.6 and FAR Subpart 13.5. Offers will be evaluated using the criteria set forth in the Addendum to FAR 52.212-2. Noncompliance with the RFQ may cause a quote to not be considered for award.

2. The submission of documentation specified below will constitute the vendor's acceptance of the terms and conditions of the RFQ, concurrence with the Performance Work Statement (PWS) and contract type. 3. It is the Government's intent to award without discussions. Vendors are encouraged to present their best terms from a price and technical standpoint.
