The Government will return bid guarantees to unsuccessful bidders following bid opening and to the successful bidder upon execution of contractual documents. Quotations must be submitted by 07/22/2026 at 1700 Mountain Daylight Time to Jamie.Rosales@noaa.gov. Site visit is scheduled for July 14, 2026, from 3:00 PM to 4:00 PM Mountain Time. Evaluation criteria prioritize non-price factors (technical approach and capability, experience, and past performance) significantly more than price, with price becoming the determining factor if non-price solutions are substantially equal. The contract is not a small business set-aside. Prevailing wage requirements apply per the Davis-Bacon Act, with wage rates specified in General Decision WA20260108 Modification 1 (effective 05/18/2026) for King County, Washington. Required pre-construction submittals include safety and health plans, quality control plans, logistics plans, project schedules, and asbestos-containing materials certifications. Payment will be made through the Invoice Processing Platform (IPP) system, with invoices submitted by the Contracting Officer's Representative on a weekly basis.

STATEMENT OF WORK SOW

National Oceanic and Atmospheric Administration PMEL Lab Row Staging Space Renovations Pacific Marine Environmental Laboratory (PMEL) PMEL Bldg 3 Seattle, WA 98115

1 Mission The Oceanic Atmospheric Research (OAR) Pacific Marine Environmental Laboratory (PMEL) in Seattle, WA delivers trusted scientific information through innovative oceanographic and atmospheric research, observations, and technology development in support of society's response to urgent global and regional environmental challenges. PMEL’s research is aligned with OAR’s Priorities of Weather and Environmental Hazards, Too Much & Too Little Water, a Healthy Environment and Economy, Integrating Emerging Technologies and Sustaining Environmental Observations, and NOAA’s Strategic Priorities including Modernizing Operations, Planning, and Assets and Innovating NOAA Observing Systems.

2 Purpose NOAA PMEL is located at the NOAA Western Regional Center (WRC) with a large footprint in Building 3 on the campus. This contract will establish a mission-critical dedicated cruise staging area to support the mobilization and demobilization of equipment, gear, and samples for sea-going technical staff, primary activities of PMEL world class science. The effort involves reconfiguring existing space within the Building 3 first-floor lab row to create a centralized hub designed to streamline cruise preparation and manage equipment and sampling gear, and also removing built-in non-functioning freezers to create a usable staging area. By providing a structured environment for prepping, organizing, receiving, and transporting gear, the new space will improve operational workflow and minimize logistical delays.

Additionally, the facility will support efficient gear disassembly, sample categorization, and bottle cleaning, accelerating transitions between research cruises and enhancing scientific productivity. This renovation will ensure that scientific materials are handled in appropriate, dedicated areas rather than in hallways or other unsuitable areas on campus.

The completion of the staging area will create a space that enables more efficient and safer mobilization and demobilization of science and cruise prep activities.

3 Elements Primary Staging Room A staging space is required to enable preparation for and demobilization after cruises in a safe space with access to needed laboratory tools, water, and a design for maximum efficiency. This will enable safer egress in the main walkways where mobilization and demobilization equipment is now stored and staged.

Remove walls to create a large 1100 sf space that is a specialized, temperature-regulated room equipped with proper lighting, utilities, mobile workstations, sample storage, and dedicated cleaning facilities to significantly enhance operational safety and efficiency.

The space will encompass rooms 1074, 1075, 1076, and 1077.

Specific Work Items –The scope of services shall include all supervision, labor, materials, documentation, fabrication, and installation requirements shown or implied by the exhibits and documentation provided as part of this solicitation. System details listed below are shown on the contract documents and are being listed in support of the construction issue documents dated 06/05/26 for inclusion within your response to this solicitation. Demolition, architectural, mechanical, electrical, plumbing (MEP), heating, ventilation, air conditioning (HVAC) and fire protection systems have been documented for modification and/or installation as part of this solicitation.

Complete the following:

1. Base Contract - Primary Staging Room:

a. Preconstruction activities. WRC Maintenance shall remove all existing desks and shelving. PMEL to remove all personal and departmental items. The Contractor is not responsible and shall not move any furniture, shelving and/or personnel items as part of the Work.

b. Demolition of walls, and flooring as shown in drawings.

i. Remove all flooring system components inclusive of vinyl cove base and adhesives to bare concrete.

ii. Remove Interior Walls - Approximately 100 linear feet of drywall and stud framing with associated doors/frames/hardware. Relocate doors and frames, for the government, to a designated storage area within Building Number 03.

iii. Remove one set of relights (vision panel) from corridor wall.

c. Concrete

i. Concrete patch work or infills may be required inclusive of flash patching with Ardex or some other self-leveling material as part of the Work.

d. Casework, Counters, Shelving

i. Provide laboratory casework, epoxy resin counters, sinks, etc.

ii. Provide open shelving units, utilities tables, etc. as shown on the contract documents (reference casework drawings G-101 and A-204)

e. Walls and Doors

i. Provide walls (Rock/Tape/Spackle)

ii. Install relocated Doors/Welded Frames/Hardware

iii. Infill wall opening from the double door removed.

iv. Patch existing plaster.

v. Paint vertical surfaces 1 prime and 2 finish with a touch up pass. Color to match existing.

vi. Infill top of wall cavities in corridor for 1 hour fire rating

vii. Provide wood or miscellaneous metal blocking in walls or on walls as need to support casework, upper cabinets, shelving, etc. Blocking should not be seen and should be installed behind the case or shelving or behind the drywall.

f. Ceilings

i. Ceiling system inclusive of ceiling tile, registers, grills and diffusers to remain.

ii. Lights to remain.

iii. Sprinkler heads to remain.

g. Floors

i. Infill floor openings

ii. Flash patch floor and level

iii. Epoxy Floor- (2 aggregate, 2 clear coat and 1 Seal Coat) per architectural drawings. (Confirm).

h. Plumbing

i. Provide plumbing work as shown on the plans inclusive of faucets and sinks- hot, cold, sanitary, etc.

ii. Provide eye wash stations both faucet and free standing as shown on the contract documents (reference casework drawings A-401 and plumbing drawing P-101)

i. Fire Alarm Systems

i. Pull back existing devices, no more than two from walls scheduled to be demolished and re-install on adjacent wall.

ii. Existing sprinklers remain as is.

j. HVAC

i. Existing diffuser and VAV’s to remain as is.

ii. Remove only the linear diffusers shown on contract document AD-102. Remove flex duct and cap back at trunk line.

iii. Relocate and consolidate temperature sensors from demolished walls to single wall location.

iv. Remove, relocate, re-install thermostats. Reference contract drawing M-101.

k. Electrical

i. Relocate and rewire lighting circuits to new switches with occupancy sensors in the room.

ii. Provide new light fixtures as shown on the contract documents.

l. Low Voltage and Data

i. Utilize existing data - no scope

2. a. Ceiling System

i. Provide new acoustical ceiling tile within the existing ceiling grid. Provide new registers and grills. Refer to drawing A-102 note 2 for direction as part of this scope of work and this CLIN.

ii. Diffuser to remain as is unless otherwise noted.

b. Fire Alarm Systems

i. Provide one (1) additional single horn / strobe for the entire area.

ii. Existing sprinklers remain as is.

3. Exclusions:

a. The following shall be excluded from the Work:

i. Sprinkler System inclusive of relocations

ii. Card Reader Control Access

iii. Diffusers

iv. Fire Alarm

v. Low Voltage Work

4 Contract Requirements

4.1 Post Award/Preconstruction Conference

The purpose of this meeting is to develop and discuss a mutual understanding of the administrative requirements of the Contract including daily reporting, invoicing, safety, site access, outage requests, schedule requirements, quality control, and schedule of prices, shop drawings, submittals, execution of the work, Government acceptance, final inspections and contract close-out. The Contractor must present and discuss their basic approach to scheduling the work and any required phasing. The Contractor attendees must include the Project Manager, Superintendent, Site Safety and Health Officer

(SSHO), Quality Control Manager (QCM) and major subcontractors. The Superintendent, SSHO, and QCM shall be designated in writing.

4.2 Safety and Health Plan

The Contractor shall be responsible for preparing a Safety and Health Plan. The Plan shall be submitted to the Contracting Officer within 30 days after contract award and must be approved before the Contractor is given notice to proceed.

4.3 Quality Control (QC) Plan

The Contractor shall develop a project specific Quality Control Plan. The Plan shall be submitted to the Contracting Officer within 30 days after contract award.

4.4 Cost Estimates

The Contractor’s proposals and cost estimates developed during the course of this contract, including modifications, shall follow UNIFORMAT II format.

4.5 Construction Daily Reports

The Contractor shall prepare daily construction reports. At a minimum, the reports shall be submitted to the Contracting Officer’s Representative (COR) on a weekly basis.

4.6 Project Schedules

The Contractor shall submit an overall progress schedule and a 3-week look ahead schedule. The progress schedule shall be sufficient in detail showing all phases of the work including submittals, testing, inspection/acceptance, commissioning, and training of Government personnel (if applicable). As the work progresses, these schedules are intended to be living documents that are updated and submitted to the Government at regular intervals (e.g., once per month) to document the progression of the work.

4.7 Logistics Plan

The Contractor shall submit for the Government’s review and approval a logistics plan showing the locations of staging and lay down areas, material storage, dumpsters, parking for workers, etc.

4.8 Hours of Operation

The Contractor is responsible for performing between the hours of 7:00 AM to 4:30 PM, Monday through Friday, except Federal holidays or when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. The contractor must at all times maintain an adequate work force for the uninterrupted performance of all tasks defined within this statement of work when the Government facility is not closed for the above reasons.

Work outside regular working hours requires Contracting Officer approval. Requests must be submitted 14 calendar days prior to such work to allow arrangements to be made by the Government for inspecting the work, giving the specific dates, hours, location, type of work to be performed, contract number and project title. Based on the justification provided, the Contracting Officer may approve work outside regular hours.

4.9 Security

4.9.1 Contractor Employees

All personnel used to perform work shall be legal citizens of the USA, or legal immigrants to the USA.

Prior to commencing work under this contract, the Contractor shall submit the required security forms as informed by the COR. While on-site at a NOAA facility, Contractor personnel may be required to obtain and wear identification badges.

The Contractor shall submit a list of personnel for both contractor employees and subcontractors, including addresses and telephone numbers for use in the event of an emergency. As changes occur and additional information becomes available, update the information contained in previous lists.

4.9.2 Physical Security

The Contractor shall be responsible for safeguarding all Government property provided for contractor use. At the close of each work period, Government facilities, equipment, and materials shall be secured.

Personnel may be subject to inspection of their personal effects when entering and leaving the facility.

In addition, unscheduled inspections of personnel may be made when entering or while on site.

4.10 Environmental Protection

4.10.1 Provide and maintain during the life of the contract environmental protection as required. Plan for and provide environmental protective measures to control pollution that develops during construction. Plan for and provide environmental protective measures required to correct conditions that develop during the construction of permanent or temporary environmental features associated with the project. Protect the environmental resources within the project boundaries and those affected outside the limits of permanent work during the entire duration of this Contract. Comply with federal, state, and local regulations pertaining to the environment, including water, air, solid waste, hazardous waste and substances, oily substances, and noise pollution.

4.10.2 Tests and procedures assessing whether construction operations comply with Applicable Environmental Laws may be required. Analytical work must be performed by qualified laboratories;

where required by law, the laboratories must be certified.

4.10.3 Prior to the start of any on-site construction activities, perform a Preconstruction Survey of the project site with the Contracting Officer or the COR and the designated NOAA Environmental Representative. Survey shall include photographs showing existing environmental conditions in and adjacent to the site.

4.10.4 Minimize interference with, disturbance to, and damage to fish, wildlife, and plants, including their habitats. The protection of rare, threatened, and endangered animal and plant species identified, including their habitats, is the contractor's responsibility. Preserve the natural resources within the project boundaries and outside the limits of permanent work. Restore to an equivalent or improved condition upon completion of work. Confine construction activities to within the limits of the work indicated or specified.

4.10.5 If asbestos, lead paint, petroleum-contaminated soil, or suspected hazardous waste is found during construction that was not identified in the contract documents, immediately notify the Contracting Officer. Do not disturb this material until authorized by the Contracting Officer. The

Contractor shall provide the necessary licensed Industrial Hygienist to confirm in writing the presence and scope of the hazardous material. The Contracting Officer will issue direction on how to handle the unexpected hazards described by the contractor.

4.10.6 Do not dispose of hazardous waste on Government property. Do not discharge any waste to a sanitary sewer, storm drain, or to surface waters or conduct waste treatment or disposal on Government property without written approval of the Contracting Officer.

4.10.7 The Contractor shall minimize the presence of dust at all times, including during nonworking periods. Sprinkle or treat with dust suppressants the soil at the site, haul roads, and other areas disturbed by operations. Dry power brooming will not be permitted. Instead, use vacuuming, wet mopping, wet sweeping, or wet power brooming. Only wet cutting will be permitted for cutting concrete blocks, concrete, and bituminous concrete. Do not unnecessarily shake bags of cement, concrete mortar, or plaster. Since these products contain Crystalline Silica, comply with the applicable OSHA standard, 29 CFR 1910.1053 or 29 CFR 1926.1153 for controlling exposure to Crystalline Silica Dust.

4.10.8 The Contractor shall implement best management practices (BMPs) for dust control and reducing equipment emissions during construction, including:

a) Watering exposed surfaces.

b) Covering haul trucks transporting loose material.

c) Removing visible mud or dirt track-out onto adjacent public roads.

d) Limit vehicle speeds on unpaved areas.

e) Minimize idling times.

Burning of trash or rubbish is not permitted on the project site.

4.9 Monthly Invoices

The Contractor is required to submit invoices based on schedule of work accomplished to the COR via the IPP system. The COR will review the invoices and either return them for corrections or process them for payment.

4.10 Site Restrictions

The Contractor’s employees must park privately owned vehicles in an area designated by the Contracting Officer. Employee parking must not interfere with existing and established parking requirements of the Government installation. Smoking is prohibited within and outside of all buildings on site. This applies to existing buildings, buildings under construction and buildings under renovation.

5 Inspections, Acceptance, and Close Out

5.1 Periodic Inspections

The Contractor shall maintain an adequate inspection system and perform such inspections as will ensure that the work performed under the contract conforms to contract requirements. The Contractor shall maintain complete inspection records and make them available to the Government. All work shall be conducted under the general direction of the Contracting Officer and is subject to Government inspection and test at all places and at all reasonable times before acceptance to ensure strict compliance with the terms of the contract.

5.2 Final Inspection

The Contractor shall give notice to the COR at least 10 working days prior to final inspection. The purpose of the final inspection is to ensure all systems are fully operational and ready for acceptance by the Government. If any system fails, the Contractor shall be liable to pay any costs for government personnel to travel for re-inspection. The Site QC Manager shall sign off on request for final inspection verifying all items have been completed and are operational and ready for Government acceptance.

5.3 Operations and Maintenance (O&M)

At least 30 days before the final inspection, the Contractor shall submit to the Contracting Officer an O&M manual for the contract. The manual shall contain all instruction manuals and special directions provided by equipment manufacturers or vendors and all information necessary and appropriate for the start-up, operation, maintenance and repair of the facility, including complete equipment and system instructions and procedures for the start-up, operation, maintenance and repair of the facility. The Contractor shall provide any specialized tools or equipment required to conduct O&M procedures as described in the O&M manual.

5.4 Personnel Training

Where required by the contract, the Contractor shall provide training to the facility’s maintenance staff.

As part of the training, the Contractor shall inform the Government of any periodic maintenance activities required to keep the warranty in effect.

5.5 As-Built Drawings

The Contractor shall maintain an accurate set of as-built drawings to be updated daily and subject to inspection prior to approving monthly invoices, if applicable. If the as-built drawings are not updated, then the invoice will be disapproved.

5.6 Warranty Plan

At least 30 days before the final inspection, submit two sets of the warranty plan. The warranty plan shall include all required actions and documents to ensure that the Government receives all warranties to which it is entitled. The plan narrative must contain sufficient detail to render it suitable for use by future maintenance and repair personnel, who may not be familiar with this contract. The construction warranty period must begin on the date of project acceptance and continue for the full product warranty period.

The warranty management plan shall include the following:

a) Roles and responsibilities of personnel associated with the warranty process, including points of contact and telephone numbers within the organizations of the contractors, subcontractors, manufacturers, or suppliers involved.

b) For each warranty, provide the name, address, phone number, and e-mail contact of the equipment representatives nearest to the project location.

c) A list and status of delivery of Certificates of Warranty for extended warranty items, including roofs, HVAC balancing, pumps, motors, transformers, and for commissioned systems, such as fire protection and alarm systems, sprinkler systems, and lightning protection systems.

d) As-Built Record of Equipment and Materials list for each warranted equipment, item, feature of construction or system indicating:

(1) Name of item.

(2) Model and serial numbers.

(3) Location where installed.

(4) Name and phone numbers of manufacturers or suppliers.

(5) Names, addresses and telephone numbers of sources of spare parts.

(6) Warranties and terms of warranty. Include one-year overall warranty of construction, including the starting date of warranty of construction. Items which have warranties longer than one year must be indicated with separate warranty expiration dates.

(7) Cross-reference to warranty certificates as applicable.

(8) Starting point and duration of warranty period.

(9) Summary of maintenance procedures required to continue the warranty in force.

(10) Cross-reference to specific pertinent Operation and Maintenance manuals.

(11) Organization, names, and phone numbers of persons to call for warranty service.

(12) Typical response time and repair time expected for various warranted equipment.

e) The plans for attendance at the 6 and 11 month post-construction warranty inspections conducted by the Government.

5.7 Final Clean Up

Provide final cleaning that complies with the requirements of ASTM E1971 Standard Guide for Stewardship for the Cleaning of Commercial and Institutional Buildings. Remove debris from roadways and sweep/clean paved surfaces. Remove spoils from project site. Repair all construction areas to previous condition. Remove waste and surplus materials, rubbish, and construction facilities from the site.

6 Points of Contact

Will be provided at the time of award.

7 Submittals The Contractor shall provide the following pre-construction submittals for Government review and approval before any on-site work can begin. Submittals shall be transmitted electronically and must be compatible with Microsoft Office applications. Upon approval of submittals, the COR will notify the Contractor.

10 Utilities

10.1 Utility Outage Requests and Utility Connection Requests

Schedule work to minimize outages. For utility outages and connections required during the execution of work that affect existing systems, schedule outside the regular working hours or on weekends, as approved by the Contracting Officer. Coordination with the government for all outages is required to ensure there is no impact to existing research. No additional payment will be provided for utility outages and connections required to be performed outside the regular work hours. Submit requests for utility outages to the Contracting Officer for approval at least 14 calendar days in advance of the time required. In each request, state the system involved, area involved, approximate duration of outage, and the nature of work involved.

10.2 Temporary Utilities

Provide temporary utilities required for construction. Materials may be new or used, must be adequate for the required usage, not create unsafe conditions, and not violate applicable codes and standards.

10.3 Electrical

The Government will make reasonable amounts of electricity available to the Contractor for the duration of the contract. Access to existing power must be coordinated with the Government. All temporary electrical connections must be in accordance with all applicable codes and station policies.

Connections to the existing power system will be at Contractor’s expense.

10.4 Water

Potable water connections to existing facilities to provide water for construction purposes will be made available. Connections will need to be coordinated with site personnel and will be at Contractor’s expense.

Renovating the PMEL laboratory staging space is an operational necessity. The proposed changes will bring the facility into compliance with OSHA, NOAA, and NIH guidelines, drastically reduce liability regarding employee safety, and eliminate the physical causes of experimental failure. Together the lab renovation will provide PMEL a state-of-the-art set of laboratories, providing our programs the infrastructure needed to continue to enhance long term observations in support of OAR, NOAA, and DOC missions.

RFO 52.212-4 Terms and Conditions-Commercial Products and Commercial Services. (NOV 2023) (Deviation JAN 2026)

(a) Definitions. The clause at Federal Acquisition Regulation (FAR) 52.202-1, Definitions, is incorporated by reference.

(b) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post acceptance rights-

(1) Within a reasonable time after the defect was discovered or should have been discovered; and

(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

(c) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C.

3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.

(d) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.

(e) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal, or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause FAR 52.233-1, Disputes, which is incorporated in this contract by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.

(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence. Examples of occurrences include acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. When an excusable delay occurs, the Contractor shall-

(1) Notify the Contracting Officer in writing as soon as possible;

(2) Remedy the delay as quickly as possible; and

(3) Notify the Contracting Officer when the occurrence is over.

(g) Invoice. The Government will handle invoices according to the Prompt Payment Act (31 U.S.C. 3903) and 5 CFR part 1315. The Contractor shall submit invoices to the address designated in the contract to receive invoices. An invoice must include the information required by 5 CFR part 1315.9(b).

(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees, and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark, or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.

(i) Payment-

(1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract.

(2) Prompt payment. The Government will make payment in accordance with the Prompt Payment Act ( 31 U.S.C. 3903) and prompt payment regulations at 5 CFR part 1315.

(3) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date that appears on the payment check or the specified payment date if an electronic funds transfer payment is made.

(4) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall-

(i) Remit the overpayment amount to the payment office cited in the contract along with a description of the overpayment including the-

(A) Circumstances of the overpayment (e.g., duplicate payment, erroneous payment, liquidation errors, date(s) of overpayment);

(B) Affected contract number and delivery order number, if applicable;

(C) Affected line item or subline item, if applicable;

(D) Contractor point of contact; and

(ii) Provide a copy of the remittance and supporting documentation to the Contracting Officer.

(5) Interest.(i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the Treasury as provided in 41 U.S.C. 7109, which is applicable to the period in which the amount becomes due, as provided in (i)(6)(v) of this clause, and then at the rate applicable for each six-month period as fixed by the Secretary until the amount is paid.

(ii) The Government may issue a demand for payment to the Contractor upon finding a debt is due under the contract.

(iii) Final decisions. The Contracting Officer will issue a final decision as required by FAR part 33 if-

(A) The Contracting Officer and the Contractor are unable to reach agreement on the existence or amount of a debt within 30 days;

(B) The Contractor fails to liquidate a debt previously demanded by the Contracting Officer within the timeline specified in the demand for payment unless the amounts were not repaid because the Contractor has requested an installment payment agreement; or

(C) The Contractor requests a deferment of collection on a debt previously demanded by the Contracting Officer (see FAR part 32).

(iv) If a demand for payment was previously issued for the debt, the demand for payment included in the final decision shall identify the same due date as the original demand for payment.

(v) Amounts shall be due at the earliest of the following dates:

(A) The date fixed under this contract.

(B) The date of the first written demand for payment, including any demand for payment resulting from a termination for cause.

(vi) The interest charge shall be computed for the actual number of calendar days involved beginning on the due date and ending on-

(A) The date on which the designated office receives payment from the Contractor;

(B) The date of issuance of a Government check to the Contractor from which an amount otherwise payable has been withheld as a credit against the contract debt; or

(C) The date on which an amount withheld and applied to the contract debt would otherwise have become payable to the Contractor.

(vii) The interest charge made under this clause may be reduced under the procedures for interest credits prescribed in FAR part 32 in effect on the date of this contract.

(j) Risk of loss. Unless the contract specifically provides otherwise, risk of loss or damage to the supplies provided under this contract shall remain with the Contractor until, and shall pass to the Government upon-

(1) Delivery of the supplies to a carrier, if transportation is f.o.b. origin; or

(2) Delivery of the supplies to the Government at the destination specified in the contract, if transportation is f.o.b. destination.

(k) Taxes. The contract price includes all applicable Federal, State, and local taxes and duties.

(l) Termination for the Government's convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges the Contractor can demonstrate to the satisfaction of the Government using its standard record keeping system, have resulted from the termination. The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor's records. The Contractor shall not be paid for any work performed or costs incurred which reasonably could have been avoided.

(m) Termination for cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance. The Government will send a cure notice to the Contractor, unless the reason for the termination is late delivery. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience.

(n) Title. Unless specified elsewhere in this contract, title to items furnished under this contract shall pass to the Government upon acceptance, regardless of when or where the Government takes physical possession.

(o) Warranty. The Contractor warrants and implies that the items delivered under this contract are merchantable and fit for use for the particular purpose described in this contract.

(p) Limitation of liability. Except as otherwise provided by an express warranty, the Contractor will not be liable to the Government for consequential damages resulting from any defect or deficiencies in accepted items.

(q) Compliance with laws unique to Government contracts. The Contractor agrees to comply with 31 U.S.C. 1352 relating to limitations on the use of appropriated funds to influence certain Federal contracts; 40 U.S.C. chapter 37, Contract Work Hours and Safety Standards; 41 U.S.C.

chapter 87, Kickbacks; 49 U.S.C. 40118, Government-financed air transportation; and 41 U.S.C.

chapter 21 relating to procurement integrity.

(r) Order of precedence. Any inconsistencies in this solicitation or contract shall be resolved by giving precedence in the following order:

(1) The schedule of supplies/services;

(2) The Disputes, Payments, Invoice, Compliance with Laws Unique to Government Contracts, and Unauthorized Obligations paragraphs of this clause;

(3) Other contract clauses incorporated in the solicitation or contract;

(4) Addenda to this solicitation or contract;

(5) Solicitation provisions incorporated in the solicitation;

(6) Other paragraphs of this clause;

(7) Other documents, exhibits, and attachments; and

(8) The specification.

(s) Unauthorized obligations.

(1) Except as stated in paragraph (s)(2) of this clause, when any supply or service acquired under this contract is subject to any End User License Agreement (EULA), Terms of Service (TOS), or similar legal instrument or agreement, that includes any clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti-Deficiency Act violation (31 U.S.C. 1341), the following shall govern:

(i) Any such clause is unenforceable against the Government.

(ii) Neither the Government nor any Government-authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an "I agree" click box or other comparable mechanism (e.g., "click-wrap" or "browse-wrap" agreements), execution does not bind the Government or any Government authorized end user to such clause.

(iii) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.

(2) Paragraph (s)(1) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.

(t) Comptroller General examination of record. This paragraph applies if this contract was awarded using other than sealed bid procedures and is in excess of the simplified acquisition threshold on the date of award of this contract.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices, at all reasonable times, the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR part 4, longer period required by statute, or periods specified in other clauses of this contract.

If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This clause does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(u) Incorporation by reference. The Contractor's representations and certifications, including those completed electronically via the System for Award Management (SAM), are incorporated by reference into the contract.
