“This contract may contain information considered sensitive unclassified information (SUI) and would merit protection from unauthorized disclosure under 5 U.S.C, Section 552(b)(4). No information shall be released except as authorized by the Contracting Officer.”
B.1 General
The Tactical Air Navigation (TACAN) Antenna is a Single Award, Indefinite-Delivery, Indefinite- Quantity (IDIQ) contract to provide antenna equipment, ancillary items, personnel, and facilities to provide the requirements set forth in Section C, Statement of Work. The Contractor must provide, in accordance with issued Delivery Order (DOs)/Task Orders (TOs), all antenna equipment, ancillary items, personnel, and facilities necessary to perform the requirements on an IDIQ basis.
B.2 Base and Optional Ordering Periods
The term of the TACAN Antenna contract is an eight (8) year base ordering period and two (2) one-year optional ordering periods, for a total of ten (10) years, if both options are executed. This is not a multi-year contract as defined in Acquisition Management System (AMS) Section T3.2.4 / Subsection A/Subsection 8, Multi-year Contracting. For more details, see Section F. TOs may be issued at any time during the base and/or option period. The performance periods will be specified in the DO/TO and may include option periods.

B.3 Indefinite-Delivery/Indefinite-Quantity (IDIQ)
(a) TACAN Antenna is a single award IDIQ contract to provide antenna equipment, ancillary items, and technical support services to the Navigation Programs Group. DO/TO awards issued against this contract will be placed using the procedures described in Section G, Contract Administration Data.
(b) The types of DOs/TOs issued against the TACAN Antenna contract may include Cost Plus Fixed Fee, T&M, Labor-Hour (L-H), or Firm Fixed Price (FFP) in accordance with FAA AMS Section T3.2.4, Types of Contracts, and as outlined in Section G, Contract Administration Data, and Section I, Contract Clauses.
(c) IDIQ, Blanket Purchase Agreements, and Letter Contracts are not permissible DO/TO types under the TACAN Antenna Contract. Orders for which TACAN Antenna systems and ancillary support services within the scope of Section C are not the principal purposes are not permissible TO types under the TACAN Antenna contract.
Task Orders may include options as defined in AMS Part T3.2.4/Subsection A-Type of Contracts/ Subsection 9-Options.
B.4 Maximum Contract Limitation
Task Orders may order vastly differing quantities, under differing Tasks and Labor Categories (see AMS Clauses 3.2.4-16 Ordering and 3.2.4-20 Indefinite Quantity), but in no event will the aggregate value of all Delivery/Task Orders issued against this contract exceed $(TBD) ___ for all Periods.
B.5 Guaranteed Minimum Quantity of Work
The Government guarantees that it will order at least $100,000.00 of work (the “Minimum Guaranteed Value”) during the term of this contract (the “Minimum Order Guarantee”). The Government has fully met the Minimum Guarantee once the aggregate dollar value of the TOs placed on this contract equals or exceeds the Minimum Guaranteed Value. The Government has no obligation to issue Task Orders to the Contractor beyond the minimum guaranteed amount.
The exercise of any optional ordering periods does not re-establish the contract minimum guaranteed amount.

B.6 Contract Pricing
The following section describes pricing requirements for Cost Reimbursement, T&M/Labor-Hour (L-H), and FFP TOs.
B.6.1 Cost Reimbursement Pricing
All Cost-reimbursement type task orders provide for payment of allowable incurred costs, to the extent prescribed in the contract. These contracts establish an estimate of total cost for the required work and establish a ceiling that the contractor may not exceed (except at its own risk) without the Contracting Officer’s (CO’s) approval. Cost-reimbursement contracts are appropriate when uncertainties involved in contract performance do not permit costs to be estimated with sufficient accuracy to use any type of fixed-price contract.
All TOs issued on a Cost Reimbursement basis will be priced in accordance with the contractor’s accounting policies and procedures. For Cost Reimbursement Task Orders, the Contractor will provide complete supporting schedules identifying all applicable direct and indirect rate estimates building up to the TO cost. Contractors should submit their most recent Defense Contract Management Agency (or other Government Agency) recommended provisional indirect billing rates, if available. Contractors without audited rates shall propose indirect rates in accordance with AMS 3.3.2-1 FAA Cost Principles and Procedures. The fee, if applicable, will be negotiated for each TO, based on the work required. There will be no fee on Travel and Materials.
B.6.2 Time and Material Labor/Labor Hour/Firm-Fixed-Price Pricing
A. Ceiling Rates for T&M and L-H Task Orders
Materials will be estimated for each T&M TO and may include applicable indirect costs computed in accordance with the contractor’s established accounting practices. For these task orders, profit on materials is not allowable. The cumulative extended total of all labor categories ordered plus materials/applicable indirect costs will define the TO ceiling price. Attachment J- 13, Price Proposal Bid Model, specifies the maximum fixed hourly rate that the contractor may charge under T&M and L-H TOs under this contract. All TOs issued on a T&M or L-H basis will be subject to the maximum labor rates set forth in Attachment J-13. The labor rates in Attachment J-13 reflect fully-burdened hourly rates for each labor category and will apply to all direct labor hours regardless of whether the labor hour is expended by the contractor or by one of its subcontractors. The labor rates in Attachment J-13 include direct labor and all indirect costs applicable, such as fringe benefits, overhead, G&A, and profit. These fixed hourly rates are ceiling (maximum) rates the prime contractor, and their subcontractors, may charge the FAA for each labor category in each given performance year. The contractor may elect to propose

lower hourly rates on a DO/TO-by-DO/TO basis.
The rates in Attachment J-13 are based on the contractor’s established accounting practices for recording uncompensated overtime. These practices are reflected in the table. If in Attachment J- 13, Price Proposal Bid Model, the rates were computed based on the recording of all hours, then the contractor will be permitted to bill at the hourly rate for all hours worked. If the rates were computed based on recording only 40 hours per week, then the contractor will be permitted to bill only on the basis of a 40-hour week.
Indirect costs allocated to any direct materials and other direct costs must be proposed consistent with the contractor’s accounting practices and the payment requirements in the clause at AMS Clause 3.3.1-5, Payments under Time and Materials and Labor-Hour Contracts (October 2021).
B. No Change to Rates if Subcontractors are Added or Deleted
The fixed hourly labor rates, in Attachment J-13, Price Proposal Bid Model represent the ceiling (maximum) hourly rates the Contractor may charge the FAA for each labor category in each given performance year. The fixed hourly labor rates in Attachment J-13 will not change after the contract award even if the Contractor removes a subcontractor or the Contractor adds a new subcontractor to its team.
C. Government versus Contractor Sites
The following describes Government and Contractor Site Rates:
1) Government Site Rates: When performing at Government sites, the Contractor must furnish fully- burdened labor rates in accordance with the contractor’s established accounting practices.
These rates must take into account that the Government will provide office space, furniture and office equipment and supplies, as described in Section H.14, Government Property, Information, and Workspace, necessary for the Contractor personnel to perform the work specified in the individual TOs.
2) Contractor Site Rates: When performing at a Contractor site, the fully-burdened labor rates must include applicable indirect costs for office space and all normal supplies and services required to support the work. This includes, but is not limited to, telephones; faxes; copiers;
personal computers; postage, including courier services such as Federal Express; ordinary business software, such as word processing, spreadsheets, graphics, etc. unless provided as GFE; and normal copying and reproduction costs in accordance with the contractor’s established accounting practices.

“This contract may contain information considered sensitive unclassified information (SUI) and would merit protection from unauthorized disclosure under 5 U.S.C, Section 552(b)(4). No information shall be released except as authorized by the Contracting Officer.”
D. Hours on T&M/L-H Task Orders
For T&M or L-H type task orders, the quantity of hours ordered from each labor category will be specified as deliverable hours billable at the ceiling rates specified in Attachment J-13, Price Proposal Bid Model, or at lower rates, if proposed by the Contractor, for the TO. TOs may authorize adjustments between labor category quantities of up to 10% within the established task labor ceiling price, without a formal modification. Reimbursement under the contract is governed by the clause at AMS 3.3.1-5 Payments under Time-and-Materials and Labor-Hour Contracts (October 2021).
E. Materials
Materials are defined in AMS Clause 3.3.1-5 Payments under Time-and-Materials and Labor- Hour Contracts (October 2021).
The contractor must propose indirect costs allocated to any direct materials and other direct costs consistent with the contractor’s accounting practices.
The cost of general-purpose items required for the conduct of the Contractor’s normal business operations are not allowable direct materials in the performance of task orders under this contract. See also Section G and Section H for additional limitations on materials and mandatory support documentation. Profit is not allowed on materials under a T&M type task order.
F. Travel (all order types)
If authorized in the task order, travel will be reimbursed at actual direct cost in accordance with the limitations set forth in AMS clause AMS 3.3.2-2, Reimbursement for Travel and Subsistence (April 2010). Profit is not allowed for travel costs. Indirect costs may be applied to travel in accordance with the Contractor’s usual accounting practices.
B.6.3 Firm Fixed Price (FFP) Task Orders
For FFP type task orders, the quantity of each item or labor category ordered will be multiplied against the rate listed in Attachments J-13, or as negotiated for the DO/TO; and the cumulative extended total of all items ordered will define the firm fixed price for the DO/TO. Any total rate negotiated for travel and materials will be added to the extended price of all ordered items to arrive at the total firm fixed price for the DO/TO. Additional profit will not be allowed, as profit is already included in the fully-burdened labor rates used to calculate the price. Partial payment of FFP type DOs/TOs may be negotiated based on the completion of milestones. For FFP type DOs/TOs, the DO/TO proposal instructions will detail how the FFP prices will be established based upon the

technical requirements, milestones (if applicable) and deliverables.
B.7 Rate Refreshment
The labor rates in Attachment J-13, Price Proposal Bid Model, are fixed for all contract year periods; however, the contractor may propose new labor rates in the fourth year of the contract for refreshment. The Government will review these proposals and determine if the revised rates are reasonable and in the best interest of the Government. If the rates are accepted, the Government will modify the contract by incorporating the new rates into Attachment J-13.
B.8 Additional Labor Categories
Additional labor categories under Attachment J-2, Labor Categories Descriptions are not anticipated. However, given the dynamic nature of the SOW and the duration of this TACAN Antenna Contract, emergency or unforeseen circumstances may necessitate the addition of labor categories throughout the ordering period of this IDIQ Contract. Additional labor categories may be proposed by the Contractor and must be determined to be reasonable and necessary to perform the work required by the TACAN Antenna CO at the IDIQ contract level. The CO will also perform a scope determination to ensure that the additional labor categories are within the scope of this IDIQ contract before modifying the contract to include those additional labor categories.
Additional labor categories may not be added at the Task Order level. Any labor rates invoiced or otherwise charged by the contractor that are not in accordance with the agreed-upon labor rates of Section B of the IDIQ contract are subject to rejection at the Task Order level CO’s discretion.
B.9 Labor Subject to the Service Contract Labor Standards (SCLS)
In accordance with AMS T.3.6.2.A.9, Service Contract Labor Standards (Revised January 2022), all contract labor categories supporting the TACAN Antenna requirement correspond to bona fide executive, administrative, or professional employees, who will perform professional services generally exempt from the SCLS. The TACAN Antenna base contract does not include all applicable flow-down clauses for labor categories subject to the SCLS.
If the principal purpose of a task order is to furnish services in the United States through the use of service employees and to the extent that any labor is subject to the SCLS and within scope of a TACAN Antenna task order and the TACAN Antenna contract, the Contractor must identify the applicable labor categories and Occupational Codes and apply wages in accordance with AMS 3.6.2-28, Service Contract Labor Standards (October 2020). The Contracting Officer will identify such work under a separate CLIN on the order and include in the task order the applicable Wage
