(2) The Contractor agrees that a partial basis for award of this contract is the list of key personnel pro-posed. Accordingly, the Contractor agrees to assign to this contract those key persons whose resumes were submitted with the proposal necessary to fulfill the requirements of the contract. No substitution shall be made without prior notification to and concurrence of the Contracting Officer. During the first ninety days of per-formance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment.
(3) All proposed substitutes shall meet or exceed the qualifications of the person to be replaced. The Contract-ing Officer shall be notified in writing of any proposed substitution at least forty-five days, or ninety days if a security clearance is to be obtained, in advance of the proposed substitution. Such notification shall include:
(1) an explanation of the circumstances necessitating the substitution;
(2) a complete resume of the proposed substitute; and
(3) any other information requested by the Contracting Officer to enable him to judge whether or not the Contractor is maintaining the same high quality of personnel that provided the partial basis for award.

L.009 PROPOSAL INSTRUCTIONS
Proposals shall be comprised of two separate volumes. The specific volume and number of copies of each is in-cluded in the table below. The Offeror shall clearly mark on the face of each volume “Original” or “Copy.”
The original volume shall contain the original signatures.
Proposal pages shall be on 8-1/2” by 11” or A4 paper. The proposal shall be written utilizing Times New Ro-man; 12 Font; with 1 inch margins on all sides. Each section of the proposal volume shall be individually tabbed and indexed. The tabs shall use the titles from the outline listed below for the respective volume. The page numbers for each Tab should start with “1.” All documentation shall be included in a 3-ring binder with the cover and spine affixed with labeling. All volume covers shall clearly identify the volume number; the RFP number; the Offeror’s name, DUNS number, Cage code, contacts name, email address, mailing address and the copy number.
The Technical Proposal shall not exceed 50 individual pages (25 pages double sided). The offeror shall utilize double-sided page printing (including charts, graphs, or foldouts). The font size for any graphics, tables, graphs along with Headers and Footer shall not be less than Times New Roman; 8 font.
The page count excludes:
• The Cover Letter/ Executive Summary
• Past performance information
• Table of contents
• Resumes
• Letters of commitment
• Step-wise transition activity road map
Any charts, graphs or foldouts shall be self explanatory. Foldout pages shall not exceed 11 x 17 inches and shall fold entirely within the volume. All foldouts shall be single-sided, however will count as 2 pages. The Tech-nical Proposal shall contain no cost, price or any other financial data.
The Price Proposal has no page limit.
Proposals that are not received in accordance with these instructions may be considered unacceptable.
The Offeror shall state, explain, and justify any deviations, exceptions, or conditional assumptions taken regard-ing any of the instructions or requirements of this solicitation in the appropriate volume of the offer.
Submit one compact disc (CD) that contains both the price proposal and the technical proposal.

L.010 TECHNICAL PROPOSAL
L.10.1 Executive Summary The Offeror shall prepare a cover letter, signed by an official authorized to bind the company. The cover letter shall provide an executive summary of the Offeror’s proposal and a brief history of the company’s experience.
The Offeror shall make a definitive statement as whether or not any exceptions were taken to any of the terms and conditions contained in the solicitation. Failure to furnish current and complete information requested may cause a proposal to be determined unacceptable.
The evaluation criteria in Section M of this solicitation will be used by the technical panel to evaluate the Tech-nical Proposal. The Technical Proposal shall specifically address the following factors in detail. Simply repeat-ing or paraphrasing the requirements as stated in the solicitation document (stating the Offeror can and/or will meet the requirements without a detailed description of how the work will be done), is not acceptable and may cause the Government to reject the proposal as technically unacceptable.
The organization and content of the Technical Proposal shall follow the sequence of paragraphs listed below.
L.10.2 Technical Evaluation Factor 1: Staffing Approach
The Offeror shall provide a clear and comprehensive description of its Staffing Approach to meet contract re-quirements. At a minimum, the Offeror’s Staffing Approach must include:
1. The Offeror’s Staffing Plan to recruiting and retaining the employees who will provide direct labor under the contract. The Plan must include a recruiting flow diagram and a comprehensive description of each step in the recruiting process from identification to selection, employee hiring and orientation. The Offeror shall explain how the proposed Plan will ensure that contract activities will be fully staffed in accordance with its Transition Plan.
2. The Offeror shall identify all positions, if any, that are identified in this solicitation as requiring a TOP SECRET clearance but which the Offeror intends to fill temporarily with personnel holding SECRET clearances, subject to contracting officer authorization to do so and to other conditions specified in clause H-031 paragraph (f).
3. A clear and complete Compensation Plan for Professional Employees (Compensation Plan) in accordance with FAR Clause 52.222-46 and this RFP. At a minimum, the Compensation Plan must include:
a. The salary structure and fringe benefits offered to the employees who will provide direct labor under the contract.
b. A completed Section J, Listing of Attachments, Attachment 4: Summary of Professional Employee Bene-fits. Supporting information shall include but not be limited to: The details and conditions surrounding health care (medical, dental, vision, prescription drug coverage, flexible spending accounts), insurance (short-term disability, long-term disability, life and accidental death and dismemberment), holidays and personal time off, retirement savings plan, and other offered perks. The Offeror shall clearly indicate whether each fringe benefit proposed in Attachment 4 is currently being offered to existing employees or if any of the proposed fringe benefits are being added for purposes of proposing on this contract. The Offer-or should also clearly indicate whether any of the proposed fringe benefits are subject to any special re-quirements, conditions, or time in service.
c. A discussion of how the proposed labor rates were derived for each of the labor categories proposed in-cluding any data relied upon, such as recognized national and regional compensation surveys and studies of professional, public and private organizations in determining or ascertaining the base salaries associated with each labor category.
d. A discussion of the method used to map the labor category position descriptions listed in Attachment 2 to the Offeror’s internal labor categories, including how the proposed salary rates take into account differ-ences in skills, the complexity of various disciplines, professional job difficulty, and continuing education-al requirements.
In accordance with FAR 52.222-46, Offeror’s failure to comply with these provisions will constitute sufficient cause to justify rejection of a proposal.
4. A Training Management Plan describing the specific steps the Offeror will implement to ensure that all dir-ect labor personnel maintain and enhance current certifications and skillsets.
5. Instructions for the identification of Key Personnel for this contract are identified in Section H – 016. The Offeror shall submit a resume for each key person proposed for the contract. Each resume shall describe the ap-plicable certifications, detailed work history, and applicable skillsets of the proposed key person. Each resume shall clearly indicate the key person’s employee status (i.e., whether they are currently employed or are a pro-spective hire.)
a. By submitting a resume for a position designated as Key Personnel, the Offeror shall affirm the following:
i. The Key person meets the requirements of the applicable labor category description
ii. The Key Person is available to begin work as indicated in the Transition Plan.
iii. Resumes shall clearly demonstrate the employment history between the individual and the Offeror, or reflect the anticipated employment arrangement (i.e. contractor, contingent direct hire, consultant, etc.)
iv. Resumes shall contain a signed statement that the individual grants permission for his/her resume to be submitted for consideration under this Solicitation.
v. If final proposal revisions are requested, the Offeror shall identify any changes to personnel for whom resumes were submitted.
b. In addition, the Offeror shall describe the amount of time the proposed employee(s) will actually perform under the contract; the likelihood that the proposed employee(s) will agree to work for the Offeror (or a proposed subcontractor, which the Offeror must identify); and any intent to utilize the proposed employee(s) on the Offeror's other contracts. The Offeror shall include in its proposal a signed letter of commitment or binding bilateral employment agreement for each proposed key per-sonnel that is not at time of proposal submission an employee of the Offeror (or a proposed subcon-tractor, which the Offeror must identify).
L.10.3 Technical Evaluation Factor 2 – Transition Plan
The Offeror shall provide a detailed Transition Plan. At a minimum, the Plan shall include:
a. The Offeror’s approach to working with and capturing knowledge from incumbent contractors – both those transitioning out and those remaining. The Plan shall describe how the Offeror plans to transition new hires, including any “captured” incumbent staff, onits corporate practices and quality management methods.
b. The specific details of the Contractor’s process and timeframes for pre-deployment activities (e.g., pass-ports/visas, medical clearances, required pre-deployment training, e-Country Clearances, etc.). The Con-tractor shall also provide, if appropriate, specific details of its process for transitioning already-deployed, “captured” incumbent personnel to include managing the transition of deployed personnel so that there are no gaps in coverage.
c. A detailed discussion of how it plans to assume full responsibility for the services currently provided by the incumbent contractor and to provide uninterrupted services and support within 60 days of contract award.
d. A step-wise roadmap that identifies logical sequences for transition prioritization with any associated activities/milestones, recruitment targets, significant dependencies, and deliverables anticipated by date.
Emphasis should be placed on the specific functions and tasks that constitute “clean” transition increments.
e. A detailed discussion of the Offeror’s incumbent capture process including anticipated capture rate, basis of this rate, and the hiring schedule proposed.
f. The Offeror’s approach to discovering and capturing a complete inventory of detailed information regard-ing the devices, software, configurations, polices, standard operating procedures, installation guides, inter-relationships, and services that make up the Department’s PTS programs.
g. The Offeror’s approach to quickly understanding the Department’s organizational structure and aligning its team to create an efficient resource mix.
h. The Offeror’s approach to developing and implementing transition readiness criteria and reviews.
i. A description of any significant anticipated transition risks and how they will be managed or mitigated.
L.10.4 Technical Evaluation Factor 3: Management Approach
1. The Offeror shall submit a clear and comprehensive description of the Management Approach it will employ to satisfy the requirements of the contract for all performance criteria in Section 7 of the PWS. At a minimum, the Offeror’s proposal shall include:
a. An organizational structure that clearly indicates lines of authority (including the level at which employees can bind the firm), responsibility, communication and that demonstrates an ability to manage complex ef-forts that involve personnel and work units serving in accordance with the Department Branch and Pro-gram structure presented in the PWS.
b. Its processes and procedures for normative day-to-day functions and controls as well as its approach to planning for future needs, and managing for surge or as-needed support
c. A Travel Management Plan that provides detailed, step-by-step procedures for managing personnel travel in accordance with Department and FAR requirements and in consideration of the Rest and Recuperation (R&R) Rotation Schedule requirements in paragraph 5.1 of the PWS.
d. A Communication Plan that provides clear lines of communication for timely problem identification, mit-igation and resolution.
e. A Quality Control Plan (QCP) which includes a clear explanation of how it will achieve, monitor, and re-port the performance levels described in Section 7 of the PWS. The Plan shall provide specific quality management tasks to be completed, the personnel responsible for completion, and any automated tools that will be used. The QCP must describe how the Offeror will be able to identify and address problem areas quickly. The QCP must also describe how the Department will have visibility into and real-time access to tracked data, as well as how the Department will be able to audit historical data.
f. A draft Risk Management plan that identifies the offerors approach to identifying, assessing, prioritizing risk in order to minimize, monitor and control the impact of unfortunate and unknown events. Transition Risk and mitigations should be identiefied in the Transition plan as specified.
2. For Offerors proposing subcontractors, the Offeror shall submit its approach to managing identified subcon-tractors. The approach must include:
a. The specific roles and responsibilities for each subcontractor and the rationale for why each particular sub-contractor was chosen to perform the particular segment of the anticipated work
b. How it will manage subcontractors to ensure their products are delivered on time and within budget, and are of sufficient quality to enable the Offeror to meet all contractual requirements.
L.10.5 Technical Evaluation Factor 4: Corporate Capabilities and Project Citations
1. The Offeror shall submit a clear and comprehensive description of its Corporate Capabilities to satisfy the requirements of the contract and enable ST to meet the objectives identified in the PWS. The Offeror shall also provide up to three (3) relevant project citations performed within the last 5 years that are similar in size, scope, and complexity to the requirements identified in this contract. The narrative provided must clearly state the name of the company principally and materially involved in performing the cited work, their role (prime, sub-contractor) in the engagement, the length of time, and the kind of support provided by that company. The nar-rative should explain how the experience being cited is relevant (i.e. directly applies) to the requirements of this contract.
2. In addition to the narrative, for each project identified above, the Offeror shall submit the following informa-tion:
a. Name of contracting activity (Federal Government agency, local government, commercial customer);
b. Contract number;
c. Contract type;
d. Total contract value, and subcontract value (if applicable);
e. Contracting Officer contact information (name, phone number, email);
f. Project Officer/Contracting Officer’s Representative contact information (name, phone number, email);
g. Administrative Contracting Officer contact information – if different from item #5 (name, phone number, email).
3. The project citations may include contracts/orders on which the Offeror served as a subcontractor, provided that the subcontract was similar in size, scope, and complexity to the requirements of this contract. If citing a subcontract, contact information for the prime contractor shall be included.
L.10.6 Technical Evaluation 5 – Past Performance
For each of the projects cited by the Offeror under the Corporate Capabilities and Project Citations evaluation factor, the Offeror shall send a corresponding Past Performance Customer Satisfaction Survey (RFP Attachment
5) to the respective customer reference for that project (e.g. Contracting Officer, Contracting Officer's Repres-entative, or other person with direct knowledge of the offeror's performance), asking them to complete and re-turn the survey by email to HendersonMP@state.gov no later than the due date/time for proposals. With regard to untimely submitted Past Performance Customer Satisfaction Surveys: Past Performance Customer Satisfac-tion Surveys may be accepted by the Government any time prior to award. However, only those surveys re-ceived prior to the proposal deadline are guaranteed to be evaluated. Surveys received after initial proposal evaluation but prior to award will not likely receive consideration, since that may require a re-evalu-ation/re-scoring of proposals. Therefore, the DOS strongly recommends ensuring evaluators submit the surveys by the proposal due date, to ensure their consideration. The DOS will not accept completed Past Performance Customer Satisfaction Surveys from the offeror; they must be submitted to the DOS directly from the evaluator.

L.011 PRICE PROPOSAL
L.11 VOLUME II: PRICE PROPOSAL
The Price Proposal shall set forth current, accurate, and complete information as required by this solicitation.
L.11.1. Standard Form 33 (SF33)
The Offeror shall complete blocks 12 through 18, as appropriate, of the SF 33. The Offeror shall acknowledge all amendments either by signing and returning the SF30 (i.e., cover page only) or by acknowledging the amendments in Block 14 of the SF33. Offerors shall submit the complete offer to the address indicated in Block 7 of the SF33. Failure to submit a complete proposal by the closing time and date designated in Block 9 of the SF33 may result in the proposal being deemed “late” and not considered for award. Proposals will be evaluated in accordance with Section M.
L.11.2 Section J Attachment 6 - Pricing Table
The Offeror shall provide a completed Attachment 6 - Pricing Table according to the instructions herein.
In accordance with FAR 52.237-10, uncompensated overtime must be identified if used to develop the fully burdened labor rates. The Offeror shall state if uncompensated overtime is used in the calculation of the pro-posed labor rates. The Offeror may not add or delete rows in the Pricing Table.
Offerors shall fill in Section H-034 paragraph B and state if uncompensated overtime was used in its calcula-tions.
L.11.3 Price Proposal Support
The Government anticipates adequate price competition under this solicitation therefore Offerors are not re-quired to submit certified cost or pricing data with their proposals. In the event that adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be re-quired. However, if at any time during this competition the Contracting Officer determines that adequate price competition no longer exists Offerors may be required to submit information to the extent necessary for the Contracting Officer to determine the reasonableness and affordability of the price.
L.11.4 Business Management
The Offeror shall describe the company's financial condition and capability. State what percentage of the com-pany's estimated total business the work required by this solicitation will represent. Describe the priority placed by the Contractors management on the work required by this solicitation. Provide a current statement of finan-cial condition.
L.11.5 Representations and Certifications
All Offerors are required to be registered in Status of Award Management System (SAMs) database and have completed the Online Representation and Certification Application (ORCA). The Offeror shall complete the re-maining representations and certifications listed in Section K. The Offeror shall include the company name on the bottom margin of each page.
L.11.6 Small Business Subcontracting Plan
The offeror shall include a Small Business Subcontracting Plan in accordance with DOSAR 652.219-70 and
FAR 52.219-9.
L.11.7 Status of Property Management System
The offeror shall include the status on its property management system in accordance with L-009.

M-007 TECHNICAL EVALUATION FACTORS
Proposals will be evaluated based on the following technical evaluation factors which are listed in descending order of importance:
1. Staffing Approach (and related plans - Compensation,Training Management)
2. Transition Plan (and approach)
3. Management Approach (and related plans - Travel Management, Communications, Quality Control)
4. Corporate Capabilities and Project Citations
5. Past Performance
The Technical Evaluation Factors (i.e. non-Cost/Price) will be evaluated using an adjectival rating scheme of Superior, Acceptable, Marginal, Unacceptable. An “Unacceptable” rating in any factor may result in the elimin-ation of a contractor’s proposal from consideration for award.
Technical Evaluation Factor 1: Staffing Approach The Government will evaluate the extent to which the Offeror’s proposal demonstrates specific approaches and capabilities that will effectively attract and retain qualified staff and provide uninterrupted high quality work to the Department of State (Department). Specifically, the Government will evaluate the extent to which the Offer-or’s proposal provides or demonstrates:
a. A recruiting process that is efficient and effective and provides reasonable timeframes for fully staffing contract activities. The Government will consider all positions, if any, that are identified in this solicitation as requiring a TOP SECRET clearance but which the offeror intends to fill temporarily with personnel holding SECRET clearances, subject to contracting officer authorization and other conditions specified in clause H-031 paragraph (f). However, in its evaluation of propsals, the Government will take into account the extent to which utilization of one or more such personnel may adversely impact perfomance and may introduce schedule or other risks as the result of this proposed interim staffing approach.
b. A Compensation Plan that is realistic and will attract and retain staff who can execute all contracted activ-ities and tasks in accordance with the requirements and performance criteria detailed in the PTS PWS.
c. A Training Management Plan that is workable and will maintain the certifications and skillsets of the em-ployees who will provide direct labor under the contract.
d. The capability to provide key personnel who are sufficiently qualified to manage and perform the work de-scribed in the tasks areas to which they are assigned. Specifically, the Government will include among its considerations for key personnel evaluation the education, training, and experience of the proposed em-ployee(s); the amount of time the proposed employee(s) will actually perform under the contract; the likli-hood that the proposed employee(s) will agree to work for the contractor as evidenced by submission of letters of commitment or binding employment agreements; and the impact of utilizing the proposed em-ployee(s) on the contractor's other contracts.
Technical Evaluation Factor 2: Transition Plan
The Government will evaluate the extent to which the Offeror’s proposal demonstrates that its transition plan is complete, workable and will ensure continuity and a smooth and complete transition from the incumbent Con-tractor. Specifically, the Government will evaluate the extent to which the Offeror:
a. Clearly demonstrates the capability to assume full contract responsibility and provide uninterrupted ser-vices and support within 60 days of contract award.
b. Demonstrates that its process for completing pre-deployment activities, including the process for trans-itioning already-deployed, “captured” incumbent personnel, are logical, complete, and will ensure that there are no gaps in coverage.Presents a roadmap for the proposed transition, including major activities/ milestones, recruitment targets, significant dependencies, and deliverables, that is logical, complete, and will meet the requirements of the contract.
c. Demonstrates that its incumbent capture process including anticipated capture rate, basis of this rate, and the hiring schedule proposed are feasible, realistic, and likely to result in meeting the requirements of the PTS PWS within 60 days of contract award.
d. Presents efficient, workable approaches for discovering and capturing a complete inventory of detailed in-formation, understanding the Department’s organizational structure, and developing and implementing transition readiness criteria and reviews.
e. Has adequately identified and mitigated risks.
f. Demonstrates that the proposed plan is feasible, practical, complete, and executable.
Technical Evaluation Factor 3: Management Approach
1. The Government will evaluate the extent to which the offeror demonstrates a comprehensive and effective Management Approach to meet the requirements of the contract for all performance criteria in Section 7 of the PWS. Specifically, the Government will evaluate the extent to which the Offeror’s proposal provides:
a. An organizational structure that provides well-defined lines of authority, responsibility and communication and the ability to complete complex efforts that involve many personnel and multiple work units
b. Well-controlled processes and procedures for normative and day-to-day functions and controls, planning for future needs, and managing for surge or as-needed support
c. A Travel Management Plan that provides effective, workable procedures for managing personnel travel in accordance with Department and FAR requirements
d. A Communication Plan that provides clear lines of communication for timely problem identification, mit-igation and resolution
e. Workable processes for accurately achieving, monitoring, and reporting the performance criteria described in Section 7 of the PWS, including the specific quality management tasks that will ensure that it consist-ently identifies and addresses problem areas quickly for all performance criteria. The Government will also evaluate the extent to which the Offeror provides real-time access to tracked data, as well as the extent to which the Department will be able to audit historical data.
f. A Risk Management plan that is realistic, workable and likely to minimize, monitor and control the impact of unfortunate and unknown events.
2. For offerors proposing sub-contractors, the government will also evaluate the extent to which the offeror’s proposal demonstrates:
a. Clear roles and responsibilities for each sub-contractor
b. Reasonable work allocation based upon successful previous engagements
c. Workable processes for managing subcontractors that will ensure that their products are delivered on time and are of sufficient quality to enable the Offeror to meet all contractual requirements.
Technical Evaluation Factor 4: Corporate Capabilities and Project Citations
The Government will evaluate the extent to which the Offeror’s proposal demonstrates through their corporate experience with contracts of a size, scope, and complexity similar to this contract, the capability to implement and maintain the PTS program successfully. Specifically, the Government will evaluate the extent to which the offeror:
a. Demonstrates the knowledge and capabilities to successfully execute all contracted activities and tasks in accordance with the performance criteria detailed in the PTS PWS, Section 7
b. Substantiates this narrative with specific experience citations that link the required experience to its present capabilities and, if applicable, role and work allocation.
Technical Evaluation 5: Past Performance
a) Evaluation of past performance will allow the Government to determine whether the Offeror consistently de-livered quality services in a timely manner, while utilizing adequate cost controls. Past performance will be evaluated for contracts performed by the Contractor during the last five (5) years consistent with the size, scope and complexity of the Protective Technology Services (PTS) Performance Work Statement (PWS). The Gov-ernment will consider Past Performance Customer Satisfaction Surveys completed by references and submitted as required by RFP section L.10.5, and may contact references as well as other relevant individuals. The Gov-ernment may obtain additional information on past performance from other sources such as (but not limited to) Government past performance databases.
b) Past performance on contracts that are more technically relevant to the PTS requirements and similar in size, scope and complexity will receive greater consideration than performance on contracts that are less relevant.
c) In general, past performance will be evaluated on the extent of client satisfaction with the previous perform-ance of the Contractor; the Contractor’s effectiveness in managing and directing resources; the Contractor’s demonstration of reasonable and cooperative behavior in dealing with clients; the Contractor’s quality of previ-ously performed services, the Contractor’s ability to control costs and manage contract activities; and the Con-tractor’s effectiveness in meeting schedules in providing services and products.
d) If the Government receives, for a given Contractor, no Past Performance Customer Satisfaction Surveys or only irrelevant past performance information, and can locate no other sources of relevant past performance in-formation for the Contractor, the Contractor will receive a neutral (neither favorable nor unfavorable) Past Per-formance rating.
