About this file

This is a Request for Qualifications (RFQual) Addendum #3 issued by the City of Milpitas Purchasing Division for Recreation Independent Contractor Classes (RFQual 25-975). The City seeks pre-qualified independent contractors to provide diverse recreational classes in arts and music, enrichment, parent and me, sports and fitness, and technology for participants ranging from pre-K to seniors. Selected vendors must develop comprehensive curricula, provide professional instructors, supply class materials, and maintain current insurance, Milpitas business licenses, and California Secretary of State registration. The RFQual was released on April 18, 2025, with a question submission deadline of November 4, 2035, and a response submission deadline of December 4, 2035, at 12:00 pm. Responses must be submitted electronically through the City's OpenGov eProcurement website. Evaluation of new submittals occurs on designated dates: September 18, December 4, and April 24. Pre-qualified vendors will be contacted prior to each seasonal cycle (Fall/Winter, Spring, and Summer) to submit specific class proposals, and selected vendors must execute a contract based on the City's standard terms. Being pre-qualified does not guarantee class selection, as the City reserves the right to approve or reject any proposal at its sole discretion.

Contractors receive 65 percent of resident class fees collected for classes held at City facilities, with the City requiring non-resident fees from non-Milpitas residents. Contractors may set their own class prices, subject to City feedback if deemed excessive. No specific set-asides for disadvantaged enterprises are mentioned. Evaluation criteria are weighted as follows: cover letter and compliance (10 percent), experience and qualifications (35 percent), class offerings (20 percent), community interest (20 percent), and professional references (15 percent), totaling 100 points. Contractors must maintain Commercial General Liability Insurance of at least $1,000,000, workers compensation insurance, a valid Milpitas business license, and current California Secretary of State registration. Minimum qualifications include two years of teaching, coaching, or relevant program experience, or equivalent credentials such as diplomas, accreditations, or certificates. All employees performing services must be at least 21 years old and may be subject to background security checks. The City reserves the right to cancel the RFQual, reject all responses, or terminate any vendor's contract for performance or default reasons, with potential removal from the Pre-Qualified List.

VIII.L DISQUALIFICATION OF RESPONDENT

If there is reason to believe that collusion exists among the Respondents to this solicitation, the City may refuse to consider responses from participants in such collusion. No person, firm, or corporation under the same or different name, shall make, file, or be interested in more than one response for the same work unless alternate responses are called for. A person, firm, or corporation who has submitted a sub-response to a Respondent, or who has quoted prices on materials to a Respondent, is not thereby disqualified from submitting a sub-response or quoting prices to other Respondents. Reasonable grounds for believing that any Respondent is interested in more than one response for the same work will cause the rejection of all responses for the work in which a Respondent is interested. Respondents shall submit as part of their response documents the completed Non-Collusion Declaration provided herein.

VIII.M DOCUMENTS TO BE RETURNED WITH SOLICITATION RESPONSE

Failure to completely execute and submit the required documents before the Submittal Deadline may render a solicitation submittal nonresponsive. The documents that must be returned by the Submittal Deadline are listed in the Vendor Questionnaire section.

VIII.N EXECUTION OF AGREEMENT

Pre-Qualified Vendors who are selected to provide seasonal classes shall execute an Agreement in substantially the form provided in this RFQual. A copy of the exemplar Agreement is attached hereto as Attachment B and is incorporated herein by this reference. Contractor shall sign all necessary documents and submit all required bonds (if applicable) and evidences of insurance prior to contract execution.

In case of failure of the Contractor to negotiate in good faith, provide all required documents, and execute the Agreement within a reasonable timeframe, the City may, at its option, terminate negotiations with the selected Contractor and engage the next highest-ranked Respondent in contract negotiations. After the Agreement has been executed, including the insurance documents, certificates, and bonds, if applicable, Contractor agrees to commence the services/project within ten (10) working days or as otherwise agreed to by the City.

Such causes may include, but are not limited to, acts of God, war, acts of a public enemy, and acts of any governmental entity in its sovereign or contractual capacity, fires, floods, epidemics, strikes, and unusually severe weather.
