About this file

This document is a Recreation and Community Services Independent Contractor Agreement between the City of Milpitas, California, and an unnamed instructor for recreation classes during the Spring 2024 season. The agreement covers in-person and online recreation classes from February 20, 2024, to May 31, 2024, with classes to be held at Milpitas Recreation and Community Services Facilities. The contract specifies a minimum of 10 and maximum of 16 participants per class, with four class meetings planned. Instructors will be compensated 65% of resident program receipts and must adhere to specific requirements regarding class scheduling, enrollment, and performance.

The compensation structure is performance-based, with potential reductions for class cancellations, schedule modifications, or tardiness. Instructors are required to provide their own equipment and materials, maintain appropriate insurance coverage (including general liability, sexual abuse and molestation liability, and workers' compensation), and complete necessary background checks if classes involve youth participants. The agreement emphasizes the independent contractor status, meaning instructors will not receive employee benefits and are responsible for their own tax obligations and insurance. The City reserves the right to terminate the agreement with ten days' notice and requires compliance with non-discrimination policies and applicable laws.

This Agreement for Recreation and Community Services is made by and between the City of Milpitas, a municipal corporation of the State of California (“City”) and an individual or a California corporation (“Contractor”) and this Agreement will be in effect from February 20, 2024 to May 31, 2024, in Milpitas, California.

1. Independent Contractor. At all times during the term of this Agreement, Contractor shall be an independent Contractor and shall not be an employee of City. City shall have the right to control Contractor only insofar as the results of Contractor’s services rendered pursuant to this Agreement. Otherwise, City shall not have the right to control the means by which Contractor accomplishes services rendered pursuant to this Agreement. Contractor is free from the control and direction of the City in connection with the performance of the work, both under this Agreement and in fact; the Contractor performs work that is outside the usual course of the City’s business; and the Contractor is customarily engaged in an independently established trade, occupation or business of the same nature as that involved in the work performed. Notwithstanding any other City, county, state, or federal policy, rule, regulation, law, or ordinance to the contrary, Contractor and any of its employees, agents, and subcontractors providing services under this Agreement shall not qualify for or become entitled to, and hereby agree to waive any and all claims to, any compensation, benefit, or any incident of employment by City, including but not limited to participation in any pension plan, insurance (including Workers’ Compensation), bonus, or eligibility to enroll in the California Public Employees Retirement System (PERS) as an employee of City and entitlement to any contribution to be paid by City for employer contributions and/or employee contributions for PERS benefits.

2. Contractor Not Agent. Except as City may specify in writing, Contractor shall have no authority, express or implied, to act on behalf of City in any capacity whatsoever as an agent. Contractor shall have no authority, express or implied, pursuant to this Agreement to bind City to any obligation whatsoever.

3. Services. Subject to the terms and conditions set forth in this Agreement, Contractor shall provide the City with the following services: In-Person and/or Online Recreation Classes (see attached Scope of Services fully incorporated herein as Exhibit A) A. Contractor shall supply and furnish all necessary work, labor, and materials in carrying out this Agreement at Contractor’s sole cost and expense.

B. Contractor agrees to contact Recreation and Community Services three (3) days prior to the first- class meeting to verify class enrollment. If fewer than the minimum students have enrolled for the course, class status will be determined by Contractor and the designated Recreation and Community Services Representative.

C. If Contractor is to offer classes online, Contractor will supply the City and class participants with all materials necessary to teach class online at least three (3) days prior to the first-class meeting. This includes the video conferencing application, in which instructors will supply all links for all scheduled and/or make-up classes such as ZOOM, Goggle Meets, etc. and all class materials and handouts. This is to be emailed to Program Coordinator.

4. Compensation. It is agreed that payment to Contractor for work rendered hereunder shall be made within (30) days of completion of terms as herein indicated:

Payment Rate**: _65_% of receipts (resident rate only).

A. Contractor shall be compensated based on enrollment totals at the end of the session. # of class meetings 4 Minimum Participants 10 Maximum Participants 16 B. Should Contractor modify dates or times to in-person or online classes, or is tardy to a class more than two (2) times in a given session, resulting in changes to the schedule as listed in the Activity Guide, Contractor’s final compensation shall be reduced by 10%.

C. In the event of an in-person or online class cancellation by Contractor resulting in a make-up class, Contractor’s payment shall be reduced by any necessary refunds distributed to participants who are unable to attend the make-up class. Neither the City nor Contractor shall be considered in default of this Agreement for delays or failures in performance caused by circumstances beyond the reasonable control of the non-performing party. For purposes of this Agreement, such circumstances include, but are not limited to, acts of God, extreme weather conditions, floods, earthquakes, storms, landslides, fire, explosions, epidemics, pandemics, pestilence, acts of the public enemy, war, riots, civil disturbances, strikes, lockouts, work slowdowns, and other labor disturbances, government action including orders or declarations of local or national emergencies, sabotage, terrorism, or judicial restraint, and other circumstances whether or not specifically enumerated herein.

The parties agree that the City or Contractor may have to cancel or postpone classes due to the circumstances enumerated above. In such an event, the Contractor will be under no obligation to provide instruction services and the City will be under no obligation to pay the Contractor. The Contractor shall be compensated only for classes instructed, and Contractor’s payment shall be reduced by any necessary refunds distributed to participants as a result of class cancellations arising from the above circumstances. The Contractor will attempt to contact students regarding the cancellations and endeavor to let the City know of any students who were unreachable. Any class session may be made up at a time mutually agreeable to the City and Contractor. The City shall not be liable for any claim of loss of profits.

D. Should Recreation and Community Services be the cause of any in-person or online class cancellation (i.e., scheduling conflict of facility or lack of building accessibility), Contractor shall be compensated for missed or re-scheduled class(es).

E. 5. Termination. City may terminate this Agreement at any time by providing ten (10) days written notice to the Contractor.
