About this file

This is a Sole-Source Determination Notice issued by the Oregon Department of Transportation (ODOT) for continued software licenses, maintenance, and support services for carpool ride-matching software. ODOT intends to enter into a new contract with Right Click Solutions, Inc., doing business as RideAmigos Corp., a California-based company, to replace the existing contract B36468, which expires on December 31, 2025. The contract encompasses customized web-based ride-matching software that supports ODOT's Transportation Options Program and promotes various transportation modes including carpooling, vanpooling, biking, walking, and transit to Oregon travelers. The software, trademarked as "Get There Connect," currently serves over 20,000 individual users. The contract will include continued software licenses, maintenance and support, along with IT professional services such as consultation, software programming, system installation and configuration support, data analysis, integration and reporting, training, and project management. The not-to-exceed compensation is estimated at $1,000,000 for a five-year term with options to extend the term and increase funds as needed. A protest period for this sole-source determination was established, with protests due to Michael Day at Michael.Day@odot.oregon.gov no later than December 26, 2025, at 11:00 AM.

ODOT's determination to procure solely from RideAmigos is based on several factors: the unique and customized integrations designed specifically for ODOT's business needs, the proprietary ownership of the software platform that prohibits third-party maintenance and support, the trademark asset "Get There Connect" registered with the State of Oregon, and the significant cost and operational risks associated with transitioning to an alternative system. ODOT estimates that procuring and implementing a new carpool software system would cost upwards of $600,000 in addition to contract renewal costs and would cause significant service interruption to Transportation Options Program partners and the public. Market research consisting of 20 search terms identified no potential authorized partners, dealers, resellers, or third-party providers of RideAmigos products or compatible alternatives. RideAmigos confirmed in its corporate correspondence that it retains full intellectual property rights to its software offerings and provides all consultation, configuration, maintenance, and technical support directly, with no involvement of third-party resellers or dealers.

Under the contract, ODOT acquired customized web-based ride match software, support and services, that currently equips ODOT and its Transportation Options Program (“TO Program”) partners with the capacity to promote and connect the public to the various transportation options across Oregon to meet the needs of Oregon travelers; including carpooling, vanpooling, biking, walking and transit.

5. Findings of Fact Pursuant to OAR 125-247-0275(2):

In accordance with OAR 125-247-0275, ODOT supports this Sole-Source Determination with the following written findings of fact that the Supplies and Services are available from only one source:

a. OAR 125-247-0275(2)(a): Compatibility ODOT has unique and customized integrations with the RideAmigos software that have been designed specifically to meet the business needs of ODOT’s TO Program. These unique customizations allow the TO Program to operate efficiently, without needing to invest in new software development, training and program resources.

b. OAR 125-247-0275(2)(b): Exchange of Software or Data RideAmigos’ software has an associated trademark asset registered by the State of Oregon called “Get There Connect” (Registry Number S3135), along with related internet-based tools, that are used by individuals and organizations.

Transitioning to an alternative software system could jeopardize the current infrastructure of the TO Program. Additionally, RideAmigos maintains and has access to ODOT data in their software system that would make a transition to a different software system difficult and costly.

c. Pursuant to OAR 125-247-0275(2)(d): Other findings

i. Cost Efficiency/Cost of Conversion: ODOT estimates that the cost to procure and implement a new carpool software system would be upwards of $600,000, over and above the cost renewing the existing contract, and would cause a significant interruption in services to the TO Program partners and the public. This estimate includes the cost of the design build and configuration phase of a new software vendor contract;

as well as non-contract costs, including consultant labor hours, training and materials and marketing required in order to implement a new system.

ii. Risk Mitigation: Continuity with a proven vendor reduces risks associated with transitioning to a new provider. This software system supports over 20,000 individual users. If ODOT is required to procure a new software system, the internal estimated loss of the current user base would put ODOT’s TO Program and its partners (other government agencies and nonprofit organizations operating TO programs) at direct risk of failing to implement their program strategies effectively and exposes the Agency to a large pecuniary loss as identified above.

iii. Unique Design: RideAmigos holds proprietary ownership of the software system in use by ODOT, and does not allow other entities to provide maintenance, support, and licensing for their systems. ODOT has unique and customized integrations with the RideAmigos software that have been designed specifically to meet the business needs of ODOT’s TO Program.

6. Market Research Finding Pursuant to OAR 125-247-0275(3):

As required by OAR 125-0247(3), market research was conducted, as shown in Attachment A and incorporated into this this Sole Source Determination by reference. Based on this market research, it is ODOT’s finding that RideAmigos software, related software components, and professional services associated with them are available from only one source.
