About this file
This is a Faithful Performance Bond form utilized by the County of Orange, California for contract execution. The bond serves as a guarantee that the Principal (contractor) will faithfully perform all obligations, covenants, conditions, and agreements specified in the underlying contract for Plain, Printed, and Custom Envelopes as requested by the County's Registrar of Voters. The bond requires the Principal and an authorized Surety company to be held jointly and severally liable to the County in a specified penal sum. The document must be executed with proper signatures from both the contractor and surety representative, with the surety's signature requiring notarization and attachment of a certificate of notarization. Per California Corporations Code section 313, contractor signatures must follow specific requirements: either two authorized corporate officers must sign (chairman, president, or vice president paired with secretary, assistant secretary, chief financial officer, or assistant treasurer), or a single officer may sign if supported by written evidence of authority such as a corporate resolution.
The performance bond protects the County by ensuring completion of the contract work in accordance with all terms and specifications. The bond includes provisions that bind the surety regardless of any changes, extensions, alterations, or additions made to the contract terms, work specifications, or timeline, with the surety waiving notice of such modifications. Additionally, the bond obligates the surety to cover all costs, reasonable expenses, and attorney fees incurred by the County in enforcing the bond obligation, which will be taxed as costs and included in any judgment rendered. The form requires approval from both the County's CEO/Risk Management and the Office of the County Counsel prior to execution. Premium charges for the bond are to be calculated at a specified rate per thousand dollars of the contract price.
