CHOH 150696 – Complete Rehabilitation of Lift Locks 3 & 4
SECTION F – DELIVERIES OR PERFORMANCE
F.1 52.211-10 COMMENCEMENT, PROSECUTION, AND COMPLETION OF WORK (APRIL 1984)
The Contractor shall be required to (a) commence work under any task order awarded under this IDIQ contract within 18 months after the date the Contractor receives the notice to proceed, (b) prosecute the work diligently, and (c) complete the entire work ready for use not later than the final performance date herein. The time stated for completion shall include final cleanup of the premises.
(End of clause)
F.2 52.211-12 LIQUIDATED DAMAGES—CONSTRUCTION (SEPT 2000)
(a) If the Contractor fails to complete the work within the time specified in the contract for the specific CLIN order under a task order, the Contractor shall pay liquidated damages to the Government in the amount of $1,000.00 for each calendar day of delay until the work is completed or accepted.
(b) If the Government terminates the Contractor’s right to proceed, liquidated damages will continue to accrue until the work is completed. These liquidated damages are in addition to excess costs of repurchase under the Termination clause.
F.3 52.211-13 TIME EXTENSIONS (SEPT 2000)
Time extensions for contract changes will depend upon the extent, if any, by which the changes cause delay in the completion of the various elements of construction. The change order granting the time extension may provide that the contract completion date will be extended only for those specific elements related to the changed work and that the remaining contract completion dates for all other portions of the work will not be altered. The change order also may provide an equitable readjustment of liquidated damages under the new completion schedule.
F.4 52.242-14 SUSPENSION OF WORK (APR 1984)
(a) The Contracting Officer may order the Contractor, in writing, to suspend, delay, or interrupt all or any part of the work of this contract for the period of time that the Contracting Officer determines appropriate for the convenience of the Government.
(b) If the performance of all or any part of the work is, for an unreasonable period of time, suspended, delayed, or interrupted
(1) by an act of the Contracting Officer in the administration of this contract, or
(2) by the Contracting Officer’s failure to act within the time specified in this contract (or within a reasonable time if not specified), an adjustment shall be made for any increase in the cost of performance of this contract (excluding profit) necessarily caused by the unreasonable suspension, delay, or interruption, and the contract modified in writing accordingly. However, no adjustment shall be made under this clause for any suspension, delay, or interruption to the extent that performance would have been so suspended, delayed, or interrupted by any other cause, including the fault or negligence of the Contractor, or for which an equitable adjustment is provided for or excluded under any other term or condition of this contract.
(c) A claim under this clause shall not be allowed --
(1) For any costs incurred more than 20 days before the Contractor shall have notified the Contracting Officer in writing of the act or failure to act involved (but this requirement shall not apply as to a claim resulting from a suspension order); and
(2) Unless the claim, in an amount stated, is asserted in writing as soon as practicable after the termination of the suspension, delay, or interruption, but not later than the date of final payment under the contract.

(c) If a stop-work order is not canceled and the work covered by the order is terminated for the convenience of the Government, the Contracting Officer shall allow reasonable costs resulting from the stop-work order in arriving at the termination settlement.
(d) If a stop-work order is not canceled and the work covered by the order is terminated for default, the Contracting Officer shall allow, by equitable adjustment or otherwise, reasonable costs resulting from the stop-work order.
(e) The Government’s rights to terminate this contract at any time are not affected by action taken under this clause.
(f) If, as the result of the Contractor’s intentional or negligent misstatement, misrepresentation, or miscertification, a protest related to this contract is sustained, and the Government pays costs, as provided in FAR 33.102(b)(2) or 33.104(h)(1), the Government may require the Contractor to reimburse the Government the amount of such costs. In addition to any other remedy available, and pursuant to the requirements of Subpart 32.6, the Government may collect this debt by offsetting the amount against any payment due the Contractor under any contract between the Contractor and the Government.
I.89 52.233-4 APPLICABLE LAW FOR BREACH OF CONTRACT CLAIM (OCT 2004)
United States law will apply to resolve any claim of breach of this contract.
I.90 52.236-1 PERFORMANCE OF WORK BY THE CONTRACTOR (APR 1984)
The Contractor shall perform on the site, and with its own organization, work equivalent to at least fifteen (15) percent of the total amount of work to be performed under the contract. This percentage may be reduced by a supplemental agreement to this contract if, during performing the work, the Contractor requests a reduction and the Contracting Officer determines that the reduction would be to the advantage of the Government.
I.91 52.236-2 DIFFERING SITE CONDITIONS (APR 1984)
(a) The Contractor shall promptly, and before the conditions are disturbed, give a written notice to the Contracting Officer of—
(1) Subsurface or latent physical conditions at the site which differ materially from those indicated in this contract; or
(2) Unknown physical conditions at the site, of an unusual nature, which differ materially from those ordinarily encountered and generally recognized as inhering in work of the character provided for in the contract.
(b) The Contracting Officer shall investigate the site conditions promptly after receiving the notice. If the conditions do materially so differ and cause an increase or decrease in the Contractor’s cost of, or the time required for, performing any part of the work under this contract, whether or not changed as a result of the conditions, an equitable adjustment shall be made under this clause and the contract modified in writing accordingly.
(c) No request by the Contractor for an equitable adjustment to the contract under this clause shall be allowed, unless the Contractor has given the written notice required; provided, that the time prescribed in paragraph (a) of this clause for giving written notice may be extended by the Contracting Officer.
(d) No request by the Contractor for an equitable adjustment to the contract for differing site conditions shall be allowed if made after final payment under this contract.
QUESTIONS AND ANSWERS
SOLICITATION P16PS01390, AMENDMENT 0001
1. What is the period of performance for this project?
The correct period of performance is 18 months from the issuance of the Notice to Proceed.
2. Can the Past Performance requirement be amended to include a longer range due to the specialized nature of this work?
Based on the responses received from the pre-proposal conference, the Past Performance requirement for this solicitation remains as is (5 years).
3. Is there an incumbent for this project?
This is a new requirement and there is no incumbent.
4. Has the NPS prepared an estimate of the approximate cost of this project?
In accordance with FAR 36.204, the Estimated Construction Magnitude is $5-$10M.
5. Has the NPS acquired funding at a level that will enable this project to be awarded as of the bid date?
This requirement is not Subject to the Availability of Funds.
6. On page 154 of the Solicitation and in a few other places GC's are asked to demonstrate how at least 30% of the total contract value (not including materials) will be performed by small businesses. However on page 155 the total small business goal is listed as 44.5%. Additionally, page 61 of the Solicitation indicates that the Small Business subcontracting goals are expressed as a percentage of the total planned subcontracting dollars.
What are the correct percentage goals of the small business plan and on what basis are those percentages calculated?
All statements are correct: The Participation Plan and the Subcontracting Plan are two
(2) completely different requirements. The Participation Plan must be met; if it is not met, the contractor is in breach of contract. The Subcontracting Goals shall be planned to be achieved, but, with proper documentation demonstrating they cannot be achieved during performance, the contractor is not considered to be in breach.
Subcontracting Plan Calculations Total Planned Subcontracting dollars = The entire amount of money expended on subcontractors. If you intend on subcontracting 85%, then of the value of the 85%, 44.5% should be planned to be subcontracted to small business, of that 44.5%, 5% to WOSB and SDB and 3% to SDVOSB and Hubzone.
Participation Plan Calculations Total Prime Contract Value – Total Materials purchased by the Prime Contractor for this Contract = A Total Cost of Subcontract Values – Total Materials purchased by the Subcontractors = B
Divide B by A and 30% of this number should be performed by small business to meet the small business participation requirement.
7. Article H.5 Key Personnel (page 21 of 161) of the Solicitation, Offer and Award, indicates to provide a "Safety Manager". However, (TAB C) FACTOR 3 (page 154 of 161) indicates to provide a "Site Safety Officer". Please confirm the title of the key safety personnel and confirm that they do not have to be an "Officer "of the company.
Both terms refer to the on-site personnel responsible for safety. The on-site personnel responsible for safety does not have to be an officer of the company.
8. Article H.5 Key Personnel (page 21 of 161) of the Solicitation, Offer and Award, does not indicate to provide an "Environmental Manager". However, (TAB C) FACTOR 3 (page 154 of 161) indicates to provide an "Environmental Manager".
Please confirm if the Proposers are to provide an Environmental manager and if this person can also be the Quality Control Manager. Also, please confirm if the Quality Control Manager and the Environmental Manager must be full time.
Yes, an Environmental Manager Resume is required. The remainder of the question will be answered in a forthcoming amendment.
9. Please confirm that the cost of all federal, state, and local excise and/or sales taxes are to be included in our proposal. i.e. Please confirm that this job is not tax free.
See Solicitation Clause 52.229-3.
10. A 28% Minority participation goal and a 6.9% Female participation goal are described in the Solicitation. Are these indeed goals or are they requirements?
Must the General Contractors Small Business plan address these goals?
Proposals shall be submitted in accordance with the solicitation provision 52.222-23.
11. At the pre-bid meeting it was stated that the self-performance requirement was
15%. The Solicitation indicates that the self- performance requirement is 20%.
Please confirm the self-performance requirement.
The 15% requirement is correct, and the solicitation will be revised to reflect 15% not 20%.
